Court Issues Final Judgment Against Defendants John M. Fife and Clarion Management Limited, LLC in Market Timing Case
The Securities and Exchange Commission ("Commission") announced today that on August 9, 2007, the Honorable Matthew F. Kennelly, U.S. District Court Judge for the Northern District of Illinois entered a Final Judgment against Defendants John M. Fife, a Chicago resident, and Clarion Management, LLC. The Final Judgment permanently restrained and enjoined the defendants from future violations of the Section 10(b) of the Securities Act of 1934 and Rule 10b-5 thereunder; required the Defendants, jointly and severally, to pay disgorgement in the amount of $234,399, plus prejudgment interest of $60,584; and additionally ordered Fife to pay a civil penalty of $234,399.
The Commission's complaint, filed on January 18, 2007, alleged that defendants engaged in a fraudulent scheme in 2002 and 2003 to purchase variable annuity contracts issued by the Lincoln National Life Insurance Company (Lincoln) for Clarion Capital, LP (Clarion Capital) in order to engage in market timing for the benefit of Clarion Capital, a now-dissolved Chicago hedge fund formed by Fife for the exclusive purpose of engaging in market timing in international mutual funds available through variable annuities. According to the complaint, Fife controlled both Clarion Capital and Clarion Management, and carried out the scheme through Clarion Management, the hedge fund's general partner and unregistered investment adviser. These tactics included using trusts and limited liability companies as nominee contract owners and beneficiaries to conceal Clarion Capital's financial interest in dozens of variable annuity contracts. The complaint further alleged that, through this deception, Fife and Clarion Management made hundreds of thousands of dollars in profits for themselves at the expense of the other shareholders in the mutual funds.
The defendants consented to the entry of this Final Judgment, without admitting or denying the allegations in the Commission's complaint. As part of the settlement of this case, defendant Fife also consented to the entry of a Commission Order barring him from associating with any investment adviser, with a right to reapply after 18 months.

Cyclone Power Technologies Delivers Engine in Full Satisfaction of
U.S. Army / TARDEC Development Contract
POMPANO BEACH, FL, May 29, 2014. Cyclone Power Technologies Inc. (OTCQB: CYPW), developer of the all-fuel, clean-tech Cyclone Engine,announced that it has successfully delivered its prototype S-2 engine and auxiliary power unit (APU) to the U.S. Army / Tank Automotive Research, Development & Engineering Center (TARDEC), in full satisfaction its $1.4 million development contract with the government. With this accomplishment, Cyclone has submitted for payment a final invoice for approximately $150,000.
The objective of the Army / TARDEC program was to develop a Phase I prototype of a highly compact (12" x 12" x 17"), lightweight 10kW power generator, driven by Cyclone's multi-fuel capable external combustion engine. The system was designed to be compatible for use with multiple lines of combat vehicles, either as a built-in auxiliary or dismountable and portable power unit. Electro-Mechanical Associates of Ann Arbor, MI provided the specialized electric generator for the unit.
As part of the delivery, the Cyclone powered APU ran at the TARDEC test cell outside of Detroit, MI while connected to a fuel supply and an electrical load cell. Representatives from TARDEC confirmed that the system met contract requirements. The Company is now in discussions for follow-on funding to advance the technology through manufacturability and life testing.

As always has been the case for this company I think it's a coin toss. I love the idea of the technology but they relly need this WHE-DR with OSU to work and get to market and start generating revenue. This last 8k allows a lot of stock to potentially be sold immediately for a 42% discount. I roughly calculate it could be in excess of 6 million shares. Could drop stock price to under 2 cents to maybe 1.8 cents or so. Anyone else with more experience with the numbers please share your thoughts. Without revenue, selling stock is all they have to keep going. All this in my own opinion. All that said, I have been an investor with this stock a long time and want these engines to work. The world stands to benefit if they do...

ITEM 1.01 Entry into a Material Definitive Agreement
On February 28, 2014 (the "Closing Date") Union Capital LLC ("Union") entered into a Debt Purchase Agreement (the "Purchase Agreement") with TCA Global Credit Master Fund L.P. ("TCA"), pursuant to which Union purchased from TCA $100,000 in principal amount of debt owed to TCA from Cyclone Power Technologies, Inc. (the "Company") under a Senior Secured Redeemable Debenture, effective September 1, 2013 (the "Debenture"). Subsequent to the closing of the Purchase Agreement, the Company entered into a new 10% Convertible Redeemable Note (the "Note") with Union, due February 26, 2015, in the principal amount of $100,000.
The principal amount and interest of the Note can be converted to common stock of the Company immediately at a discount of 42% of the average two lowest closing prices for the Company's common stock in the previous ten day period. The Note was not registered under the Securities Act of 1933 (the Act) and was issued pursuant to an exemption from registration under Section 4(2) of the Act.
The descriptions of the Purchase Agreement and the Note set forth above are qualified in their entirety by reference to the full text of each such agreement, provided as Exhibits hereto.

You seem to have an in-depth knowledge of Cyclones design. Have you been privy to seeing these designs or how many of these engine characteristics are you assuming?
I really wonder why all these "no-it-alls" hang around here if the product being worked on has no theoretical chance of working and the business side is in worse shape than that. If its so bad then sell your shares and leave. It must be obvious to you the share price is going to zero right. You all seem to have greater than average intelligence. I wish I had a penny for all the times some engineer said that something couldn't be done in theory, but then someone else finds a way to make it work or technology/materials advance to make it work. I'm so glad there are people in this world that are willing to do what "book smart" people say can't be done. Excuse the rant.
Ha! What about that small little fruit company and their mapping software for phones. Kind of a black eye when things don't work wouldn't you say. I just as soon let Cyclone make sure the engine works better than that wouldn't you agree.
Sounds like we'll be getting that 3rd party testing/validation from the Ohio boys this year per my last email from Cyclone. I wonder what kind of negative spin will soon appear.
It better happen this year. It sounds like Chuck Williams will have his steam car there. The first one to take the record back will get all the publicity. After that not as big a deal. And one reason in doing it is all the fanfare.

I personally have not heard that " market ready " claim. Any contact I have had with the company thru emails is that they were progressing and that Harry doesn't want to bring to market an engine that has not been thoroughly tested and 110% hardened for the abuse it is likely to face. To take an inferior engine to market that fails miserably would be worse than waiting to get it right in my opinion. From an engineering aspect I can appreciate this. I have read some of your posts regarding different ways to have companies purchase the engines when they are ready and that sounds great to me. Hopefully Cyclone can consider that. I'm not really a business guy so I can't comment much more on that. I think we all would like to have more DETAILED info on the status of the engines and what engineering difficulties they are having. Anything to clear this picture up a bit. Good luck.
I take exception with your repeated assertion on this forum that "as we sit there is no engine". There is no engine in production at this point, this is true, but there are engines in development. The company has made no claims to my knowledge that they have moved from the development phase to the production phase on any of these. This is a R&D company until that time. I understood that when I invested. It is yet to be seen whether they can make that leap and that is the chance an investor takes with this type of company. I, for one, think this technology is coming about at the perfect time and any hurdles that they are facing can be overcome with all the new materials that are out there and hard work and, oh yes, money. It's been stated enough that the money thing has stopped many a good development company.
At one point Cyclones website says the engine will run on powdered coal. I know Cyclone has enough irons in the fire but I can't help but think that as beaten up as the coal industry is, they would love to invest in a company that could cleanly use what they mine. We definitely have enough coal around here.
I agree its a bummer to not see more progress in engine production and share price appreciation. I'm in for the long term be it good or bad because I believe in the technology. I hope cyclone gets it right. There has been a lot of posts stating problems with the engine that haven't been resolved. Maybe someone can help me. What exactly did we sell and deliver to raytheon? I assumed two working engines not two crates full of metal pieces and parts that were not functional. ???

Update on the LSR project.
Finished the mold for the lexan canopy and the blank to go into the foward body mold to receive the canopy is nearly finished. The foward body section should be finished this coming this week. The engine hatch section mold should also be finished. Nelson is having the seat section and the steering and peddels installed in the frame. Just ran the engine and it is real sweet. The new larger heatexchanger should be finished the end of next week then will be put on the dyno for a final dialing in, then in the chasses. Nelson has this and the resorces for this project under control as most of my time is spent helping with production engineering on another project. I will get out some pictures on Monday. Check on the web site for more progress.

From an email response I got from the company earlier this year;
"Our current line of engines will be rolled into production starting with the WHE engine mid-year 2012 with delivery fall of 2012. Our S2 and Mark V high temp / high pressure / high efficiency engines will be in production in mid-year 2013 with delivery fall of 2013. Pricing will be set upon each engine completing long term durability testing."
I am very optimistic about the future for Cyclone but it is not going to happen over night and every business has it's challenges to overcome. Harry stated in his last statement that he believes the company is turning the corner. I am willing to give Cyclone till the end of 2013 to see if they can succeed. I think this is a great technology at the right time.
I don't think Ratheyon would have accepted the engines if they didn't work. I am more of the belief that money has been more of the issue here, not an engineering snafu. They have set themselves up as an engineering company that primarily makes revenue off of licensing their technology, not manufacturing themselves. They need a big company to adopt their engine technology and mass produce. I'm thnking that is why they go to the different shows/conferences to show off what they have. Also breaking the speed record at Bonneville would go along way in grabbing some spotlight.
