That is just operating costs. It does not account for existing debt notes and any additional buyouts, promotions etc.
See here: (the 1.1 billion is the initial AS increase. However that was at a pps of .015. With the pps at .008, they would need additional shares to cover debt in the form of conversions)
"Since the debt does not convert at a fixed conversion price it is difficult for us to accurately quantify the number of shares that we will be required to issue upon such conversions. Using the June 20, 2014 numbers, if all of the Company’s outstanding debt, warrants and all of our preferred stock were to convert to common stock, we would be required to issue approximately an additional 1,100,000,000 shares, which would exceed the number of shares currently available for issuance (even when including the existing “reserves” for certain convertible notes). If the stock price were to drop to $0.001 per share, we would be required to issue approximately an additional 2,100,000,000 shares of our common stock to cover all of our current obligations. "
SS. While I appreciate some of your posts, when you or (many) others speak in hyperbole it makes it difficult to read and take your message seriously.
While they stated a share but back, that is so far away there will be many things different. They can say or do anything in that time frame. With revenues by the end if year barely making 5-maybe 6 digits, this is going to be a very very long ride.
In addition as I stated there will most likely he another AS increase to pay for debts and operations if the pps stays below a penny.
Your analysis about ( please excuse the lack of accuracy of he numbers) the float at about 50 million can't be correct. Unless those 800+ Miners are not holding/ flipping, a 50 million float does not make sense with the trading that had been occurring over the past few weeks. No way no how.
Do you know when the next OS report comes out?
So in other words you think this will be a $2.5 billion ( that's BILLION) company when you exit??? Why even exit then... ? That's the moon. Should wait til it goes to the sun for that matter.
Stop with the 'Ifs'. The facts are the facts. And with the pps down this low it will probably trigger another AS increase in a few months.
Let's wait for that OS report. I am pretty sure it will have increased. 20 days sine June 20. Not sure if that is business days or calendar days but this is the lock up period prior to them using the new stock ( whether restricted or not) for conversion of debt
If the PPS gets back to the levels in early June I may not be as worried. But down here, you basically describe what is happening. They would need to issue more shares to accommodate those fixed prices / costs of marketing and promotions.
Let's hope August brings us back up. With PR the new investors will absorb the billion. But if they add more at lower pps it gets difficult.
Mantn. I appreciate your I out. But as people make up stories about Katy perry ( while yes I understand she is affiliated with with the PR company) and the 'buyout' of whatever the other company. It is all highly speculative and in my opinion pumping.
The recent $1,000,000 reduction in debt was in the conversion to shares. Dilutive period. While there may be restrictions, it is a for of dilution and the CEO himself is paying himself with shares ( and yes he is buying).
As an investor when they say try will pay off debt, higher big PR etc, all this had to come in the form if shares dilutive. Yes restrictions and will not hit market in near term but I would think the restrictions would only hold a fraction of the total given to any PR celeb so they can get an initial payment for whatever try do. Not trying to say this is a pump and dump. I agree with many here that they have been executing. Slowly but they have.
But all in all there is still more
Possibility of another AS increase as stated in the sec filing if the share price is not where it was on June 20.
So. I cannot be completely positive on this part.
Anyway. I digress. I appreciate yours and SS and a few others input. But I cannot be idle when I see some holes in the boat. They may not be big but they must be managed.
Good luck.
Thanks you. Looks like it hasn't changed since 2011.
http://www.drinkwhat.com/vitamin-enhanced-sparkling-water-vitamin-fizz/
I don't care for Sucralose. I would doubt they would change it in the bottle formula either. But I'll still try it.
Exactly how I feel. No one likes to talk about some of the negatives that have occurred. If some people are 'investors' they should be able to take this info into account and not just say 'look at the PR'. I expressed my concern about dilution and it was quickly abolished and downplayed when it specifically states in the sec docs that this could be the result of the AS increase ( the cause of the drop -30-40%).
However I will say there have been a few people who have been putting out goo info that I have learned over the past couple of weeks which do point to better forward company dynamics. However the addition and possible even more addition of AS will be a concern for me. And should be for others.
I thank those who have put out certain new items and brought some if us aware of underlying goodies.
This was a very good piece of info that consolidated a lot of good info.

BUT I will be cautiously optimistic and will call out those who just blatantly make a rumor or connect things that are not definitive. Call me whatever u want.
200k and adding small amounts here and there on big dips.
Still looking for ingredients label. It's not on twitter as someone suggested and an old review in 2011 states it has Sucralose. I know I wouldn't drink it if it did. But Sucralose is not a ' natural' ingredient. So I assume it's no longer in there.
If anyone had tried it, put up a pic of the ingredients.
Probably just miners from this board
Huh? What is your point? There are some that are asking important questions and your response is a smoke screen?
Wow. So I find the pictures of the can vitamin fizz that is plastered all this boat. The same one. And now you state that is the WRONG product. And you can't even supply valuable info ?
Can someone put a pic of the ingredients list or spell out the ingredients list? Can't find it on mobile site or online.
I saw a msg recently stevia is used. Older google pics show sugar and Sucralose (not natural).
U think that's it? They got their money and ran? Remember all those nice pretty pictures of that mine ... Hmmm
They placed effort to be fully reporting last summer and fall only to be able to drum up all those new shares and make it look legit then reverse split then drum up more AS.
Then quiet time. Oh. They also made that bogus PR in December to absorb all those new shares. And the. Poof! Nothing. As soon as news start flowing again, anticipate the RS soon after. And rinse repeat.
Don't mean shizzle to me if you are/ were a broker. I am an engineer. I work with and need facts and logic to create a product or company, not guessing and pulling three things from the air and trying to make a story out of them to make them sound good.
You did say buy buy buy the around the time the announcement of the AS increase along with the Fizz release in New York.
I am waiting for a guesstimate response from all those who stated far out elaborated stories on their opinions they claimed to be fact. I will shut up until after those dates that people can out out there. Until then I will watch the OS from now until then.
I will humbly give you or those who chime in the ring of power if things go well prior to the date of estimates.
Ok. Soooo I need a recap from all those who are saying Katy perry this and merger buy out that.
Please send us your honest opinions on when you expect these things to take place. Otherwise you can say you are holding on and 'patience will pay off' for years without ever having taken responsibility for your comments.
Seriously. Throw your estimates out there.
Ok then. You're too cool for me. It's not that I didn't call a drop when the AS increased and you were touting good support levels and buy buy but and telling people they were dumb at selling at twice this level.
Not seeing the 40% increase in AS without a drop is what I call not being smart. But hey. You're entitle to your opinions.
Anyone have any word on amount of stores sticking Fizz? We see one random picture from a samsung phone. And nothing else.
New York should be full of fizz by now.
Call me Mr negative. But if the pps does not get back to .015 or greater, expect increase in AS again. Just saying. It's not an opinion. It's their words.
No but they changes their means of converting / paying off debt.
So this is another statement that shows they WILL have to increase the AS even more IF the price goes to .001. (Which I don't think it will go to). But at 0.0075. They need an additional billion ON TOP OF what they just announced in the AS increase. This sucks. You guys can sugar coat it all you want. Only thing thy can prevent this is stock price increase AND a very favorable outcome of the initial fizz and creamer sales.

Exactly what I said. But lots of replies with definitive remarks about how the AS will not reach the OS for years because they are going to Celebs etc. Not all will go to celebs.
Mine is about 5.7 million in the whole with barely any income ( of course this 'should' change ). It all depends on the test market of New York.
But that being said they still have several notes / debt. If they are converted to stock to pay them off , it absolutely will dilute.
"
The board of directors believes that authorizing this increase in the number of authorized shares of common stock is in the best interest of Minerco and its stockholders in that it could be obligated to issue common stock upon conversion of certain existing outstanding convertible debt and preferred stock in excess of the amount authorized and it will provide the Company with available shares that could be issued for various corporate purposes which may be identified in the future, including acquisitions, stock dividends, stock splits, stock options, convertible debt and equity financings. On June 20, 2014, Minerco had 61,709,187 shares of common stock available for issuance after taking into account all shares reserved of convertible securities which we believe may not be sufficient to satisfy all outstanding debt obligations "
Or they are shorting and making a killing.
The roll out if new crisp shares ?
A few days left before those new shares can hit the market. Looks like someone else knows this and the market is responding. :/
Now why would they do that (or even how) when try just increased the AS and stated they can't meet their debt responsibilities.
And you're saying that they should do a share but back? With what money...?
Yeah. They say they will do a share buy back. But I wot. Count on it until they make some money
My response to you is why would any company specifically state 'we will dilute the share count?"
I have a question for you then ... Since you said I didn't answer the other question.
Where oh where would any company specifically state they will dilute the share count.
The reply I have is the typical statement t when a company is going to initiate share selling into the OS to pay for debt and / or services.
That statement still stands. The intention of those shares are for paying off debt convertibles, services and promotions ( that's a little cherry by the way).
They can use it in any way possible which, if / when sold, is your typical dilution stream.
I did see this. Several times. And while I do not believe all the AS is destined for near term common stock, it can happen.
You asked for where it was stated about possible dilution, and I delivered.
I only hope they deliver on their generic posts about celebs and partnering opportunities. But the filing states Even additional AS may happen if the price goes down.
All in good time we shall see.
This ... Is.... All... Belief and theory.
Anything can happen to those shares. The email from SS, while positive, offers no insight and specific info on what they will do with it. The note was pretty much ' we will do with it what will provide long term growth and performance of the company' ... Not the stock price.
It specifically states that even more hares may be needed if the stock price drops. And it did right after they increased the AS. It's a slippery slope.
Like I said. I hope I am wrong.
FYI. I have about 200k shares. Probably tiddly winks comparison to some of u out there. But I stated it in June. Not happy with the AS increase.
Could this be shorting in anticipation if any debt conversion to stock equity???
I want to be wrong... But it's hard when I just cut and paste from their sec submission:
The board of directors believes that authorizing this increase in the number of authorized shares of common stock is in the best interest of Minerco and its stockholders in that it could be obligated to issue common stock upon conversion of certain existing outstanding convertible debt and preferred stock in excess of the amount authorized and it will provide the Company with available shares that could be issued for various corporate purposes which may be identified in the future, including acquisitions, stock dividends, stock splits, stock options, convertible debt and equity financings. On June 20, 2014, Minerco had 61,709,187 shares of common stock available for issuance after taking into account all shares reserved of convertible securities which we believe may not be sufficient to satisfy all outstanding debt obligations
They specifically state they do not have enough common shares to pay off their debt. And it also states this would take effect 20 days from the initial mailing. June 20. Not "years from now".
Not saying all this will be dumped on to the market now but the potential is there and they can do this in as little as 3 more days....
Of course all these shares can be used for other purposes but some of u dream and really downplay the possibility. The market has also responded.
On the note of dilution...
From here:
http://www.sec.gov/Archives/edgar/data/1451514/000135448814003423/mine_pre14c.htm
Please let's hear your interpretations.. It's pretty upfront in its use of words.
"
Effect: Issuance of any additional shares of common stock would both dilute the equity interest and the earnings per share of existing holders of the Company’s common stock. Such dilution may be substantial depending upon the amount of shares issued. The newly authorized shares will have voting and other rights identical to those of the currently issued common stock. The increase could have a dilutive effect on the voting power of existing stockholders."
Here. Read up... And note my next post. This is directly from the filings with sec.gov. The amendment takes effect 20 days after the initial mailing of the notice. Which was June 20.
"The board of directors believes that authorizing this increase in the number of authorized shares of common stock is in the best interest of Minerco and its stockholders in that it could be obligated to issue common stock upon conversion of certain existing outstanding convertible debt and preferred stock in excess of the amount authorized and it will provide the Company with available shares that could be issued for various corporate purposes which may be identified in the future, including acquisitions, stock dividends, stock splits, stock options, convertible debt and equity financings. On June 20, 2014, Minerco had 61,709,187 shares of common stock available for issuance after taking into account all shares reserved of convertible securities which we believe may not be sufficient to satisfy all outstanding debt obligations
On June 20, 2014, we had debt in outstanding principal balance of $340,137 convertible into shares of common stock based upon the closing price of our stock on the conversion date ranging between 35% and 60% of the closing price of the stock. In addition, our Series A Preferred Stock converts into shares of common stock at a rate of 10 shares of common stock for each share of Series A Preferred Stock and each share of Series A Preferred Stock is entitled to 10 votes for every share of common stock into which it is convertible. Our Series B Preferred Stock coverts into shares of common stock at a rate of 500 shares of common stock for each share of Series B Preferred Stock and each share of Series B Preferred Stock is entitled to 5 votes for every share of common stock into which it is convertible.
Since the debt does not convert at a fixed conversion price it is difficult for us to accurately quantify the number of shares that we will be required to issue upon such conversions. The board of directors believes that it is in Minerco's and Minerco's stockholders' best interests to authorize it to increase the availability of additional authorized but unissued capital stock to enable Minerco to promptly take advantage of market conditions and the availability of favorable opportunities without delay and expense associated with holding a special meeting of stockholders and to enable it to meet any obligations it may have to issue shares of common stock."
Please bite my next comment too..
Are you serious with this question????
Ss. What I don't like is this:
http://ycharts.com/companies/MINE/shares_outstanding
Already your data shows another 100mil. While that's not much I still have the uneasiness with the extra billion and what they can do with it.
Yes the email was a proposed outcome to where they will go but I am antsy and these big sells today remind me of the typical dump. Not saying it is but lots of big sells today.
I appreciate your dd and you have made me see a few things differently but I still need to question the similarities to my previous experiences. I also think the the reply email was a little vague and non specific. I look forward to a big news item that will give me some more confidence in where this is going.
Let's see what the end of this month holds with the OS count
Also. At 5-10 stores a week, New York should be well fizzed. I hope to hear store count as well. Glty
Who's got the updated OS?
A lot of selling. Is that what we were looking for ?
Going up.......
*crickets*
That's not the point. The point is you seem to parade with those who speculate wildly. Like your quick calculation to buying out another company. If you are not saying ' stick to the facts' with the wild and crazy, you support their wild and crazy ideas. Random wild speculation all of a sudden becomes facts in these boards.
But the statement that an AS increase points to impending dilution is quickly commented in and reprimanded with ' stick with the facts'.
That is my point. U and people of the like stand by idly only with the crazy insane positive swing on things.
I can't stand when knuckleheads just spew BS ' hey let's buy this company out with our new shares ... Blah blah blah'.
Hey. What happened to sticking to FACTs and not speculation?
C'mon. Lot of dreamers here. But if people can't formulate opinions about AS increases the tree shouldn't be this hearsay talk about mergers.
Just calling it is.
Happy 4th all
Do you think people are selling... Like everyday investors?
Thanks SS.
Yesterday's back and forth was due to the lack of info on this subject. There were a lot of hypotheticals from both sides and just crying BS doesn't confirm or deny anything.
This sheds a little more light on the AS increase. A few other described it further and better articulated my words. But the concern was there and it is now a bit less 'concerning'.
Gltya
