Actually its a minimum of 4.5 Billion that is potentially added. 2.5 Billion for the note excluding interest and 2 Billion for the Warrants..
What does this say?
On June 6, 2007, Family Room Entertainment Corporation issued a convertible note to Longview Fund, LP for $1,000,000 at a discounted purchase price of $800,000. This note is convertible at a fixed conversion rate of $.0005 per share.
Discounted purchase price of $800,000 of the note amount of 1 Million... or 2.5 Billion
One Million 1,000,000 / .0004 = 2.5 Billion
One Million 1,000,000 / .0005 = 2 Billion
If Family Room Entertainment Corporation defaults on the interest payments, a default interest rate per annum of fifteen percent (15%) shall apply to the amounts owed hereunder.
This is in addition to the 1 Million dollar loan..
In conjunction with the funding, the Company issued a warrant to purchase 2,000,000,000 shares of common stock at an exercise price of $.0005 per share.
Not counting penaltys for being late or not making payments we could be looking at a number considerably higher than the origional 2.5 Billion if they paid in stock and they were late.. 15% per annum is One Hundred and Fifty thousand Dollars or 375 Million shares on just interest for one year.
Plus if the value of the stock rises higher than .0005 you can just about count on Longview turning over the shares for a quick profit.. Another Words if they pay the loan off and Longview exercises their warrants its 1 Million dollars for every .0005......
If the value of the stock rises to .01 FMLY could buy the 2 Billion shares for 20 Million Dollars...
exactly the reason why I do not believe the value of the stock will not rise appreciably..
Gavinz, Thats exactly how I read it... Potential 4B more shares..
In my opinion that is why the .0005 is going to be with us for some time. Warrants??
You are guessing and I have less than 30K shares at .15 my average is much less than .01.. today.. So any momo back up to .005 helps in the long run..
But the simple fact is I am not selling.. I choose to hold on for some time.. When and If I need the tax loss my accountant will decide.. I am also positive that I am in the top few with the number of shares that I own, like you.
This is why the company will hold in the 000 range for the next few years.. If this is a anti take over (protecting their 60% profit sharing) message then it would make sense further confirming that the price will stay where its at..
Rebel I have asked before, if you could ask the boyz if they plan on buying any more shares??? Emmett needs to load up cause it cant get much cheaper??? or can it??
ANY GUESSES WHY THEY WOULD DO THIS? THEY DID GIVE THEM A PREMIUM OF 20% ON THE NOTE 12% INTEREST, PLUSS +++ 2 BILLION IN SHARES??? WHY??? IS THE COMPANY THAT RISKY??? TO GIVE AN INVESTOR POTENTIALLY 1000% RETURN ON THEIR MONEY?
In conjunction with the funding, the Company issued a warrant to purchase 2,000,000,000 shares of common stock at an exercise price of $.0005 per share.
A warrant is a security that allows the holder to buy shares of common stock from the Company at a predetermined price (i.e., the exercise or strike price), for a defined period time (i.e., the exercise period). Thus, if at any time during the exercise period the market price of the stock rises above the exercise price, the holder of the warrant could buy shares of stock at the exercise price and sell them at the market price, thereby making a profit. Otherwise, the warrant will simply expire at the end of the exercise period.
"You said that "If nothing else the bottom"
Where is the benefit to anyone except the warrant holder?? Definitely not the share holder..(who is going to buy into this rat nest if they read the SEC documents?) If they can squeeze out .0002 you watch them do it and pummel (exercise and dump) the price back down to where it is now.
I still say that as long as Longview has this stock by the short hairs, we will never see price appreciation unless it is severely manipulated. But that never happens??
"""As for down the road up till the warrants expire in 2009, the lender has an option to buy shares at .0005 and sell them, so seems common sense if they do exersize their rights, it's of no benefit to they unless they can sell higher for a profit.
Which brings me back to why it makes sense .0004/.0005 is if nothing else the bottom."""
What planet do I come from??? You are talking about Merrill Lynch making a killing.. Obviously you did not read my post or you are an employee of one of the MM's
There is no long term here for anybody except who want to flip for .0001 maybe .0003 The shareholder means nothing to Emmett and Furla. They sell/guarantee/dump/finance into the market for as long as they get their 60%.. How long do you think thats going to last.. I would guess somewhere around 3 to 4 more years.. Then the logical thing would be to find or rotate stockholders after the RS... and start all over again..
Rebel, Ask Emmett and Furla when they are going to buy into their own company?? Looks to me that as long at they can stick it to the shareholder and nobody goes knocking at their door, the printing press keeps printing...And the 60% to Emmett and Furla keep on trucking.
As long as Longview holds the possibility of controlling/dumping 2 Billion shares. They can, after its approved, dump at their leisure. So checking OS after every high volume day would be wise.. This is not a wise company for any type of long hold.. This company is not for the faint of heart.. This company is one of many that will slip away into never land and nobody will remember them, after they rake millions from shareholders with the prospect of RAMBO!!!
I used the word Frozen because if the price rose that would make sense buying 300M shares (Longview) or more just to dump them into the market and it would be seriously counter productive when it comes to the price of each share.. So in essence the market will stay flat for some time.. Furla and Emmett could really give two hoots cause they rape 60% off the top of every dime made by the company.. So how many shares is out there that are issued could not even matter or effect how much they get paid.. I call this stock, based on what has just happened,,,, Dead for a long time.
Emmett or Furla will never buy any shares of their own company which sends a very clear signal to the world that the price is going to stay in the toilet for some time.. Probably forever..
The only thing this stock is worth is ordering certificates in 10,000 increments so I can wall paper the hunting lodge's outhouse!!!!!
Then they just froze the price at .0005 for the next two years, if that is the case... Should they get a healthy increase,,, the option to buy kicks in,,,, once they get the shareholders to authorize the increase..We have dead money for the long foreseeable future.. Thats the way it looks to me. We shall see.
On June 6, 2007, Family Room Entertainment Corporation issued a convertible note to Longview Fund, LP for $1,000,000 at a discounted purchase price of $800,000. This note is convertible at a fixed conversion rate of $.0005 per share.
The convertible note matures in two years at a twelve percent (12%) per annum interest rate and call for interest payments on December 31, 2007, June 30, 2008, December 31, 2008, June 30, 2009 and on the maturity date principal and remaining accrued interest shall be due and payable. If Family Room Entertainment Corporation defaults on the interest payments, a default interest rate per annum of fifteen percent (15%) shall apply to the amounts owed hereunder.
In conjunction with the funding, the Company issued a warrant to purchase 2,000,000,000 shares of common stock at an exercise price of $.0005 per share.
To me it looks like the 2 Billion shares is collateral for the loan.
Great to have you aboard.
I am sure that we have many posters like that..
I also am interested in learning new things.

Asking for real information is great, but playing stupid and asking the same question over and over and over again when the answer is at your finger tips... Deleted...Most of the questions can be answered in the SEC documents, do your own DD. If its not there, they don't want to share that information with anybody. Public news articles are all over the place. Sometimes they need to be found thru odd sources.. Like Avi Lerner and searching the many actors attached to the projects..

Family Room (OTC BB: FMLY)- Microcap Stock Goes MicroNuts For MicroNauts
As we stated in this past weekend's edition, we felt Family Room Entertainment was the most undervalued of the six microcaps we cover.
Investors were disappointed by the poor showing at both the box office and the Academy Awards for NARC. Given the pre-release hype from all corners of the entertainment world, and the high investor expectation that Family Room had its first major home run in the bag, a little disappointment was warranted.
However, as the market is often want to do, shares of Family Room have been pounded down to absurdly low levels as investors tend to sell now and ask questions later in the current environment. This market's emotional roller coaster had shares of American Airlines (NYSE: AMR) at $1.30 on Monday morning- currently trading at $4.22 as the market recognized the reports of American's death had been greatly exaggerated.
Bargain hunters should be accumulating Family Room right now. Family Room has many irons in the fire, and one hot project could propel their shares back to the pre December levels of $.40 when NARC looked like it would be a big hit.
Today, just after the market closed, Family Room announced a development partnership for what could be the next opportunity for a major home run for shareholders:
Family Room Announces Codevelopment Agreement on MicroNauts
In concert with the popular 80's revival theme, Family Room's Emmett/Furla films has entered into a joint development agreement with Hollywood legend Gale Anne Hurd and Los Angeles based licensing company Character Vision to revive the best selling Micronauts comic book series.
Micronauts was one of the most successful lines of action heroes in history. During the 80s when the Micronauts were popular, $300 million of licensed merchandise was sold, second only to merchandising sales from Star Wars.
Family Room will be part of a cooperative agreement to revive the brand through development of merchandise and/or a potential TV show and feature length movie.
Family Room is in great company by partnering with Hollywood legend Gale Anne Hurd on this project. Gale Anne Hurd was one of the original producers of 1980s blockbuster Terminator. She also produced Armageddon, and is currently the producer and writer of the upcoming release of Terminator 3 and The Hulk.
The following article appeared in a recent edition of Variety:
Hurd, EFF ready Micro economics
Duo pump prospects for '70s toy line
By DANA HARRIS
HOLLYWOOD -- "The Hulk" producer Gale Anne Hurd and Emmett/Furla Films have teamed to revive the Micronauts toy and comic line for feature and television development.
Originally produced and still sold in Japan by Takara, Mego Toys' Micronauts were a series of interchangeable space toys. In the late 1970s and early 1980s, Mego sold more than $300 million in product, second only to the line of "Star Wars" merchandise. It was then adapted as a long-running Marvel Comics series.
Also in the Micronauts partnership are the line's owner, Abrams/Gentile Entertainment, and third-party licensing company Character Vision, which oversaw a limited release of Micronaut toys and comics last year.
EFF roster
Randall Emmett and George Furla's EFF brought the Micronauts property to Hurd. EFF co-executive produced Paramount Picture's "Narc" and is in pre-production on "Belly of the Beast" starring Steven Seagal. Now in post is "Wonderland," which EFF executive produced for Lions Gate.
Abrams/Gentile is a Gotham-based entertainment, design and production company that includes toy and video game design, animation and prime-television development. The shingle is wrapping production on animated holiday special "Little Light" featuring Jane Seymour.
Character Vision clients include Morgan Creek, nationally syndicated comic strip "The Boondocks" and Extreme Demolition Derby.
As stated in this past weekend's edition, Family Room is moving on to many new and exciting projects. Owning the stock at $.10 is like owning an option that never expires. One big hit and it could be off to the races.
With only 20 million shares issued and outstanding, the current market valuation of $2 million is laughable with this kind of potential upside.
Michael Douglas Still King of, Friday, 26 January 2007

4.0
Bristling with a beard and a madman's joie de vivre, Michael Douglas brings as much twisted personality to "King of California" as he has to anything since "Wall Street" -- which should help make this Mike Cahill-helmed and written, cockeyed comedy a solid hit among the adult and the adult-minded. The only thing dragging down Cahill's Don Quixote-on-the-West Coast fable -- which boasts an eccentric tone, properly whimsical music and problematic father-daughter story -- is the daughter, Evan Rachel Wood, who flatlines through most of the movie. Douglas, however, is a manic joy, and Wood manages to hang on for the ride.
Produced by the "Sideways" team of Alexander Payne and Michael London, "King of California" is far broader and plot-driven than that earlier Payne-helmed film, but taps into a similarly sophisticated sensibility. The characters are fractured -- Charlie (Douglas) is an intermittent mental patient who is leaving a county facility at the outset of the film; Miranda (Wood) is his long-suffering daughter, abandoned by her mother and working at McDonald's.
As if Miranda didn't have enough problems, her faux-Prospero father decides the long-lost treasure of a 17th Century Spanish adventurer is hidden near their ramshackle suburban home. Armed with various tools of the prospecting trade -- a map, books, a shovel and, eventually, a backhoe and a scuba-diving suit -- Charlie sets out in search of gold, dragging the reluctant Miranda along behind.
The latest in a long line of magical movie crazies, Charlie is an actor's dream -- he's lovable, nuts, young enough to be sexy, old enough to be forgiven, and can't be held responsible for anything. Douglas eats it up, his Charlie relishing life in general, and especially the way the sober Miranda reacts to his eccentricities.
A dreamy tone, underlined by David Robbins' banjo-and-ukulele-driven, old-timey blues score, adds the right lighthearted accent, especially given Wood's dour performance.
It takes a while for "King of California" to get in a groove, with Charlie showing that given the right attitude, people can get away with almost anything.
When he traces the location of his not-entirely-mythical treasure to the underside of a Costco's store, puts on a red road-construction vest and starts surveying the place, his sense of entitlement has store employees helping him invade their own space.
His antics mortify poor Miranda, but the sense of absurdity with which Cahill walks Charlie through his adventure should tickle anyone who finds our humorless, security-obsessed public life something less than joyous.
Production values are top-notch. James Whitaker's cinematography, particularly his night-shooting, is superb.

Someone’s been drinking.
Jessica Simpson has been hired by [drinkee] Steve Miner (“Lake Placid”, “Day of the Dead”) for his Marine comedy, “Major Movie Star”
If Simpson’s latest flick “Blonde Ambition” is no more than a straight-up remake of “Working Girl”, this one seems to be a carbon copy of “Private Benjamin”. The former Reality TV moppet plays a pampered star who decides to enlist in the Marines to win approval from a producer and a studio who considers her unsuitable for an upcoming military-themed pic. Upon arriving at Camp Pendleton, she realizes she's made a mistake but decides to persist so she won't let her country down.
This thing must be good too (ha)… apparently Avi Lerner snapped up the script five years ago.
STEVE MINER: STILL EMPLOYABLE
06.08.07
By Jeremy Smith
Contributing sources: Variety
What's your favorite Steve Miner movie? Is it Friday the 13th Part II or Part III? House or Warlock? Lake Placid or Texas Rangers?
All joking aside (my apologies if you're actually pondering the above query), Miner did direct one minor classic: the first season Christmas episode of The Wonder Years in which Jason Hervey obnoxiously lobbies his father for a color television. That's more than Sheldon Lettich, Mark L. Lester or Dwight H. Little can claim (he says as he girds himself for indignant emails from fans of Lionheart, Showdown in Little Tokyo and Murder at 1600: The Address That Changes All the Rules). So I'll cut Miner a little bit of slack for carving out an otherwise forgettable career bellowing action on bad sequels, worse Young Guns retreads and I'm Dying Now!?!?
And, frankly, I'd give anything to be Steve Miner over the next few months as he preps and shoots Major Movie Star, a Private Benjamin retread starring the buxom Jessica Simpson. Simpson will play a bratty starlet who enlists in the Marines to curry favor with a studio that considers her too fresh-scrubbed for a gritty military flick. Why a round of blow jobs wouldn't suffice will hopefully be explained in April Blair's screenplay.
This project has apparently been kicking around quite a bit, because there are now over a dozen producers overseeing the picture. Millennium Films Avi Lerner appears to be the top dog right now, but he'll have that colossal pain in the ass Joe Simpson looking over his shoulder, while Chris Bender, J.C. Spink and Denise DiNovi (among many others) will exec produce. The film will begin shooting in Louisiana next month.
Jessica Simpson is 'Major Movie Star'
Miner tapped to direct Marine comedy

Avi Lerner's Millennium Films has signed Steve Miner ("Lake Placid," "Halloween H2O") to direct "Major Movie Star," starring Jessica Simpson as a Marine Corps enlistee.
Shooting starts next month in Louisiana with the pic centering on a pampered star who decides to enlist in the Marines to win approval from a producer and a studio who considers her unsuitable for an upcoming military-themed pic. Upon arriving at Camp Pendleton, she realizes she's made a mistake but decides to persist so she won't let her country down.
Pic's been in the works for over five years since Warner Bros acquired April Blair's spec script. As a result, the list of those involved in a producing capacity has reached more than a dozen, led by Millennium's Lerner along with the banner's Boaz Davidson, Danny Dimbort and Trevor Short and Simpson's father Joe Simpson.
Also producing are Denise DiNovi, Billy Gerber, George Furla and Randall Emmet Films. JC Spink and Chris Bender are exec producing and Jake Weiner will co-produce.
Simpson starred in "Dukes of Hazzard" and "Employee of the Month" and wrapped earlier this year on Millennium's "Blonde Ambition."
Miner's credits include "Friday the 13th 2," "Friday the 13th 3," "Big Bully" and "Texas Rangers."

June 07, 2007 — If the grit and spectacle of filmmaking catch your fancy more than actual films ("Lost in La Mancha," anyone?), "Shortcut to Happiness" should be right up your alley. Shot in 2001 as a modern adaptation of Stephen Vincent Benet's 1937 short story "The Devil and Daniel Webster," a rough-hewn draft of the film made it to indie film festivals in 2004 and 2005 - but never quite surpassed post-production.
Add a new studio and title, subtract half an hour of footage and Alec Baldwin's production credit and you have the most recent incarnation: To turn his career around, struggling writer Jabez Stone (Baldwin) cuts an ill-advised deal with the Devil (Jennifer Love Hewitt). When Stone finds he's bitten off more than he can chew, he calls on publisher Daniel Webster (Anthony Hopkins) to come to his defense in a supernatural litigation.
If the uneven trailers are any indication - comedy? drama? fantasy? - too many cooks may have spoiled this gouda. But with a peculiar mix of star power (Dan Aykroyd and Kim Cattrall round out the cast), "Happiness" should raise at least one eyebrow. July 18.
What does this mean?
"as well, I may be signing a non-disclosure statement which obviously would prohibit me from saying anything not of public record.
Looks like it doesn't matter any more except for the .0001 of a bounce.. I wish all good luck cause I have no reason to sell. Don't need the losses today, so again I will continue to be weary of any more visions of grand dour..
Pachino and De Niro???? Smoke and mirrors??? Who knows with these guys..
200M traded so far... Somebody doesn't like something?
I tried to tell you before and you requested that I tone it down.. Nothing has changed with regard to the shareholder.
Sure doesn't look like the market likes this type of restructuring. Anybody but Longview.. Unless you (Reb) are talking about Longview?
If someone wants to read the entire SEC document here is the link. If you want to post certain parts, OK but the entire document... TOO LONG.

I also was told 9 months ago that a guy was working on it right now!!! Should be a pretty amazing site once its finished........
In France, "At World's End" dropped off 57% to $7.3 million at 783, moving the cume to $29 million according to French box office compiler CBO. Meanwhile, "Spider-Man 3" bagged another million, taking its Gallic cume to $48 million.
Top opener in Gaul was Al Pacino starrer "88 Minutes," which is not released Stateside until 2008. The Jon Avnet helmed effort took $895,000 at 194 via Metropolitan. The pic posted the second best screen average behind "At World's End" despite getting the thumbs down from French crix.
If Jessica wasn't sooooo stupid she would be a good catch..
WAIT thats what we were looking for.... GO FMLY turn her into a centerfold... Set her up with the "Real Deal" and embarrass the shi* out of those football players.. Could you imagine that Stephanie goes out on a dinner date with one of those football guys, with an ego 6 miles wide? And Jessica Simpson scurry's across the room and sits down in Stephi's chair running away/hiding from her current boyfriend, with a see thru dress??? Just to be a fly on the wall just to watch the action.... They could use her... Hell I could use her... Love to show up at the office party with Jessica and watch peoples reaction and state stupid things like, "you look like??"
Could I do allot with Jessica.... I don't know any red blooded boy who wouldn't, (only in our dreams) I had a dream last nite and my wife wanted to know this morning who I was selling a house to??? I said Jessica??? har har har...

"John Rambo" Finds a Home at Lionsgate
Posted by Scott Weinberg on Tuesday, Jun. 05, 2007, 01:05 AM
Scott Weinberg writes: "When Sylvester Stallone's "John Rambo" hits theaters later this year (or early next year), it'll come baring that creepy grindy-gears Lionsgate logo that all the horror fans know and love.
Moviehole informs us that Lionsgate will be distributing the fourth "Rambo" movie, and they smartly note that (because of the Artisan take-over) Lionsgate also owns the three previous movies. Which means: Expect a big fat trilogy DVD set to hit the scene later this year!
Also, here's the official press notes on "John Rambo."
Quote: In Thailand, a group of Christian aid workers recruit John Rambo to guide them up the Salween River to deliver medical supplies to the Karen tribe of neighboring Burma (aka Myanmar). When the missionaries fail to return, Rambo is persuaded to take a group of mercenaries back into the war-torn border region to find them. What follows is a descent into hell on earth. Sylvester Stallone writes, directs, produces and stars as JOHN RAMBO, filmed on location in and around Chiang Mai, Thailand.
Also starring are Julie Benz, Matthew Marsden, Graham McTavish, Rey Gallegos, Jake La Botz, Tim Kang and Paul Schulze. JOHN RAMBO is produced by Avi Lerner, Kevin King and John Thompson. Executive producers are Andreas Thiesmeyer, Avi Lerner, Josef Lautenschlager and Florian Lechner. Director of Photography is Glen MacPherson. Production Designer is Franco Carbone and the Costume Designer is Lizz Wolf.

FMLY is not a pink sheet.. They are still classified as a penny stock and unless something happens they will be down graded, eventually, how ever that happens.
Eye Of The Codger
Rambo Shoots Up To Keep On Shooting
by E.R. Bills / June 4th, 2007
As a fading, but still almost universally recognizable Hollywood icon, there is no doubt Stallone figured his baggage would receive less scrutiny than most travelers’ and this assumption got him into a bit of a pickle. But if Rambo IV is at least a moderate box office hit, the pickle will serve as little more than the relish that we put on our hot dogs when we cram into megaplex theatres to watch Stallone gratuitously beat the stuffing out of foreign evildoers in some quasi-noble cause Americana.
Rambo’s brand of justice will no doubt be the product of performance-enhancing human growth hormones, but we won’t give it a second thought because, like diehard baseball fans, we don’t care what our heroes are hopped up on as long as they are kicking ass.

On the move: Sylvester Stallone
“There’s no question about it, it’s ludicrous on the surface,” he admits of his roles in Rocky Balboa and John Rambo, the sixth and fourth in the series respectively. “It reeks of vanity and lack of self-awareness.”
The trouble is, he says, there are just no tough-guy actors out there any more. His search for suitable co-stars has left him frustrated. “I’ve been looking for the next Robert Mitchum or Steve McQueen but they just don’t exist. Tough guys today are getting their hair done at Hollywood hairdressers. Whatever happened to having a beer and scratching your balls?”

The Contract
By Buzz McClain -- Video Business, 6/4/2007
FIRST LOOK
Street: July 24
Prebook: June 19
> A diverting-enough B-movie-styled entertainment boasting a stellar A-list cast.
This non-stop thriller directed by Oscar-nominated Bruce Beresford (Driving Miss Daisy, Breaker Morant) contrives a situation wherein an everyday dad (John Cusack) must transport both his young son and a classy but ruthless hitman (Morgan Freeman) through a forest … while being chased by four very tenacious villains and the FBI. Budgeted at approximately $30 million, The Contract’s script has a few weaknesses and some overall silliness, making it play like a B-movie, albeit with an A-list cast.
Shelf Talk: Star power is this film’s main draw, and First Look is pushing the title with one of its biggest marketing campaigns, including national TV, ABC radio and targeted online presence on such sites as YouTube and MySpace. The HD DVD version boasts an optional picture-in-picture featurette, which is an ambitious high-def exclusive considering the movie is essentially a high-end indie. Count on Contract to become a best-seller on Freeman’s ClickStar download service when it’s posted, but for now, capitalize on Freeman and Cusack, whose names guarantee this title’s out-of-the-gate interest.
Thriller, color, R (language, violence), 97 min., DVD $28.98, HD DVD $32.98
Extras: featurettes
Director: Bruce Beresford

Wowsa POS means Piece of Shi** to me...
I don't believe a single word.
I do believe this that somebody knows something.
If someone owed me a million bucks (first if I had a million to lend I obviously got a bunch more and holding is not a bad thing) and I took it in stock and it got given to me at 70 or 60 % of the current share price I would let it sit because it would look excellent to the current share holders. It would look like that I have complete faith in the company and where it is going... Now think about it.. Why are they dumping? If that POS Emmett only spent 20K buying stock in his own company and the large holder of converted shares held we could easily see .10....... thats Ten Cents.. Think about why this is happening..
The film could easily hit 80M, USA and depending on if we can get a cut on the foreign market that alone would get us past 125M.. Then if we get a cut of the Cable and DVD and Internet downloads???
