" What does this mean to GTEL shareholders with respect to GTEL gaining control of ATC? "
If I ramble a bit here bigcue bear with me, I will try and be orderly with my thoughts. GTEL has had control of the BOD seats(3) of ATC since last September or October. It was approved at year end by the shareholders. Right now John Palermo is the Company secretary/director, the only non-GTEL director. Technically, GTEL has had BOD control since the end of December. With that accomplished, GTEL can direct their business plan forward without dealing with past management putting up road blocks or hurdles. That was STEP # 1:(side note: ATC had 5 BOD seats when Mark Stewart was CEO, I am assuming it went to 4 when he left, not sure)
As part of the above BOD seats GTEL was to provide 1.2MM in funding. GTEL did fund a small portion and then put a halt to anymore dollars until they could check out the profitability of some of the subsidiaries. It was said they were having problems even obtaining info and decided to wind up operations on a couple of them. As far as I know, this is still ongoing. Meanwhile they modified the agreement on funding. 10MM GTEL shares to cover the rest of the original $1.2MM, an additional 6.5MM GTEL shares for future acquisitions. As stated in filings this will increase the asset base by approx. $3.7MM. The additional asset base, conversion of debt to equity, GTEL buying out Meridian Bank Debt(was over $500K USD when Colt was attempting to buy ATC) is all about cleaning up the Company and getting it in order before listing. GTEL will be able to convert it's debt to equity at $.005/share along with free attaching options at same conversion rate. GTEL will own at least 51% or more of ATC outstanding in a short time, this is only my opinion but would only be good business sense.
Now back to your question..lol
Now if above statements come to reality, GTEL will have voting control and stock control. The stock GTEL will have in ATC becomes an asset of GTEL, thus it goes on our books. That adds value for us shareholders. an example: at last glance 285MM OS for ATC, let's give GTEL 150MM upon conversion, tad more than 51%. GTEL's business plan gets the stock price to a dimeUSD? a quarter? more? adds up in a hurry. GTEL can sell some stock, recoup initial monies, let the rest ride or whatever option they choose. Bottomline it will enhance our value here, no doubt. I think even more important is the visibility GTEL will gain from that part of the world with an actual exchange listing. GTEL's story would gain much exposure enhancing ATC price and in turn enhancing the shareholders at home. Much more of a benefit in my mind than the Berlin cross listing, although Berlin can come into play in a big way if volume increases reducing the float here at home.
To have GTEL's business model/plan in progress on the ASX making money can and will be a huge plus to GTEL stock holders in the US. As I mentioned before I really hope we can be listed by the end of 2nd qtr...rock

I do not believe your feelings are in the minority, I would venture a guess the majority are feeling the same. I have ridden the emotional roller coaster with this stock for a long time. Mailman will verify that as I have expressed displeasure with certain things with him many times..lol
While I am impatient right now I am also pretty excited. From the DEC shareholder letter to the last update a few days ago, Huff and GTEL have put themselves on the line. Everything from the run rate numbers to the new investment of Sanswire. To make an analogy, I see this as the critical time period of a poker hand. The monies are in the pot(from shareholders, investors, funding) and it is now time to lay the cards on the table to show new and old investors alike that the past 3 years has produced a "winning hand". All the projections and PR's suggest they know they have the winning hand, the ball is in their court to prove just that.
I look forward to see what they have. Full house? 4 of a kind? Royal flush?...we shall see....rock

I read it to say that details were transacted by end of March.

your swing trading does not anger or bother me in the least bit. I sincerely hope you not only survive but prosper. I respect the fact that everyone has different investment techniques. I have traded GTEL several times in the last two years and have done very well. For a long time you could buy for 2 cents and sell and 4 cents or better. That opportunity came about several times. I repurchased a large amount last November in the 2.2-2.5 range and sold them for a great profit. While doing this I always retained a sizeable amount as I do today. I have not sold any since December. I see a change coming so I changed my strategy for now. I was impressed with wizes stock site when I was a member for a month, it just isn't for me as I won't have the time to watch things that close this summer...I wish you the very best gbreez...rock

I will take a stab at your question. GTEL is no different than any other business or corporation looking to find solid investment groups or funding with decent terms.
The most obvious and important factor that "money people" want to see is a working business plan. Not only do they want to see current progress in a sector or field they want to look at the future of the business and what it may produce with relation to a return on their investment.
The Magic Money Program and it's components that GTEL is spending big dollars on is a documented money maker and the statistics from remittance and other aspects GTEL offers are there for anyone to see. The IP part of our operation coupled with state of the art VoIP technology is obviously a big part of future communications. The business objectives and goals of GTEL are in the right place at the right time, at least the market is saying we are. GTEL will need to present the company facts and goals to the "money people" and convince them their monies will do well supporting them. Whether it's a group of investors or a market maker the story will have to be sold.
Huff has stated the ducks are in order and the time is now, this was essential in order to take the steps of finding support...hope this helps...rock
If Huff accomplishes this statement made in Dec. shareholder letter it will make a very big difference, imo.
"We need to grow into a company that can move to one of these “Big Boards”. To do so, we need to have substance and meet certain criteria to gain access to these markets for our stock. Market Update
8:00AM: S&P futures vs fair value: +9.7. Nasdaq futures vs fair value: +19.0. The futures market is sharply higher as the market is greeted by a batch of upbeat developments, including better than expected earnings reports from the likes of YHOO, RIMM, and DNA, upward estimates revisions from DELL, and generally better than expected same store sales reports, with numerous retailers raising guidance.
Looking at last funding PR and disecting it a bit this is what I see. 5MM of 15MM will be working capital. The other 10MM is capital and equipment for data plants to be built. The 5MM plus the 2.5MM announced previous I see as general working capital and expansion monies. Originally, according to the 3rd qtr filing, preferred shares were being sold to fund ATC agreement. The new agreement with ATC, yet to be approved by ATC shareholders, shows 10MM GTEL shares to cover the original agreement of $1.2MM. So I believe the 2.5MM in funding went to other areas and not to ATC. Summary, In approx. 40 days GTEL has announced 7.5MM in working capital and 10MM to finish the Magic Money Program. Hopefully these funds will take care of our needs for a while. The real treat will be establishing money making revenues to support our growth without issuing shares. ..rock

GTEL has so many things going on in so many areas I hope in some form, whether it's the new designed website with updated product list or whatever, they can bring it all together for shareholders and those new investors that are looking at us. I would like to take this opportunity to update you on the progress of the Company and share with you our vision of what we want GlobeTel to become over the next few years. Our prime goal, of course, is to dramatically increase the worth of the company and shareholder equity. But first I want to explain why we the filed for an extension of our 10-KSB. I realize that some of you may see this as a deficiency when we elect to use extra time to file the 10-KSB. We are still a small company, growing very rapidly, developing several new technologies and our staff and resources are stretched to the maximum during these reporting periods. Our first responsibility and mine as CEO is to drive the growth of our business. This often leaves us with very little time to construct these reports and too often we find ourselves reaching for more time. I take full responsibility for the filing of the extension, and I hope that you will understand our priorities. As the company and its resources continue to grow, we will be able to devote more company resources to the timely filing of our quarterly and year end reports.
This month we will launch our Public Relations and Investor Relations (PR/IR) campaign. We are bringing new faces to the table to help better tell our story. Many of you have wanted us to concentrate on the public markets. I was unwilling to do so until all the pieces of our business plan were in place. That time is now. In April we will also begin redesigning our website. Over the next few months, the site will provide access to all of our products and services. It will allow better access to project information and will be more user friendly.
Let me briefly explain the reasons for Sanswire acquisition and the markets it fills. One of the largest problems facing telecommunications in the world today is getting services to the people – the last mile solution. Over 75%f of the world’s population has never made a telephone call. In most countries, infrastructure is very basic, expensive to install or upgrade, and only reaches the main population centers in any capacity. For example, the Philippines is a country made up of over 7000 islands. Inter connection of telecommunications service is problematic. In China, its shear land size and terrain prevents the timely rollout of the massive communications network the country requires. We believe Sanswire and our Super Hub technology will help change all that. First the acquisition is an asset purchase with Globetel purchasing all of the assets of Sanswire including intellectual property and key employees and no liabilities for 28 million shares. Approximately 21 million of these shares are restricted for one year and the remainder will be free trading issued to the public shareholders of Sanswire. There are also incentive bonuses provided once the platform proves its commercial and engineering viability. Sanswire will operate as a wholly owned subsidiary of GlobeTel and Michael Molen will remain as its President.
Placing a communications platform into the Stratosphere has never been done before. Such a platform will change how the world delivers telecommunications. A low cost, high attitude Sanswire platform will deliver telephone service, Internet service, video and much more. We estimate the cost will be a one time infrastructure investment of $60 paid by each subscriber. The Stratellite airships remain in place using a very sophisticated GPS guidance system and electric powered engines that draw their power from solar cell gel packs that cover the Kevlar skin of the airship. One Stratellite delivers service to an area the size of Texas, approximately 300,000 square miles. At thirteen miles up, the atmosphere is made up of very light gases and very little to no air. High speed winds at this height would not even mess up your hair much less interfere with the operation of the airship. Beta testing of the Sanswire technology will begin within the next 90 days. We will keep you informed. Management believes with the successful test of the Stratellite, hundreds of governments and companies will flock to this technology for their 21st century telecommunication needs. As this date becomes more definite, we will provide the time and place of the demonstration and, of course, the results.
This year the Magic Money Card is being rolled out in Asia, Australia, Europe, North America, and South America. Magic Money products combine many valuable products and services. Today we offer telecommunications, prepaid debit and credit card applications, (i.e. MasterCard and Visa) and money remittances. The product supports the multi-billion dollar money remittance business at a fraction of the cost. Many national regulatory agencies have taken notice. In most countries 80 to 90 percent of the population is considered unbankable. Large segments of the population survive on the money being sent from a relative working abroad. These individuals cannot afford a bank account and are forced to carry around cash to purchase the basics of life which also makes them a target for crime. Remittance fees are very high and it can take days for their families to receive their money. Magic Money is the answer to this problem. It is an electronic bank account. Money is remitted instantly to any card on our system. The costs are very attractive. Magic Money cards can be used at over 1 million ATM and 20 million merchants worldwide on the electronic payment networks displayed on the cards. This product has endless uses. Our system gives the cardholders details for every transaction through our web interface, Interactive Voice Response (IVR) or customer service in their respective countries. It will be useful for families, companies using it for payroll services, governments for benefit payments, to name a few. The Magic Money launch is taking place in foreign markets that have the greatest demand and will then be tied to the ethnic communities in the U.S. Magic Money also gives these cardholders our prepaid calling services automatically. Why buy a standard prepaid calling card when you can purchase a calling card that is also a credit card that you can use at millions of stores and ATMs around the world?
The Text Card is a Short Message Service (SMS) micro-payment system being launched in the United Kingdom initially directed towards the cellular phone prepaid calling market place. This is the fastest growing segment in cellular phone services. Up to 50% of the face value of a prepaid calling card is spent in its distribution. A prepaid calling card provider selling a $10 calling card can have up to $5 in distribution cost before a single minute of calling is spent. With Text Card, the card providers sell their products via a cell phone text message purchase. The cellular user simply text messages our site to purchase the card and within seconds our gateway returns to the cell phone user a local access number and the pin number to make the prepaid calls. The charge is billed to their cellular monthly bill or deducted from their Magic Money Card or other available funds account. The Card provider will save 20 to 30 percent in distribution costs while directly marketing to the customer.
The Magic Phone product is an IP adapter that allows an Internet subscriber to place a low cost, high quality phone call via the Internet. The product also allows the users to have a public telephone number that travels with them. Anytime the adapter is plugged into an Internet port, our network detects it, logs onto our system and routes all their calls through our network. Calls between Magic Phone subscribers are free and voicemail, conferencing, call forwarding, call waiting are just a few of its many added features. This is a great product on its own but coupled with Magic Money and the Sanswire technology, it gives GlobeTel the unique ability to be a self contained telecommunications provider, going directly to the subscribers without the need of any other network provider or putting financial resources at risk as in the case of post paid services.
We have added to our carrier traffic operations Asian and European Gateways. The traffic continues to grow. This income should continue to grow and remain a strong component of our overall revenues
We are building GlobeTel to become a world content distribution network capable of delivering voice, data, Internet service, video, banking, rich content, interactive services, cellular, security, advertising, financial services and much more. We envision a low cost IP delivery system being able to reach everyone within a country, providing them with basic phone service, Internet service, IP Television, IP cellular service and financial services. By deploying Magic Money, the Magic Phone, Text Card and Sanswire, GlobeTel has the first opportunity to become the first independent world based carrier, being able to deliver products and services around the world in ways never seen before. The possibilities are virtually endless.
Revenues and profits will begin to be driven the second half of this year with the launch of these products. The make up of our revenues will transition from lower margin international termination services to higher margin value added services in the third and fourth quarters of this year. That means that the company will be at a month revenue rate of $5 million a month. The revenue will ramp dependant of many factors during the year of 2004. Depending on certain factors the run rate could be as high as $10 monthly which would place us at $120million a year.

It is obvious that GTEL feels the Magic Money program, Magicphone and TextCard will produce substantial income, now and in the future. The 10MM will be used to complete the 4 data processing plants so they can do business on a worldwide basis. The other 5MM will be used as general working capital, at least I read it that way. How long the preferred will be held before conversion to common shares seems to be a negotiation that is not yet complete. I would read it to say for at least a year but not more than 3. For a group of investors to invest 15MM and then be restricted in selling would mean they see a growing business potential with a better than average return on their monies as the pps increases. The revenue statistics on prepaid cards, and money remittances alone are staggering. If GTEL can get set up worldwide with a few good connections and tap a small percentage of this business it could easily become a "cash cow."..jmo...rock
