hey listen we know for a fact and have evidence that Theresa was making calls trying to sell PDRs. thats illegal and SHE KNOWS IT. and SHE KNEW it was illegal when she made those calls
absolutely, who is doing that?
like not making a phone call to a CRIMINAL. Why would anyone associate in any way with a person engaged in felonious activity?
that is absolutely crazy!
yeah it is matty, too bad
thats what you always get from the SEC, its their Canned response
answer to 4godnwv. With all due respect, there is ample proof that she has comitted a felony both at the state level and at the federal level. claiming ignorance of the law is NOT a defense. remember merely offering a PDR for sale in this country is ILLEGAL at this time. Frankly, its sad that MT would put her in the position, but the law has bee broken and the law is the law and now she must be brought to justice

While I respect the right to gather DD in any manner one chooses, I must note that you have previously stated that DD gathered from boards such as this one are worthless, and now you are stating that calling the company is equally worthless.
The issues you present have all been argued from several points on this board.
1. audited financials were coming in March
There are several valid points made here, among which were the wording of that particular PR:
http://investorshub.advfn.com/boards/read_msg.asp?message_id=17278589
Note that the phrases "off shore companies", "This audit will confirm the amounts PANAMERSA Corporation holds in the bank", and "All 2006 numbers derived offshore will be certified with financial institutions in Latin America".
While the argument has never been settled and everyone is entitled to their on opinion, using terms like "spread false information", "come clean", and "con games" may not be appropriate when describing Theresa's involvement.
It may simply be a case of an employee of the company repeating what they have been told is factual. One might in fact, be ignoring the best chance of uncovering fraud here, if one believed there was any.
2. A Pirate Theme Park was being built
I have seen no evidence that that project has been scrapped. In fact, the last information I received was that property was being looked at in several locations.
3. You could get your money by wire from selling PDRs at the PDR exchange within two weeks.
The original intent was that wire transfers would be possible. Subsequent investigation found that it would violate Panamanian laws regarding the foundation. While no one is happy about that development, little can be done to rectify it. Another option must be, and imo, will be found.
Who is to blame, and what consequences should they suffer? While we can discuss those points, I fail to see how accusing Theresa benefits anyone. My assumption would be that she had nothing to do with either the offer or the retraction. A decision to accuse her, put on on trial without allowing her to defend herself, find her guilty without even speaking with her, and passing judgement that she is guilty seems presumptous to me.
thats not what he said at all. but now that you mention it the BofA account that theresa was asking people to send their money to is at that address
good find LOL UBSS is downstairs huh? nice. looks like MT is backddoring stock, just one flight down
One thing PNMS / Theresa has to look forward to is texas put a MINIMUM MADATORY 2 year sentence for Selling and or offering unregistered securities and offering securities without a license. Correct me if I'm wrong but it looks like she is facing 6 years in the pokey
is she going to claim that she never made any calls offering PDRs for sale? Is tshe going to claim that she never attempted to blackmail posters here. You see where I am going with this. one more felonious act makes it a RICO organization
Call her for what possible reason? I cant think of one.I can think of many reasons why not to call her and the obvious one is that she is engaging in criminal activity and I dont want any association with that
there will be no phone calls to theresa unless it is from the federal authorities as she is engaged in criminal activity
DTGoody, sorry brother youa re good to go, I missunderstood your post. Please continue
DTgoody dont do that here
investing in a one legged pink? theres your problem
"Under the U.S. Securities Laws, specifically The Securities Act of 1933, the mere offer to sell a security -- unless there is an effective registration statement on file with the SEC for the offer -- via the Internet can be a felony subjecting the offeror to a 5 year federal prison term. See the Securities Act of 1933, Section 5(c) Of course, sales and deliveries after sale of unregistered securities is unlawful (Section 5(a)) as is failure to deliver a prospectus (Section 5(b)).
Listen to an example from my own experience as a securities lawyer in Los Angeles. Many years ago a young man came into my office and asked my advice about whether he could advertise in the Hollywood Reporter for investors in a movie he wanted to make.
I explained to him that such a course would be fraught with peril for him because it would violate the federal securities laws. He said, "Everybody does it; there are a bunch of ads soliciting people to invest in movies there every day." He said, "Well, I'm going to do it."
About a week later, he phoned me up and said he had got a letter from the SEC requiring him to refund any money he had collected and requiring him to visit the LA office of the SEC. It appears that the SEC reads the Hollywood Reporter. It also reviews the Internet newsgroups.
Certain transactions are exempted from the prohibition (See Section 4) and certain securities are exempted from the prohibition (See Section 3). How a security is defined is set forth in Section 2(1) -- and includes, among other things, any note, stock, bond, investment contract, put call, straddle, option, etc.
You can determine whether a registration statement is or was in effect as to a security by accessing the free SEC Edgar search machine at this URL:

"
are you telling us that never happened , mike?
unfortunately others were in fact called by theresa ( not a licensed financial advisor or broker)from a texas phone number. they were offered PDRs ( unregistered securities) at a discount and directed to wire money to a BofA account in dallas
well then your transaction doesnt fall under the jurisdiction of the texas securities board.
his business plan? ummm here it is, Sell stock raise money play hockey. Sounds real simple until you figure out he has no other real revenue sources other than selling stock
yes, smith is an unmitigated disaster
just for the record mike, were you offered PDRs at a discount to market? did you purchase those PDRs and did you wire money for that purchase to a BofA account in dallas?
anyone who has promoted this scam. theresa and her activities are CRIMINAL in nature and Illegal
Panamersa needs to be closed down, its a scam
absolutely
nope call the dallas number
because it happened in texas. we want the authorities to hit PNMS on the state level as well as the federal level. PNMS deserves no less
fundation didnt sell them, Panamersa/Theresa was making the calls from dallas and instructing people to wire money to a BofA account in Dallas. Dont think for a second that we dont know what we are talking about. they are going down
clearly they are CRIMINAL
Theresa of PNMS is a CRIMINAL and needs to be brought to justice.
the texas securities board is another way of getting PNMS. and we are pushing them to get involved in arresting PNMS personell for felony offering and sale of Unregistered securities.
no, the SEC is no problem. they along with homeland security and FinCEN are investigating
and we are not even discussion the bus company which was hired by BRINER at a rate at least 4 times the going rate
jabbed perhaps we should have. thanks and if you still have that email, you are welcome to post it here for all to see
we shall see
why are you so worried about it?
matty Its not going to get posted
