Being reading allot about TALK/UMS over past few months and IMO financials will be between 40 - 50 millions dollars. Merged company is going to have huge growth and a potential takeover target
Needless to say I will be holding some shares post merger.
The KEY to the merger is MVNO, and you should all understand what MVNO (sub dealer) is, and why its good for everyone.
With the merger of ITALK and UMS this means all cellular users currently signed up with CDP mobile will be able connect to either T-Mobile or or Sprint network seamlessly when traveling anywhere in the US. Right now CPD mobile is using T-Mobile (MVNO) only, so what happens when your in an area not serviced by T-Mobile. You will either have no service, charged roaming fee through another carrier, or connect using Wi-FI if your able.
Imagine when they sign agreement with European and other MVNO carriers. You will be able to travel and communicate for one flat fee and make no mistake carriers is loving this.
This is why Microsoft, Google and Apple is in, or looking at entering this market. As stated iTALK ticker is a prime takeover from one of these players.

Operators are hungry for these MVNO partners, particularly the smaller Tier 1 operators such as Sprint (NYSE:S) and T-Mobile US (NYSE:TMUS), because MVNOs can help them to grow their market share. Matt Carter, president of Sprint wholesale and emerging solutions, said MVNOs offer a good economic return for the company. "It's a good strategic play for us," Carter said in an interview. "It's another army to help us garner more subscribers on the network."

You own a long shot at profits. Quick flip and get out if you can. CEO is the problem here. Reserves Mergers was to be announced in September and still no word from CEO.
Maybe it will come and maybe it will not. Who knows at this point.
Buying or bring new buyers to $TALK$ will make it move up YES!.
MM know their antics is not working, longs are buying more than selling, if they bring it down lower. This forces them to short even more and I am pretty sure that option is not looking attractive anymore. They will be have to move this up past .0030 or .004 to get flippers volume and flippers will do well if they're patient and let it happen.
FLOAT IS PRETTY MUCH LOCKED (a good thing) and has being so for awhile.
JMO of course.
Goldman pay $15 million to settle civil charges that its securities lending practices violated federal regulations, the U.S. Securities and Exchange Commission said on Thursday.
Goldman made improper representations to customers who requested that the firm locate certain stocks for short selling, the SEC said. Goldman told those customers that it had arranged to borrow, or believed it could borrow, the security to settle the short sale, a process known as "granting locates."

ITalk and Sprint
This is what Italk brings to the Table - great ticker name plus SPRINT!
We deliver mobile broadband wireless data transmission services primarily under the iData brand to subscribers through our mobile virtual network operator (MVNO) agreement with a sub provider on Sprint's nationwide network that utilizes third generation (3G) & fourth generation (4G) code division multiple access (CDMA) technologies.

NO my Friend. they make the chart. Market Makers! Big difference between MM and traders. They (MM) can do almost anything they want.
Trading OTCPINK off of charts is what all Marker Makers want you to do. They're the GODS of the OTC market and they will make the chart look whatever way the want -enticing you to buy or sell. You will make money but not get rich.
TALK will make you $RICH$ dollars, but you will have to buy and HOLD and resist the MM temptation.
TALK is one of those one in a century ticker that can do this for you - if you play the game right!
Market Maker Fear and Manipulation..read and understand what is happening.
Float is locked by longs like myself who's not selling. So what is happening. MM are shorting and need to cover. I've posted about this numerous times.
Once the MM is caught short and the strength of the buy is overpowering the MM will want to cover his short position. So the MMs call up one of his friendly MMs and says some like "the weather is sure rough today." The MM along with the other "friendly MM initiates a down tick about the same time. Now this can also be done with a certain amount of shares such as an infamous 100 shares flag. This down tick gives the illusion of weakness designed to hopefully begin the bear raid of selling. The fickle, fearful, day trader, momentum and short term begin to sell out allowing the MM to cover his short position at lower prices. They will move it down quickly to get it to a price of least financial damage. Problem they have is long-term investors in the OTC BB. They start accumulating and buying comes flying in when they take it too far thus the MMs took it to the point of volume again and not only investors the other MMs step in the make money on the spread.
https://m.reddit.com/r/weedstocks/comments/1xydch/market_maker_speaks_out_ways_of_a_market_maker/
However, an indirect approach tends to weaken the path of least resistance before slowly overcoming it. The most effective way is long-term investors slowly accumulating and holding thus drawing the MMs out of its defenses making them as naked as their short position. This is war so this slow accumulation and holding for the long term easily achieves the desired effect to force MMs to cover and knock off the tactics or bury themselves deeper.
BYE..BYE..BYE
Buy and hold everyone. This is MM antics trying to scare you into selling.

As part of its growth trajectory, UMS forecasts additional strategic new hires to staff the company’s expansion. The site will be a cornerstone of these announcements, likely in the coming weeks. Enhancements to the site will continue to be deployed as the company embarks on significant planned growth over the coming year, moving from its domestic focus into a multi-national business.
Just mean the expansion is in progress, as appose to waiting to expand.

TALK - 2012 TALK went from $26,656 in sales to over $662,636 in 2013. Partnered with Sprint and built an wireless. Company was also fully audited and in debt.
We deliver mobile broadband wireless data transmission services primarily under the iData brand to subscribers through our mobile virtual network operator (MVNO) agreement with a sub provider on Sprint's nationwide network that utilizes third generation (3G) & fourth generation (4G) code division multiple access (CDMA) technologies.
2013 Overview
For the year ended August 31, 2013, total revenue increased to $195,339 from $0 in fiscal 2012. The overall increase in revenue during fiscal 2013 is entirely due to new revenue from network services from acquisitions.
For the year ended August 31, 2013, operating expenses increased to $662,636 as compared to $ 26,656 in fiscal 2012. The increase in operating expenses in fiscal 2013 as compared to fiscal 2012 is primarily related to cost of network services initiated from operations of acquisitions.
Our net loss in fiscal 2013 increased to $ 655,397 compared to $26,656 in fiscal 2012. In fiscal 2011, we accumulated net operating loss carry-forwards and have recorded no provision for income tax.
In their report dated December 16, 2013, our independent registered public accounting firm stated that our consolidated financial statements for the year ended August 31, 2013 were prepared assuming that we would continue as a going concern. However, they expressed substantial doubt about our ability to do so. We also had a working capital deficit of $614,717 at August 31, 2013 and cash on hand of $42,370. We also expect to incur additional losses for at least the years of fiscal 2013-2014.
Company issued shares to obtain and bond. Bad judgtment but not criminal or a scam. deal did not go through. So where the SCAM?
On October 15, 2013, the Company issued 49,999,995 shares of its Series B Preferred Stock to acquire a U.S. government bond. In order to obtain additional working capital, the company is currently attempting to monetize a U.S. government bond with the assistance of the holder of the bond. While we can have no assurance that we will be able to achieve this goal, in the event we are unable to monetize the bond to a certain level the holder of the bond will be required to return to the Company all shares of the Company’s Series B Preferred Stock.
Audit fees billed by Liggett, Vogt & Webb, P.A. (“LVW”) for the audit of our financial statements included in our Annual Report on Form 10-K for the fiscal year ended August 31, 2013, and Seale & Beers (“S&B”) for review of the financial statements included in our Quarterly Reports on Form 10Q for the periods ended March 31, 2012, June 30, 2012, and September 30, 2012 filed with the SEC for last year totaled $27,000 which are classified as audit fees. LVW and S&B did not bill any fees related to audit related, tax or other fees for the year ended August 31, 2013.
TALK is not a SCAM and I am here to challenging this board on this item. Being sued and and being a scam is not one in the same.
I can provide evidence of the ten companies on NYSE/NASDAQ being sued.
So bring it on I am here now "FRAUD TEAM"
I would say that is an incorrect statement. They're waiting for PPS to reach .01 in order to up-list to OTCQB or higher. Read previous DD on this item from user Investorswiss
POST #21147
Requirements by FINRA for the QB implemented last year. So if the pps is over the required minimum of 0.01 then they can bring everything current on the QB. Otherwise depending on when they went for the uplisting they'd have to do audits again. Now ask yourself. Do you think they'll do audits twice, when we can get this all done at once in a timely manner? No sir.... ;)
Chart + purchase agreement + my brain + my experience as a securities attorney.
Again this has already been answered for you as well..
Ive been a part of a lot of reverse mergers and I will say this. The fact that the attorneys have already negotiated and come to terms, then put together and filed and 8-k to announce the merger has already been very costly and time consuming thus far behind the scenes pre 8-k. Also the old PCAOB accountants were fired and a new Reputable firm has been pout in their place. CPA's get paid cash and require retainers. For SEC purposes the audits must be done before "Official," but lets face it, at this stage there is less then a 5% chance this deal falls through.
Buy and Promote.
Pink Sheets is about buying and promoting the ticker until PR is released. You want the PPS to increase? promote the crap out of $TALK$ to new traders.
scammers is already putting fear in some and buying TALK like crazy. Ask yourself why?

Please specify so we can respond accordingly.
"A “Super 8-K” is an industry term used for an 8-K filed under Item 2.01 for the completion of a transaction and Item 5.06 of Form 8-K to report a change in shell status. Where a company completes a transaction such as a reverse merger, business acquisition or asset acquisition which has the effect of causing it to cease being a shell company, it must file an 8-K under Items 2.01 an
d 5.06 within four (4) business days of the triggering event. This 8-K requires, that the company file the informatio
n that would be required if the company were filing a Form 10 registration statement under the Exchange Act including audited financial statements. In other words, a Super 8-K is an 8-K with a Form 10 registration statement included therein.
Generally an 8-K does not allow for incorporation by reference, however, the instructions for a Super 8-K specifically allow for incorporation by reference to other filings that contain disclosure or information that must be included in the Super 8-K."

Apple privately testing a U.S. MVNO, has eyes on Europe as well
Could it be TALK? who knows. All I can tell you is based on the article looks like GOOGLE and $TALK$ is already aligned with T-Mobile.
Apple (NASDAQ: AAPL) is privately testing an MVNO service in the U.S. but is also in talks with European carriers on an MVNO as well, according to a Business Insider report. The report, citing unnamed sources, said that although Apple will purchase wholesale wireless capacity from carriers as other MVNOs do, Apple's SIM card, which it uses in new iPad models, will switch between carriers to offer customers the best service.
The report said there is no guarantee Apple's service will launch beyond a test phase, and if it does, it could take at least five years to fully launch the service. Apple has been in talks with carriers for years over its MVNO plans, the report said. An Apple spokeswoman did not immediately respond to a request for comment.
Earlier this year Google (NASDAQ: GOOG) launched its Project Fi MVNO in partnership with Sprint (NYSE: S) and T-Mobile US (NYSE:TMUS). The service lets customers dynamically switch between the carriers' LTE networks and Wi-Fi networks for the best service. However, for now, Project Fi is invitation-only and works on just one phone, the Nexus

Agreed but MM not ready for this is happen yet. BID still at .0025.
They're afraid and will bid whack it down soon.
ATDF and NITE playing games with us.
working together to bid whack TALK down with $25.00 orders.
.0025 x 10,000 = 25 dollars.
MM bid whacking it down, but they can't keep a beast down forever.
They're waiting like the rest of us for the SEC to complete their two year audited financials. Once that is done and announced through the super 8-K you will be seeing allot of news, plus PPS spike from this newly merged company.
Till then enjoy the ride to dollar land. TALK is going from a 500K yearly company, to just under 50 Million and growing at 30% or more.
Choose your battles for I am not betting against TALK.
