Doggone, if you look semi-closely at the ASR trades yesterday, and you are not a pumper fraudster; you might well come to the conclusion that there were several sets of trades that merely passed shares back and forth and those trades accounted for the overwhelming majority of the volume. I have come to learn that this is typical of pinks.

Fact: ASR management is an unqualified, unskilled group of individuals. Dr T may be one heck of an MD, he has zero quantitative or qualitative justification to sit in "THE BIG CHAIR". Roth is a caricature.
Fact: ASR management intentionally and without any notice executed a "coup D'etat" and blatantly took the common holders out of the equation.
Fact: The management has misrepresented real facts and real situations ie; the Federal Court Ordered recall.
Fact: they have treated this company as a personal travel company, wasting capital, time and resources on irrational participation in a myriad of trade shows that have bore no fruit that can justify the gargantuan expenses.
CFG has answered the question re ASR, however you seem to be looking for a different answer that somehow gets you to the place that CFG is secretly a paid whatever, out to destroy the ASR universe.
If and when you decide to hold management accountable and deal with the realities you may find it fitting to focus on the fraud that in my opinion has been perpetrated and hold the company's management accountable and quit focusing on why certain posters don't lap up the garbage incessantly pumping from the "To Da Moon" crowd and deal with the real issues that real businesses have to answer to their stockholders on:
Revenues / profits / operating expenses / building the business.
If anyone in a serious company were to tout 300 facebook friends as evidence of progress while the sales, income and trade prospects are in the toilet, they would be laughed out of the room.
But it's your call. Deal with real business issues and place the accountability on the backs of those responsible or keep chasing ethereal mysteries.

EDIT: Doggone, I know the CPG industry pretty well. They have a solid reputation.
That being said, as I understand it their practice focuses on the OTC side of the drug and novelty biz.
I don't know if they recd shares and if so how many. But everything I have found out says they are strong. If they in fact still rep ASR, I would guess that its out of something other than belief in the management team.
And no I don't think that NDD is the ticket. I tend to believe that its prob to keep things calm with the trade and assure them that ASR will make good on the moneys they owe the trade.
While I cannot say for sure, as I understand it, they have rep'd the company for a while and are possibly being held accountable by the trade for having introduced the company initially.
But obviously this was before the company had amassed 300 followers on facebook..with that info Walgreen's will build massive displays in everyone of the 6500 stores, which they will buy from Best Buy
CFG,dog and anyone else who has real answers; pardon my ignorance, but how do 200 or 300 or 3000 facebook friends translate into revenue and income for ASR or anyone else for that matter.
thanks Dog, they have a good reputation but from what I have researched they will not handle any company without a monthly consulting retainer and the commission rate ranges from 8-15 % and most likely in the 10% plus range for ASR

I apologize for the lack of clarity. You are correct, now there is no value in the product, but a true marketing organization COULD HAVE created a small niche business. The deal with Roth was a scandalous example of corruption, in my opinion, and never worth 1/4th of what was paid. But it could have been a SMALL boutique business.
By the way Doggone, is their broker still on board? What was the monthly consulting fee they were being paid? What is the brokerage rate they were paying? I assume 10% plus and prob 10 to 15 k a month on consulting.
Only the broker will have the real answer, and if anyone thinks they are not paying a monthly fee, they know nothing about this business.
by the way ASR has been very selective in its compliance, they did not properly disclose the Federal Court Ordered National recall as per the SEC guidelines (48 hours from the date of the material adverse event)they however, do not have a choice in disclosures in the periodic filings (Q's / K's and declaratory filings like the 8k's), the attorneys and auditors drive that bus.
NDD like ASR itself is a vapid product. Had someone with some level of marketing expertise been involved, something could have been done with it. Nothing spectacular but maybe a sound though unexciting annual revenue of 1 or 2 million.
Now its real value is the depreciation the company can write off.
for once Tytluv, I totally agree with you.There is a profit motive underlying the ASR existence and it's likely continuation as a financial black hole. The Senior management has all the motivation in the world to continue this farce. So do the controlling influences. Unfortunately that motive does not extend to the benefit of the common shareholders.
ASR is no typical small cap company, it is a non functioning and unbelievably mismanaged and financially corrupt self serving machination. Please keep on spouting the nonsense and keep on giving management a pass, it is just what is needed to fix the situation the common shareholders find themselves in. Makes all the sense in the world....or are they paying you to hype this crap?
obviously this makes ASR a great investment! It doesn't matter that its lost 95% of its value in the last 120 days, or that its revenues are less than 100k per month, or that it's profits are non existent, or that it's debt would take years to pay off in a well functioning company, or that it has manipulated the shares so as to eliminate any input or control by the common shareholders......they have someone else paying their electric bill! Hallelujah the hallmark of a successful company.

If I/we/us have not helped anyone to truly understand the fraud that is being perpetrated on them by the ASR "To Da Moon" crooks it's their own fault. They are wallowing in a morass of lies and fabrications. Their situation is so bleak that they grab onto any thread of hope, no matter how strained and incredulous it may be. Obviously as most criminals and cockroaches do, they disappear when their efforts are subjected to the disinfectant that is sunshine and visibility.

CFG, I hate to burst your bubble, but at the running rate of the last Q, the company is losing 96% on every unit it sells. That is the cost of sales divided by the revenue generated. So the 500 units will yield no GP

You're welcome. A nice change of pace to see some gain in the PPS. I, like doggone, do not think it will change their position much or somehow magically alter the realities of ASR, but it should allow some to enhance their position, maybe others to reduce their losses or trade some arbitrage, that is great. There has been some much shareholder blood spilled here that any thing that gives some oxygen to the common shareholders is a great thing. Enjoy the break from the past trends. I will say that I looked at some of the details of some the recent events and I get a little different perspective, which by the way, is to be expected as my take on ASR is from a different perspective than that of the more optimistic amongst us.
Anyone see a potential nexus between the timing of the 8K disclosures, certain items in the Q, News that is positive (regardless the actual revenue impact value)the up list and the recent volumes traded?
Dow Jones and Bloomberg are highly visible to the serious capital community, business wire not so much.
Dog, I haven't worked full time since 2006, I ain't about to start now, and certainly don't have any desire to drive this clown car that is the ASR management.

Its unfortunate that people like your self were taken advantage of. All I can say is to get aggressive with ASR management, although the fact is that you really need a lot of allies at this point since they took shareholders out of the loop with the preferred share issuance.
There are some windows of opportunity but they require a re-casting of the business model, debt structure, the cost architecture and a significant leaning down and re-calibrating of their spending. None of which I believe they can or want to do.

I suggest that any serious shareholder and ASR management read Emotional Branding, by Marc Gobes. While I seriously doubt that they realize it, they are in the emotional branding business and they desperately need to learn how to connect with their consumers.
Unless they understand the Security Mom,and how to speak to her and what imagery she will respond to, they will be a me-too private label entry.

Retailers buy in for cold and flu season between 6 to 9 months in advance, that horse has left the barn. That being said, being relegated to an online existence does give them some latitude. The retailers are not engaged with their proprietary distribution chain and force-out plans, so that is somewhat hopeful, however even those ad plans are set some months in advance.
Incremental sales from online promotions do not achieve nearly the bump that in-store displays will generate. They may move the needle but usually no more than 1.5 to 2.5 (a rarity), while in-store displays will deliver 3 to 15 times volume depending on the category, pick-up price and brand name awareness.
It's all about value perceptions. If the end user does not recognize the brand, the perceived values is reduced significantly.
Additionally, the primary driver in promotions is the ability to drive incremental purchases, a non-consumable product with a significant retail ticket price, offers little incentive to up buy (multiple units).
The best that a product like this can offer is to cannibalize volume from one or more of the multiple like products in the market. It will have little chance of expanding the category. Therefore the retailer has little incentive to pro-actively support the product. Its merely eroding the "Pennies in the Till"

ASR is far from a New Company, they are far from being profitable and their sales are mostly episodic and show little if any evidence in the way of turn sales. Most of the revenues appear to be coming from pipeline and block sales. No one has any idea how deeply those are discounted, my guess is significantly.
There is little on-shelf presence and that in turn often means drop ship environments, the single least cost effective mode of distribution, cost intensive and one sided benefiting the retailer and dumping most of the cost and logistical burdens on the manufacturer. Reminds me of the old saying "Beggars can't be choosers"
4nkool, which company is the New company you are referencing in your post? Are you referring to ASR?
obviously, they need lenders that also believe in their plan and / or the company's future
EDIT: the company would have to file a registration statement to sell shares that are not already in the float. I do not now if they have filed or not. Having reversed the Authorized and outstanding does not create available shares. If there is an open reg statement from which all of the shares are not already in the public float then they can sell. Otherwise they HAVE to file a reg statement. Likewise if they are selling their own shares they have to file an s4 individually within a certain period of time from the sale. again, i don't know what restrictions or legends may be on their shares or if there aren't any restrictions or legends. Instead of hypothecating all of the revenues, management should pledge their shares as collateral for all of these loans etc. Unless they do not believe in their plan or the company's future....or are planning a sale of their shares that has not been disclosed

only real problem with ASR is a very weak and inexperienced management that has been bullied into very bad financing deals.
the right team could have cut very diff deals with lenders.
all of this travel is absolutely unwarranted.
their cost architecture is not a branded product model.
they really have no clue what they are doing, that is the reason the conventional capital world won't touch them.
I hope you do well, but unless the shareholders put management's feet to the fire I don't think they will be motivated to correct the mess they have.
