That is completely wrong. it is deliberate wrong and false info based on only part of the facts.
They invested 8.5 million usd in the Spac and that is their risk.. so their cost is considerably higher and whether they paid administrative. or legal cost with it does not matter.. It is their risk .it is their investment in this project and I am convinced they are putting their shoulders under it to get the additional shares and benefit from their warrants.

I will have a lot of criticism by the usual crowd (as usual) but here is my honest opinion
I am not a trader and did not buy or sell in years. My costprice in Niocorp is still much lower and I have enough shares.
But if you believe in the project this is the moment to buy. I never understand buyers who chase the price when a CEO comes on Fox news and then sell when they are making big losses because the project takes longer than expected.. If i am in such a loss situation and i continue to believe in the project and more important in the management I average down. I did so and bought big in Excelsior and IBCwhere I am still at a big loss right now .
I think Niocorp has a lot more external validation by big partners than my other big project LWLG to become a success . Exim. Stellantis and Nanoscale powder. are strong external approvals in our project. LWLG has none of that yet .( the ihub board there is worse than here although many of my friends are making good profits there.
keep this post and remind me in a year if I am wrong. but i think we will then have used our red shovel
The big bang will happen. I just do not know the exact timing but I will not be left behind.. If you need the money now you should not have invested in Niocorp . None of my 15 development companies could hold their promise on timing but my patience rewarded me ver well.

If they are then found to be wrong they say . They are shorting the stock. while they are also long

Sorry for my late reply. I needed some checking first as this Spac deal was not a simple transaction
I have written it several times here ; I was in favour of the Spac because it would have solved our initial equity capexfundung , we could have done the groundbreaking ceremony in the Spring and with the Exim loan at the horizon we would have been golden especially with the news afterwards ( Nanoscale Powders - Stellantis term sheet)
Unfortunately the facts proved me wrong . If the banking crisis had not hit a week prior to t he close and we had pulled in 100M$ or more, people would be praising the Spac move.
So I don’t disagree the deal didn’t work out the way that we hoped, but want to point out some inaccuracies in Peter posts . He suggests that the founders only spent 25k usd whereas in reality they put 8,5 million usd in for the warrants. Apparently that is the way all Spacs take.

* GX has 7.957M shares in ECRC that can be exchanged into NioCorp shares. 4.65M are locked up till March 2024 and the rest only get released if the share price gets over $12 and $15. Those are not "modest milestones.”
* GX may have had 23% of the company at the close of the transaction, but they’re going to get diluted the same as everyone else when shares get issued for NioCorp's equity raises, Yorkville, etc. Their ownership % is not a fixed number
* GX founders have 5.667M warrants and the broader group of GX execs had another 10M warrants, all of which have a price of $11.50. If those get exercised, it will bring in another $180M and will provide significant equity to help cover project CAPEX costs. Not sure why why is this perceived as a bad thing. Any new equity offering to finance the project is going to have a lot of costs and fees associated with it. Plus, if the share price is above $11.50, wouldn’t we all be a lot happier?
In the end if the warrants are indeed exercised the price they are paying and the money Niocorp is receiving is a considerably higher than the 0,89 usd in the original Spac offer for the 295 million usd cash we were going to receive so the dilution will be a lot less than originally planned.
Some posters think Niocorp is not going tob e succesful . If that is correct Niocorp has no value in the future and will go bankrupt. And all shareholders including the Spac sponsors will lose everything . So you can bet that they will do all they can to make this project succesful.
So in summary , the sponsors did not invest 25k but 8,5 million and when the warrants will be exercised i t will be very beneficial for us existing shareholders . The interests of the sponsors are perfectly aligned wth our interest and they will do whateven they can to make this a success.

No company with the reputation of Stellantis makes offers public without 100 percent due dilligence and a high degree of certainty that it will be a succesful project.
Because it takes some time to finalize the deal Ted; Stellantis is all over the news lately to make (fluff?) deals.

2) I do not know the directors except for Dean Kehler who I met a month ago after mailing him with some very confronting questions. I appreciate it very much that he did not avoid the confrontation and his answers on the Spac failure satisfied me.; He could also convince me of his commitment to help make this succesful.
I met the Niocorp management team every year ( bot for presentations in Denver and in Belgium - and several other countries etc....and I am very much impressed by their profesional behaviour. I do not know the other directors so how do you want me to judge them. I am not like you judging people who I do not know but I have confidence that Mark has chosen the right directors as well as he has chosen the right team for the job. You will not find another team that will bring this project to fruition so I would strongly reject your call for Markand/ or his team resigning. I would immediately sell everything and tell my friends to do the same if that happens. I would have to go too much in detail as well as explaining why the financing effort has been disappointing so far. This is not the right forum for me to explain. .
You should also be a little bit more consistent in your liking somebody elses posts
1) Some say the project is bad and not fiananceable and you like that
2) Others say this is an excellent project but Mark is not able to get it financed and you like that too/
If you are against the project you have to make a choice between 1 and 2 ;
So show some logic in your posting

I like this post from my friend on the other board but it is also applicable here. I changed only one word. Niocorp instead of Lightwave Logic.
Like to put some colour on the core our European investment group. Longs here in Europe are on average well into their seventies and beyond, retired professionals and executives, academic level with extensive business experience. Investing is part of their estate planning and with a long term generational perspective.
Most investors in Niocorp know personally, from experience, what it takes to build a business, understand risk- reward trade offs. They’ve done it, they recognise the traps and challenges and have lived through the motions. They understand the principles of shareholder expectations and value creation.
There is a clear generational gap between this group and the group still in the process of securing future retirement income and , the most active messenger group here, the group looking for immediate gratification to meet contemporary life needs and expenses. The last group aspires to become what the first group already has secured: a long healthy and wealthy live.
These group will of course never look eye to eye, because they have complete different outlooks on life , different needs and time horizons. Strangely enough it’s the group with the longer life expectancy making short term trading decisions, and the group with the shortest life expectancy investing for the long term. I guess the difference is just plain experience. Looking at most of the messages yesterday I kind of chuckle. Most completely missed, on purpose or out of ignorance, important information. Don’t know why some continue to bang their head against the wall. Must be youthful exuberance or exhaustion.
We have to look for the following quarterly financials but I see it as follows.
Mark has always been a support for the company when they were falling short of money. When there was a financing arrangement with other parties he was always paid back completely or partly. In fact he provided a line of credit on which the company could count . It went up and down.
If you can find other development stage companies where the CEO continiously support the company when they are in need be my guest.
Yorkville is indeed not the best solution but is necessary at the moment but will imo be replaced when possible; They work like Lincoln Park for LWLG and that did not stop LWLG to go to 20usd usd from 60 cents. Stellantis could be eg the next investor .
So the story about Mark quitting is pure fiction.

Mark is doing this right now working 20 hours a day on his projects ; The mine will be built and the project is becoming better all the time.
We are finding out that the US government has learned from the past and will not let the Chinese get away with the results this time as they did with Molycorp. They will support Niocorp.
But investing in start ups and certainly in mines is a long and tricky process. Not for everybody but very rewarding when succesful and certainly with the minerals that we are going to mine. Even in Belgium he newspapers are writing about rare earths. They still do not know about Niobium and Scandium apparently. ( except for the few thousand investors in Niocorp over here that have followed me and that are going to make a lot of money.)
And now I am going to play golf in Waregem but it looks like it is going to rain.

if you have the patience as you had for LWLG you will have a second moonshot . The bashers are all over the place after the failed Spac deal but do not let them fool you. We will be the winners.
As much as I know you have faith in Michael Lebby you should have the same faith in Mark Smith; I had both of them several times in the same room for dinner presentations( In Belgium and in Denver) and there is mutual respect. Michael and Mark are the most committed persons I have met in my 80 years on this globe.
There has been recently strong external validation to bring Niocorp to success.
1) The Stellantis termsheet is one example
2) Then there is the changed geopolitical context which created the government interest in our minerals leading to the EXim letter for 800 million USD plus the recent referral to the mine in Nebraska by the US House Armed Sevices committee. Niocorp has now become a mine of National interest in the USA ; The USA will not make the same mistake which they made with Molycorp.
and do not forget the incredible support by the Nebraska government.
At our age ( you are about 8 years older than me) we are not investing anymore for ourselves but for our children and grandchilderen but of course we want still to see this happen ourselves. I promise you We will ; Because we are driven by positive vibes and that will make us live longer.
