Registration of these share prior to PII readout means one thing only...insiders to sell into any spike..
UNLESS the board institutes 10b5-1 program..that would be a vote for management integrity to show there will be no quick exits based on insider data. INSM is a great example...it was at $6 not too long ago and now $15.
IMUC not only have not bought any at these firesale prices but plan to register boatload of shares prior to PII without 10b5-1 program ? hmmmm

2. Form 4's from the insiders with open market purchase even if it's a token buy
3. They change their stance to announce 64th event or at least reduce the ridiculous 3 to 4 months of 'data mining/analysis' window when the sites are not even global..lol

To be fair, he is just a momo trader with his own set of minions. There are others like Sheff whose trading techniques based on PPS ramping up to PDUFA dates has some merits.
Bottom line is whoever follows Scott M should not kid themselves that they are investing and vice versa. The hole in Scott M's approach is he positions his picks on investment thesis but in reality he & his followers are trading on anticipated spikes. Whoever buys last in this stampede usually looses.

Thanks for your response. With regard to 3 to 4 months for readout, I am pretty positive. Please listen to their last CC. They mentioned specifically and even went into length on why it might take that long albeit not very convincing..

While I am long purely based on ICT-107 potential, couple of things concerns me:
1. Why the institutions holdings have not gone up from just 13% ?
Usually big boys have wherewithal to do lot more DD and cannot believe IMUC is still under their radar. May be the fact it was booted out of NASDAQ Russell index they cannot buy. Don't know but would really like that darn % to inch up atleast by 3Q report due in few weeks
2. Insiders are not buying open market either. Rather they are using backdoor tactics to issue almost 4 million more employee comp shares (they hardly have employees) and 12 million seem to be greedy. So taking options route to invest even at these pennystock prices, is ridiculous. It definitely does not show they have any skin in the game.
3. Thirdly 150 million OS auth is unwarranted unless they plan to dilute ahead of the news (remember in last CC, they said it will take 3 to 4 months to readout the results after 64th even ?). That's aweful lot of time to chew on the 'news' and take whatever 'action'.

Very likely they have to do RS before the results are out. Nasdaq delisting date for staying complaint is earlier than projected date for results. Even if we get over $1 before then, they need to raise money.
I was referring all the lawsuits that will be thrown out. With regard to money, I assume you just sold for 20 cents more than $13.50 ? For 20 cents you missed getting 1 CVR worth $2 long term.

I do hope so. It's odd though management is playing all this as a low key event considering their comments on the last CC. One would think a +ve PII would be pivotal for the company. A big contrast to ex-CEO Dr. Singh's overly optimistic tactic.
Anyway, just as other longs I am here to make some money. So will hold but may not add until I see PII results.
While I am long, I wish institutions see value in their science and start loading . The current 13% is dismal to say the least. While this is lagging indicator mostly, big stake by funds such as Baker Brothers might happen..regardless it's unlikely it will go up much purely based on retail buying with no street buy-in
I have accumulated 25k so far mostly in 18.25+ range. Simply put 500 shares @market buy and they fill fast without moving the needle. Of course, you don't want to submit @market orders in a row or fast.

Sounds plausible but 4 million raise for stock plan seems excessive when they don't have anything to prove yet. Such a plan between P2 and P3 might make sense but why now ?
Also a jump of 50 million smacks of either future ATM or secondary thru Lacky Lazard..
All being said, I will be watching closely whether the needle moves on the Institutions holdings come 3Q from current 13%. 2Q has been flat.
Certainly it would be nice if Baker Brothers buy a stake..lol

How would you explain the proposal to bump from 8 to 12 mil for stock plan and an addition of 50 mill to auth shares ?
While I am long, it smacks of greediness and lack of confidence : Lacky Lazard raising the PT to $5 is laughable as I bet sec is coming soon prior to PII results. Otherwise why increase now and not wait until PII readout ? Management in recent CC did say no financing is planned until mid next year.
Thanks. I also just got the same confirmed after calling Mckanzie Partners who are Information Agent for this merger. I might choose not to tender purely to delay as much as possible the payout, hopefully into 2014 for tax purposes.
While I am not an expert they are distinguishing the 'offer' from 'merger' with former could be consummated (meaning cash paid) while later may not happen. This is the risk Cubist is taking. If this happens Cubist will be another shareholder of Trius shares and not a parent company.
Also the wording around whether folks who don't tender now are eligible for CVR is not clear, if Cubist decides to buy remaining untendered shares.

I don't think they need to wait for the 90% to pay cash to folks who tender within offer period as it will be illegal. However they need 90% to exercise so called top-off option to buy remaining shares either privately or from open market. This is where the risk is. Cubist may choose not to go after 10% which means these shares will be difficult to trade in Nasdaq.
Good example. Were there any lawsuits ? This is what likely to happen for Trius; however for the merger to be fully effective, the lawsuits filed so far need to be thrown out in the court and I am not sure how long it will take.
So for folks who tender now and get their cash, might turn out to be lucky if the merger fails as once the offer is consummated, Cubist cannot take the money back.
There was a very nice article today about Immunotherapy overtaking Oncology with their multi-billions dollar potential. While IMUC was not mentioned., the future is very bright if PII succeeds for ICT-107 and all the signs so far indicate, it will.

If you miss or decline the first tender offer, you may get another chance with either an extension or second offer. However if Cubist gets their majority on their first offer and the merger goes thru, you will be automatically bought out and you have no choice. However any second offer is at discretion of Cubist.
