Baxter's S/4 from 4/6/98 outlines the issuance of contingent payment rights as a kicker to Somatogen shareholders when Baxter bought them out. If Baxter were to commercialize any of SMTG's intellectual property, then rights holders could receive as much as $2/right.
I spoke today with the US Bank trust representative, and with Clare Sullivan from Investor Relations at Baxter:
No payment has ever been made to rights holders.
Baxter has no plans to commercialize the Somatogen technology.
Though the rights do not expire until March 2008, they have no value
To reiterate....
IMO, a little club bought up a bunch of the rights on 4/5, and created a "story" which played out Friday. There are 23.979 million CPRs. I do not think there is any "float" to speak of.
The rights never traded in the volume they have the past week, last 2 days, (or 2 weeks if you count 4/5).
Just amazing what happened Friday. Unreal.
Anyone making positive comments on BXTRR is probably hoping to stir up a buyer for their long position.
Anyone holding BXTRR should take their gains or limit their losses by exiting as gracefully as possible.
A nice example (if you are not a bagholder) that you don't have to have a product to move paper...just a story. I wonder if we'll ever know which traders concocted this play, or how much money they were able to take from the lemmings who followeing the price appreciation and volume spikes, went in for a purchase.
I will be curious just how long it takes for BXTRR to be trading less than a penny again. Could be weeks!!! Maybe the buyer's club will do it again when the price gets cheap enough!

2 of the most illiquid of the reverse splitters of last year are showing lifesigns (volume) today: TRIN CTTY.
CTTY has atrocious spread so careful entry is warranted.
ANTP, caught in an earnings backwash and very weak market fell victim to the shorts but appears to have bottomed and is a good candidate for a bounce.
VISGE was pointed outin live chat this a.m. Short interest as a % of free float exceeds 25%. Don't know why their quarterly filing was late...and thus the E tacked on.

These rights have ZERO correlation with Baxter stock and have value ONLY if Baxter commercializes a product using the old Somatogen recombinant process.
Anyone who is only looking at volume and chart characteristics is going to have a rude surprise imho.

But as Bill said re. GTEL, you don't need to make or sell anything, you just need to market your paper, or in this case, someone else's.
OTOH, it is, remotely possible that someone got wind that Baxter actually is working on something that once belonged to SMTG, and the rights therefore, MAY, have regained some potential value....I will learn more when I get the call back.

I am waiting for a followup phone call from the Trust Agent at US Bank. I very much doubt that there has been a new development that brings these CPRs any intrinsic value.

if you look at the price changes correlated with volume you will notice that the price declines are not on any significant selling pressure.
I think the shorts tried to beat it down this morning and failed and there is a GOOD risk-reward potential, particularly if 3.60 can be breached on volume.

BVSN what a strange bottom: unlimited buyer at $1.65?
mentioned as a possible buyout target in The Trader Part II of this week's Barron's:
Arnie Berman, tech strategist at CreditSights, a New York-based investment research boutique, notes that growth stocks have dropped to their lowest valuation relative to value stocks in 25 years (see chart to the left). Berman says that public-market investors at the moment seem unwilling to pay a substantial premium for companies with strong growth, consistency and cash flow -- if private-equity investors feel otherwise, expect a flood of deals.
"Traditionally, there have been no LBOs in tech," Berman says. "They usually happen in mature industries that throw off lots of cash on a consistent and predictable basis. And if assets can be sold off, great. In the 1980s and 1990s, those opportunities didn't exist in technology. But now we're in a slower growth period. Companies have cut costs, built up cash and started paying dividends. You can find companies that are mature, growing, consistent and predictable."
If you want to shop for the next company to sell at a 40% premium, you need to think like an LBO investor. You want to find companies with significant, reliable cash flow, in businesses with low customer turnover. You want to look for companies with dominant market positions and relatively low capital requirements in businesses without cutthroat cost-cutting competition. And you want to find companies that have multiple businesses that might be sold to raise cash that can be used to repay debt.
Berman figures software is the sector that seems most likely to attract buyers. He offers a long list of potential targets, including BMC Software (BMC), Novell (NOVL), Parametric Technology (PMTC), Compuware (CPWR), Sybase (SY), BEA Systems (BEAS), Micromuse (MUSE), Keynote Systems (KEYN) and Broadvision (BVSN ). Berman notes that several analysts have proposed Fiserv (FISV) as a potential target -- the company has a business similar to SunGard's. Other possibilities, he says, include Computer Sciences (CSC), Gartner (IT) and even cable operators Comcast (CMCSA) and Cablevision Systems (CVC). We're more skeptical about the latter two, though Berman correctly notes that there have been two cable buyouts in the last year, with Cox Cable and Insight -- but there's a lot of money out there. So, who knows?

Internet Molasses & Comcast DNS outage: the fix
The other night Comcast's domain name servers went down. DNS servers take the http web address (URL) that you want and convert it to the numeric ip address. I suspect the internet was slowed for many people, not just comcast HSI users.
If you have the ip address you can bypass this kind of mess.
I tried to get to stockcharts.com and it was like 1996 2400baud modem time.
This site will help you find the ip addresses for sites you need/frequent and can't afford to be without.

Someone I was chatting with gave me the link to other DNS servers. One of the clues that I did not pick up on was that live chat was fine as well as one of the gamesites I frequent.
You can bypass the "obtain DNS server address automatically" and put in the name of 2 other DNS servers that are not those belonging to your host provider.
You keep your credit card numbers written somewhere...you might want to keep a file of ip addresses. Better safe than sorry.
P.S. I am no techie, have no clue what I've said, and am not responsible if you mess up your settings. Just did a little searching to protect myself. Other people may have better fixes than what I have outlined.

there is a lot of daytrading dollars cruising the stock waters like sharks smelling for blood and a quick meal. Mostly I watch in amazement. If you look at the intraday on these I you could see the frenzy: some may have been news driven from pre-market, but many are the result of group buying activity that gets picked up on scans of other sharks.

CNLG was, evidently, frontloaded on news that was released at 11am Friday and it was a classic buy rumor sell the news. Everyone that bought thenews is now underwater.
It's like a cabal?! and there are traders with lowfloater watchlists that pick the dead zones and create action (jmho).
The rule is get in early and get out before the bids disappear.
It's a very sophisticated pump that is not, for the most part that I can see, public. fascinating. Let's look at DAIO:

Compare the timestamp on the news to the stockprice. Someone got wind of the release and the stock got "jiggy" going from 2.70 to 3.10 and back down. Daytraders saw INTC...identified it as a "Momo" and off it went...I don't have instant buy capability, and put a buy in at 3.26 but missed it. Had my limit been 3.32 I could have had a .50 ride in the space of a minute or 2.
This past week was a gold mine for reverse split issues, based on the now not going to be aired report on naked shorting.
Look at the 5 day on RCO and VEXP. One was 1:50 & the other 1:60:
RCO is in a turnaround mode and has had a number of news stories relating to their entry into the LTC market. see ramp.com for the details. Nothing in this news was really that earthshaking, but traders got into it and BOOM. Like an ATM machine for adept scalpers.
I believe I posted here recently on ANTP which is another, more established company with a large short position in relation to it's free float. I played it only once...for a small loss, but will buy it next when it gets below 25 and the squeezer volume comes in.
This is assuredly not your trading style, but I thought you might be interested. good luck.
Anyone who is interested might look for daily charts with large upper wicks in the candlesticks, and look for patterns that might suggest when the next push might come.

Y'all can figure it out for yourselves, but I can't help but wonder if anyone buying ACKO shares is just lining the pockets of mandated filers who are selling and not filing...Agree not to resell or distribute the securities to the public.
p.s. At least they acknowledged that Holyfield has nothing to do directly with the company:
