that estimate damages to be $10 million. It seems reasonable that Leblanc's lawsuit could bankrupt both Cipherloc and Michael de la Garza, and then be followed by additional lawsuits and SEC involvement.

Okay, so now that we have this IEEE video issue resolved, let's talk about how CLOK is going to make a $ in a sale. Is it by having the CSO, Albert Carlson, participating on the engineering or production teams of Cipherloc to provide guidance and leadership to the engineering team (of 3, I believe?), or by getting another participation mention for co-authoring a paper with two grad students and their mentor instructor?
Duane Booher (he's not a CLOK employee, correct? just a student at NAU, yes?) presented this paper in 2017, https://ieeexplore.ieee.org/document/8228693, how does it compare to the paper that was presented in 2019, and, more importantly, how does the paper in question have any value to Cipherloc?
Cipherloc is supposed to be a for-profit entity, correct?

Watch any stock legends or other stock fluffing video with Michael de la Garza and you will hear him throw out names, potential clients, users, etc. None of them have turned into paying customers. de la Garza and/or Carlson have collectively lost every "potential" deal for Cipherloc.
What about the GoSecured contract? I believe that was the only contract since GAWK. It was supposed to start with a $10,000 license fee. The license fee was never paid, hence, no contract.
The solution? Get an honest CEO, not one like de la Garza who is a pathological liar who leaks bad information to investors and others who he is using to perpetuate his lies.

The objective of the PKA encryption scheme is to complement, or replace, existing Public Key Infrastructures (PKI) [1]. In this scheme, the initialization step is based on the secure exchange of addressable cryptographic tables between the communicating parties. Michael de la Garza did hire his daughter and others because HE REALLY THINKS THAT THE COMPANY MONEY IS HIS AND THAT IT'S ALL UP TO HIM. Cipherloc Fun Facts:
If you participated in the 2018 PPM (you probably can't sell yet) but if you could, you'd be subjected to your ordinary income tax rate which SHOULD be at least 24% (since you would need to be a qualified investor to participate) or as high as 37%, and this all means that you would be UP .08-.09 cents per share net of taxes if you purchased for $1...even though the stock was traded at around $1.50 per share during the time that you actually bought in to the PPM.
If you participated in a PPM before 2018, you're only down 0.82/share. For those of you harvesting tax losses, well, your harvest looks bountiful! ;)
But, if you purchased NSCT stock, sorry, your shares went from 100 to 1 shares back in 2015 and your position hasn't improved. So, if you owned "thousands of shares" between, say, 2000-2011, and you "still own thousands of shares", that's basically stating that you have $11 for every thousand shares. :(

I believe it's a misappropriation of funds
Cipherloc (CLOK) has raised over $18 million from investors in its last fundraising efforts. Michael de la Garza has a fiduciary duty to manage and protect this money. I don't believe that he is acknowledging this fiduciary duty.
I'm not okay with de la Garza assigning titles and giving jobs to family members who aren't qualified. I see it (assigning his daughter the title of Social Media Director) as another example of him exploiting the company.
Shouldn't Cipherloc's Social Media Director do this?
I mean, seriously, for $50-99k a year, I think that this would fall under the Social Media Director's job position. We're just talking about someone uploading some videos to YouTube, Facebook or to the Cipherloc website.

Any Cipherloc investors can reach out to the IEEE/CWCC 2019 Cryptography Session Chair, Christian Trefftz (Grand Valley State University, USA) (trefftzc@gvsu.edu) or conference@ieee-ccwc.org to validate the information that was provided to me by the conference contact. What IEEE/CWCC provided completely contradicts what Micheal de la Garza, Al Carlson, Milton Mattox and Matt Kreps "released" to the investing public.
With regard to the SEC, if you have information to provide the SEC about Cipherloc (CLOK), you should call 202-551-4790. The SEC will investigate possible violations of the federal securities laws. I do not believe that there is a department within the SEC (or any law enforcement agency, for that matter) that will provide details of an ongoing investigation to the general public.
The main lesson from all of this would be that Cipherloc management continues to deceive the investing public. Everyone should do their own due diligence and really question the motives behind all the press releases provided by Cipherloc management.

5) Hire a VP of Sales & Marketing
6) Let the VP of Sales & Marketing put together a sales force
7) Allow VP of Sales & Marketing to terminate all existing sales and marketing vendor contracts
8) Elect a new Board of Directors with at least 2 more seats
9) Amend the corporate bylaws to strip the Chairman of current powers
10) Make sure that CLOK C-level executives respect Reg FD
CLOK is not a healthy company. Here's why.
As a C-level executive with prior work experience with Fortune 50 companies and true start-up experience (started 3 businesses and sold 2 of them), I can confidently state that Cipherloc (CLOK) is not a healthy company. The lack of experience within the company at this time illuminates that very fact. Cipherloc does not have any seasoned professionals with a track record for success (Dr. Mattox undoubtedly brings the most corporate value to CLOK). This point is very true with the CEO, who has a fictitious and non-verifiable bio. Cipherloc, as a public company, should not have a CEO like de la Garza, who doesn't have the experience necessary to make a data encryption company profitable. He doesn't know what he's doing, and Cipherloc's history confirms this statement. Shouldn't CLOK have had more than 1 sale for the past 5 years?
Cipherloc offers some embedded code that is not stand alone. Cipherloc does not have a hardware offering, only software. With that said, Cipherloc will have to develop many partnerships to try and get its code into use, fix problems encountered along the way, and hope that it is stable enough to not reveal flaws or vulnerabilities. To date, Cipherloc has not been tested in the real world.
If Cipherloc were a healthy company, it wouldn't be paying out so much cash and stock to its CEO. If Cipherloc were a healthy company, it would have figured out a way to generate sales, and then build on those sales to create partnerships, increase product usage, and increase sales. Sales are $0. If Cipherloc were a healthy company, it would have seasoned sales and business development staff creating opportunities. If CLOK were a healthy company, it wouldn't be paying off legal settlements for non-delivery of software and for fraud allegations.
How does CLOK become a healthy company?
CLOK needs an honest SEC-fearing CEO with real verifiable C-level experience, high integrity, and the ability to build and manage an experienced team of professionals to find channel partners, create sales and build on those business relationships and product offerings.

Can't wait for a CLOK press release on the prementioned future "mention" at an Alexa Amazon future event. Is this something that will have any affect on the CLOK# stock price??
Has anyone heard what conference Cipherloc will be mentioned at and for what? I'm sure many CLOK followers would be interested to attending.
Cipherloc only offers embedded code for existing software. Cipherloc doesn't have any hardware products, so I'm really curious why anyone would be interested in Cipherloc at an Aleva Dev Day event.
Shouldn't the Cipherloc sales team be at events? Does Cipherloc have a sales team or even a salesperson? If so, why aren't they listed on the website? How about a conference calendar on the Cipherloc website to let people know where Cipherloc will be?
Cipherloc still doesn't have any customers. And Cipherloc still doesn't have any revenue.
Lawsuit, stock issuance, unrecorded loan, CLOK case
This is the most important issue for Cipherloc.
Why did De la Garza, CIpherloc CEO, owe former VP of Engineering Sales & Marketing, Robert LeBlanc? Why wasn’t this debt shown on prior CLOK financials? Shouldn't this be disclosed now???
And why did de la garza say that he paid off LeBlanc when he issued him CLOK (formerly known as NSCT) common stock? And then why did de la garza admit to receiving proceeds from the same stock sale?
The only thing to reason is that Cipherloc CEO de la garza committed multiple acts of fraud, which are all felonies with prison time and $10-20+ million in damages. This is indicative of the future of Cipherloc under the helm of CEO de la Garza.
Cipherloc will never do business with GM, Ford, Intel, Tesla. They're also not doing business with any insurance companies, port authorities, data centers, telecom companies, banks, hospitals, and the list goes on and on.
There are no sales, no contracts, no nothin’. Cipherloc has not had any sales contracts. They don't have any paying customers.
First two rounds of investors are still losers...
The first two round of Cipherloc investors bought for $2.00 and are still long-term capital gain losers.
The last round (third round), will continue to dilute the first two rounds of investors by buying common shares for under $2.00.
Cipherloc will be out of money in less than 2 years if de la Garza continues his mismanagement of funds.
Cipherloc does not have any qualified engineers.
All of the engineers have left.
Cipherloc does not have any geniuses.
Carlson was 1/4 of the technology presumably owned by Cipherloc. Ownership of the technology is still in question.
Cipherloc has not had a cfo for almost a year.
The last cfo resigned. More reliable sources suggest that CEO may have committed several acts of fraud and asked CFO to sign off on things that the CFO would not sign off on. Sources also say that the SEC has been notified and is watching Cipherloc closely. Sources also say that criminal charges will follow an SEC investigation.
Cipherloc has only produced a bit of code that can be embedded in existing software. It is dependent upon other software to be utilized.
Cipherloc has not been properly tested.

And still, things never come to fruition.
The pattern of press releases, forum posts and "leaked information" looks exactly like a company that has a better chance of being on American Greed than NASDAQ or NYSE. Why? Because, as stated in a quote from tedpeele: "Based on the history of many things that never came to fruition". No companies are doing business with Cipherloc. No companies are willing to do business with Michael de la Garza.
So what are the main takeaways from everything we've seen thus far?
1) Paulson Inv has been successful in raising $18mil in exchange for a nice commission 12% + warrants? There is $14mil left in the bank as of the 9/30/18 10-K.
2) CEO compensation is not tied to sales, and is completely out of control. He paid himself and his family over $500k in FYE 2018, and another 600,000 common shares AND STILL HASN'T MADE A SALE.
3) CEO has repeatedly made poor mgmt decisions and does not and cannot exercise prudent fiscal control. He is incapable of running a profitable business.
4) Older investors continue to be undercut and minimized. Looks and smells like a sham, a shell, a fraud.
5) The only revenue came from one "customer", "GAWK", who is no longer active on the OTC. That sale is still under question.
6) Every potential "customer" that has been thrown around on the CLOK board has decided to do without CLOK. Why? Probably because they have no trust in the CEO, hence, no trust in the technology. How can I say that? See #3 and #4 above.
Negative? Yes. Truthful and spot on? ABSOLUTELY

DeLaGarza keeps the CLOK boat going in circles
It doesn't appear that anything will change while he is in charge. Running a public company without a CFO is foolish. Investing in a public company without a CFO is very dumb, in my opinion. What's even dumber, is the fact that Cipherloc doesn't have qualified engineers anymore. It's a total sham, a shell being solely exploited by the CEO de la Garza to fleece investors.
Some people keep hoping and dreaming that something will change. Meanwhile, there are many data security and encryption companies that are doing great. At this point, the most that Cipherloc can do is hope to make .000001 per encrypted file by trying to partner up with a company that already has customers, an infrastructure, and engineers....oh, and maybe a CEO who isn't a pathological liar.
More of the same fluff in 2019
Don't hold your breath for next week. If you're expecting a Ted Talk, you may want to lower your expectations to something more like a "show and tell".
