Barge...I believe that all of us on this board appreciate all your DD regarding WaveXpress. Unfortunately, all of this research does not change the fact that Wave is looking to SELL off this divsion. My suggestion for you is to simply call SKS and ask him his plans for the unit. It will end up saving you a lot of precious time...FWIW

Alea..re Hulu....I'll be honest in that I have never heard of Hulu before this discussion started a short while ago. From what I gather...it is a tech used to download movies or content and NBC Universal owns a percentage of that venture. My question as it relates to the Olympics....Why didn't NBC Universal just use HULU for their service in the manner they are using TV Tonic? If one were to conclude that the delayed content originating from China is similar to the content of lets say movies...then why use TVTONIC??? From what I understand TVTONIC will allow the user to select a variety of sports and as soon as the videos are ready...they will automatically be downloaded to your pc/laptop and the user can view it anytime they want.... how is this different from downloading a movie and then watching it whenever they wanted to???

Alea...Not to bud in...but from what I understand of the intial business model regarding the Olympics broadcast relates ONLY to a percentage of the total ad revenue derived from the downloads...fwiw. This technology can be used in a wide variety of venues....the Olympics provide an incredible venue to SHOWCASE the quality of the downloads.

I agree that the continued prospect of additional funding rounds has and will place pressure on the short term pricing of our shares....this allows traders to get a quick 20-30 % returns by simply churning their shares. It ALSO allows those of us who are accumulating very large positions to do so at very under valued levels. If one can't see the upcoming revolution of Trusted Computing...then they are truly blind. One has to ask onself WHY on earth the OEMs continue to place TPMs on their PCs eventhough NOBODY has activated them?? Why is Intel about to release their new chip with TPM capabilities embedded in them?? OBVIOUSLY...the INDUSTRY believes that they are creating the FOUNDATION for the upcoming Trusted Computing revolution. Finally...Wave is one of the few companies that is actually generating revenues from the sale of TPM related products. WHEN these TPMs are activated....guess which company will benefit the greatest??? In the mean time...some of us continue to accumulate...

ESCORW...re E-sign....We are currently at breakeven or slightly positive when it comes to revenues being generated by E-sign. We have developed relationships with the largest players in the mortgage industry. If one believes that we are in the midst of changing from a paper driven society to that of the electronic media...then one has to believe that the revenues from this division will continue to increase quarter over quarter. I know for a fact that in the medical profession...we are converting over to electronic records...I'm sure this will take place in the finacial world as well....IMHO

Tampa...re WaveXpress....Let me attempt to clarify the issue. SKS said repeatedly that in order for the street to correctly value WaveXpress...they needed some sort of "EVENT" that would showcase its technology. Regarding the possible sale of WaveXpress...he said that was ONE of his options that would raise additional funds WITHOUT any further dilution for the existing shareholders. However...prior to a potential sale...there had to be an "EVENT" that would help to place a potential value of this particular asset.

Re software encryption products...We need to remember that the future of encryption is HARDWARE based.....pure and simple. Seagate has started the HARDWARE revolution with Intel scheduled to join the HARDWARE encryption party later this year. As a Seagate VP said to me a few months ago... these software encryption companies are going to be out of business in 4-5 years. ...FWIW

1) We do a round of PP sometime in the next 30 days.
2) In a few months...we sell WaveXpress for somewhere between 20-40/50 million dollars therby extending the runway tremendously without the need for further dilution of existing shares.

Kiwi...re all they could muster...I know for a fact that Wave turned its back on at least another million dollars in the last round. The reason for this was the entity that was willing to pony up the funds were involved with heavily shorting the stock according to Wave officials. In essence...they told that institution to go to hell. Ever wonder WHY the stock never went below the .80 cent level of the last PP??

OOTOMMY...re PP...I did ask SKS about the various options available to Wave to raise additional funds. His response was the following:
1) Selling equity is the cleanest way of raising additional funds that Wave has been able to utilize. It's kept us operating without going into debt. Obviously, they would like to sell additional stock AFTER significant news flow. The problem has been that they are NOT in control over the timing of the "flow"! Having said this...I would have serious doubts that the next round will take place before a major announcement....translated...the next round will take place at greater than the current share price...imho
2) Selling an ASSET. Wave has two assets that the market has in essence valued to zero...Sign on line and WaveXpress. As I mentioned in a prior post...I got the impression that Wave wants to keep Sign on Line within the Wave fold. Personally, I think we are seeing the foundation for electronic mortgages being layed down that will payoff tremendously in a few years in the same manner in which Wave helped to lay the trusted computing foundation which is about to be activated in a significant manner in the next 12-24 months.
The second asset is WaveXpress. I did get the feeling that Wave would be more than willing to sell this asset given the right set of circumstances. SKS mentioned a number of times that what the street needed to correctly value WaveXPress was some sort of event that would help to showcase the potential value of the technology. Selling this asset does not mean that Wave will not benefit from people using WaveXpress in the future. For WaveXpress to fully realize it's financial possibilities...TPMs will have to be used in one way or the other....this is where Wave intends to benefit from the growth of WaveXpress...even if it's owned by someone else.
3) Going into the debt market...This surprised me that he even brought it up. Granted I'm not an accountant...but even I know that you don't go there unless you have absolute guarantees of revenue streams. Therefore...it was interesting that he brought that avenue up for discussion.

Zen...I respectfully disagree with your last post. I don't understand why momo players would have started to pile on in the low 80s that pushed us up to the 1.teens in a rather short period of time. I agree with you that the day after the shareholders meeting...there were a number of momo players jumping onboard....but the question remains as to who was responsible for getting us into the teens immediately prior to the shm. If one believed in conspiracy theories...one may even consider shorters who shorted back in feb/march...and then again immediately prior to the last round of funding...beginning to cover their shorts once it became obvious to them that they would not be able to participate in the rounds of PP.....

Re closing share price...moments after that last trade...the bid was raised to 1.22....sheesh! People who think the rise in share price prior to the shareholder meeting was simply because of anticipated news....they're dead wrong! Over the past 10 years...how many were accompanied by a major press release??? Not many to say the least!

Re WXP...SKS gave a presentation about Wave Systems after the formal portion of the SHM. During his presentation, he mentioned that the street was not providing any value for eSIGN nor WaveXpress when one considers our curent share price. The impression I got was that he has every intention of keeping eSIGN in the Wave fold. WaveXpress....is a different story....and to be honest...I was very surprised. SKS went on to say that what we needed to unlock the potential vlaue of WaveXpress would be "AN EVENT" Something that would SHOWCASE the technology being deployed by WaveXpress. So there you have a couple of clues that SKS provided us....
1) An event
2) Showcase...obviously...nobody will pay attention if we were working with a rinky-dink company. Therefore...if we do get a PR over the near term...it will be important to see who our partner(s) is/are.
I came away from the meeting with the notion that management is VERY serious about selling this division and avoid further dilution of shares. The question remains how quickly this can take place?

Re % of WaveXpress...According to SKS...Wave Systems owns nearly all of WaveXpress because of the convertible debt issue. Wave has funded the subdivision to the tune of ~50-60 million dollars over the years. Therefore...if WaveXpress gets sold for ~40-50 million dollars...Wave Systems would get 99% if not ALL of the funds....since they are the holders of the debt. Founding shares would be nearly worthless unless the purchase price were to be over the amount that Wave has financed.

ISPRO...I'm really surprised by your last post. We have to keep our collective eyes on the big picture.....
1) Size of the installed base of TPMs
2) "EVENTUAL" roll out of Seagates FDE hard drives
3) Intel's coming out party regarding TPMs in their new chip
that will be in mass production this year.
4) Federal government commitment to TPMs and FDEs
These things are to be seen through the front windshield instead of looking back through the rearview mirror...imho

Methinks...Re Seagate...The nice thing about Seagate is that they are NOT satisfied with their roleout of the FDE drives in the firt two quarters of their availability. Q2 results are obviously pending....but in a conversation I had with a VP from Seagate....they are expecting great things from their new encrypted drives....to the point that he even said that most of the software encryption companies will no longer be in the business 4-5 years from now. Can you imagine the effect on Wave's bottom line if and when Seagate starts to deliver the drives according to their internal expectations?
One other major upcoming development will be Intel's role out of their new chip that has embedded TPM functionalities. It will finally cause Enterprises/Govt. to finally activate their TPMs......Does anyone truly believe that this will NOT have a dramatic effect on Wave's bottom line??

re..recent share price increase...I've read some posts attributing the recent share prise rise to some expected news coming out of the upcoming shareholders meeting. There's only one problem with the above mentioned theory...Wave does NOT have a record of announcing major news the day of a shareholder's meeting. Therefore...for the life of me...I can't see people all of a sudden rushing out to buy shares in the "hopes" of news by next monday. I believe that there is something else out there that is driving this NEW interest...IMHO. If I'm correct...then we will not see an implosion of the share price on Tuesday if we do not see any news by then.....One possible reason for the renewed interest could be the recent PR regarding Wave's inclusion as a Permanent member of TCG's BOD and the implications of that elevation in status in the upcoming Trusted Computing Revolution.

One would think that they would LOVE to sit on the BOD of a group that is CREATING the new STANDARDS in the IT world. EVERY company out in the Hi-Tech world is creating their new line of products to be "STANDARDS BASED"....yet, according to your logic, one would expect a lot of companies to be banging at TCG's door to "upgrade" their classifications so they can chair those teams developing the new STANDARDS. I'm surprised nobody has answered your post. Usually we meet at the lobby of the hotel ~12:00 and go to get some pizza. The meeting usually starts at ~16:00 and goes till 18:30-19:00. (The formal part of the meeting usually ends ~17:00-17:30...the BOD and a number of the execs will stick around and answer questions in an informal session.) Re HP...at 57-58:20 segment...SKS is talking about other OEMs selling Seagates's FDE drives. He then go onto say something to the effect of.....
We know of a couple good sized companies who are going with Seagate's FDE drives. Wave will supply the software directly to the client...but they will receive the FDE drives directly from HP. They are existing HP clients and have good enough size to force this issue.
This is the FIRST indication that I have seen in which HP is finally becoming receptive to selling Seagate's FDE drives....FWIW

The Installed base of OVER 30 million units will become MORE important by the end of the year when INTEL finally starts to market their itpm and security features in their new chip sets. With greater awareness in the market regarding the importance of TPM functionalities.... greater activation of the installed base of TPMs will take place....which will FINALLY translate into greater revenue generation for Wave.

Re WXP....The reason I brought this up is that there is a threshold of ~100K subscribers in which an advertising model becomes viable. In the past...the number of subcribers has been in the 30-40K range....to see that number almost doubled in such a short time period seems interesting to say the least....especially given the technology that exists in WXP. It is an ASSET that Wave owns and too many of us seem to forget that fact. Whether Wave is able to convert this asset into something positive for her shareholders needs to be seen.

REnInstalled base of over 30 MILLION units....The revenue to Wave...not total/seat....but revenue TO Wave has been slightly north of 50 dollars per/seat. This is important because one has to subtract the cut to the OEM partners.

Re CC...I'm re-listening the CC from yesterday....couple of important points..
1) Chicago Bridge and Iron...Started their pilot in Feb/March and decided to go with Wave/Seagate solution in April. Furthermore, they provide a great example of a company that has used SOFTWARE disk encryption and has now SWITCHED to HARDWARE disk encryption.
2) Michigan State University....Started Pilot in Jan/Feb period and made the decision to become a Wave client by April.

re NSA approval.....During the 2008 Data Protection Summit...a VP of Seagate told me that Seagate had tremendous interest from the feds regarding their FDE hard drives. I asked him about the FIPS-140 stumbling block as it pertained to the new hard drives....his reply was that the company was working on a short term solution to the problem that he felt would be accomplished in the next 30 days. The meeting was ~3/12....which meant that Seagate should have had their approval by 4/12. Instead....it took TWICE the time for the feds to approve the FDE hard drive (NSA).
The reason I bring this issue up for discussion is that it provides a real example in which a VP for Seagate was off by 100% regarding timelines when it came to the feds.....maybe we as investors should provide some degree of slack to SKS when it comes to timelines. The important point is that the ball keeps moving forward...IMHO
