Nothing to do with this, you still have shares, but...
Whenever you are dealing with a split stock you have to do your trade over the phone, period. Your broker will not charge you the ordinary phone-assist brokerage fee because the stock is "D'd".
They will look up the conversion data and tell you what you can order.
I have reason to belive this merger has something to do with NantWorks. Do your DD...tell me what you think.

If you got that recently, that's what I was wondering.
I assume the first 1MM draw was to pay the cash balance for Masters.
But usually when bridge financing runs out (in this case previous note holders) the new equity investor (TGA) might use it's leverage to make the bridge financier forego it's interest payments as part of it's terms to lend the money. This is what the "500K gain" would suggest....see how they word things!
In reality, that news piece was not the great news it sounded like.
But, 4MM in financing is just what §NELF needs. They are going to have to produce some sizable results to satisfy the creditors and still return enough cash to the bottom line to make this stock move over the $1 mark. But you have to do your DD to learn who you are dealing with and their background....it means EVERYTHING! Especially in penny stocks.

I still think we are the minority shareholders because the stock Shiong trades for Nant stock is the shell stock. There is no KeyOn Comm (NV) stock. It's the shell co that he has to have 80% of.

YES! It's definitely nice to see a pot stock move up steady. Sick of the 60%up/40%down stuff. I do expect a retracement, though, the next few days. Unless there is some catalyst, then another day up on more volume would be splendid! I'll keep adding.
Actually, from the explanation you posted it looks like the minority shareholders of either KeyOn Comm, INC (KeyOn LLC became Comm Inc in the KeyOn/CommX merger, right?) of which there are none OR Nant of which there is no maj shareholder. The info I was looking at suggested it was the minority shareholders of the shell company were eliminated. That's what made sense to me because it meant that we would not be left with shares. And wouldn't Nant be left as NantINC, not an LLC still?
Even if nothing happens I'm convinced the Dr would not leave his recoverable equity in this shell. Just knowing he has the 80% would make me take a position in it! But there is still only 50MM shares being fought over. It explains the trading.

That's US, right? Nobody is addressing this, so please correct me if I'm just stupid. Minority shareholders are left cashed-out if it is stock-for-cash, correct?
And I do believe we would have the PR within 4 days of DE SOS filing. But Nant shareholders get stock in new PT company, Nant keeps all it's non-transferables and IP and the co gets the enormous tax benefits. And Shiong doesn't have to talk to Wall St. Brilliant. When the merger PR hits we'll know where the stock is going from the conversion figures.

I agree, taking LLC public is not generally possible. But, that is from an underwriters perspective, which Shiong needen't be concerned with. Investment community is chomping at the bit for a piece of this boy, as we can see here! And isn't Nant a DE co? DE is the easiest state to LLC=>IPO from. But yes, generally a prohibitive tax burden and ridiculous notion.
So if a RTM is happening then Nant is already a subsidiary of KeyOn Holdings and we are trading Nant as we...er...write?

Bottom line is this is a shell controlled by Shiong and probably enough of an asset to position in, no?

I hadn't looked into this issue until Friday morning 9:15ET. I read through some posts to find out why it dropped and thought, "The bottom fishers got spooked! How marvelous! Let's bottom play the bottom play!" So that went as it did and a quick flip was done. Then, later, I did a little digging into the whole charade a bit more. First thing I saw on the Edgar search were the two CIKs, 0001314017 & 0001335294. Which one are we talking about? I r-eread some posts, checked the filings AND the link to Shiong's CIK, 0001189020. Hmmmmm? Re-read some posts, primarily MR CAPS's(WHO CARES!)..anyway, I thought if the info was accurate, an unintentionally indirect question was meet with an astutely direct response, "No, KEYON Communications, Inc. has been dissolved". BTW, did anyone check with NV SOS to verify the reinstate=>dissolve assertion? I don't think so!
So I think y'all have a scent but it's not the an-mal ya think. Consider this:
Why would a man who could underwrite his own IPO 10 times over R/M into a shell for some measly NOLs?

I'll say I believe things are going to come together and NLEF will leave all this AND the OTC behind.
But, it IS almost June and we still have no 10K for 2013, no Q1 numbers and no evidence of anything hitting the bottom line. I've seen many a company use their share base only as a means to pay for acquisitions and assets and make large sums of money vanish before it becomes net income. I hope thats not the case here.
If you're whining about getting burned on P&Ds, you need to learn more about the game you are playing.
