Are you suggesting the NASDAQ up-listing will take place without the SC acquisition nor the PO? Hummm. I must have missed something. Thanks for the post in any case? If your are correct, I don't think it is a good idea.
Congratulations to Rory, Chad and company on the new name, an in-store APP, a fresh start and a bright future. Such a shame that we are dragging so much accumulated debt behind us. It will take massive immediate adoption to offset this and raise the SP imo.(Does this happen in APP land very often?) Meanwhile to update you on the EMA case, on 2/1/19 EMA filed for a "preliminary injunction" with some 300 pages of documents, etc. Their summary of the request is here:
CONCLUSION Because EMA has demonstrated all required elements needed to authorize issuance of a
preliminary injunction, EMA respectfully requests that the Court issue an order, pending final
determination of this action, directing nFUSZ (a)to deliver immediately at least 467,836 free
trading shares of its common stock to EMA in accordance with the formula advanced by nFUSZ;
and (b)to honor EMA’s future exercises of its Warrants pursuant to nFUSZ’s formula, while
preserving EMA’s right to the issuance of additional shares pursuant to the actual formula in the
Warrants and/or appropriate money damages when it prevails on the merits in this litigation.
They argue that the current "dire" financial situation of nFusz makes this interim measure necessary and appropriate.
I am glad that some of my suggestions for the new APP were implemented. I would only add a theme song to "The Road to Nasdaq" which would be the Beatles' "The Long and Winding Road" Have a supper weekend all and you are all Tagged!
yes you are wrong. SC earns enough profit to pay Rosry's salary, not much more and not any of the the accumulated debt of FUSZD. We are fried. Today's PR and Rory's video were a bit deceptive imo. I think we should all walk away in protest and come back when reality hits the green screen.
EMA Case update:
ORDER TO SHOW CAUSE FOR PRELIMINARY INJUNCTION: ORDERED that service of a copy of this order and annexed affirmation upon the Plaintiff or its counsel on or before January 16, 2019, shall be deemed good and sufficient service thereof. ORDERED that answering papers, if any, shall be electronically filed and served no later than February 1, 2019. Show Cause Response due by 2/1/2019. (Signed by Judge Naomi Reice Buchwald on 1/22/2019) (ama) (Entered: 01/22/2019).
The above refers to nFusz attempting to bar EMA from exercising their warrants directly through the transfer agent, outside of the case at hand. Another missed deadline? More than that. Fusz attorney was not able to subpoena and depose a key witness. Did he know where to correctly serve? Far from being frivolous as first described by Rory it is now potentially a million dollar baby for EMA.
Correct. Your comment about keeping the stock above $4.00 is very relevant. Clearly Rory shares your concern, or he would have done a 1:10 split. The $7.50 will likely drop to close to that, imo, after the financials are disclosed and the PO is priced. Long ago you posted you would wait "till all this was settled if you were to take a position. I agreed with you but made a mistake today. Could have been 50% worse today if I had not stopped out. Gullible me.
I have seen trading and much of it in the transition period . Depends on your broker but you may be able to buy or sell at the pre-split pricing and they will adjust it later. Just don't think you will get 10K shares post split if you buy 10K shares at the pre-split price.
Did I miss something in this "must see--just released video?" Like any mention of today's R/S? Cacacaca I am pumped out and dumped out. Again.
I wish I could find the post from earlier today to give credit to whoever noticed the status change today to Reverse Split on the State of Nevada website. I had taken a position based on the Microsoft PR and was shocked to see a R/S "announced" during the trading day. Ouch! This likely explains why the stock is tanking rather than rising from over 70 cents. Thanks to however posted that as my losses could have been greater. I falsely thought this was at least a good day for a day trade. Sad. And how odd to be doing all this SEC business through the State of Nevada. I suppose the SEC announcement is tonight after hours. Very disheartening. Also it ruins, imo Rory's argument that the EMA case should be heard under NY law rather than Nevada law. So much for shareholder value. Disgust.
I am back in on this PR. The reason it is different than the Oracle PR is that Chad Thomas is now in charge of the software team, has the track record to get this done and likely will. Big difference with the previous software developers who did not get the job done well, if at all.
Wonder if the name already being taken presents a problem in getting to the NASDAQ. . I have often seen in the OTC a new name is about a new direction and identity. Often due to the old identify lacking traction. Being optimistic I suppose I can expect there is something big behind this choice. It not, ouch. Hopefully we will all know soon.
Guess we don't get to suggest a new name; I don't think this changes anything at all and am concerned it is a distraction...just look at all the excitement about a non event. Verbiage.com might be better imo. I did like the name nFusz as it was like infuse or fusion...what will Nfuszed now call himself? NVerb? LOL
OK. Thanks!
Do you think the 215,000,000 authorized shares of the new company gives a clue to what this is about? Just asking as I don't believe a name change was necessary, especially after all the APP integrations in the old name. Maybe I'll change my name. I'm tired of Ziptrader. How do you like: SometimesRight-OtenWrong?
Thanks all for your clarifications: This does fit with what I mentioned previously; due to the passage of time the 10K for year end has to be filed before 2/15 for the SEC approval of the Public Offering to proceed. Not sure why a name change is involved or where that came from. Back to photographing rare endangered Central American monkeys. Maybe make it interactive later!!
My apologies, but as I am traveling I can only check in from time to time. I must have missed something very important. There is talk of a new stock symbol on Monday and a new Cusip. Will this happen before the r/s uplisting and purchase of SC? Maybe I am in a time warp? Thanks.
I'm fine with that and thanks for clarifying! GLTA
This may be a misconception. Giving someone a free demo does help visibility but has little to do with revenues unless they adopt the technology i.e. buy a subscription. In any case, these "one-ons", as Rory has said, are not where the big money will come from.
Please confirm this when it happens. Today slightly more than 100 trades have taken place. 100 brokers will be doing a lot of thumb twiddling if the volume and interest does not pick up. What you are claiming sounds very futuristic, and would need to be confirmed, in my opinion. One poster ran with this comment thinking it was happening next week with filing of the 10K. Did I miss something?
The users are paying for SC. It remains to be seen how many of them have or will adopt nFusz or if the integration did happen in January as promised. If and when nFusz owns SC it will be clearer whether or not it is included in current SC pricing. The latest addition of the video APP platform makes this very unclear as SC already does video production for their clients. Although we all know interactive video is a great thing, it may not be the "be all and end all." A good example is my charity fund raising video for The Young Center for Immigrant Children's rights. The video has had more than 300 views and apparently raised more funds than the Kickstarter-partner video of the Utica Zoo. So far the Young Center has shown no interest in using nFusz technology in future fund raising, nor have they told me why. Sad.
Thanks Nfuszed. I like your optimism and don't disagree with anything you are saying. I hope many of the "relationships" grow into full bloom revenue producing partnerships. Yes, I am discouraged but I haven't given up hope.
Great graphic but I could not find any mention of nFusz on either SAP or Microsoft's website. The future may be bright but we are not there yet. V2 had very limited analytics compared to even LinkedIn in my experience. Hopefully Starship Ecosystem will materialize soon. The current version isn't well supported. I pointed out errors to Alan in November in the help section of the Video Manager and those have not yet been addressed. The website has stuff that is very out of date. Might just be why folks don't subscribe after the free trial. All based on my personal opinion and experience. GLTA.
Deja Vu? The conference is being "sponserd--$$$" by Nfusz so it would be silly to think being invited to speak at that time means much.
The conference is being hosted by Verenia:
https://www.verenia.com/netsuite-sales-acceleration-virtual-conference2019
nFusz no longer shows as a staff pick at Netsuite and has only one review for its app. I realize this is looking at the past but I truly don't understand why V2 was not being adopted and has been "dropped" if it was "fully functional" as I was told by the technical staff. I realize the new ecosystem may be exponentially better and may have the type of integration Varenia does with Netsuite Cloud. But not likely for prime time in one week, imo.
Always appreciate your exactitude. I think you expressed what I was trying to say more precisely. Thanks. Delay is not good and neither do I expect the year end financials to impress. So when is the earliest they can do a PO in your estimation. Are you saying mid-February to mid-March. In either case we are missing the big play--PO and purchase of SC by the end of January. If this had been addressed with the SEC at the time the shutdown began and fast tracked, I believe it would have been possible and sensible to do this when the share price was .72.
I'd rather be chasing this to the moon and stars, frankly. I have a lot of accumulated loss to make up for. Meanwhile I hope Rory's attorney, Mr. Basile is aware of Judge Buchwald's current courtroom rules of conduct, filed 1/14/19 at the NYSD court, as so far he seems to have not filed under her rules, at least once:
http://nysd.uscourts.gov/cases/show.php?db=judge_info&id=1603
If I understand the latest in the case, the judge most recently, in a manner, refused to bar EMA from trying to exercise their warrants outside of the case, as nFusz has not been able to effect a ruling to oppose such an action. Add to that, Mr. Basile has three days to subpoena and depose a witness crucial to the case. January 31st is the final extension for Discovery. Feb 15 then will be the deadline for both sides to file for summary judgement. Add to that if the public offering is not SEC approved in three days, nFusz will have to refile and include their year end financials by Feb 15. These may be some of the issues in the deep due diligence weighing upon the stock. Please correct me if I am wrong. I am not an attorney but have worked closely with several including the now missing in action Sheriff Joe. Main theme here is untimely delays potentially can cost a fortune.
Am a bit jet lagged but if I remember wasn't the SP at .52 when Rory filed the first R/S document? And here is is at .52 Again! Might not mean anything, but sure is a shame we are not already at $2.00 as so many thought would happen. I have no clue what happens next, but this is hugely disappointing, imo.
Ture. Sorry my mistake. $400,000/mo. Thanks for catching that!!
Thank you and good job BMR. My sense is that the next two weeks will be momentous, one way or the other! One day you are possibly going to be very wealthy due to your way of investing in nFusz, unless you are the one buying 20 shares at a time! Hope that person doesn't have any fees for trading! I might mention if the intention of that investor or trader is to hit the ask, it takes 100 shares minimum to move the ticker!
My intention in posting is to have worthwhile dialogue, not constantly be told that you think this dialogue is to "shake shares." Bizarrooooooo!YoooHoo! Spooking no-one in any direction.
You reinforce my concern that revenues are still in the future and that interactive video will have its place and space in time. We have some hurdles to jump across before we get there. Every night when I go to sleep I pray for success for Rory and nFusz, so don't misunderstand when I point out some posts that may imply that this will happen sooner or in a bigger way as they don't take into account a larger picture. In how many years, for example, do you believe Dr2 will be allocating 50% of their advertising budget to video?
RE: The study; I spoke with Roger Lee two weeks ago and yes he is enthusiastic about nFusz and is an active partner. He clearly demonstrated that with an option to click through a video you get a "click" (calling it a conversion is ambiguous in my mind) and if you have to open a new page you get far fewer. We all know this to be true and impressive. I think we would be wise to keep things in perspective. We still need to know if companies believe this will result in a sale, now or in the future. Roger spends much more of his $400,000/year advertising budget on radio adds and in reality dr2 marketing has only produced a small number of interactive videos for customers in the past 10 months, beyond some demos (one great real estate video). Look at their website.
To put things in perspective:
https://www.dr2marketing.com/direct-response-direct-results-with-radio/
Similarly Ignite Visibility in the article I posted seems to lean toward # of page views as the main driver of growth and interactive video is only offered as an add on to the ability to increase sales. It isn't clear if any revenue has come from their 10 month partnership with nFusz.
Do your own DDD (Deep Due Diligence).
:
BMR, perhaps you could find us one or two videos produced by a Netsuite or Marketo user. That would lift my spirits and add some substance to the facts and be the proof of the pudding to be. You are the best at finding videos. Thanks.
From your string of posts today, are you saying Rory is "Foibobbling"? That has occurred to me recently as well. I also agree if we do not break .60 today it becomes resistance not support going forward.
Quick note: The past few days there were quite a few remarks about the recent Dr2 Marketing "study" of emails and the enormous increase in response rates when the video was interactive. I recently interviewed Roger Lee and he was very clear about how much he likes nFusz and interactive video, because "when a video ends, normally nothing happens." From my own experience I find I am much more likely to respond when there is a click through button rather than having to switch to a new web page to continue. So in a way, it doesn't surprise me. As others have mentioned, the real issue is how often then does this "click through" lead to a sale? There were also criticisms of the study design.
Another nFusz partner put out a study and it is stunning by compassion, but my bias is that it is academic based rather than "home-made." I would not attribute too much to "interactive video" not being mentioned. I simply want to share a study by a partner done in a different fashion: Enjoy and let me know what you think.

Thanks CUIN2. I appreciate that very much. I still am a supporter and I don't want the stock to go down while I am on the sidelines as I think that harms the R/S. I do my own DD and do want to share my observations with others. So I will be around.
I'd like to bring folks up to date on the EMA vs. nFusz legal case as there appears to be some deadlines looming and some interesting turns;
I am packing for an overseas trip so I may not be able to. However anyone can go to this website and create an account:
https://ecf.nysd.uscourts.gov/cgi-bin/DktRpt.pl?492577
The case # is 1:18-cv-03634-NRB EMA Financial, LLC v. nFUSZ, Inc.
You have to give a credit card but the don't charge it unless you go over $15.00 at 10 cents a page. More if I have time. Best
Thanks for pointing that out!
I hope all understand the difference between SC's revenues and profitability. The profits were well under 1 million dollars so I would not throw around the idea that they had $15 million dollars profit, as it might be misleading. Yes they are profitable.
True. When you look at the one year SP and that period of time you refer to the volume was in the millions day after day. When the stock lost steam if fell 90%. We are not seeing that kind of rally now, and I don't believe we will. My personal opinion, of course.
In all fairness, and please note I have made over 1,000 supportive and positive posts on this board, there may be many reasons a person might decide to sell, not because they are stupid or scared. In my case it was to protect myself from debt should the stock go lower than when I sold it. Others might be federal employees who need to buy food or pay rent. Others may not believe that the product, the new ecosystem will be here as soon as promised or that the other major events will happen in a timely fashion. Rory himself has said how disappointed he is that "things" have taken longer than he hoped. I think the majority of those who post on this board are hopeful that with time this will be a great long term investment. I am one of them and I hope to have some funds available to reinvest soon and when I am clearer that the pot of gold is within my reach. Thanks to all who post here. I did gently point out a couple of days ago, with the RSI peaking (in spite of some posters showing it at 60) that in the past, whenever it went that high there was a downturn within a few days.
15 day chart on Barcharts.com RSI is over 70 and although it shows as a strong buy, it also states the stock is extremely overbought and may signal a (short term) trend reversal. Fidelity shows over 80 RSI on 10 day & 3 month. The stock could continue up from here but I believe we will need continuing PRs up until the completion of the ecosystem software, the successful purchase of SC, the successful offering, the lawsuit settlement. Expect the unexpected. Go nFuszers and thanks for your hard work UHD! OPPs I forgot to mention the upListing to NAASDAQ!!
