I am glad that the CEO is corresponding with you.
Can you let us in on what he is saying?
I have emailed and called numbers for 10 months and I have never spoken to anyone or had an emailed replied back.
Absolutely
They promised us full disclosure. Then within 3 days of the full disclosure report coming out they all of a sudden had an "offer" to buy the company. So yes in my opinion once the "offer" was pulled I could see them having a weekend to prepare and then reveal this full disclosure report. I could go back in the PRs if you like and tell this in HNSS' own words if it makes it easier to accept?
YES - will disclosure NOW happen?
Or what will be the next excuse?
Yes I am calling you out Mr Black - cards on the table please
Evidently this so called "offer" was non-exsistent unless I hear about a counter offer by the end of the month.
"Game Changer" that never came to fruition - The story of ENTI in a nutshell.
Last post of the Day
You would need money in order to buy back stock
So its opinion not fact that filmrookie was ever sold?
They are just abandoning filmrookie as a buisness model
Here is an email from May 2010 from Spire Investments
In an email to a concerned investor in May of 2010 Erik Kafrawy explained his association with ENTI:
"For a short overview, my business partner and I started Spire a few years ago for our real estate investments we were involved with. We were then introduced to Rick DiBiasi of Encounter Tech through a friend of ours about 2 years ago. At the time, they were looking for funding for their new video platform. That platform was being presented by using their test site FilmRookie.com. That platform is now being used for their new flagship site MusicMatrix.com"
I keep seeing that they sold filmrookie?
Where is the proof that this ever happened?
After some DD on the Fraud board I was under the impression filmrookie morphed into MMX?
ENTI - doing some digging deep into the past.
Recently ENTI passed its loan asset, musicmatrix.com, over to PTEL with the promise to ENTI shareholders that they would receive a dividend of PTEL stock to make up for the loss of their asset. To date that dividend hasn't happened despite Anthony Dibiase promising the dividend would happen on June 20, 2011.
This post isn't about the broken dividend promise. I decided to try to research the history of musicmatrix.com and the people involved with that company and see if I could piece together the past a little bit.
-----------------------
Before there was musicmatrix.com there was filmrookie.com
filmrookie.com was created in February of 2008 as a social network and video streaming/download site. The site began being built in December of 2008. Some of the original pre-launch members included Ricky Dibiase, Kimberlini DiBiase, Anthony Dibiase, Eric Kafrawy, Bruce Bardes, David Locicero, and Andrew Muzii.
Rick and Anthony Dibiase everybody knows as the former and current CEOs of ENTI.
------------------
In February of 2009, Eric Kafrawy made a post on the young entrepreneur forum seeking funding for filmrookie.com
http://www.youngentrepreneur.com/forum/f23-looking-for-capital-biz-partners/new-social-network-video-audio-streaming-and-dowload-site-looking-for-1st-round-investment-funds-41788.html
FilmRookie.com is looking for investors for its first round of funding. The initial round will be set at $250,000. The funds will be used for two purposes, one to maintain the backend hardware, and two to fund a comprehensive advertising campaign. The funds will be split 25% for hardware/infrastructure, and 75% for advertising the site itself to attract users. Investor money will be kept in an escrow account, which will only be allowed to be used on a list of approved vendors. All investors will have this information in their investor agreement.
So take a look, register for free, and see how much of the site is completed. The site is officially going to be live on or before 3/1/2009
-------------------
Mean while, in June of 2009, Joseph Meuse (famous shell hijacker) hijacked the vacated Encounter.com Inc Colorado business entity. Encounter.com Inc (ENCR) hadn't done an SEC filing since 2001 and hadn't done any filings with the state of Colorado since 2007.
http://www.sos.state.co.us/biz/ViewImage.do?fileId=20091334184&masterFileId=19871676075
Meuse must have assigned Dennis J. Hinton as the CEO of the shell. Hinton immediately terminated the stocks registration with the SEC filing a Form 15 on July 10, 2009 preparing it to be taken over by a willing buyer.
-----------------
Some time between August 1, 2009 and November 18, 2009 the shell got passed on to Richard and Anthony Dibiase with Richard Dibiase taking the initial role as CEO.
Also some time around September or October of 2009 filmrookie.com changed its name to music matrix and started redirecting to musicmatrix.com.
-------
On September 4, 2009 Richard Dibiase formed the Florida business entity named RTR Media Inc which became the owner of musicmatrix.com

On October 19, 2009 Richard Dibiase formed the Florida business entity named Encounter Technologies Inc

-------
On November 18, 2009 Richard Dibiase (now in control of the ENCR shell) filed an amendment with the Colorado SOS changing the name of the entity to Encounter Technologies Inc.
http://www.sos.state.co.us/biz/ViewImage.do?fileId=20091635199&masterFileId=19871676075
The very next act by the new president, Richard Dibiase, was to raise the authorized share count to 500,000,000 on December 10, 2009.

------
On December 13, 2009 a press release was released by ENCR introducing the new cast of characters to the public:
http://www.prlog.org/10449818-encountercom-inc-announces-licensing-agreement-with-rtr-media-inc.html
The author of the press release was one of the original filmrookie.com members, David Locicero. The representative of RTR Media Inc in the press release was another original member of filmrookie.com, Eric Kafrawy. The president of ENCR was another original member of filmrookie.com, Richard Dibiase. The asset for ENCR was musicmatrix.com (formerly filmrookie.com)
An identical press release went out through a different outlet listing another original filmrookie.com member, Bryan Bardes, as the Director of Public Relations for Encounter.com Inc:
http://www.bloomberg.com/apps/news?pid=newsarchive&sid=airn8GL7dyGA
--------
On month later the next authorized share increase took place. On January 25, 2010 Rick Dibiase once again raised the authorized share count. This time to 5,000,000,000.
--------
In February of 2010 a press release was issued announcing that Encounter.com Inc (ENCR) had changed its name and symbol to Encounter Technologies Inc (ENTI). The Director of Public Relations for this ENTI press release was Erik Kafrawy.
http://www.marketwire.com/press-release/encounter-technologies-inc-has-changed-stock-ticker-symbol-from-encr-to-enti-1191595.htm
--------
In April of 2010 Erik Kafrawy and Bryan Bardes found their way into another ENTI press release. This time with yet another new role as the financing company.
http://www.marketwire.com/press-release/encounter-technologies-inc-enti-announces-over-300000-in-funding-received-1169219.htm
Encounter Technologies, Inc. (PINKSHEETS: ENTI) announced today the company has received more than $300,000 in funding to date from Spire Investment Group. The funding has been primarily used to pay for programming as well as the promotional campaign being provided by Mpower Entertainment for their Flagship site MusicMatrix.com.
Spire Investment Group is a company owned by Erik Kafrawy and fellow original filmrookie.com member, Bryan Bardes.
http://spireinvestmentgroup.com/about/aboutOwner.html
Before Erik and Bryan were involved in raising financing, or in public relations, or in music video websites they were involved in the automotive business promotion automotive and tire design safety:
http://www.smarttreadwear.com/
http://www.smarttreadwear.com/contact.html
---------
It was around this time that Mark A. Giresi, in-house counsel and Director for NXT Nutritionals, Inc (NXTH) (or somebody else involved in NXTH) and his investor group may have decided to invest in the musicmatrix.com idea.
NXT Nutritionals also operates out of Massachusetts just like Spire Investment Group.
Mark A Giresi (or somebody else involved with NXTH) may have played a big part in NXTH signing Shaquille O'Neal as a spokesperson for their product.
Mark A. Giresi (or somebody else involved in NXTH) also may have played a role in first trying to get Justin Bieber, Lady GaGa, and the Black Eyed Peas to act as spokespeople for musicmatrix.com before later settling on Howie Day.
--------
In an email to a concerned investor in May of 2010 Erik Kafrawy explained his association with ENTI:
"For a short overview, my business partner and I started Spire a few years ago for our real estate investments we were involved with. We were then introduced to Rick DiBiasi of Encounter Tech through a friend of ours about 2 years ago. At the time, they were looking for funding for their new video platform. That platform was being presented by using their test site FilmRookie.com. That platform is now being used for their new flagship site MusicMatrix.com"
---------
Between July of 2010 and September of 2010 Anthony Dibiase took over as the CEO of ENTI. He brought with him the same attorney that he used with Strategic Rare Earth Metals Inc. (SREH) to help him dilute that shell down to no bid, Christopher Davies.
Anthony Dibiase immediately raised the authorized share count from 5,000,000,000 to 10,000,000,000 in September of 2010:
http://www.sos.state.co.us/biz/ViewImage.do?fileId=20101538435&masterFileId=19871676075
And started doing filings for the company with the OTC:
http://www.otcmarkets.com/stock/ENTI/financials
--------
The rest is history. Dilution. Another authorized share increase. Preferred share conversions. More Dilution. Failed dividend. $.0001/share. No bid coming soon.
In the mean time the under achieving asset, musicmatrix.com, has already been moved to a new shell, PTEL, to begin the whole process all over again, and the ENTI shareholders (just like the SREH shareholders before them) have been left with nothing but a dead shell.
Exactly I want my PTEL shares now. My lawyer and the SEC are on speed dial waiting for the next excuse. MMX was ENTI and now with MMX on PTEL we own an empty shell in ENTI period. I'll write off my shares of ENTI off as a loss if I could only get someone to buy them.
We all know we have a bloated Share Structure (I mean its a penny after all) so why are people posting about it over and over and over and over and over AND over again?
For what its worth I put a test sell order at 2 and almost immediately the PPS went to 1
PRs cost money - Which unfortunately ENTI does not have
For Thomas Hargis:
Some Light Reading
http://investorshub.advfn.com/boards/read_msg.aspx?message_id=65259446
Question - Was anyone here when Film Rookie was first launched?
If it really did have 5000 paying members why on earth would Encounter abandon the project?
Also my one question from the podcast would be how are these TEAMS of people that Thomas spoke of that
work at Encounter getting paid with a company that currently has absolutely no revenue stream?
John sent a tweet saying their were fixes bugs - I assume the site is down while testing
Previous contest winner

Go800 to Use Text-to-Talk Service to Help Non-Profit Organizations Raise Money and Awareness
In response to the recent tragedy in Japan, Go800 has decided to use its service to help various non-profit organizations raise money for their causes. We plan to provide many of these organizations with an easy way that potential donators can reach them quickly.
We recently asked our followers and fans on Twitter and Facebook to name their favorite charities. We received a wonderful response and thanks to all of you who contributed your thoughts. We are looking into all of the non-profit organizations you suggested as well as compiling a list of our own.
In the meantime, please continue to provide us with your thoughts on which charities you think we should support as well as any other ideas you may have on how we can use our service to help those in need! We look forward to updating you on our outreach to worthy non-profit organizations.
Go800 Helps Real Estate Brokers and Buyers Connect
Everyone who has dealt with looking for a new home knows that finding the perfect place takes a lot of time, patience and the perfect real estate broker. There are hundreds of listings, agencies and brokers to choose from. Sometimes, a buyer or renter may even use more than one broker at a time. Go800 wants to make it easier for buyers/renters to find and connect to real estate agents who will help make their search for a new home as easy as possible. We are reaching out to various national and local real estate agencies to see if we can “Go800 enable” them so that buyers/renters will be able to reach them quicker and easier. By using Go800, real estate brokers and their inventory can stand out from the crowd and buyers/renters can easily access their brokers whenever they need to.
If you are in the real estate industry and either want to learn more about how you can use Go800 or have suggestions on various ways to use the service to sell real estate, please leave us feedback at http://getsatisfaction.com/go800, follow-us on Twitter (@Go800) or leave a comment on our Facebook page (www.facebook.com/go800).
Go800: The Secure Way to Make a Love Connection
We all know that Go800’s text-to-talk service has many uses. Go800 can also be very useful in your personal dating lives…
Imagine this scenario: You go to a club or a bar with your friends. You begin talking to a sexy man/woman who has quickly sparked your interest. But, you really don’t know who they are and feel a little awkward giving them your phone number. After all, there are a lot of crazies out there. Instead, give them your Go800 enabled keyword and tell them to simply text [keyword] to 46800. Now, they can contact you without ever knowing your phone number. If they turn out to be a little weird or crazy, don’t worry! You can choose who is permitted to call you via Go800.
Are you an online dater? Everyone feels skeptical giving out their phone number to someone they have never personally met. Problem solved! Try using your Go800 keyword instead. Now you can talk to anyone who has sparked your interest on sites like Match.com or eHarmony without worrying that they will end up stalking you.
Go800 wants to make sure that all you single people out there have fun and safe dating experiences. We are currently working on various upcoming fun dating projects. Stay tuned for updates and info!
Your name. Many uses.
If you're totally social.
Do you regularly post tweets or status updates for all your friends and followers? Do you love having hundreds of social contacts? Do you ever wish you can chat to some of your contacts on the phone but since you do not actually know them personally, you do not want to give out your phone number? Now, you can talk to some or all of your contacts on the phone without worrying about giving out your number!! You simply have to tell whomever you want that all they have to do in order to call you is text your twitter name to 46800 (Go800).
If you’re a little (or a lot) flirty.
Have you ever met someone you liked at a bar but you were uncomfortable giving out your number to a stranger? No worries… GO800 allows you to just give out your twitter name, and when they text it to GO800 you will be chatting with them live in seconds. If they get a little creepy, block them!
If you're all business all the time.
Are you a business person who is constantly making new contacts? Have you ever wanted to exchange contact information with a potential client but didn’t have a business card on you? Now you can easily distribute your contact info by simply giving them your Go800 registered twitter name. You can easily connect your personal or business phone number on our website so that the next time someone texts your twitter name to 46800 (Go800), your number of choice will ring!
If you have a cause.
How many times have you seen a 1-800 number displayed on a commercial and were too lazy to get a pen and paper to write it down? Most people who see a commercial or ad for a worthwhile cause may want to donate money but can’t remember the 1-800 number or don’t have enough time to get to a pen and paper before the end of the commercial. If you work for a charity or non-profit organization, you can use Go800 to make sure that potential donators can contact you quickly and easily. All you need to do is register a Go800 keyword and tell everyone in order to donate all they need to do is text “charityname” to 46800 (Go800).
If you’re a band or artist.
Artists can take advantage of Go800 too! You can use your twitter name to have all your fans connect to a Google Voice number which you can set up to go directly to a voicemail, allowing fans to leave you a message or allowing you to record an update for all your fans. It’s a fun way of having fans interact with their favorite artists!
If you’re running for public office.
You can use Go800 to share a message with your public and get people excited about electing you! You can set up your Go800 keyword to be linked to a Google Voice number, which can connect directly to a voicemail containing a message you personally recorded for the general public. The next time someone texts your keyword to 46800 (Go800), their phone will ring within seconds and they will be listening to your personalized message. They can also leave you a voicemail, which you can check whenever you would like or even respond to some of the messages. We're sure voters will be excited that they have such easy access to their potential public official and they can rest assured that their voices will be heard!
If you’ve been elected.
You can use your Go800 keyword and Google Voice number to continuously update the public with messages about your positions, agendas or anything else you may want to share.
If you work in the advertising industry.
Are you an advertiser which has been hired by a client to promote a product? You can use Go800 in your tweets and promotional ads to get the word out that ordering a certain product or connecting to a particular service is as easy as texting “productname” to 46800 (Go800).
If you’re a little techie.
What’s the IP address of Google? We all know www.google.com. GO800 keywords allow you to leave phone numbers to the switches.
Punk I guess you do not have PM anymore?
Why the total 180?
