ENTI - doing some digging deep into the past.

Recently ENTI passed its loan asset, musicmatrix.com, over to PTEL with the promise to ENTI shareholders that they would receive a dividend of PTEL stock to make up for the loss of their asset. To date that dividend hasn't happened despite Anthony Dibiase promising the dividend would happen on June 20, 2011.

This post isn't about the broken dividend promise. I decided to try to research the history of musicmatrix.com and the people involved with that company and see if I could piece together the past a little bit.

Before there was musicmatrix.com there was filmrookie.com

filmrookie.com was created in February of 2008 as a social network and video streaming/download site. The site began being built in December of 2008. Some of the original pre-launch members included Ricky Dibiase, Kimberlini DiBiase, Anthony Dibiase, Eric Kafrawy, Bruce Bardes, David Locicero, and Andrew Muzii.

Rick and Anthony Dibiase everybody knows as the former and current CEOs of ENTI.

In February of 2009, Eric Kafrawy made a post on the young entrepreneur forum seeking funding for filmrookie.com

FilmRookie.com is looking for investors for its first round of funding. The initial round will be set at $250,000. The funds will be used for two purposes, one to maintain the backend hardware, and two to fund a comprehensive advertising campaign. The funds will be split 25% for hardware/infrastructure, and 75% for advertising the site itself to attract users. Investor money will be kept in an escrow account, which will only be allowed to be used on a list of approved vendors. All investors will have this information in their investor agreement.

So take a look, register for free, and see how much of the site is completed. The site is officially going to be live on or before 3/1/2009

Mean while, in June of 2009, Joseph Meuse (famous shell hijacker) hijacked the vacated Encounter.com Inc Colorado business entity. Encounter.com Inc (ENCR) hadn't done an SEC filing since 2001 and hadn't done any filings with the state of Colorado since 2007.

Meuse must have assigned Dennis J. Hinton as the CEO of the shell. Hinton immediately terminated the stocks registration with the SEC filing a Form 15 on July 10, 2009 preparing it to be taken over by a willing buyer.

Some time between August 1, 2009 and November 18, 2009 the shell got passed on to Richard and Anthony Dibiase with Richard Dibiase taking the initial role as CEO.

Also some time around September or October of 2009 filmrookie.com changed its name to music matrix and started redirecting to musicmatrix.com.

On September 4, 2009 Richard Dibiase formed the Florida business entity named RTR Media Inc which became the owner of musicmatrix.com

On November 18, 2009 Richard Dibiase (now in control of the ENCR shell) filed an amendment with the Colorado SOS changing the name of the entity to Encounter Technologies Inc.

The very next act by the new president, Richard Dibiase, was to raise the authorized share count to 500,000,000 on December 10, 2009.

On December 13, 2009 a press release was released by ENCR introducing the new cast of characters to the public:

The author of the press release was one of the original filmrookie.com members, David Locicero. The representative of RTR Media Inc in the press release was another original member of filmrookie.com, Eric Kafrawy. The president of ENCR was another original member of filmrookie.com, Richard Dibiase. The asset for ENCR was musicmatrix.com (formerly filmrookie.com)

An identical press release went out through a different outlet listing another original filmrookie.com member, Bryan Bardes, as the Director of Public Relations for Encounter.com Inc:

On month later the next authorized share increase took place. On January 25, 2010 Rick Dibiase once again raised the authorized share count. This time to 5,000,000,000.

In February of 2010 a press release was issued announcing that Encounter.com Inc (ENCR) had changed its name and symbol to Encounter Technologies Inc (ENTI). The Director of Public Relations for this ENTI press release was Erik Kafrawy.

In April of 2010 Erik Kafrawy and Bryan Bardes found their way into another ENTI press release. This time with yet another new role as the financing company.

The funding has been primarily used to pay for programming as well as the promotional campaign being provided by Mpower Entertainment for their Flagship site MusicMatrix.com.

Spire Investment Group is a company owned by Erik Kafrawy and fellow original filmrookie.com member, Bryan Bardes.

It was around this time that Mark A. Giresi, in-house counsel and Director for NXT Nutritionals, Inc (NXTH) (or somebody else involved in NXTH) and his investor group may have decided to invest in the musicmatrix.com idea.

NXT Nutritionals also operates out of Massachusetts just like Spire Investment Group.

Mark A Giresi (or somebody else involved with NXTH) may have played a big part in NXTH signing Shaquille O'Neal as a spokesperson for their product.

Mark A. Giresi (or somebody else involved in NXTH) also may have played a role in first trying to get Justin Bieber, Lady GaGa, and the Black Eyed Peas to act as spokespeople for musicmatrix.com before later settling on Howie Day.

In an email to a concerned investor in May of 2010 Erik Kafrawy explained his association with ENTI:

"For a short overview, my business partner and I started Spire a few years ago for our real estate investments we were involved with. We were then introduced to Rick DiBiasi of Encounter Tech through a friend of ours about 2 years ago. At the time, they were looking for funding for their new video platform. That platform was being presented by using their test site FilmRookie.com. That platform is now being used for their new flagship site MusicMatrix.com"

Between July of 2010 and September of 2010 Anthony Dibiase took over as the CEO of ENTI. He brought with him the same attorney that he used with Strategic Rare Earth Metals Inc. (SREH) to help him dilute that shell down to no bid, Christopher Davies.

Anthony Dibiase immediately raised the authorized share count from 5,000,000,000 to 10,000,000,000 in September of 2010:

In the mean time the under achieving asset, musicmatrix.com, has already been moved to a new shell, PTEL, to begin the whole process all over again, and the ENTI shareholders (just like the SREH shareholders before them) have been left with nothing but a dead shell.
