To those claiming dilution is not a factor with BEHL
(I know, I know ... it sounds crazy .. but some of BEHL loudest supporters are still saying dilution is not a factor here)
Do you realize that on Feb 12th of this year, the AS was raised from 750 million to 1 billion, followed by another increase in June to 1.5 billion.
As of Aug 18th there were ~1.5 billion outstanding ..
So that boils down to ~1 billion newly issued shares, in the last 6 months. For those screaming about manipulation and naked shorts killing the share price. Please provide some evidence that shows those forces are much stronger than the 1 billion new shares.
As far as I'm concerned, your argument is like the previous PBR version. (it doesn't hold any water)
BEHL, Fully Diluted, looks like ~27,500,000,000 shares
15 million Series B preferred shares were issued from June 30th to August 18th.

30,000,000 Series B Preferred shares authorized, 10,000,000 outstanding. No public float as preferred shares are non-trading. One shareholder of record as of June 30 2010

Hey Johnnie .. I think this is a picture of three of the basins.. Last time I saw them, they had water in them.. EVAPORATION is at it again. I'll have to dig up a photo of them with water.
There doesn't appear to have been much done out there since EmergingGreenCompanies provided BEHL shareholders with new pictures.
I'd have been curious to see where they are "tapping" into groundwater at each basin. 75 gallons per minute in and out of each basin. Out of the ground, transfer some heat, back into the ground. No permit required .. Yeee HAw!!

because the preferred shares when converted, will put BEHL in a position to have more shares outstanding than authorized (2 bill)
That number did change recently with the return of Shen's Preferred shares. As it stands as of June 30th .. there are only 10,000,000 of the Series B outstanding. That represents 10,000,000,000 (10b) common shares if converted. I don't see Nancy Fisher converting all of her preferred shares any time soon.
I don't know how BEHL get rid of the overhang in the near future without an increase to 12b... I can't imagine that happening.

Banyon .. my disappointment as a shareholder
Is a combination of many things. I am not upset that I wasn't informed of the amendment prior to it being submitted. I am disappointed in the response I got when I inquired about it. The response was a lie in my opinion.
Regarding the share increase. Shareholders were warned that it might happen. I give them credit for including it in the financials. However the fact that Dennis said ~two weeks prior that there would be no increase and the new contract would cover expenses for the year. I feel he was dishonest during the interview.
I am disappointed that the Up-listing is not happening now. Because I viewed the up-listing and an opportunity to have an actual audit completed. The company is mum about the audit. I can't even get a crappy reply on those emails.
The Notes Payable section of the financials show a potential conversion of between 500,000,000 and 700,000,000 worth of common shares because of matured debt. If the new shares are not used to support the company, Existing shareholders are going to get bent. no matter how you slice it.
Without an Audit and honest management.. how can anyone not be upset by the latest increase?

I assume it is another increase in the Authorized Shares. Can you ask if you are allowed to share the current number of Outstanding shares as well? I strongly believe it is much higher than the numbers included in the Q2 financials.
There is so much talk about Openness and Transparency .. Yet when I contact the Transfer Agent, I am told I have to contact the issuer. When I contact the Issuer, I am told the information is not available to me. This is not transparency, this is the opposite.
Shareholders should not have to wait for the actions of the State of Florida to find out about BEHL. Especially considering the fact that you just held an Open House.

The installments from Desert Valley Farms didn't show up as revenue in the Q2 filing. It was listed as an asset "Death Valley Project Development Costs" Why would Biocen's installment be revenue. What is BEHL selling them? At this point Biocen isn't buying PBR's they are buying algae produced using Desert Valley Farms LLC's PBR's
i'm not sure what harvesting has got much to do with revenues. they are in the business of selling, setting up, and maintaining pbr's, not selling algae.
I'm not expecting to see any revenue in the 3rd quarter. Q3 ends in 38 days. Where is it coming from?
I hate to quote Dennis Fisher, but he did say, The first harvest in DVJ would be the last week of September. (per shareholder at open house) The last week of September is the end of the Quarter.
Accurate information is always a big deal.
I read this account from the Open House. The trailer for DVJ showed up yesterday, four days late, and 5 feet short. Won't be big enough to hold everything, and since it showed up yesterday they weren't able to fill it.

I love how some of you people think BEHL should be signing contracts with notable business partners. They are a start up! Any contracts signed are good contracts, especially before DVJ is up and running. If Behl can pull one commercial site off, I think this company is going far. Give them a shot. What a bunch of clods. Behl isn't a blue chip unless you forgot.
I haven't seen any pictures of the food spread. I've heard reports of people eating algae with various employees. One account mentioned no vegetarian options on the food table. I'd have been a bit upset at that. They didn't plan a Vegetarian option ... in California? really? I didn't attend .. so I can't complain.
I'm assuming there was a "Willy Wonka atmosphere" at the open house. I started a signature for the event, but never got past the planning/collection stage. I couldn't bring myself to deface Willy Wonka by placing Fisher head on him. Willy Wonka turned out to be a misunderstood genius. DF isn't worthy of that yet.

here is a little more information for you about our PBR
1) these tubes are 8 inches in diameter...made of seven layers making them almost indestructable...
2) an 8 inch shut off valve costs over 500 a piece
3) and each field has 62 rows X 210 feet long which equals 1/4 of an acre
4) if I did encompass a shut off valve for every row the cost, just for the shutoff valves would be over 120K per acre
5) our system does not leak...but if it did, we would have to fix the problem and sterilize the 62 rows completely...UV everything and introduce a new innoculant from an awaiting wall reactor...down time = 2 to 3 weeks for that 1/4 acre
6) Martek (www.martek.com) has a sterile environment and once or twice a year they are down to flush
7) we project 290 days of operation each year and our forecasts are based on this

Can you explain what will happen when the PBR has a leak? Can each individual tube be shut down? Will the entire harvest be contaminated?
I would expect the Siemens control unit would notify a tech when this happens; but what precautions if any are in place to protect the sterility of the algae? I don't remember this sterilization process being announced last year at SJC.

To be Fair, the video* shows what looks like a Harvester Unit being dropped off. BEHL was expecting a newer version of the harvester ... so seeing a new one being dropped off isn't a huge surprise.
I am surprised that NO ONE has spoken up and said that BEHL is harvesting Algae from the PBR daily. We know no algae has been sold .. the financials don't show any sales of algae.
BEHL is supposed to have FOUR of these harvester units at DVJ. IF it is true that they have not harvested algae in Santa Ana, THen I believe we are much further from profitability than many believe. Without harvesting algae from the PBR how can they be sure of it's contents and quality?
Although I've suspected that there was no harvesting going on .. I was assured by a few longs that I was wrong and BEHL was in fact harvesting algae.
I fully expect to be wrong, Someone has pictures or video from the open house showing BEHL harvesting Algae. or evidence or such a harvest.

I dont really know where to start, so I'll post some of the really stand out ones in my head.
1. Hawaii!!! The farm will be on the Big Island. Starting with one acre, and expanding from there.
2. OTCBB is not financially a smart move for the company itself at this point for financial reasons, $200,000 + cost.
3. Many potential clients were there, including Venus Brightstar,(whom I didnt get the oppurtunity to talk to), as well as the first buyer of a 1 acre PBR- Arthur.
4. Spoke with the owners of the DVJ property. There is power on the property, 480 volt, and ample service for most of the operations, but they are still bringing in generators till thats set up. They also have an area ready to go and approved for wind turbines! Just looking for the investor. He's trying to make it a true mecca of green tech!

The owners of Biocen, the beverage company which we have the contract with were there. They explained how they were completely a startup, however they already had clients line up for purchase of the algae strains. Appqarently they have some ties with a big distribution plater in the neutracuticals biz. However they No Longer have anything to do with the previous beverage labels. Bionic tonic and Pink Lady went with the previous company. They stated how they only bought a shell, a forklift and a truck. Nice guys though, and they seem confident of their goals.
Did it appear that BEHL was indeed recycling the waste water from the Basin? We all know there is a sump pump used to empty the basin.. in your opinion did you see storage tanks with enough capacity to hold the basin wastewater/algae mix?
