4. In connection with this transaction, and as an inducement, for the undersigned to enter into this Agreement, Buyer represents and warrants, and by our signing hereby re-confirms that:
a. Buyer is an accredited investor as the meaning is set forth under Regulation D of the Securities Act of 1933.
b. Buyer was not solicited by the undersigned or any of the undersigned’s representatives for the purchase of these shares.
c. Buyer has received all of the information from its independent professional, legal and/or tax advisors, as it considers necessary or appropriate for determining whether to purchase the Shares. Buyer is familiar with the business, affairs, risks, liabilities and properties of the company (HRCT).
d. Buyer has such knowledge and expertise in financial and business matters that it is capable of evaluating the merits and substantial risks of an investment in the Shares and is able to bear the economic risks relevant to the purchase of the Shares hereunder.
e. Buyer understands that there may be no market for the Shares.
f. Notwithstanding applicable Federal and State corporate and securities law disclosure requirements in any jurisdiction, Buyer agrees not to disclose any terms of this Agreement to any other parties except to parties specifically involved in the transaction contemplated herein.
g. Buyer has no liability or obligation to pay any fees or commissions to any broker, finder or agent with respect to the transactions contemplated by this Agreement for which the Seller could become liable or obligated.
h. Buyer acknowledges that the Seller makes no representation or warranties as to the past, present or future operations of the company (HRCT), or the price or activity of the HRCT stock.
5. Seller and Buyer agree to indemnify and hold each other harmless for two (2) years following the date below against and in respect of any liability, damage or deficiency, all actions, suits, proceeding, demands, assessment, judgments, costs and expenses resulting from any misrepresentation made in this Agreement.
6. The parties agree to execute such additional documents and take action as may reasonably be requested to effect this transaction or otherwise carry out the intent and purpose of this Agreement, or subsequently transfer the subject Shares.
7. This Agreement shall be governed by the laws of Hong Kong, notwithstanding any conflict-of-law provisions to the contrary.
8. This Agreement sets forth the entire understanding between the parties and no other prior written or oral statement or agreement shall be recognized or enforced. Any amendments or modifications to this Agreement must be in writing executed by both parties.
9. If a court of competent jurisdiction determines that any clause or provision of this Agreement is invalid, illegal or unenforceable, the other clauses and provisions of the Agreement shall remain in full force and effect and the clauses and provisions which are determined to be void, illegal or unenforceable shall be limited so that they may remain in effect to the extent permissible by law.
10. Every right and remedy provided herein shall be cumulative with every other right and remedy, whether conferred herein, at law, or in equity, and may be enforced concurrently herewith, and no waiver by any party in the performance of any obligation by the other shall be construed as a waiver of the same or other default then, theretofore, or thereafter occurring or existing.
11. This agreement may be executed by one or more parties in counterparts, and such copy may be delivered by facsimile, and such execution and delivery shall be considered valid, binding and effective for all purposes. There Are Several ways to Have the 144 Removed
Removing a restrictive legend.
Restricted stock certificates customarily bear a legend identifying them as restricted. The absence of a legend does not mean that there are no restrictions on the sale of the shares. The main purpose of a restrictive legend is to prevent you from transferring ownership in violation of securities laws or contractual agreements. Certificates bearing a restrictive legend normally will not transfer until the securities represented by your certificates have either: been sold in accordance with the applicable regulatory or contractual restrictions, or are no longer subject to regulatory or contractual restrictions. There are primarily 3 ways to remove a restrictive legend:
Rule 144
If the shares were fully paid for more than 1 year and less than 2 years ago the shareholder may qualify to sell under "Rule 144". In order to do so the following must be submitted through a broker:
1. Specific and concise transfer instructions (include names, addresses, and social security numbers) and an acceptable Medallion Signature Guarantee.
2. Form 144, as filed with the SEC
3. Broker Representation Letter
4. Seller's Representation Letter
5. Satisfactory legal opinion from an acceptable securities attorney.
6. Transfer fees of $18 per certificate issued and legend removal fees of $40 per legend removal.
Rule 144(k)
Rule 144(k) applies if the following conditions are met:
a. Shares were fully paid for 2 or more years ago.
b. The shareholder is not an affiliate of the issuer and has not been for at least 90 days.
c. The shareholder does not hold 10% of the outstanding shares and has not for the past 90 days.
Shares may be freed up under rule 144(k) by the following steps:
1. Submit the transfer with appropriate transfer instructions (include names, addresses, and social security numbers) and an acceptable Medallion Signature Guarantee (applicable only if the registered owner(s) change in any form on the face of the certificate).
2. Submit a completed 144(k) form signed by the shareholder, attesting that they are not affiliates of the company and meet the other requirements of 144(k).
3. Enclose transfer fees of $18 per certificate issued and legend removal fees of $40 per legend removal.
Registration Statement
Some companies will file a registration statement with the SEC that will enable a shareholder to sell restricted stock, provided that any unsold shares be issued back into the shareholders name with the restriction. Normally the company will inform all shareholders that are affected by the registration statement, but it may be worth the time to call the company's investor relations department directly to find out if a registration statement has been filed, or will be filed.
Please note: The cost to remove a restrictive legend from a stock certificate is $40.00. In addition, the fee to reissue a certificate is $18.00 per certificate issued. Please include the appropriate payment when you send your certificate.

Solon Says----There are even adversarial ways to have the legend removed---I had to do it once with a company I founded and took public but the underwriter was trying to keep me from selling ANY shares but Schwab regulatory Compliance group took care of it for me. China Computer market to surpass the United States as the largest consumer of PCs by 2010, Intels Asia-Pacific chief says.
China became Intel's second-biggest market last year, trailing only the United States in terms of sales.
"For PCs, China is now easily No. 2,'' John Antone, general manager for Intel's Asia-Pacific region, said Wednesday. "We expect China to continue to grow to the point where it's equal or larger than the U.S. as a consumption market by 2010.''
The Chinese PC market is expected to reach 13 million PCs units this year, eclipsing Japan's 12.7 million units to rank as the world's No. 2 PC market, according to market researcher IDC. The U.S. market is expected to come in at nearly 51 million units, IDC said.
Last year, the figures were 47 million for the United States, 12.5 million for Japan and 11.3 million for China, according to IDC.
Antone made his remarks as Intel posted better-than-expected results for the third quarter, including a near 150 percent jump in profit from a year earlier and 20 percent growth in revenue.
The Asia-Pacific region, excluding Japan, was a major growth driver, with regional sales accounting for 42 percent of Intel's total, compared with 41 percent in the previous quarter and 38 percent a year earlier.
Including Japan, Asia accounts for 51 percent of Intel's sales. Antone said he expects that share to continue to grow, driven primarily by markets outside Japan.
"It's now a little bit above the midpoint and will probably continue to grow,'' he said of Asia's share of sales. "As that percentage goes up, sequential increases will likely slow down because it's gotten to be such a big part of our revenue. Emerging-market growth--the biggest of which is China--relative to mature markets is going to continue to be faster.''
In a nod to China's growing importance to the company, Intel said in August it will build a $375 million plant for chip testing and assembly in the interior Chinese city of Chengdu.
Antone said construction of the first $200 million phase of the Chengdu plant will begin early next year. The plant is set to open in late 2005.

HRCT's Path is Like Chicago Sausage-- really do appreciate all the work and balance you --TIN and all the others bring to the board.
I have made a lot of money with HRCT but watching it is a lot like grinding up the entrails to make sausage---oh by the way---speaking of sausage----the little marlins who could had another fun game---actually I am a Cubs fan---having lived in Chicago and going to the cubs games in disguise while being harassed by my white sox neighbors---but I now live just a few miles from the marlins-----was that a white sox fan who stuck his hand in moises glove?
Actually we --HRCT is exactly where David said we would be----I was blessed to be able to spend an afternoon with him last fall---instead of being a mini-phan---I believe he is a MAXI-Phan.

YES TFN, I was very impressed.
Now, let me tell some words about the last event. I was very surprised about the well organization and the guest list. Many very important persons were there and they got a short overview about the business here in Shanghai. We also had a speaker from Intel and Morgan Stanley and they talked about the china market. I was very impressed about the future in china, especially in Shanghai. I don’t know a Company in the US or Germany which could organize this event. Dr. Phan has some very important friends here.
It was very important to keep the friendships and tell the Hartcourt Story again and again.
Yesterday, I visited HuaQing and Shanghai Guowei stores in Shanghai. Here in China, it’s different to the US or Europe. You only can find small stores, but a lot of them. For this, it’s very important to have well partners like Samsung, Intel etc. They sell their products here in China.
Both Companies are working very well and I could see many customer.
