A group of investors including Apollo Global Management, Alta Fundamental Advisers and PacBridge Capital Partners have received approval to buy a trove of Titanic artifacts and their bankrupt owner.

On October 18, a U.S. bankruptcy court judge for the middle district of Florida in Jacksonville approved the purchase of the artifacts and RMS Titanic for $19.5 million, bankruptcy filing documents show.

The artifacts include clothing, letters, cookware, coins, floor tiles, and part of the hull of the infamously wrecked ship, according to bankruptcy filings. Other than artifacts preserved by survivors of the shipwreck, the artifacts recovered by the bankrupt company are the only others to be recovered from the wreckage, the filings show.

The bankruptcy process was a lengthy one, with RMS Titanic’s parent company, Premier Exhibitions, initially filing Chapter 11 for bankruptcy protection on June 14, 2016, an announcement from Premier shows. Along the way, a consortium including the National Maritime Museum and the National Museums and Galleries of Northern Ireland considered making a bid for the company, which would have forced an auction process, the bankruptcy filings show.

However, Judge Paul Glenn ruled in favor of the bidding procedures proposed by Premier Exhibitions on August 30, which stipulated that any potential buyers that were not the stalking horse bidder — which is the consortium led by Apollo, Alta and PacBridge — would have to pay at least $21.5 million for the company, according to the filings.
Ultimately, the investment group that included Apollo, Alta, PacBridge, and several wealthy individuals, prevailed, and now have court approval to buy RMS Titanic out of bankruptcy. A spokesperson for New York-based private equity firm Apollo declined to comment on the purchase. A spokesperson for New York-based investment advisory firm Alta Fundamental didn't immediately return a phone call seeking comment. A spokesperson for Hong Kong-based PacBridge and RMS Titanic’s lead attorney didn't reply to emails seeking comment.

Still no decision it appears, but Debtors been trying to steal the assets from shareholders by selling them for $17.5M. Hopefully, the judge sides with Equity Committee reorg plan? I think the outcome will depend on what the unsecured creditors decide. Definitely think they'll side with Equity Committee, but you never know.

Never mind I found it on the companies website. This looks like an intriguing buy here. I put in for some this morning. Looks like payout could be 4-5x current PPS if sales fetch a nice value for assets.

Where do you see the $218mil figure? I saw $110 in their filings from when they were given the assets from 2010. Can you show me where you saw that different figure? It's a substantial difference...

The appraiser's statement says that the fact the artifacts must be sold together (and kept together) is not taken into account in determining the appraised value.

No idea how much that would affect value.

Interesting play here. They are going to try to sell the titanic assets. They indicated the fair market value of the assets are 218m. They don't have too much debt. If they can get remotely close to that valuation it would be a really nice play with less than 5m shares outstanding.

The challenge is that they have to sell the entire titanic assets together and to an institution that will allow it to be showed publicly. That certainly cuts down the number of buyers. I don't know anything about what the demand would be like for these assets but it seems that it is at least possible that there could be serious interest. The question is at how much and how far or close to that 218m number they put out as FMV.

I hope you are not wasting your time on this one.

Know it very well. Not worth the time other than if they can somehow unload the Titanic assets for anything at all for which you'd have plenty of time to own a few. Unfortunately a sale comes with a myriad of gov't and legal red tape for any future owner which diminishes the potential.

My firm, AJB Capital, is the holder of more than 5% of Premier Exhibitions (Symbol: PRXI). Below is a summary of a more detailed communication I am providing Premier’s leadership and is available on our Schedule 13D.

I am calling on Premier’s leadership to:
•Prioritize the immediate monetization of our Titanic artifacts and its exclusive Salvor-in-Possession rights of the wreck site.
•Fulfill its reporting requirements as a public company

I do not consider myself an activist investor and am not taking the stance of one here now. Our goal as a shareholder of Premier is to:
•Raise concerns
•Provide solutions
•Emphasize accountability
•Assist Premier’s leadership in restoring value

I am optimistic and expectant that Premier will respond positively to shareholder concerns and take advantage of the help I am offering.

Reporting Requirements:
The financial reporting by the company is late. There has been no quarterly or annual financial report to shareholders since the 10-Q for the period ending August 31, 2015 was filed. In my view, that is too long to go without reporting to shareholders. It appears to me that without shareholders holding leadership accountable, we will be kept in the dark.

Assets
Premier’s ownership of over 5,000 Titanic artifacts and status as Salvor-in-Possession of the Titanic wreck site are in my estimation the most valuable assets we possess. The most recent appraisal of these assets totaled $218,023,300. The current market value of our equity is approximately $3,300,000, with minimal debt according to the filings. Therefore, there is a very large disconnect between the appraised value and what the market expects the company to realize from them. With such a large and growing discrepancy between the two valuations, I believe it is prudent to analyze the prioritization and focus of Premier’s strategy to determine if it is the right one.

Strategy:
The strategic outlook provided by management listed stabilizing operations as management’s first priority. Judging by the financials, the operations are losing money and bleeding cash. Rather than focus resources on a turnaround of unprofitable exhibits, it may be best to end them and stop the bleeding. The locations where they are held, including midtown Manhattan, are highly desirable to many different tenants. This provides Premier an opportunity to unburden itself from expensive leases and disengage from the irrational practice of running an unprofitable exhibit to meet the lease obligations.

I want to reiterate my desire to work collaboratively with the company to unlock its value. I also want to emphasize that in my judgment the current path the company is on is not working and we all may be better off pursuing an alternate course of action. I am making myself available to Premier and urge them to take me up on the offer.
