Of course Worldgate is no more. It has been liquidated and its officers have resigned. Not sure if there is still an active trustee.

Their patent alone is worth millions....The board resigned and handed the liquidation to the courts to clear the way for a buyer that will purchase the assets with court cleared order to avoid lawsuite.

Apple, Google or MSFT can buy this patent and put the chip in their phones and charge a preimum for the service.

Today, Worldgate filed for Chapter 7 Bankruptcty.

Item 1.03 Bankruptcy or Receivership.

On March 30, 2012, WorldGate Communications, Inc. (the “Company”) filed a voluntary petition for relief under Chapter 7 of the United States Bankruptcy Code (the “Code”) in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Filing”). The chapter 7 case is being administered under case No. 12-11106.

Effective as of the date of the Bankruptcy Filing, a chapter 7 trustee assumed control of the Company. The assets of the Company will be liquidated in accordance with the Code.

It is anticipated that WorldGate Service, Inc., WorldGate Finance, Inc., Ojo Service LLC and Ojo Video Phones LLC, which constitute all of the subsidiaries of the Company, will subsequently file voluntary petitions for relief under Chapter 7 of the Code in the United States Bankruptcy Court for the District of Delaware.

Item 2.04 Triggering Events that Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement.

The Bankruptcy Filing triggers an event of default under the Company’s and its subsidiaries’ outstanding debt obligations to WGI Investor LLC under its revolving line of credit having an outstanding balance, as of March 30, 2012, of approximately $3.6 million.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

With the installation of the chapter 7 trustee and concurrent with the Bankruptcy Filing, on March 30, 2012, the employment of Allan Van Buhler, Principal Executive Officer, Senior Vice President and Secretary was terminated. As a result, the Company no longer has any employees.

Also, with the installation of the chapter 7 trustee and concurrent with the Bankruptcy Filing, on March 30, 2012, directors Robert Stevanovski, Geoffrey M. Boyd, Anthony J. Cassara, Brian Fink, Colleen R. Jones, Richard Nespola and David Stevanovski resigned as members of the Company’s Board of Directors. The Company has no current members of the Board of Directors.

The Services segment marketed and distributed products and related recurring services to end users. The Services segment was previously known as the Consumer Services segment. The Equipment segment sells digital video phones directly to telecommunications service providers who already have a digital voice and video management and network infrastructure. The Equipment segment was previously known as the Original Equipment Manufacturer or OEM segment. In connection with cost reduction measures in March 2011, the Company discontinued offering its digital voice and video phone services to customers.


In March 2011, the Company’s Board of Directors approved the discontinuation of the Services segment of the business. Based on this approval, the Company determined that this segment substantially met the criteria to report the segment as "Discontinued Operations" in accordance with ASC 360, “Property, Plant and Equipment.” Accordingly, assets classified as discontinued have been measured at the lower of the carrying amount or fair value less cost to sell. The Company has completed the discontinuation of the operations of the Services segment of the business during fiscal year 2011. Going forward, the Company will cease to report that segment’s results.

Debt and Revenue Are Two Separate Issues

You need to ask why G3 Connect and Barry MacShane chose to invest in PVSP. Barry is an insider to both Wgat, PVSP, Ojo Tech, and the VVoIP industry. He understands how things are coming together and where LightSquared comes into play and I don't believe he has the wealth to throw away $500k.

Also, I think you need to layout a timeline of important events to occur over the next 9 months to get an idea of what needs to occur to remove the uncertainty around PVSP's (IMHO) pending success. For example, when/where do you place the FCC's decision on LightSquared on the timeline? Until this and other important factors become clear, the path to PVSP's success remains mired in discussions about debt rather than the scope of opportunities and the impact of LightSquared on the wireless VVoIP market place.

And, I think you need to come to grips about the challenges of marketing a disruptive technology like VVoIP. Until you take into account the seminal points inherent in "Technology Adoption Lifecycle" and the book "Crossing the Chasm", all will be chasing the wrong hopes. (Look in Wikipedia for both of these references.)

Certainly, there are no guarantees. But as has been said, the Trolls/Shorts have predicted the last 10 bankruptcies of Wgat and PVSP incorrectly.

Tentative News: Video Phone has Patent Approval. . .

It is my understanding that the video phone component of the Pervasip VVoIP solution has just received approval late today. The truth of this news will only be validated by proper notification of the new approved patent number.

It will likely take time for proper communication to the investment community of what could be a game changing patent. (Just look at claim #7.) It will take time for the impact to be felt.
