Feb 20, 2014 (ACCESSWIRE via COMTEX) -- Beverage company Dewmar International BMC Inc. (otcqb:DEWM) announced Feb. 20 that it has purchased U.S. Hemp Corp. for an undisclosed sum.

The Clinton, Miss-based company plans to use its new wholly-own subsidiary to produce and market hemp-and-cannabis-related beverages and other products.

"With U.S. Hemp Corporation in place, as an official Nevada corporation, we can better align our business processes and resources to support the pipeline of cannabidiol related products and services we have slated for introduction to the marketplace while allowing Lean Slow Motion Potion, (TM) the company's flagship brand, to continue its expansion into additional big-box retailers," Dewar International's CEO Dr. Marco Moran said, in a written statement.

Even though the press release does not elaborate much on the terms of the deal or the development of its new products, the fact that it is coming from a beverage company with tangible products already in distribution and will now be able to create some new hemp and legal cannabis-related products is positive news for Dewmar International. Its stock volume and share price could benefit mightily in today's trading from the announcement.

$1 Million Private Placement Helps

Cyber Kiosk Solutions, Inc. (otc pink:CYBK) stock volume skyrocketed Feb. 19, 2014, with 3,484,149 shares changing hands, nearly four times its three-month average volume of 927,176 shares.

This spike in volume comes on the heels of the positive news of Cyber Kiosk getting a $1- million-dollar cash infusion from a private placement as announced by the company Feb. 11 announcement:

It couldn't come at a better time. Cyber Kiosk's latest quarter report covering the period of July to September 2013 showed the company had a total of equity of about -$217,000 with net income of about -$12,000.

CYBK's share price closed at 28 cents, down 5 cents from its closing price of 33 cents the previous day.

Stock Volume Still Soaring On Merger News?

AvWorks Aviation Corp. (otcqb:SPLI) stock volume also soared Feb. 19, with 17,763,076 shares changing hands, nearly three times its three-month average of 6,488,914 shares.

There really hasn't been any news on this onetime aviation parts broker since it merged with an e-cigarette maker on Jan. 21, 2014. So, it is possible that its soaring volume could be a residue from the merger.

The marijuana industry just got a critical boost in its effort to become a massive and completely legitimate business. On Friday, two federal law-enforcement agencies released coordinated statements clearing the way for banks to take deposits from and offer financial services to marijuana producers and retailers without fear of prosecution for money laundering.

To say that this will ignite a revolution in the still upstart industry would be an egregious understatement. “It is imperative that this legal industry have access to banking the same as every other business sector,” said Mike Elliot, executive director of the Medical Marijuana Industry Group. “To continue doing business on a largely cash basis creates serious safety issues for owners, employees, and customers.”

An industry awash in cash
As the legal marijuana industry develops in Colorado and Washington — click here to access our recent in-depth series on the business of legal marijuana — entrepreneurs have run up against a major problem: Banks won’t provide them financial services or, for that matter, even accept their deposits, leaving retailers and wholesalers awash in copious amounts cash.

The reason is that marijuana remains an illegal drug under federal law. As a result, banking statutes and regulations make it a crime for financial companies to handle the proceeds of any business engaged in the production, distribution, or sale of the drug. In short, it would be considered money laundering.

While the coordinated guidance issued at the end of last week by the departments of Justice and Treasury doesn’t change this, it does send a strong signal to financial institutions that they won’t be prosecuted for providing services to the marijuana industry so long as their customers don’t run afoul of eight “enforcement priorities” laid out by the Justice Department in the middle of last year.

These include preventing the distribution of marijuana to minors, preventing revenue from the sale of marijuana from going to criminal enterprises, and preventing the interstate trafficking of marijuana, among others. Short of “significant” violations like these, the Justice Department is now instructing its law-enforcement officers to concentrate their “limited investigative and prosecutorial resources” elsewhere.

For participants in the fledgling field, this is a critical step — assuming, of course, as I believe to be true, that banks heed the guidance. In the first case, it relieves business owners of the security and accounting issues associated with conducting business in cash. In the second case, it could very well be the first step in making additional capital — i.e., loans — accessible to those in the industry. The latter in particular would serve as a potent catalyst for growth and expansion.

Does this mean the nation’s banks will soon become accomplices in the drug trade? Yes and no. It seems safe to assume that many community banks will jump at the opportunity to curry more business, especially if it equates to a substantial increase in demand deposits like checking accounts, which pay little to no interest.

By comparison, the risk/reward analysis will be different at the nation’s largest lenders. Just last year, Bank of America (NYSE: BAC) struggled over the decision of whether it would provide banking services to the state of Washington — that is, the government itself — given that a portion of the state’s tax revenues derives from excise and sales taxes on marijuana. The Charlotte, N.C.-based bank eventually decided to do so, but the controversy alone spoke volumes.

Meanwhile, in response to a reporter’s inquiry on Friday, a spokeswoman for Wells Fargo (NYSE: WFC) said that “It is currently Wells Fargo’s policy not to bank marijuana businesses, based on federal laws — under which the sale and use of marijuana is still illegal.” Though, to be fair, she did qualify the statement by noting, “We are reviewing the guidance.”

It’s still too early to say what the impact of these nonbinding guidelines will have on the banking industry. However, there’s much less ambiguity about the significance of this to people in the marijuana business. Love it or hate it, the momentum behind this movement is clearly growing.

Dewmar International BMC, Inc. (DEWM) Announces Exclusive Licensing Agreement for the Original Hemp-Based Iced Tea for National Distribution to Major Retailer


HOUSTON, TX, Feb 13, 2014 (Marketwired via COMTEX) -- Dewmar International BMC, Inc. (OTCQB: DEWM) (OTCBB: DEWM ) ("Dewmar" or "Company") today announced that it has entered into a one year distribution agreement with C+SWISS, the original and first hemp-based ice tea ever distributed in the United States. The agreement gives Dewmar the exclusive right to distribute the hemp-based ice tea nationwide to one of the world's largest retailers. The distribution agreement, effective immediately, continues Dewmar's recently announced initiatives to become one of the most successful licensees and creators of hemp-based products in the United States.

The agreement was signed with Chill Drinks, LLC, a Miami, Florida-based company, and the creator of both the award-winning C+SWISS (hemp-based ice tea) and Chillo (hemp-based energy beverage). C+Swiss is an all-natural iced tea which is sold in both specialty and large retailers, including Whole Foods. The product is distributed in over 10 countries, experiencing over 30% sales growth in the past 7 years. Currently, over half of the sales from hemp-based products are within the food and beverage category.

America's fledgling marijuana industry uses $6 billion worth of energy per year, creating greenhouse gas pollution equivalent to 3 million cars.

In real numbers, the monthly energy bill for the Denver-based River Rock dispensary - a medical marijuana retailer with a local warehouse - exceeds $21,000. And that's low compared to other retailers, who have electric bills of $100,000, reports CBS Denver.


What to Do?

Colorado's medical retailers project the marijuana market will grow by at least 400% percent when recreational users start buying in January.

In preparation for capacity crowds at dispensaries, the City of Boulder is ready with the same environmental regulations as any polluter. [b[color=red]]The city mandates marijuana growers either install or buy wind or solar energy, or purchase carbon offsets. [/color]


We can't have a burgeoning industry that is driving our carbon emissions up," Boulder City Councilman Macon Cowles, told CBS Denver. "Marijuana is going to be greener in Boulder and we are very proud of that."

As for River Rock in Denver, its new 18,000-square-foot greenhouse will primarily run on solar, using 6% of the energy needed to grow indoors. "Our primary goal is to lower our costs as much as possible and pass it on to our patients," owner John Kocer told CBS Denver.

Industry revenue since 2001 has grown at a rate over 12.5%, and it is expected to skyrocket at an annual rate of 24.3% a year until 2018 where the revenue will total over $5 billion. What are some advantages?


1 - Ability to control temperature
The greenhouse design lets light in, and when this light is absorbed by objects inside the greenhouse and turns to heat energy, it is not permitted to escape. The air temperature in the greenhouse will exceed the outside temperature. If it gets too hot, all you have to do is open up some of the ventilation panels (or just open the door, depending on the design) and the temperature will drop. Every plant is made up of cells. Every cell has hundreds of chemical reactions taking place inside it at every moment of the day. These reactions would be very slow, if it wasn't for enzymes. Enzymes act as catalysts for all the chemical reactions taking place in cells (including photosynthesis).

2 - Enzymes work best in certain pH's and temperature ranges, depending on the type of enzyme. Too high or low pH, and the enzymes will work slower than normal, or might even denature (die). Too low a temp, and the enzymes will also not function to capacity, and too high results in them being denatured. Warm -but not hot- temperatures usually result in maximum enzyme efficiency, which means faster plant growth. Having perfect temperatures is like super-charging your plants!


3 - It helps slow the rate of evaporation from soil and plants, as the air already has a large amount of water suspended in it. Plants use water during photosynthesis (6H20 + 6CO2 (plus sunlight)= C6H12O6) so they need a constant water supply during sunlight hours. Having to battle with high evaporation rates is something they don't want! By lowering this, it enables them to photosynthesis more without losing water to the point of their leaves wilting.
