The attached information may be of benefit to you and our team...
Just visited your site, again. The sites is very informative as usual and if there is any items on our web that you believe would be of benefit on your site please send your request and I would be very happy to supply information as long as it is public knowledge. We have just finished a photo shoot on the line of products available plus industry / corporate profiles written regularly from Dr. Carlson, Dr. Gourley and other industry professionals who have been invited to post on to our site monthly which should give the investing public more valuable info on our industry and why STRU is making an impact and where we are heading with this technology. Also, reading my e-mail many have sent articles relating to cloning and xenotransplants and how STRU can make a difference in these areas. I will be addressing these areas shortly as I feel that they are items, which are of importance, and as always I follow these developments with a great sense of interest.
An example of this would be recent posts indicating that cloning will replace the new technology of the GS system. To put this item to rest I can assure anyone that with the Gourley Scope (GS) one can implant cloned or fertilized embryos fast and safely without the need to anesthetize the recipient animal. This is not speculation; it is a true and repeated fact, which the team and I have preformed with much success. The most interesting fact is that we have taken folks such as secretarial staff and trained them within 30 min. to perform this procedure. By visually seeing where you are placing embryos through our optic system there is very little room for errors. Another point, which I should address, is that there is another deep uterine insemination device on the market that does not employ optics. We have worked with this device and because it does not have any optical attachments such as ours, you can not see where you are going and in speaking with those that have used this other device, an untrained professional can by accident perforate the reproductive tract causing harm to the animal and obviously placing embryos or semen in an area not suitable for maximum conception.
Recently, Dr. Gourley and I were demonstrating the GS system at a client’s location and by actually viewing the reproductive tract we were able to view disease present in the reproductive tract. Following this we were able to explain that this animal would not be suitable for conception. However, because we were able to identify the disease present we could then infuse antibiotics directly to the area, which presented the disease. You could not have done this unless you actually viewed the surface area of the reproductive tract using the GS system. Using the other system on the market, one would never have even known a disorder was present.
Therefore, I will highlight that there are a series of benefits we employ and selling features of the GS system:
1) Continuous viewing of the reproductive tract while traversing and entering the vagina, cervix, uterine cavity and finally the uterine horns of the animal.
2) Viewing any pathogens present.
3) As in the case of placing cloned embryos, this is a very costly and time-consuming procedure. Therefore, if you enter an animal and you see disease present in the reproductive tract you can abort the procedure as the likelihood of embryos attaching to the wall of the uterine body is virtually impossible. Saving time and the capital invested in cloning the embryos. Move on to an animal which has a higher than average likelihood of conception.
4) Time for the procedure is reduced to a couple of minutes. And embryos can be transported to the site of implementation without the need for neither an operating room nor anesthetics. Therefore, multiple ETs may be done. With surgery a maximum of three implementations could be accomplished without putting the gilts reproductive ability in harms way.
5) No trauma to the recipient animal due to viewing the whole procedure optically.
6) Infusion of antibiotics and other medicines directly to the infected area. Therefore, no intramuscularly injections that result in antibiotics settling in the muscles (meat) that may or may not (depending on the medication used) being present in the meat you eat.
7) Using the correct antibiotic when you have defined the disease (pathogen) present. No hit and miss using broad spectrum antibiotic use which has gained considerable interest as many deceases have mutated numerous times and are now immune to broad spectrum antibiotic use. An example of this would be PRRSv, which has mutated into hundreds of different entities. Hence, the need for a series of new antibiotics being developed which are expensive and in most cases if you know what you are seeing, broad-spectrum use is unnecessary if not very dangerous.
8) Very inexpensive when comparing all of the features above.
Hopefully, this helps and you can use this information to help, as I have to explain to folks the attributes of our system. Not just the GS line, but also how everything fits together and the divisions work to act as a whole. Semen sales, gilts and boars, AI supplies, embryos and of course the TenderPrime line.

I want to thank everyone who extended birthday wishes to me on this board last night. I have said it many times, and I say it again: I have met some of the finest people that I have ever encounterd in my life due to my investment in Struthers, Inc.
Thanks also to those who sent e mail cards, to those who im'ed their regards, and to those who called. This company,is blessed with the finest shareholder base, of the finest, most decent people, that anyone could hope for.
More importantly than my reconition of this, is the fact that the company knows it too. Many times, in person, on the phone, and via e mail, Doug, Rhett, Ken, and Bob Chiari have commented about the dedication, loyalty, and over all genuineness of the shareholders. They know that we have not only placed our hard earned dollars into Struthers , but have also promoted it to the best of our ability, and most importantly of all, we have placed all of our trust and confidence in them and their professionalism.
IMO, though times have been extremely rough, and sentiment is at an all time low, they , being the decent people that they are, will not let us down.
Two years of building what appears to be an excellent foundation, 8 months of trading pink, and now, fully reporting, all ducks in a row, with all that entails.

After speaking with numerous financial folks , I really don't believe PRs
are going to cut it. The whole market is unstable as many people made
profits at the beginning and now are taking tax losses to cover.
I am constantly watching the market , but still believe that building and
selling our products to better the bottom line is the key. I will not send
out a PR every time we bring on another client or herd...people just call it
fluff...now one strategy was to group them and send out one large PR , I
just don't think it will budge the market right now....we announced deal
with Daymon and the shares did virtually nothing...and that deal is
substantial...many folks in our position would have loved to be courted by
Daymon. I don't have any challenges to repeating that PR with revenues when
we have another month of animals running through , therefore we will have
historical data to announce or TenderPrime line of naturally raised animals
and other organic products... We just want to be factual in our reporting. I
just want folks to understand we are not sitting still and our business is
getting stronger as we now move as a fully listed Corp. Financial folks
look for Q's and annual reports . Let us just watch over the next few days
until the new year and in my opinion we will support it on the upside. If
you read my latest note we have hogs running through the system every week
and clients on board for the GS system. Not just here but in the EU and the
far east.
We have really just been pounding for over a year yet folks speak like we
have been in business for 10 years. I only have STRU stock so my investment
is yours! And I plan on making it worth a lot more than it is today...but I
won't fight devalued market conditions.
That is my opinion and I hope it is of some help.

Until I release formal PRs on relationships or increased relationships with anyone I can not answer your question. All I can say is that I am very pleased with the direction our Company is taking and that we have increased our throughput of hogs (Duroc) running through packers and processors every week to meet the new demand for our naturally raised animals...which may fill the void of many customers at the present time who have indicated to us that there is a great market for these high-end restaurant quality products. The initial steps and cut data from Johnson and Wales culinary institute was extremely positive and now with this info is being fed back to the folks who ordered these products. The word is out on the quality of our shipped pork. One must understand that we started relationships and put measures in place to work out any bugs which may occur when shipping fresh product. We have had no snags and for that reason increased the weekly delivery of hogs to our customers. We have no difficultly in meeting any demands put on us at the present time.And this included using other producers...who are on our genetics. I see no need at this time to release more info on herd alliances as some just call it fluff...we can't release info on every sale or agreement we make as I do not want this to be construed as hype. What most folk look for is bottom line numbers. With historical data we can do this. We have been delivering hogs weekly and that to me is the important thing...then release numbers in a release or in the quarterly's. That is the reason why I took 2000 to build a solid foundation with the future of the unique $30 Billion niche market industry in mind, we are after a chunk of it and no doubt with what we have put in place recently that I am getting my wish. Someone needs to fill it and we are there to do just that...we also have not overlooked the rest of the industry including exports of finished products ....the export market is huge and as you now know the EU has been hit with disease and had to cull many of their top grade animals, we took the step to increase our presence over in the EU with our German Corp. there to take advantage of their terrible loss. Especially with the recent outbreak of disease in the EU. Without a doubt all of our subs are in all of our processes which involves the whole Struthers system. I won't comment on your DD but must say I am very curious as to how folks get this or any info ...when we have been quiet for many reasons. One of which is to not hype , but to reflect factual info. Dear Matt,
The reason folks buy our gilts is that they are considered to be N1
generation ...simply put one generation removed from Great grand parent
stock. Once you place in a maternal line which is of great stock then apply
our semen , you have the type of breeding animals which the market is
after...a great maternal animal which then after our ETs or semen produces
gilts for our market, and we have first right of refusal for the offspring.
We then sell these gilts for a premium to our alliances and other clients.
We are slowly introducing our GS system to these clients and it does take
time for folks to realize the benefits. The ones using it are very pleased
and as data is collected we are preparing POS material and paper
submissions. For start ups as explained in the previous note many farms are
expanding their gilts for breeding and requesting our animals. That is why I
explained how we then sell our whole program and repeat the benefits of
first right of refusal for these animals without the outlay a cash...when we
buy back the offspring the farmer receives a genetic premium for their work
in rearing these animals. We therefore don't own the unit. We have now
purchased another unit for the express purpose of increasing our great
grandparent line. That way we control the biosecurity of the unit and cost
of the animals produced. The animals we sell are guaranteed to breed and of
course any of our technology and products are available to breed them.
However , to maintain their herd farms must on average replace 20% of the
herd to maintain our genetics and the quality which we monitor through Dr.
Carlson's health Safety check program. This program is one of the keys to
our success as we monitor the animals right from conception to market. It is
also how we control any disease entering the system and eliminating it.
For further info on overseas , two things : we can send animals to create a
nucleus herd then transport embryos and semen from this herd. Or send
embryos to establish our genetic line. Right now our protocols are being
processed but will take 30 to 60 days to send embryos even though there has
been no know disease transferred by ET's the EU is very worried at this
time about introduction of diseases...to over come this we cookie cut our
system here and establish it in the EU . Again, by sending live
animals....then move ET and semen within the EU community. I can comment on
this further , however, it will become apparent shortly. The approach I have
taken is to do this in numerous Countries and again this is why we chose
Germany and the Pacific Rim for starters.
There are so many facets to this industry and our new concepts, I am pleased
that you have asked the questions so that I can help to explain part of our
business model.
I hope this helps, you may share the info I have given you with your team
as it is not sensitive it is what we do) and if anyone needs further
explanation don't hesitate to call or write. No secretes just good
educational info which should help all to understand. I am glad you
understood the last letter...sometimes I assume all realize the industry we
are in ...and I am trying to do a better job of explaining what is we

Dear Matt,
If you have some info in German I can do my best to translate it for you. I
am studying German using my CIA fast start kit "six weeks to learn where to
drop the envelop" LOL. But it is a great government course on CD and Book.
In a nut shell the dual listing takes roughly 2 weeks to complete ...our
lawyers here work with our firm in Munich to fill out the necessary docs
then they are notarized by a judge ...just like we had to do when we filed
our AG...everything was in German , but we have a lawyer in Munich who is
from the firm of Nelson Mullins who represents us here in the states and
is from SC, translated the process for us while in Germany. I will have
more to discuss with all as we move forward...but a listing over there would
give us great exposure and help the Company and stock here. With respect to
our business ventures , we sell a whole Struthers Pkg system which basically
involves all of our subsidiaries from AI / ET catheters , semen processing
equipment, genetics , to the lease of the GS system per sow usage. Huge
savings for the farmers but to us great revenues as these are ongoing sales
i.e.. catheters, semen and replacement gilts at 20-30% per year. Here are
some rough numbers on savings to farmers : per animal born using the GS
system they save approx. $1.43 or 22 (born per year) X 1.43 = $31.46, now
they also save on loss of semen as we can use less due to the fact we are
placing semen directly into the uterus with NO back flow. And we can use
gilts as we can get through the cervix...not possible with conventional
AI...therefore loss of semen...and if the technician must return to the
gilt (non bred female) he or she loses time. Conventional AI takes 20
minutes for the sow or gilt to suck up the semen ...we take 30 seconds to a
minute and a half. ETs take 2 minutes to implant...with no need for clean
rooms or operating rooms. Most farmers don't have PRs ...Recently Dr.
Gourley and I , in ? we did five ETs on gilts , average time 1.5 minutes for
placements. Right in the stalls only a little bit of feed in front of the
gilt , 12 people from various large corps were present and I must say they
were very impressed. Prior to this they had to ship animals to the (unnamed
facility) to have embryos surgically implanted then shipped back to the
herd...we just eliminated the shipping costs...and the possibility of
numerous mishaps such as spontaneous aborts of embryos when you take a pig
and transport them...also deaths from exposure and fright!
Now the sales pitch for a 1000 herd sow unit (a scenario):
rental of scope : $ 3000.00 per year
Charge per sow : $ 5000.00 per year @5.00 per sow
Charge for Catheters: $ 5000.00 per year @ 5.00 per sow
Semen : $ 13,200.00 per year
Gilts : $200,000.00 blast fill
20% replacement Gilts: $ 40,000.00 per year
Total = $266,200.00 per year on a 1000 gilt
deal
Savings to the farmer roughly $31,000.00 and that does not take into account
the saving of labor costs. For some this number may seem small but to a
farmer where ever they can save some $$ it adds to the bottom line. And when
our genetics are used we save feed due to animals going to market sooner and
other savings such as higher grade and yield premiums from packers due to
the increased lean percentage of meat.
Training is an additional $4000.00 per 12 people
These costing quotes are available for anyone who we deal with.
That is roughly the system sold as a unit, now these numbers are available
and not sensitive info ...this is what we charge. If the farmer has animals
then discount the cost of our blast fill , but you can keep in the
replacement sales as it is normal to replace 20% of there stock per year. I
can not for reasons of confidentiality go into how many herds we have on
this system or that are going onto this system, but, this info will be
either in the Qs or PRs. I just wanted you to understand the STRU system.
As for the red durocs , I totally agree that we make a larger post market
profit for these animals and that is why we have a steady stream of duroc
running through the pipe weekly. What we don't sell internally is sold to
packers or directly to the customers with our label.
The whites are for a different purpose which I won't comment on at the
moment.
As for hogs we have no shortage at the moment and can easily gear up to any
amount of requests which we are doing. I will say that customers will pay a
premium for good quality animals. Again these higher premiums have been
outlined in previous docs. SEC fillings and our literature. Where we are
also gearing up is in the production of Gilts and isoween pigs as there is
great demand for our high quality animals. Again this is not new info and
has been disclosed. This growth you will see over the next few months and
throughout the new year.
One last comment is that don't misinterpret us being quiet, as that we are
not doing anything...I want info to be disseminated in an orderly and
factual method...you get tried after awhile of folks calling things
fluff...when it is not ....and remember we just acquired LSG last Nov. 1999
and made two more asset acquisitions , plus launched new innovative semen
processing and ET technology and have gone Global for very good reasons
...export of our genetics and system being one of them, yet still have a
healthy bank balance and over $12MM in assets ...not bad for a start up
Biotech company with IMO tremendous upside potential because we plan and
work the plan. IMO the market is not truly reflective of our position in
the marketplace nor is at this time with many stocks.
Well that's my opinion and I share it with you as I would anyone who would
ask. The answers are there in our releases and SEC registration docs. and
Matt you have shown a keen interest and a definite solid knowledge of what
we are doing. For this I am grateful.
The above scenario was designed and should serve as a guide for larger and
smaller herds...I hope it was helpful.

Dear Matt,
I forgot to mention the sheep in Germany is our target now that the Bavarian
Government wants all the sheep and pigs tested IMO no better timing than for
STRU ...and we are on the way in January. Bavaria (Munich is located there)
has been hard hit by BSE with 5 cases since we were there.

The number of hogs SF has recieved from us is not what some are quoting...not
true....While in EU we had a great deal of interest in our ET and GS
system and yes it can help control the spread of disease...however , in
cattle ETs we have no track record...now we will be doing ETs on cattle and
testing the results. With respect to pigs in EU they are now concerned
with numerous diseases spreading from animal to animal...that is why we have
chosen to start with washed ETs and Semen transfers with the GS system in
January in EU. I can not go further into this discussion , but you will
hear soon of our journeys. Supplying our genetics from the US will help
tremendously in our exports and form our alliance herds which are PRRS free and
free of virtually 13 other diseases. That is where the interest lies.
As for duel listings on the noted exchanges , I won't comment only to say
you will hear of developments as they occur. I will say that Germany was
chosen due to the fact that pork production is the third highest in the
world and increasing , but the genetic pool is shrinking that is where our
genetics come in. The economy over there is very strong and we have been
very welcomed in that Country. We also chose Munich because it is the
silicon valley of the Alps...every major high tech company is there and we
have an office on the "Wall Street " of the city. From there we can get
anywhere within hours making transfer of genetics easier without
restrictions...also the ag dept is on our side with many incentives to bring
the German hogs up to export specs. If you recall disease took its toll in
western EU and we are working to fill that void. More info will be forthcoming
as we move forward. I am waiting for these few days of market madness to
subside first. I believe as most that we shall see a nice turn around and we
will support it.

Dear shareholders,
Never Fear-Never Quit
As I type this note I am directly staring at the words pasted on my
screen, "Never Fear-Never Quit". This is a statement that not only do
I view every day, but, I work by. The other statement that I work by
it is "Success is creating a state of mind that allows you to obtain
whatever it is you really want".
Dr. Victor Frankel the author of "Man's Search for Meaning In Life"
was one of the few survivors of Auschwitz. He was a German Jewish
psychiatrist who somehow managed to live where tens of thousands of
others died. With little food for clothing and no medical attention,
he was forced to stand by while his fellow prisoners were cremated.
Upon being released, he was asked how he managed to survive. What
powers did he have that others lacked? How he managed to stay alive?
If you read his book you'll find that he replied, "I always knew that
my attitude was my own choice. I could choose to despair or be
hopeful. But to be hopeful I had to focus on something I wanted."
Dr. Frankel decided to focus on his wife's hands. He wanted to hold
them one more time. He dreamed of being an able to embrace his wife
again and to be heart to heart one more time. That focus kept him
alive throughout this horrible tragedy.
Dr. Frankel did not have more energy available to him than the others
at this concentration camp. But rather than using that energy in
despairing at what was happening to him and those around him, he
focused on a single goal; he gave himself a reason to survive, and by
concentrating on that reason, he was indeed able to survive. He
created in attitude of hope for himself. At times tried to convince
others of hope. When his attitude was positive, his mood took care of
the rest. He is known to have stated, "Today, in order to survive,
you must do this in this and that." As long as he stayed focused, he
was a survivor.
Focusing our energies including our corporate plans for expansion in a
single-minded manner or direction can work for us just as it did for
Dr. Frankel.
At Struthers, we have always strived to lead the industry in a number
of areas, all of which have been outlined numerous times through PR's,
interviews and corporate discussions.
As you know, one of our corporate goals was to achieve the status of a
fully reporting listed company on the OTC: BB prior to the holidays.
We achieved this. And as you also know, this has been a long drawn out
process, but a milestone we knew would be obtained. I have
congratulated everybody before, however, I would like to take this
opportunity to say thank you for those of you who at times doubted the
process, but still had perseverance and patience to believe that we
would accomplish the goal.
During the year we dedicated our energies to building a solid
foundation from which to grow. As an emerging growth biotech Corp. we
needed a solid foundation to move forward. Which we have today. While
we are still a young company, we have put together many of the
important elements necessary for our future growth. Over the last many
months I have watched with amazement of just how many "solid"
companies have been traumatized in the securities market by the
fluctuation in the economy, the election and the fact that many
investors had an excellent start to the new millennium but had to take
substantial losses in their stock portfolios to cover their gains,
which we have seen recently. Speaking to a number of security brokers
and mature investors the whole market has taken a severe beating over
the last few weeks. Obviously, we were among those companies who have
taken the hit. I believe as these brokers do that the rebound is
imminent.
Now that we are fully listed and trading on the OTC: BB we now wait as
our marketmakers transfer trading privileges from the pink sheets to
the Bulletin Board. For this to happen to marketmakers must fill out
the appropriate forms (211) and send them to the NASDAQ to be approved
to trade STRU on the OTC: BB. At this very moment we have marketmakers
who have sent in the appropriate forms and we have marketmakers who
are the process of filling out and sending in these forms. Once this
process has completed it is my opinion that you'll see more activity
with our stock, of course along with our support through PR's and
marketing measures we have put in place.
As I mentioned above we have built a solid foundation from which to
grow. We have made acquisitions, asset acquisitions, developed new
innovative technology which is getting worldwide attention and we have
doubled our staff which now numbers over 40. We have also added a
number of noted consultants in different fields of specialties. We
have also added more animals through alliances with producers to meet
my objectives, which I set forth in previous correspondence. During
the fall we opened our state-of-the-art Boar Stud facility located in
Minnesota and have been in the process of stocking this facility. In
addition we have also added alliances with Packers who can process our
product to the specifications that our clients are requesting. David
Diebold, VP sales, has started a pipeline of hogs moving from the
producer to the Packer to the consumer on a weekly basis. Shipments
of our own brand label TENDERPRIME has been growing daily and we have
been adding to this line considerably with other all natural and
organic products. I would like to take this opportunity to thank all
those who have ordered these products and I look forward to
introducing the new products during the first quarter 2001.
I would also like to take this opportunity to welcome aboard all of
our new staff that joined us this year, including Dr. Alan Carlson and
Dr. Dennis Gourley. We have not ceased our hiring as we are also
bringing onboard other veterinarians and technicians to keep up with
our increasing surgical and nonsurgical workload which has occurred as
a direct result of the asset acquisition of Elite Visions and the
Gourley Scope. If I may comment concerning our recent trip to Germany
and visit to the largest meat and poultry show in the world located in
Hanover Germany, the Gourley Scope was of major interest to many large
corporations. At the same time Germany experienced their first case
of mad cow disease (BSE) and as a result experienced a dramatic
decline in beef sales. Concerns over beef products sparked increased
sales and interest in the consumption of pork products. Our
technology and genetics reviewed by many and the result was a number
of meetings which has now lead to a number of new clients. More
information will be released in the near future as to the outcome of
these ongoing discussions.
I'm also very pleased to announce that we have leased a new office in
Munich, Germany which at the moment is being refurbished and scheduled
for occupancy late in the first quarter 2001. We also created a new
German subsidiary, Struthers Biotech AG that will serve the European
Community with our products and services, including live animals,
embryos and semen. As noted above we have experienced a great deal of
interest from the European Community, and we took steps necessary to
make our presence known in Europe. We're very excited about this new
venture and we are also very excited with the fact that we're going
back to Europe in January to finalize projects, which actually started
during the World Pork Expo.
Although, we have been very quiet we have not been on holiday. One
only has to read over the last year's PR's, interviews and
correspondence from this office to find that we have grown
considerably. For me personally next year starts on the 26th of
December, as I cannot wait for January 1st. We have planned our work
and we are working our plan. No one should think, that just because
you are quiet does not mean that you're not out building a
masterpiece. I sit here remembering the days when we took over this
company and the stock was at half of a penny. We should all be proud
of the fact that we made it through the auditing process and that the
half of the 7500 companies that are being audited will not return to
the OTC: BB. We should also be proud of the fact that during the year
we had over 95 million more shares bought than were sold. We added to
our investor base and we continue to add to our investor base of
roughly 25,000 investors ...and this in such a short period of time.

Tekoah19, I submit that one should be careful of what one wishes for, as it may just come true. Case in point is COII which has been trading on the OTC for some time. It hit a high of $20 in the first part of March of 2000 and has had no problem staying above the $3.00 mark ever since. Like all OTCBB stocks it's stock price has been controlled by news releases and speculation. The company tried to get onto the Nasdaq and in fact was approved for listing by the Nasdaq on June 26, 2000 but the staff of the Nasdaq decided to postpone trading for further review and subsequently screwed around for 5 months until the stock price had dropped enough that they no longer quialified for listing. It had been trading in the $8 to $12 range for months. Then on Dec. 5, 2000 it was announced that COII would be moving to the AMEX and start trading on the 6th with the symbol CIO. The news of course spiked the share price from $3 to $4.75 and has subsequently been falling ever since. It hit a low of $1.12 on Dec 20, 2000 and until they start producing some large revenues they will continue to flounder and could drop even lower.
Is this what we really want for STRU? Trading on the OTC is different than being on a major exchange. The share price can fluctuate with percieved potential earnings, taking the stock to great heights without actually having any earnings. Once we make it to another exchange we must then prove our worth with earnings. Struthers is a fledgling upstart company and has yet to show any great earnings. It has potential for great earnings yes, but the buyers on the AMEX want to see those earnings now, not in the distant future. Listing on the AMEX too soon I believe would kill our stock and we would no longer see the trading and liquidity that we have now. And once we discovered that moving to the AMEX was a mistake, how long would it take to get back to the OTCBB? Another 8 months? No, I think that maybe we should be patient and let Struthers grow the business to the point where Nasdaq listing would be a natuaral and easy transition. If we have the earnings to support a share price over $5 then the MM's will have a tough time beating us down. The MM's have a whole lot more control over when or even if we get the the Nasdaq than one might think. The MM's make a lot more money on every trade of the OTC than they do with the Nasdaq and they aren't willing to let that cash cow go easily. Take a look at EDIG and you will see what power the MM's have over stock price and subsequently your chance of being listed on the Nasdaq.
TEK, I have no Idea. One would need to know the guide lines on
what is considered as unique technology.
Getting info from the SEC, NASDAQ, or AMEX is like pulling teeth
blind folded. Its hard as heck to get anything, and when you do,
it usually isn't what you wanted.

REQUIRED: Patrick, enjoyed and appreciated the recent exchange. Re, " market takes another hit", perhaps, in this year of the bear, STRU was indeed a safe haven.
Today,imo, 6mms joining the quotation of STRU on the Bulletin Board was an encouraging prelude to the important matters that hopefully begin to unfold in the days, weeks, months, and years to come.
As you are well aware, the rumor mill has been replete for a long, long, time. Additionally, the company has made major strides, imo, in setting the table for what should be a very rich, and rewarding future.
In my opinion, it's time to deliver, and in my opinion, the delivery will be complete. This I feel very strongly about. Time will tell, and imo, patience, a rare virtue in this day and age, will be handsomely rewarded.

Three mms quoting STRU on the OTC as of this morning: Cdel, Mash, and Pgrm. None of the big boys yet, but imo, the company will release some news either later today, or tomorrow, that will see the Nites, Herzogs, etc., joining in, and hopefully, Stru will spike some, establish a nice new base, and steadily increase in price as the news unfolds.

Dear Shareholders,
It was truly delightful to be able to release the last two press
releases regarding our relisting and our full compliance with the SEC
and that we finally achieved the milestone of becoming fully trading
on the OTC BB. Yes, it has been a long nine months, however, it is a
process which we entered to complete. I will address this milestone in
further discussions with you in my next update letter prior to the
holidays, however, I would like to discuss an item which I am very
excited about.
As you may or may not be aware, we have been operating our
headquarters out of a second-story office complex located at one
Carriage Lane here in Charleston. Although, this location and
facilities served our needs while we were in the growth phase of our
company, it is no longer is conducive nor ideal for further expansion.
For this reason we have chosen to build a new office facility located
ten minutes north of our current location. Located at 1866-B Raoul
Wallenberg Boulevard, Charleston SC, 29407.
The reason for my excitement is that we were able to work with office
planners in designing a workspace, which is more conducive to
everyone's needs.
Due to the fact that we have many visitors including clients our new
office will include a test kitchen that contains freezer and storage
space, which will display our TENDURPRIME product line, and we will be
able to cook and prepare our products for these visitors. The office
also contains a state-of-the-art boardroom complete with
videoconference capabilities, which will allow us to communicate
effectively with each of our subsidiaries and offices overseas. The
conference capabilities will also be of benefit when communicating
with our larger clients whether they are in the United States or in
other countries. An example of this would be, Dr. Gourley performing
non-surgical transfers of embryos may now be broadcast live from our
facilities in the Midwest to our conference room and then to our
clients overseas. Thus, in most cases eliminating the need to travel
to remote locations to demonstrate our capabilities. Then when we do
travel, it is to close the opportunity. Another example would be to
demonstrate in real-time our surgical techniques from the operating
room located within the Boar Stud.
The move is scheduled to take place tomorrow Friday the 15th.
Vonja has done a great job of coordinating the phone lines (same phone
number) and working with our computer consultants in coordinating the
moving of our systems so that we will have no downtime. There will be
active phone lines at both locations on Friday for those who need to
contact us regarding urgent matters. For items that are not as
urgent, I request that you wait and call the office Tuesday or
Wednesday of next week. This will give us time to attend to corporate
matters and unpack at the same time. I appreciate your patience while
we move. If you're sending e-mail correspondence please note that we
will do our best to respond in an effective and in a reasonable time

Struthers Inc. business is the sale and marketing of products and services designed to increase reproductive efficiency, animal production and quality in the swine industry utilizing the technology and products it has developed. It is located on 40 acres of leased land at $1 per year for 99 years located in Bricelyn, Minnesota. Struthers, Inc. Announces Purchase Of Sow Breeding Facility
CHARLESTON, S.C., September 6, 2000 (BUSINESS WIRE) – STRUTHERS, INC. (OTC: STRU), Struthers, Inc. and its subsidiary Legred Struthers Genetics, Inc., world leaders in animal reproductive biotechnology, announced today that they have completed the purchase of an additional 1200 sow breeding facility and farrow to finish operation, located in Traverse County, Minnesota. The facility will be used for the expansion of the Company’s elite great-grandparent herd.
The facility, consisting of approximately 30 acres, includes farrowing units, nursery barns, and finishing barns that can finish 5000 animals at a time. The annual production of the facility is estimated to be 24,000 animals. (OTC: STRU), Struthers, Inc. and its subsidiary, Elite Visions, Inc., world leaders in animal reproductive biotechnology, are pleased to announce the birth of seven healthy piglets from non-surgically implanted embryos using the Company's proprietary Gourley Scope™ technology. The seven embryos in different stages of development were surgically removed from a host sow utilizing the Company's mobile operating trailer. The embryos were "washed" virtually free of pathogens (disease) and implanted into a non-anesthetized sow recipient at the Company's Spencer, IA research farm facility.
The research team led by Dr. Dennis Gourley, DVM performed the non-surgical implementation of the embryos in a farm setting similar to what would be expected at any swine facility. Dr.Gourley will arrive 2 days earlier to perform some procedures in the Philippines. JOHNSON & WALES UNIVERSITY is the largest cooking school in America (all over the US). They wanted STRU meat (because STRU is small enough to be willing to do this) to use in their schools to teach their chefs how to cut the meat.......yes, cut the meat. The students would cut it into loin roasts and then return the meat to STRU vacuum packed. The famous TV cook Emeral (sp?) is a graduate and has an ongoing relationship with the school. *More Technology & Savings: Under Muller AI - we have exclusive worldwide rights to a new semen packing device called "AutoPacker" a semen processing machine which has the capability of processing, labeling, automatic sealing and filing 350 tubes of semen per hour. Good Day to all Stru shareholders. Congratulations to all those strong-willed and patient enough to withstand the anxiety and depreciation in share price caused by 7 months, 3 weeks, of trading on the pinks.
During this "pink time", the company made two major acquistions that have made It the envy of all others in the industry, i.e. Elite Vision and Muller AI. One of the finest Boar Stud Facilities in the World was completed and opened as was a new distribution center in Waukon, a much needed quality CFO was added to the management team, the staff was greatly enhanced, a breeding facility was obtained for a steal, and the company has been negotiating with industry leaders from every facet of industry that even tangientally affects It's business as was evident at the Pork Expo in June, and at the opening of the new, state of the art BSF.
In addition, a vendor number was obtained from SYSCO, an office was opened in the Pacific Rim, and it appears that satellite offices will soon be opened in Germany and Spain. The technology afforded by the Gourley Scope has opened many new doors, and the business model that we were all familiar with has been tweaked and amended. Imo, the business model was always something to be estatic about, and my enthusiasm has been further heightened by the multiplicity of revenue sources now available.
Relisting to the OTC, which imo, should occur this week, is a welcome relief. Once this has been accomplished, imo, we will finally see evidence that this company has indeed received the recognition and respect It deserves. Good Day to all Stru shareholders. Congratulations to all those strong-willed and patient enough to withstand the anxiety and depreciation in share price caused by 7 months, 3 weeks, of trading on the pinks.
During this "pink time", the company made two major acquistions that have made It the envy of all others in the industry, i.e. Elite Vision and Muller AI. One of the finest Boar Stud Facilities in the World was completed and opened as was a new distribution center in Waukon, a much needed quality CFO was added to the management team, the staff was greatly enhanced, a breeding facility was obtained for a steal, and the company has been negotiating with industry leaders from every facet of industry that even tangientally affects It's business as was evident at the Pork Expo in June, and at the opening of the new, state of the art BSF.
In addition, a vendor number was obtained from SYSCO, an office was opened in the Pacific Rim, and it appears that satellite offices will soon be opened in Germany and Spain. The technology afforded by the Gourley Scope has opened many new doors, and the business model that we were all familiar with has been tweaked and amended. Imo, the business model was always something to be estatic about, and my enthusiasm has been further heightened by the multiplicity of revenue sources now available.
Relisting to the OTC, which imo, should occur this week, is a welcome relief. Once this has been accomplished, imo, we will finally see evidence that this company has indeed received the recognition and respect It deserves. "A World Leader In Reproductive Biotechnology" is the term that It has been using to describe Itself, and as the weeks and months unfold, imo, the business wires will be replete with evidence of what the reality of this will mean to the company's future, and to the financial future of all of It's shareholders.
I, for one, am extremely excited about the future here, as I anticipate the " Launch" that we have all been waiting for. The best of luck to everyone.

FYI: Interesting email from Dr. Beatty today:
Patrick,
All is very well...the article was good , however, when you rid animals of
PRRS if you move those animals to a new location it is quite easy for them
to receive new diseases. And they still use rudimentary surgery for
implantation. Which of course increases the cost to farmers and very few in
my opinion will pay or have operating room facilities available on site.
This is why with the non-surgical GS is a wanted item...I will go into this
later with all the shareholders through official channels so everyone can
receive any news on our trip and what we are up to all at once.
One also should remember that there are very few herds in America which can
be certified virtually disease free in numerous areas and we have access to
95% of those animals! And now with our boars in the unit producing certified
semen we shall do very well.

Here is a Dr. Beatty e-mail from today..I asked Dr. Beatty to comment on the Slammer6 post from the weekend. Dear Bob, ...I can't comment on any items pertaining to the SEC at the moment...other than that I can comment on the fact that Mad Cow disease hit Germany while we were there and the interest in pork skyrocketed while beef plummeted over 80%...in return interest in our Struthers genetic system and GS system was a hit! As this is common knowledge I can say that we are years ahead of any system we toured or viewed while at the largest meat and poultry show in Germany...1400 booths and over 125,000 visitors from all over the world. As folks read the article that was printed in the Pig International Magazine about the GS system they were very hospitable towards us as we went from booth to booth. One heck of a playground for business! Even the vender for our AutoPacker semen packaging system (out of Holland) had a booth and had explained how folks had great interest in our less expensive but highly effective AI system that we control the worldwide rights to! I'll be writing a complete history and accomplishments of our trip for all shareholders and any other news for all to receive at once. ST1138: Note this excerpt form Doug's email to me of November 28,2000. It is obvious that Doug has appreciated the input of some shareholders such as Tbone regarding a section on the website for the purpose of providing educational inforrmation, and that we can expect to see such a section very soon now. That tells me that Doug and company both are sensitive to the needs of the shareholder base to be kept apprised of what is transpiring, and that the entire base, as well as the investment community at large will soon be able to go the company website and receive all of the releavant facts necessary to make their investment decisions.
