Thanks, trying to do DD and share it. Not always right of course, but if it is indeed Weedclub merging in it looks good to me.
Good to know. You are always on top of these things!
I think Chen is just buying and selling shells, like some others do. I'm waiting for new officers. There were quite some changes latey on NVSOS, so it looks like the merger is done now with the name change.
I know about QSPW (was in it myself), my guess is the merger with that one failed.
Would be nice if this is the same.
So far names/locations aren't matching.
Robert Chen is the same CEO as qpay blockchain corporation QSPW
If this is the Weedclub merging in it looks prety big https://www.weedclub.com/

I still can't find a connection from SWAN to Denverson. Just the Denverson tie to II and the II deal with Swan. Looks like the entire deal fell through. Denverson is still on its own with its delisted Frankfurd shares.
I'd love to uncover that share structure too.
I really gotta go back and digest these company Pr. I don't have my script to Edgars anymore either. A DD waste case here, LOL
Fink - Swan Group is the holding company for Denverson Corp.
It looks like there was only one person on the board of director(s) when the whole fiasco was going on with Indenture so that person got some help from another who was appointed to the board and they together (the two of them) 'decided' (declared? whatever) that Indenture had just dropped their responsibilities so they severed ties with Indenture mid summer and then got financial backing ($3.5M) AND along with SFI spin off, Denverson will now also have Manfred B. at the helm (basically doing what he was already doing but technically for SFI bvba, now for Denverson).
So it really is just some re-arranging of the chairs to play another round of musical chairs. Who knows how successful a Denverson Corp Frankfurt exchange 'IPO' will perform, maybe great, maybe terrible. However, in my mind the simple fact is that before when SFI owned SFI bvba it was basically providing ZERO dollars of inflows to SFI and now with Denverson owning SFI bvba, it will at least initially still provide ZERO dollars of inflows to SFI however afterwards SFI will have garnered some much needed CASH from the deal. So IMO at least it is an improvement. Really, the fact remains that SFI, Inc needs a signed CONTRACT with a HUGE USA distributor (CVS, Walgreens, Walmart, ANYONE!) in order to finally get some revenues rolling into the company. Otherwise, the company can do these spin offs and mergers and blah blah blah for years, it will mean nothing. We must have sales, we must have contracts in the USA to sell the fr'kken ecig to have sales, then the company has money, then the company has value, then the share price can have value.
If at any point in time in the future the company actually begins pulling in 'REAL' revenue, I trust you will see no more bashers or posts of scams, etc on the SFI boards. Until that day, it is the wild west in the OTC world and all the bashers will attempt to grind this start up into the dust. It is that simple.
cheers
Sounds like it was a sticky stink pinky play back then.
July22 2009We are pleased to announce that Indenture Investments Limited (3IV.f), Canada, has
completed its final due diligence process and has officially finalized the acquisition of 80.9%
of James Denverson Corp.Indenture will be distributing pre-consolidated shares to all shareholders of record of James
Denverson Corp. as per the shareholder list dated June 30th, 2007. The distribution process
will now begin at the transfer agent for Indenture Investments Limited with certificates
being printed and mailed over the next 3 weeks.
The distribution of these shares satisfies in full the dividend rights of all SWAN shareholders.
A total of 443,063,724 pre consolidated shares (36,921,977 post consolidated after 1:12
reverse split) will be distributed to James Denverson Shareholders of record. Please refer to
the previous Indenture press release on their website: www.indentureinvestmentsltd.com.
And then Denverson releases this. 2 years is enough time in my book, LOL
July5,2011 Despite repeated demands and notices by the Company for Indenture to complete the terms of the Agreement and to fulfill its responsibilities and liabilities there under, the Company has asserted that Indenture had failed to do so. In addition, the Company has for the past several months attempted to communicate with Indenture and, to the best of the Company’s knowledge and belief, Indenture has abandoned any and all of its operations, caused its common shares to be delisted from the Frankfurt Stock Exchange, its officers and directors have either resigned or failed to communicate with anyone from the Company and no public announcements with respect to Indenture’s intentions have been released.
'So share holde
3rs of Denverson, who and how many that could be was getting close to 500MM shares or Indenture and then a r/s od 1 from 12 shares. /then recind the split? Through all this Denverson's shares were delisted on the Franfurter exchange which I don't play or ever looked at. Could be a clue there as to what Denverson has backing it.
I would think Denverson gives SFIO cash and the remaining shares after conversion would go to SFIO shareholders as a dividend and cause FIRNA to initiate an date of ownership and proof of shares held by SFIO shareholders, Sticking it to the DTCC lock fraud on SFIO. I can only pray. Scottrade says the shares I own are real, LOL
Now does Swan still fit into this play some how?
Yea Yoda, we need a back door to make some cash off SFIO. Man we deserve it more that anyone.
I got this.

Denverson Corporation ("JDC"), an 80%-owned subsidiary of Indenture Investments, Ltd. of Ontario, Canada
Indenture Investments Looks to have ditched Denverson too. Just threw the stick and cruised. Denverson is on its own! They go back to the ones they know Swan? I wonder what the share structure of Denverson is today. At least they have SFIO looking bat them and have some cash. It will be an intresting twist. I do hate seeing SFIO peel off some of its operation like this.
The BId is where the action is. Then again it might not be the target.
I do know Denverson will be going public is something. If Denverson already has a shell and loaded in convertable notes accruing intrest then they are idiots and no need to ever get in talks with Swan.
I have this stink'n feeling Denverson is the old MMUH e-cig play out of Largo Fla. You remember that one? I banked a few hits off her too. They were lieing SOBs I think they too had product confiscated by the customs and US Marshals back a year + ago. That was a wild ride with the pps swings. I could so use that type play again.
Fink - I'm right there with you on this..
I would start maybe here -->
http://www.swangroup.us/pdf/indenteng.pdf
and also read -->
http://www.swangroup.us/news/press-release-denverson/index.html
So far, what I have found is that the Swan Group is the holding company for Denverson which as of now I am guessing is wholly owned by itself because of the break away (with no consequences?) from Indenture (?). I am guessing that SFI will now own some possibly 20% of Denverson once public via convertible notes (?); Denverson == $3.5M bond + rest of shares via convertible notes (that SFI will own). If we assume half cash, half notes, then possibly $500K in notes therefore roughly 12.5% share ownership of Denverson by SFI (?) (plus royalties/divs, ok, yea, haha). :D
All just speculations but difficult to get any actual info on any of this, all such dark alleys of the pinkie world.
cheers

Gonna call in a few. I want to know the nature of the split.
And Denverson just did a LOI of 80% for cash and convertable note for SFIO's European distribution of their e-cigs. Looks more like a merger than just a sale of assests.
I see where SWNG mixed it up with Denverson, and I came in here to see waht all the Bru ha ha was back then. Was Denverson looking to R/M into a publicly traded story.
SWNG sure has rocked since the July5th PR? Lower volume and rising PPS. That says Kaboom on a momo run. Wait for all those SFIO DTCC, stuck pigs like me start looking in?
Just finished up getting all caught up on past posts. Thank God for morning coffee, I'd never have been able!
Yall got me too. Is SWNG just a clean shell?
Denverson and SWNG

Denverson and SFIO
http://www.denverson.com/index.php?option=com_frontpage&Itemid=1
Now Denverson will push to go public, Fact!. Any clues how they intend to pull that off. Got me looking too. I may get some today. I could so pump this shell to the Moon if I wanted, LOL too many fingers point to a R/M lol. Denverson will not do an IPO, but do look comitted to going public. They will need to go public in order to convert the note SFIO will be holding. $1mm deal and I must assume a good pink sheet shell will be worth $100-$150K. Does Denverson have this amount of cash to play?
I really wish I knew more about the split with Indenture Investments and Swan.
Hey Echanted Rock, bought this thing around the same time as you. Not sure where this is heading yet but it looks like shareholders could be getting a share distribution in another company end of Sept. The PR that mentions the distribution in http://denverson.com/ was only released in german and the translation is a little off so who knows. Waiting for some filings to come out and give some more details.

I bought a few shares a month or so ago, Don't know why. What's the story and where is this headed, any idea. TIA
Some recent news if anyone is following this thing but me...
