Looking at the filing again, I see 0057 PPS avg for PI. So it's not 01 but 0057 is still very good and they can't even move for 3months.

How many people really care about pretty girls on the way to work, when doughnut shops see the bulk of their business? It might be cool for a few visits, then it wont matter... and it might turn off a large chunk of their potential customers (women).

Here is the reason why someone claim Troy seem very upset:

Here is where I kept mentioning December/January:

The investors shares are locked up for three month after a public offering and the stock may be sold subject to the volume limitations of Rule 144.

Looking like 005+ once Reg A is done. The PI wants their avg to be at around 005. Only way for that is 1B at 001 and 900M at 01. A safety net for them in case SNMN can't hit 01

I think some might misread the selling b/c once PI agreed to buy the shares from SNMN, then SNMN could sell it to PI in 2 days. PI need to hol don for at least 3 months.

Oh well, if the funds are wisely spent in revenue generating entities with truly positive cash flow, then all will be OK. But that is a lot to ask at times, especially these days.

I will wait for that huge A/S reduction. People loving stock with 10Billion O/S. Recently 1 stock run for 200-300% on a 7.8Billion shares O/S. They got nothing solid. SNMN has solid stuff going on which could all be verify aka transparent. People calling this scam but that Donut shop is still real and still funded by SNM. That MJ convention was still visited by SNM. That 2Billion shares reduction was still documented in court. I rather have new investor that joe overcash. That movie is still in production and co funded by SNM

Most long now complain was in this while Joe OverCash had 2.2 BILLION shares. He could have dump it the first few month. SNM had dilution but Troy stopped that. Where was the worry then when Overcash could dump at 0001 and still be ok. Here, new PI would lose money if it's lower than 001. Obviously they want their return just like any retail.

The donut shop was my least favorite but the long kept pumping it up. However, we could verify it through local newspaper regarding SNM involvement. SNM gave $150K to donut shop back in May. SNM had investors lining up since and already got money at least since May.

$1million investor is in SNM now. Since Troy is filing with SEC and his name/picture is everywhere, that Rule 144 will be in affect. 3months, 6month or 1years. In this case, it's 3months. Lets me buy 1Billion shares at 001 but to see this stock hit 0005 or 0001 like many claim. Lets me give $1million away just to see it sink. This is not like other stock where they said CD bought this at fifth digit 00005 and could dump at 0001 for profit.

The SEC asserts that Mr. Lowman has failed to comply with the requirements of the SEC subpoena serve on him, and it requests an order commanding compliance. Mr. Lowman's sole response to the OSC Compliance states in its entirety:

This letter respectfully is in regard to hearing I have in Denver scheduled for June 5, 2013. I recently declared bankruptcy (Chapter 7) and literally have no available funds to fly to Denver (I live in Baltimore-Washington DC area) to appear in person. I plead with court to make alternative means for me to appear, possibly at a local court or via telephone. I am currently trying to reconstruct information that Mr. Heinke (SE C counsel) needs to satisfy subpoena and maybe make court appearance unnecessary. I also have custody of two young daughters that I would have to leave. Please understand my circumstances.

Mr. Lowman's Response [Doc. # 81] does not indicate that it was served on the SEC or other parties as required by Fed. R. Civ. P. 5 and D.C.COLO.LCivR 5.1G. Consequently, I denied the Response to the extent that it may be considered a motion to attend the June 5 hearing by telephone. Courtroom Minutes [Doc. # 86]. In any event, Mr. Lowman neither appeared at the hearing on June 5, 2013, nor did he attempt to contact the court by telephone at that time.

In the summer of 2010, the SEC discovered what it believes to be a "pump and dump" scheme to (1) artificially inflate the value of stocks through false and misleading statements and (2) sell the shares at the overvalued price. The Commission issued orders opening an investigation of the pump and dump scheme, and the subpoena to Troy Lowman (the "Lowman Subpoena") was issued pursuant to the orders to investigate.

The Lowman Subpoena was properly served on Mr. Lowman on November 14, 2012, with a return date of November 30, 2012.

An administrative agency's investigative subpoena will be judicially enforced if (1) the investigation will be conducted pursuant to a legitimate purpose, (2) the subpoena seeks information that may be relevant to the purpose, (3) the information sought is not already within the agency's possession, and (4) all required administrative steps have been followed. United States v. Powell, 379 U.S. 48, 57-58 (1964); Application to Enforce Administrative Subpoenas Duces Tecum of SEC v. Knowles, 87 F.3d 413, 415-16 (10th Cir. 1996)(applying the Powell test to the enforcement of SEC subpoenas). Mr. Lowman has not challenged the propriety of the subpoena under Powell or on any other grounds. Under these facts, the OSC Compliance [Doc. # 56] should be made absolute as to Troy Lowman, and an order should enter requiring Mr. Lowman to comply with the subpoena and to produce all documents responsive to the subpoena.

IV. Recommendation and Order

I respectfully RECOMMEND1 that the SEC subpoena served on Troy Lowman be MADE ABSOLUTE and that an order enter requiring Mr. Lowman to comply with the subpoena and to produce all documents responsive to the subpoena by a date certain not more than 14 days after the court's order.

In addition, IT IS ORDERED:

(1) The OSC Contempt [Doc. # 65] is DISCHARGED with respect to Kenyatto Montez Jones only;

(2) The OSC Compliance [Doc. # 56] is continued to and including July 8, 2013, to allow Kenyatto Montez Jones and Ronald Touchard to fully comply with the requirements of the subpoenas served on them;

(3) The SEC and Messrs. Jones and Touchard shall file status reports on or before July 15, 2013, addressing Messrs. Jones and Touchard's compliance with the SEC subpoenas; and

(4) The SEC shall file a status report within seven days of any order of the district judge addressing my Recommendation concerning Mr. Lowman's compliance with the subpoena advising me of the order and addressing any further proceedings that the SEC deems may be necessary.

Reg A had been around since April. Everyone knew there is 1Billion+ shares coming. Somehow retail are smarter than a $10million investors. They are the dummy that buy at 1,000% PPS. PPS for SNMN was at 0008 in July. Why retail with $10,000 buying power buy at 0008 but a DUMB $10Million feel they should buy it at 1,000% higher? Somehow retail is perfectly ok with that. If you are talking about screwing, then people that had been in this for awhile are still up 100% to 400%. Most should already just be holding free shares. If people buying in the 004+ range, then that is different story but those people came in just 2-3weeks ago.

This is still 150% from July. People all panic and everything. Everyone know Reg A = 1Billion+ shares. No one panic then. Everyone expect $10million investors to buy at 01 when they could have used the $10Million to buy SNMN when it was at 0007 to 002 and got their billion for 90% discount on the open market. Reg A had been around since APril.

Somehow $10million investor has to be more dumb than retail investors that have $10,000 buying power. This is offer at 001 not 0001. JUst retarded anyone thinking it will go to 0001.
