There are around 24m shares of "old common stock" of RDDYQ:

If the Arctic Glacier acquisition goes through:

Shareholders of 25000 or more can elect to take cash OR can elect to take shares of the new common stock.
Company will set aside 336,638 shares of new stock at $7.14/share for those who chose the stock option (total value = 2.4m), with more shares available once Arctic Glacier acquisition goes through.

So if we say that HALF of current shareholders choose the cash option, that is 12 million shares choosing the cash payout which is:

$3.6M ($2.4 + $1.2) divided by shares 12million = 30 cents per share (double where we are now).

In, that same scenario, the other HALF of current shareholders chooses the shares option, which would equal about 20c before the Arctic Glacier acquisition, and then another 10c afterwards (assuming its in line with the 1.2M)....with potential to increase due to no more litigation, a stronger company, etc.

Anyone else's thoughts?

Reddy Ice Prepack to Give Stock for Second-Lien Notes

Reddy Ice Holdings Inc., a Dallas-based ice maker and distributor, said this morning that it has agreement with debt holders on a bankruptcy reorganization in which second-lien noteholders will own the new stock and existing common shareholders will be given as much as 17 cents for each existing share.
The reorganization is supported by holders of 60 percent of the first-lien debt, 58 percent of the second-lien debt, and 92 percent of the discount notes. Noteholders will complete voting on the plan by May 8.

Reddy Ice expects to emerge from reorganization within 45 days after the Chapter 11 petition is filed. Unsecured trade suppliers will be paid in full. Existing shareholders will have the option of sharing 2 percent of the new stock in lieu of some of the cash.

Holders of discount notes are to receive $4.7 million in cash and a three-month note for $1.2 million. First-lien debt will remain in place.

The reorganization will enable Reddy Ice to carry out an offer to acquire Arctic Glacier Inc., the owner of 39 plants making and distributing ice in Canada and the U.S. Arctic Glacier is being reorganized principally in Canada under the Companies’ Creditors Arrangement Act.

The Chapter 11 case will be financed with a $70 million loan from Macquarie Bank Ltd. The loan will convert into a $50 million facility upon exit from bankruptcy.

Reddy Ice also filed financial statements this morning, showing a $69.5 million net loss in 2011 on revenue of $328.5 million. The operating loss in the year was $8.1 million. The balance sheet was upside down, with assets of $434 million and debt totaling $530.8 million.

The $300 million in 11.25 percent first-lien notes due 2015 last traded yesterday for 90.5 cents on the dollar, according to Trace, the bond-price reporting system of the Financial Industry Regulatory Authority.

The $139.4 million in second-lien notes last traded yesterday for 11.75 cents on the dollar, Trace said. The $11.8 million in unsecured 10.5 percent discount notes sold on April 2 for 79.7 cents on the dollar.

In 2010 the net loss was $40.5 million on revenue of $315.5 million. Interest expense in 2010 was $50.1 million with $8.8 million in debt refinancing costs.

Reddy Ice completed an exchange offer in March 2010 in which 10.5 percent senior discount notes were swapped for an identical amount of new senior secured second-lien notes.

Whether they file bankruptcy is still in question though (they may come to another agreement), so the swings will probably be interesting in the coming month or so. The float is so low on RDDY...it moves quick. Will be on the radar of many after yesterday's drop.

The management of Reddy Ice Holdings, Inc. (together with its subsidiary Reddy Ice Corporation (“Reddy Corp”), the “Company”) has determined that the Company is unable to file its Annual Report on Form 10-K for the period ended December 31, 2011 on March 30, 2012, without unreasonable effort or expense, because management needs additional time to finalize and analyze the Company’s financial statements.

In addition, the Company is currently in active discussions with various stakeholders regarding alternatives to modify its capital structure and reduce the Company’s leverage. Although the Company is currently in compliance with the indentures governing its outstanding notes and its credit agreement, in 2011 the Company began to explore alternatives to address its capital structure in light of the Company’s financial results. In recent months these efforts have accelerated and the Company has been required to devote key personnel and administrative resources, including the personnel and resources of its accounting and financial reporting organization, to matters relating to the negotiations. The Company believes these discussions will be concluded shortly, at which time the Company’s Annual Report on Form 10-K will be filed. However, there can be no assurance that an agreement can be reached with the Company’s stakeholders or that any transaction with the Company’s stakeholders will be consummated.

In the event we are able to reach an agreement with our stakeholders a “prepackaged” bankruptcy may provide the most expeditious manner in which to affect our plan of reorganization. This process is not expected to have an adverse effect on our operations. Immediately upon filing, we would request Bankruptcy Court approval to pay critical suppliers and other vendors in the ordinary course of business, which request is commonly approved in similar situations. All of our customers would continue to be serviced without interruption.

Correct me if I'm wrong, but these two filings looks like he dropped a bunch of shares.

On 1/5/2012 he filed that he had 2,450,000 shares and on 2/3/12 he filed that he had 1,626,067. Doesn't this mean that within that month he dropped 823,933 shares.

If this is indeed the case it doesn't look too good IMO.

Companies such as RDDY cannot do a reverse split. They have very little outstanding shares and even smaller float. Reverse split was a non-starter. As you well know, the dollar amount remains the same in a reverse or forward split. I believe the bottom was yesterday (12/28/11)’s closing of .15, which was actually a fluke. Check the prices from just a few weeks ago and nothing has really fundamentally changed as the company continues to work out the kinks on the road to profitability.

Also, IMHO, this company is in better shape than most companies on BB or even AMEX for that matter. Look at the fundamentals, business model, and the simple product line. Hopefully, management can right the ship.

I don't think we've seen the bottom but the good news is I doubt they'll do a reverse split. They could've done that to stay on the NYSE.

Maybe they expect another rough quarter ahead. If it dips to .10 I'll take a chance.
