RFMD Awarded $9.7M Air Force Contract to Produce Millimeter Wave GaN Integrated Circuits Company Transferring 0.14 Micron GaN Technology and Manufacturing on 6-Inch Wafers to Combine Technology and Cost Leadership

RFMD (Nasdaq:RFMD), a global leader in the design and manufacture of high-performance radio frequency solutions, today announced it has signed a $9.7 million agreement with the Manufacturing and Industrial Technologies Directorate within the Air Force Research Laboratory (AFRL) to transfer and produce a 0.14 micron Gallium Nitride (GaN) monolithic microwave integrated circuit (MMIC) technology. The technology will be scaled to 6-inch diameter wafers using RFMD's industry-leading 6-inch GaN-on-Silicon Carbide (SiC) manufacturing line. "Through this Air Force contract we have the opportunity to establish the industry's first 6-inch millimeter wave GaN-on-SiC process technology, allowing RFMD to expand our technology capabilities beyond 100GHz," said Gorden Cook, general manager of RFMD Power Broadband. "We expect this new technology will not only enable a new class of affordable power MMICs for defense applications such as radar and military communications, but also commercial applications including cable TV networking, microwave backhaul and cellular infrastructure." According to industry analyst firm Strategy Analytics, the GaN microelectronics market is expected to more than triple to $334 million by 2017, representing a compound annual growth rate (CAGR) of 28%. This market growth is led by growth in both military (radar, electronic warfare, communications) and commercial (power management, cellular, CATV, land mobile radios) applications. "AFRL has a distinguished history of developing high performance technologies with an understanding of underlying physics that drive reliability," added Cook. "RFMD plans to leverage AFRL's experience to offer reliable, 0.14 micron gate GaN power technology for mass production in our US-based, open foundry." GaN technology supports broad frequency bandwidths and high breakdown voltages in a small area. RFMD's 6-inch GaN wafer offers 2.5-times more useable area over competing 4-inch GaN wafer platforms currently available, resulting in 2.5 times more RF power devices per wafer. Millimeter wave GaN enables the best trade-off between key performance parameters such as power gain, bandwidth and efficiency for applications in the range of DC to over 100GHz.

There are pros and cons of investing in Samsung or Apple, but there is no need to choose between the two. A major new opportunity has emerged in a yet to be born powerhouse that supplies important components to both Apple and Samsung.
NewCo is the tentative name given by RF Micro Devices (RFMD) and TriQuint Semiconductor (TQNT) to their merged entity that will be a radio frequency solutions powerhouse in the second half of 2014. Today’s mobile devices would have not been possible without the kind of RF components that these two companies make.
NewCo is the result of a merger of equals between two formidable radio frequency companies RF Micro Devices and TriQuint. RF Micro shareholders will receive one share of NewCo and TriQuint shareholders will receive 1.675 shares of NewCo. The merger is designed to be a tax free transaction. At the close of the merger, NewCo will do a one-for-four reverse stock split.
NewCo will be able to supply end-to-end solutions to both Apple and Samsung as well as other mobile device manufacturers. To some degree, products of the two companies are complimentary. RF Micro is big in power amplifiers and front-end modules. TriQuint is big in RF filters including bulk acoustic wave, surface acoustic wave and temperature compensated surface acoustic wave filters.
NewCo will also have a substantial business in building wireless infrastructure, defense, and aerospace; an advantage of these sectors is not only diversification but higher gross margins compared to the mobile device segment.
The synergies will save $75 million in costs in the first year and a total of $150 million in the second year. More important than cost savings is that the scale will give NewCo a better opportunity to compete for Apple and Samsung business vs. its competitors.
NewCo has the potential to earn about $1 per share. As of this writing, RF Micro is trading at $7.06. Based on my model, this is only a P/E of about 7 (based on 2017 earnings). If you think Apple is inexpensive, NewCo is dirt cheap.

Feb 24 (Reuters) - Radio frequency chipmakers RF Micro Devices Inc and TriQuint Semiconductor Inc said they would merge in an all-stock deal to create a new company with combined revenue of more than $2 billion.
TriQuint shareholders will receive 1.675 shares of the combined company for every share held.
RF Micro shareholders will receive 1 share of the new entity for each share they hold.
TriQuint Chief Executive Ralph Quinsey will be the non-executive chairman of the new company, while RF Micro Chief Executive Bob Bruggeworth will be the CEO, the companies said in a joint statement.

RF Micro Devices Posts Record Quarterly Revenue
In terms of the top line, RF Micro Devices (NASDAQ: RFMD ) had a quarter for the record books, but that wasn't enough to avoid disappointment from the market.
For its fiscal Q2 2014, revenue notched an all-time high at nearly $311 million, or almost 50% higher than the $210 million in the same period the previous year. Net income swung to a profit of $5.9 million ($0.02 per diluted share), against Q2 2013's $16.5 million ($0.06) loss. On an adjusted basis, those figures were $33.9 million ($0.12) and $7.8 million ($0.03) in the black, respectively.
The company provided forward guidance for its current Q3. Revenue for the period is anticipated to be flat to 5% higher sequentially, or $311 million to $326 million, with adjusted EPS coming in at $0.13-$0.14. Analysts had been projecting revenue of $326 million in top line, but their EPS estimate matched the low end of the company's range at $0.13.

That certainly sounds like good news..., but will the pps reflect that or will it continue to languish. I just don't know what will kick start this back to where it should be trading.
