WILMINGTON, Del., Aug 21 (Reuters) - Texas Instruments Inc agreed to buy Qimonda AG's bankrupt U.S. unit for $172.5 million, according to court documents.
Texas Instruments agreed on Thursday to be the 'stalking horse bidder' for the asets of Qimonda Richmond LLC, according to documents filed in Delaware's bankruptcy court.
A stalking horse bid sets the floor for an auction if other bidders emerge.
An auction will be held on Sept. 23, according to court documents.
Qimonda Richmond filed for bankruptcy earlier this year.

Russian conglomerate OAO AFK Sistema may become a shareholder in German semiconductor maker Infineon Technologies AG, business daily Kommersant reports Friday, saying that President Dmitry Medvedev will discuss the issue Friday at a meeting with Chancellor Angela Merkel.
A person familiar with the talks tells the paper the issue is focused on microchip producer Qimonda AG, in which Infineon has a 77% stake.
The Russian government works closely with companies expanding outside the country. State development bank VEB earlier this year lent Sistema's technology unit EUR815 to buy microelectronics equipment from AMD in Germany.

Ever since AMD launched GDDR5 memory standard, back in May of 2008 - we only saw three manufacturers of GDDR5 memory chips: Hynix, Samsung and Qimonda. Oddly enough, we also saw all of our boards equipped with Qimonda GDDR5 memory chips fail, but that's another story altogether.
Players such as Elpida, Micron, Winbond and others did come out with some announcements, but the overall shipped units were negligible. With Qimonda AG falling apart, last three weeks saw the purchase agreements between Qimonda and two new GDDR vendors: Elpida and now Winbond.
In a recent press release, Winbond Electronics Corporation announced "entering into a license and sale and purchase agreement regarding Graphics Double Data Rate (GDDR)" - or long story short, Winbond can make GDDR chips too.
Qimonda GDDR5 graphics memory chipQimonda's court-ordered bankruptcy commissioner agreed on a sale of these patents, know-how, and software to companies, reducing the existing debt and creating a quartet of GDDR5 manufacturers: Elpida, Hynix, Samsung and now Winbond.
In a statement from Winbond, we saw that the company wants to go big after the lofty contracts in the desktop, notebook and more importantly, game console markets. Qimonda's GDDR3 memory was present in all three major consoles on the market: Microsoft's Xbox 360, Nintendo Wii and Sony PlayStation 3. If you got the contract to manufacture memory for Nintendo Wii, for instance, that meant you'll sell more than 200 million GDDR chips to a single vendor. In fact, Qimonda would still be on the market if the company didn't got caught in the large expenses of going to the next step of manufacturing process at the same time when the world's economy tanked.
But what's done is done - now the users of GDDR memory have larger choice to play with, and knowing Elpida and Winbond, we're in for a good ride that will bring the prices down and accelerate the adoption of GDDR memory.
Truth to be told, we cannot stop wondering what would happen if a CPU manufacturer such as AMD or Intel would demonstrate GDDR5 memory with their CPUs… even though the memory amount would be much smaller, bandwidth figures between 61GB/s (Dual channel GDDR5, 128-bit e.g. AMD Phenom II, Intel Core i5-700/i7-800 series) and 91GB/s (Triple-Channel GDDR5 at 950 MHz, 192-bit e.g. Intel Core i7-900, i9-1000 series) can only make us wonder.
In any case - Elpida, Winbond - welcome to the cut-throat business of GDDR memory.

Sachsens Ministerpräsident Stanislaw Tillich hat heute in Brüssel den Präsidenten der Europäischen Kommission, José Manuel Barroso, zu einem Vier-Augen-Gespräch getroffen.
Ziel war es, mit ihm über die Wettbewerbsfähigkeit der europäischen Mikroelektronikstandorte und ihre Bedeutung für die europäische Industriepolitik zu sprechen. Nach dem Gespräch sagte Ministerpräsident Tillich in Brüssel, er fahre mit dem guten Gefühl nach Dresden zurück, dass der Kommissionspräsident sich der besonderen Situation der europäischen Mikroelektronik auf beeindruckende Weise bewusst sei.
„Das war ein sehr gutes Gespräch mit dem Kommissionspräsidenten, in dem wir intensiv miteinander gesprochen haben. Aus dem Vier-Augen-Gespräch nehme ich mit: Die Kommission hat das Thema erkannt, und wir haben in José Manuel Barroso einen sehr wichtigen Fürsprecher, der um die industriepolitische Bedeutung der Mikroelektronik als Querschnitttechnologie weiß.“
Für potentielle Investoren am Chipstandort Sachsen sei das ein ganz wichtiges Signal aus Brüssel. Mit Blick auf Qimonda sagte Tillich, Barroso habe klar signalisiert, dass Brüssel gegebenenfalls einen Antrag auf beihilferechtliche Genehmigung einer Rettungs- oder Umstrukturierungsbeihilfe sehr kurzfristig prüfen werde.
Tillich sagte weiter: „Der Freistaat Sachsen ist nach wie vor bereit, auf der Basis eines belastbaren Businessplans Qimonda zu helfen. Für eine Rettung des Unternehmens ist zwingend, dass ein privater Investor gefunden wird und das Unternehmen die Perspektive hat, wieder wirtschaftlich zu arbeiten und die Arbeitsplätze auf Dauer zu erhalten.“

Qimonda creditors to decide on bridge loan -source
MUNICH, March 13 (Reuters) - A committee of creditors for Qimonda (News) is set to decide on Friday on how to keep the world's fourth largest memory chip maker afloat in the near-term, a source close to the matter said on Friday.
Qimonda failed in January after the German state of Saxony, home to the chip maker, rejected a rescue plan to provide loans to the company.
Qimonda needs concrete indications of interest by investors by the end of March to avert liquidation.
At a meeting on Friday the committee will discuss a potential bridge loan of about 100 million euros ($129 million) to tide Qimonda over until an investor is found, the source told Reuters.
Talks with potential investors from Europe and Asia were continuing but would not be concluded by the beginning of April, the source added, which is why interim financing was needed.
A spokesman for Qimonda and the administrator declined to comment on the matter.
Qimonda's banks would only be willing to provide financing with government backing, the source said.
Portugal, where Qimonda operates a large factory, was prepared to help, the source said, but was still trying to get the German federal government, the states of Saxony and Bavaria on board.

Qimonda approaches Formosa Plastics for takeover, paper says

The Formosa Plastics Group, Taiwan's largest petrochemical business group to which Nanya Technology and Inotera Memories belong, has been approached by Qimonda over the possibility of buying the Germany-based insolvent memory chipmaker, the Chinese-language Commercial Times has reported.
A Bloomberg report has cited German Wirtschaftswoche magazine as saying that Qimonda is in talks with potential investors in Asia. CSMC Technologies, a unit of China Resources Microelectronics, has expressed its interest in buying the German DRAM maker and has been negotiating with the company for months, the report said.
The Taiwan-based Commercial Times, in a February 11 report, said that a top executive from Qimonda on February 10 visited FPG, as part of his business trip in Asia to meet potential investors for the German memory chipmaker. Executives from Inotera also participated in the meeting with the Qimonda executive.
Inotera president Charles Kao earlier said that a rescue plan proposing some consolidation among Micron Technology, Nanya and the Micron-Nanya joint venture Inotera would be finalized and submitted to Taiwan's Ministry of Economic Affairs (MOEA) as soon as a consensus was reached. Further announcement regarding their application for government bailout has not yet been made.
Taiwan has reiterated its intention to save the island's ailiing DRAM industry. The government has kept saying that its bailout of struggling local players will be carried out under two condictions: a certain degree of industry consolidation and applicants' commitment to home-grown technology development.

MUNICH, Germany — A Chinese semiconductor vendor might be interested in insolvent DRAM manufacturer Qimonda AG. And Infineon is heading for difficult times, admitted Max Kley, Infineon's supervisory board chairman. In a rare interview with Sueddeutsche Zeitung, the man who is said to be Infineon's grey eminence also aired his assessment of the European semiconductor industry situation.
In the interview, Kley who pulled the strings in the demise of former CEO Ulrich Schumacher and Wolfgang Ziebart, said Infineon was in negotiations over the sale of its ailing DRAM subsidiary Qimonda with an "investor from a Chinese province". According to Kley, the talks lasted until January but were interrupted when Qimonda filed for insolvency. "The suitor disposes of sufficient capital and plans to establish a semiconductor fab in China," Kley said without however divulging the name of the prospective investor. ...

Germany says efforts to save Qimonda still underway
BERLIN, Jan 23 (Reuters) - Efforts to save loss-making memory chip maker Qimonda (News) are still going on, a German Economy Ministry spokeswoman said on Friday.
'The talks are underway,' the spokeswoman told a regular government news conference in Berlin, adding that the government supported this process, as did all affected state governments.
Qimonda said earlier on Friday it had filed for insolvency as it had failed to hammer out all the details of a rescue package in time.

Qimonda braucht weitere 300 Millionen Euro
Die Infineon-Tochter Qimonda braucht zum Überleben noch mehr frisches Geld. Erst kurz vor Weihnachten hatten Sachsen, Portugal und der Mutterkonzern Infineon ein Rettungspaket über 325 Millionen Euro zugesagt.
HB BERLIN. Qimonda habe in den Verhandlungen über staatliche Bürgschaften mitgeteilt, dass es kurzfristig einen zusätzlichen Finanzbedarf von 300 Millionen Euro gebe, erfuhr die Deutsche Presse-Agentur dpa am Donnerstag aus Finanzkreisen.
Erst kurz vor Weihnachten hatten Sachsen, Portugal und der Mutterkonzern Infineon ein Rettungspaket über 325 Millionen Euro zugesagt. Seitdem wird über die Details des Darlehensvertrags verhandelt. Der Chiphersteller Qimonda benötige insgesamt aber über 600 Millionen Euro, für die vor allem der Staat bürgen soll, hieß es in den Kreisen.
Der Konzern mit Standorten in Dresden, München und Porto leidet seit langem unter dem dramatischen Preisverfall bei Dram- Speicherchips und der Konkurrenz aus Fernost. Keine Debatte über Qimonda-Hilfe im Landtag
Dresden (ddp-lsc). CDU und SPD im Landtag haben am Donnerstag ihren Antrag zur Befassung mit dem finanziell angeschlagenen Chiphersteller Qimonda kurzfristig von der Tagesordnung des Plenums genommen. Gründe für diese Rückziehung wurden nicht genannt. Nach ddp-Informationen entsprachen beide Fraktionen damit dem Wunsch von Wirtschaftsminister Thomas Jurk (SPD). Ursprünglich hatte sich der Landtag mit «Aktivitäten der Staatsregierung zum Erhalt des IT-Standortes Dresden unter besonderer Berücksichtigung des Erhalts der Arbeitsplätze» befassen sollen.
Die Staatsregierung ist derzeit darum bemüht, sich mit Qimonda möglichst rasch über einen Darlehensvertrag zu verständigen. Nach einem Bericht der in Dresden erscheinenden «Sächsischen Zeitung» (Donnerstagausgabe) hatte ein Treffen im Bundeskanzleramt am Mittwoch keinen Durchbruch in die festgefahrenen Verhandlungen gebracht.
Unter Berufung auf Regierungskreise hieß es weiter, dass der Mehrheitseigner Infineon noch 700 Millionen Euro auftreiben müsse, um unter anderem den Umbau der Dresdner Qimonda-Fabrik zu finanzieren. Kreise der sächsischen CDU würden eine Alternative zum bisher diskutierten Hilfspaket in dem 100 Milliarden Euro schweren Deutschlandsfonds sehen, wo Qimonda Hilfe beantragen könnte, schreib das Blatt weiter.
Nach dem kurz vor Weihnachten verkündeten Lösungsmodell sollte es über eine Investitionsbank Portugals 100 Millionen Euro, von Infineon 75 Millionen Euro und von Sachsen 150 Millionen Euro geben, um ein Betriebsmitteldarlehen in Höhe von 325 Millionen Euro zu finanzieren. Ursprünglich hatte Sachsen von Infineon ebenfalls 150 Millionen Euro sowie den Aufbau von 480 neuen Dresdner Qimonda-Arbeitsplätzen verlangt.

Neubiberg (aktiencheck.de AG) - Aktuellen Presseberichten zufolge will der Freistaat Sachsen in den kommenden Tagen konkrete Vertragsverhandlungen zur Rettung des schlingernden Chipherstellers Qimonda AG (Profil), einer Tochter der Infineon Technologies AG (Profil), aufnehmen.
"Wir wollen uns kurzfristig über einen Darlehensvertrag verständigen", zitiert das "Handelsblatt" am Dienstag in seiner Online-Ausgabe den sächsischen Wirtschaftsminister Thomas Jurk. Das sächsische Kabinett hatte heute in einer Sondersitzung über die 150 Mio. Euro schwere Hilfszusage des Freistaats für Qimonda beraten.
Jurk erklärte weiter, es gehe nicht zuletzt um den Erhalt des Mikroelektronikstandortes Dresden. Finanzminister Georg Unland betonte der Zeitung zufolge allerdings, Qimonda müsse seinerseits zunächst einige Bedingungen erfüllen, um seine Zukunft zu sichern. Dazu gehören Kostensenkungen und die Modernisierung der Technologie. "Wir können keinen Blankoscheck ausstellen", wird der Politiker zitiert.

Die Bemühungen zur Rettung des Dresdner Qimonda- (News) Standortes <QI.NYS> <QI1A.FSE> gehen weiter. Die Gespräche mit Qimonda und dem Mutterkonzern Infineon würden fortgesetzt, sagte Sachsens Wirtschaftsminister Thomas Jurk (SPD) am Dienstag nach einer Sondersitzung des Kabinetts. Sachsen stehe zu seiner Zusage von 150 Millionen Euro für die Rettung des angeschlagenen Chipherstellers. Nach den Finanzierungszusicherungen von Infineon und Portugal mit einem Qimonda-Standort solle nun so schnell wie möglich ein Darlehensvertrag ausgestaltet werden, um eine Insolvenz abzuwenden. Qimonda Intends to Restore Compliance with NYSE Minimum Market Capitalization Standard
Qimonda AG (News) (NYSE:QI) today announced that on December 5, 2008 it was notified by the New York Stock Exchange (News) ("NYSE") that it is not in compliance with another of the NYSE's continued listing standards. Qimonda is considered "below compliance" because its average global market captialization fell below $100 million over a consecutive thirty trading day period. As previously announced, on November 7, 2008 Qimonda was notified by the NYSE that it was below compliance because the price of its American Depositary Shares (”ADSs”) had fallen below $1.00 over a consecutive thirty trading day period. The NYSE has included the indicator "BC" on its consolidated tape since the previous notice, indicating that Qimonda is below the NYSE's quantitative continued listing standards.
In order to restore compliance with the market capitalization standard, Qimonda must have an average global market capitalization at or above $100 million over a consecutive thirty day trading period 18 months from the date that Qimonda received formal written notice of non-compliance of the market capitalization standard from the NYSE. Under the applicable rules and regulations of the NYSE, Qimonda has notified the NYSE of its intention to return to compliance and submitted a business plan outlining definitive actions that Qimonda is already taking to comply again with the market capitalization standard and to increase the price of its ADSs to over $1.00. The NYSE is currently reviewing the plan submitted by Qimonda and if the plan is accepted, Qimonda will be subject to on-going monitoring by the NYSE. Qimonda intends to return to compliance under both standards and will remain in communication with the NYSE throughout the process.
Under the NYSE rules, should Qimonda fail to increase the average closing price of its ADSs to the required level at the expiration of the six months period on May 7, 2009 or fail to increase the average global market capitalization to the required level by June 5, 2010, the NYSE will commence suspension and delisting procedures. During this cure period, Qimonda’s ADSs will continue to be listed on the NYSE, subject to ongoing reassessment. This NYSE notification of non-compliance will not affect the Qimonda’s business operations, does not change its SEC reporting requirements and has no effect under any of the Qimonda’s credit agreements or the 6.75% Senior Unsecured Convertible Notes issued by Qimonda’s finance subsidiary.

No end of the crisis Infineon doubts Qimonda rescue sombre scenario: The solid-state group of Infineon is not persuaded completely of the fact that his groggy memory chip subsidiary from the coarsest is out. Even the state rescue package is no guarantor for the reorganisation. The solid-state group of Infineon is worried in spite of the state rescue package for Qimonda about the future of his groggy memory chip subsidiary. Though these were recently promised to emergency advance more than 325 million euros and guarantees for credits more than 280 million euros. However, it would not be guaranteed "" that the measures "enable Qimonda to fulfil her liabilities", noted Infineon on Tuesday in his current annual report. The aid is further no guarantor for it, "that Qimonda can move other operational or strategical initiatives successfully which are likely to improve her financial situation." For the case that the subsidiary with the credit negotiations and the reorganisation fails "Qimonda difficulties could have to follow to her due liabilities", informed Infineon. However, negotiations above the first credit more than 150 million euros which should be granted under state guarantee are already in an advanced stage. Beside the public guarantees 325 million euros make available the mother's group of Infineon, the free state Saxony and the country Portugal to the rolling memory chip manufacturer in credits. Infineon tries to reduce his corporate debt as quickly as possible. In October and November the group according to own specifications bought back exchange and change loan interests more than a total of 117 million euros. In the current and next financial year the group numbered his due liabilities at 980 million euros. The possibilities of the Refinanzierung are limited on account of the low nevertheless exchange rate level.
