On October 25, 2021, Premier Product Group, Inc is addressing the issue of the Expert Status on OTC Markets.
Who can access the Expert Market?
Quotations in Expert Market securities are restricted from public viewing. Only broker-dealers and professional or sophisticated investors are permitted to view quotations in Expert Market securities.
Despite the restrictions on who can view quotations, the Expert Market does not impose restrictions on who can trade securities. Rule 15c2-11 governs a broker’s ability to submit, publish or distribute quotations (i.e., bids and offers) in OTC securities. The Rule does not apply to the underlying transactions or the ability of an investor to buy or sell a security.
How did we get here?
PMPG could have provided completed financials to the Auditor in time to file the 2nd Quarter financials prior to the 15c2-11 amendment date of September 28th, 2021. After lengthy discussions, the Auditor decided that PMPG’s Accountants have to amend the 2020 10K filing and 2021 1st Quarter 10Q filing prior to filing the 2nd Quarter 10Q filing.
The Auditor overlooked in prior filings, the non-booking of derivatives on liability notes. At this point, it was PMPG’s understanding that PMPG cannot file the 2nd Quarter 10Q filing before the amended filings are completed. Due to the extremely short and limited time frame to complete the amendments, PMPG could not complete the two amended filings and 2nd quarter filing prior to the September 28th 15c2-11 amendment date. The non-filing resulted PMPG to be classified to the Expert Market.
Could PMPG prevented the Expert Market corporate Action?
PMPG met its obligations to the Auditor and PMPG could have provided the financials on time for the Auditor’s review to file the 2nd quarter financials. While the Auditor had five (5) months to review and amend the prior filings, the Auditor made the decision to amend the prior filings in early September. This extremely late decision by the Auditor put a strain on PMPG and the Accountants. PMPG and the Accountants worked day and night to complete the amended financials for the Auditor’s review in a limited time frame.
Shareholder Transparency
Shareholders please note as a fully reporting company, the Auditor have the final say on PMPG’s audited and reviewed filings. The Auditor’s decision to amend the filings were completed in the ‘Spirit of Transparency’ to PMPG’s Shareholders.
Next steps to go back to Pink Sheet current
PMPG is currently working on the process to become Pink Sheet current again. PMPG will give Shareholders updates as soon as updates come in.

Hicks took over September 21, 2020, and in the over a year of being CEO not once did he mention he saw millions of debt that he wasn't previous aware of when he took over.

Effective September 21, 2020,Old Sawmill Partners LLC, the holder of an aggregate of 51 shares of Series B Preferred Stock of PREMIER PRODUCTS GROUP, INC. (the “Company”), representing 100% of the issued and outstanding shares of Series B Preferred Stock of the Company, sold all 51 of its shares of Series B Preferred Stock to Wilford Hicks, Tony Hicks and Edward Y. Lee, Jointly (the “Purchasers”), shown in the table below, which now beneficially owns 100% of the Company’s issued and outstanding shares of Series B Preferred stock. The purchase is being financed with a Promissory Note and Security and Financing Statement Agreement due and payable by September 22, 2021 unless amended by all the parties in writing within 60 days before the Note comes due.

Hicks failure was due to Hicks not Stein. Hicks thought he cold just write off the Valley High Mining Company stock which the audit's would not agree to.


Important to note not one share holder has received their dividend shares from Valley High Mining Company reverse merger. A Hicks action not Steins.

Looks like DOT is aiming their efforts at a mesh network through street lights, sorry to burst the PMPG bubble. Power is already there, antennae is a non issue, line of sight transmission is beyond exceptional, mesh technology already well documented and operationally perfected. Once SAE can agree on rooftop antenna convention, the road system will very quickly take off at very little cost, compared to tearing up the road or specialized implanting devices in the road surface and the maintenance thereof. No need for not one more inch of wiring, and devices can be replaced during maintenance cycles of existing street lights.

By all means, one should continue to invest in .0001 expert market non reporting pinkie and let hopium provide all the investment guidance one could use.

Unfortunately for the stuck PMPG bagholder sheep, municipalities aren’t going to tear up their roads and avail themselves to maintenance of these yet to be designed, produced, inground maintenance nightmares for years to come. And of course, the photovoltaic cell efficiency does not exist to fit the size requirement of these turtles, nor does a battery with sufficient storage power presently exist, that will realistically fit nicely in the road. Depends on the intended use. For toll collection, then every time a vehicle passes over it. For data, what’s the data being transmitted? Is the data going to a traffic control function vs every vehicle function? Is it taking in current conditions for data to be disseminated in a different way?

The options are wide open. The technology as it becomes available will just continue to open that up.

Again I’m not the engineer, I’m just an investor who likes the idea and believes the tech is viable. Terrance and PMPG aren’t going to do this themselves…

The battery issue is a non issue that Uber is hung up on. Sure once the tech for a battery becomes readily and financially available and viable it will make the sensors that much more useful with greater variations in what they can do.

What he doesn’t get is (or willing to admit) is that you don’t need millions of sensors in the roads of a city to monetize the data at this point or to have a viable source of communication and data transfer. The idea of millions of sensors will come when the technology makes that viable…he will admit that at least.

Anyway the whole point here was the patents themselves, I question how strong Terrance Berry’s claim to that technology is? We wouldn’t be sitting here dark defunct without a peep from Old Sawmill if there was strength in those patents imo. I can’t imagine how anything can communicate with another stationary device let alone a device in motion. Communication is a two way process of course.

But yeah you are right, I bet someone has to open up the device, remove the ticker tape, take it to the lab for analysis, have it deciphered into a readily readable format and use that data in some sort of way that is relevant. Things like the temperature and humidity averages since the last month they removed the ticker tape could be collected. Maybe it might have a sensor that can tell if it night or daylight? It could collect that information to help us create a calendar? Could you imagine??

Until we have the technology that allow devices to communicate with each other, it would sort of be an electronic version of telepathy I’d assume since I can’t think of any other way at the moment to achieve such futuristic technologies.

A 12 volt car battery would work, so would a locomotive battery, neither however fits in the ground easily. Both of course create major EPA violations for buried toxic waste.

Then there is the obvious problem of the photovoltaic efficiency and the needed size (dimensions) to make this system operate. Don’t forget the antenna polarization where the loss will be much greater than 3 dB.

It seems difficult for small minds to grasp, so allow me to again spell this out. Cisco is working on a platform that centers on data management vehicular communication on highways. Cisco or any other company, still faces the same basic issues of power via photovoltaic absorption and power storage therein. Until new battery technologies are found and efficiencies are found for photovoltaic devices, these systems are still presently pipe dreams, as far as installed systems anytime soon.
