I was involved with PHOX merger with RE Pipeline.Com around 1999-2000

We raised under $400,000 in new capital
Developing software is much more expensive than registering offerings and filing full reports. We did both at PHOX RE Pipeline.com with very little capital, even sued the previous promoter to cancel most
of his illegally issued shares and had him serve jail time! ( he left the country while on probation and the federal judge Joe Fish went nuts on him. We even rescinded the last private placement he made and offered full refunds to those investors.

We gave it the old FSU try, investing ourselves and getting old friends and college teammates to invest also. When we took over the shell PHOX traded to $2.25 but settled back to the .25-.50 level for the next year. We got our private placement shares registered but few people sold out when the were able to. We hit the VC market at the wrong time and never got significant money to back the business plan.

Photonics was a clean shell of a California technology company that traded as high as $40 and was run by an honest inventor from Intel

Billy, here's the provision on IF you exercise Dissenter's Rights:

THE COMPANY HAS DETERMINED THAT THE FAIR MARKET VALUE OF ITS COMMON STOCK IS THE LESSER OF THE CLOSING BID PRICE OF THE COMPANY'S COMMON STOCK AS OF THE EFFECTIVE DATE OF THE MERGER OR THE VALUE OF SUCH STOCK BASED UPON THE 10-DAY MOVING AVERAGE AS OF THE DATE OF THE MERGER. THE VALUE AS OF THE MAILING OF THIS STATEMENT IS APPROXIMATELY $.007 PER SHARE.

The LESSER of the closing price of the stock as of the effective date of the merger OR the value of such stock BASED UPON THE 10-DAY MOVING AVERAGE as of the date of the merger. The $.007 actually means nada. If it's trading at .005 AS OF THE EFFECTIVE DATE OF THE MERGER, that's what you'd get. If it's trading at .008 AS OF THE EFFECTIVE DATE OF THE MERGER, then you would get the 10-day moving average, whatever that may be.

2.2 Public Trading. The parties acknowledge that Photonics presently has its common shares admitted for listing and trading and that it is the intent of the parties that the Surviving Entity will have its common shares admitted for trading on a national listing service (such as the OTCbb or the Pink Sheets),
under the trading symbol assigned to it by the NASD as applied for after the Effective Date. Each of the parties shall undertake all such steps as are necessary to maintain and preserve the status of tradeability of Photonics until
the Effective Time and initiate such status for the shares of the Surviving Entity, as soon as practical thereafter.

I read that as the PHOX shares will be tradeable until the merger and after the merger PHOX shareholders get the shares of the Surviving Entity tradeable as soon as practical thereafter. That's normally a 1 year restriction, in my past experience, but that's just IMO. They're obviously gonna be restricted for some period of time.

this is a sleeper stock..not looked at. the kind that just blows up one day and the market panics to buy, but there will be no supply and a serious demand.

It is taking some time for the new company to Rev up, but they have over 600K cash right now and they bought the Shell for a reason. Once the new Company starts roling we should see a nice rise in PPS. Just in a holding pattern here with good support at .006. Anywhere below .01 will be a great gain in the coming months IMO ;)
