2.2 Public Trading. The parties acknowledge that Photonics presently has its common shares admitted for listing and trading and that it is the intent of the parties that the Surviving Entity will have its common shares admitted for trading on a national listing service (such as the OTCbb or the Pink Sheets),
under the trading symbol assigned to it by the NASD as applied for after the Effective Date. Each of the parties shall undertake all such steps as are necessary to maintain and preserve the status of tradeability of Photonics until
the Effective Time and initiate such status for the shares of the Surviving Entity, as soon as practical thereafter.
I read that as the PHOX shares will be tradeable until the merger and after the merger PHOX shareholders get the shares of the Surviving Entity tradeable as soon as practical thereafter. That's normally a 1 year restriction, in my past experience, but that's just IMO. They're obviously gonna be restricted for some period of time.
