( EMAILWIRE.COM, November 28, 2007 ) Roseville, CA. -- Peabodys Coffee Inc. (OTC: PBDY) announced today that it has entered into a Letter Agreement with Inca Group Partners., a Nevada partnership ('IGP-), whereby IGP will commit to approximately $300,000 in additional funding commitments in exchange for the issuance of sixty million shares of the Company's common stock. A portion of
the funds will be used to settle certain debt and to help complete the acquisition agreement dated September 17, 2007 of IncaBlock and its related companies.
'This transaction allows Peabodys to begin a new era for its shareholders because the funds can be used to help recapitalize the company and move toward a new and exciting venture with IncaBlock ,- Stated Todd Tkachuk, CEO of Peabodys Coffee.
Under the terms of the agreement, ICP will start funding those expenses that have delayed the acquisition. The Letter Agreement commits IGP to $300,000 of funding to Peabodys over the next 60 days. These funds will be used primarily to pay taxes, auditors, and other related expenses.
The transaction was unanimously approved by the Peabodys' directors at a meeting held on November 26, 2007, and is subject to the restructuring of about $1 Million in current liabilities. The agreement calls for the terms of such restructuring to be set forth in a more definitive agreement to be signed on or before December 15, 2007. After the transaction is finalized, IGP will own approximately 52.7% of Peabodys Coffee common stock.

On November 26, 2007, we entered into a binding Letter Agreement with Inca Group Partners., a Nevada Partnership (“IGP”) and agreed to issue a total of 60,000,000 (60) million shares of treasury stock in exchange for $300,000,
The Letter of Intent further provided that the Acquisition Group would work to further negotiations for INCA Group to transfer to the Company: (A) certain worldwide licensing rights to the Incablock technology; and (B) certain real property with a value of not less than $5,000,000 dollars (as reasonably determined by the transferor. In exchange, the Company shall issue an unspecified number of shares of a to-be-designated convertible preferred stock with such rights and privileges as the parties shall later determine but also to include super voting rights of not less than ten votes per share.
The Letter of Intent also granted the Acquisition Group the right to transfer an additional $10,000,000 in additional real estate to the Company with said amount to be reasonably determined by the Acquisition Group. The consideration to be received for the latter transfer of Real Estate was not specified but is subject to further negotiations.

Just got off the phone with Dan Correa the incablock CEO.
1)The incabloc technology is patented
2)They are building a 1200 home development in Tijuana, this real estate is one of the assets being merged into PBDY
3)States like Florida have passed laws that say the first 6 feet of new homes are now required to be built out of some type of cement blocks. Their product meets these new laws and cost less and and allow the use of cheaper labor. All states with hurricanes in Us will be markets they will go after.
4)He said to me as well no RS planned at this time. When they uplist to NASDAQ they may need to do RS to get share price up to NASDAQ minimums.
5) They have a manufacturing plant located in Mexico.
