iBrands Corporation (OTCPink: IBRC), www.ibrandscorp.com, - a holding company targeting the merger and acquisition of niche Internet-based brands positioned for rapid growth through proven products - today released an update to its shareholders.
In the latter part of last year, the Company elevated its status to “Current Information” on Pink Sheets. The Company intends to maintain this status for the upcoming year with a goal to elevate to a reporting status this year.
IBRC’s focus during the first 6 months of 2011 will be acquiring a new brand for the Company. Management believes an acquisition with an existing revenue base having a unique market positioning with substantial upside will accelerate the Company’s plans to move to a reporting status. A potential acquisition has been identified and discussions are in process.
Furthermore, IBRC continues to develop its iMenu24/7 online ordering system for the restaurant industry. iMenu24/7 has processed over 1.5 million orders. Menu24/7 is a B2B software platform that provides restaurateurs of all sizes to create a branded online ordering system for their consumers. Among other features, iMenu24/7 creates tools for these restaurateurs to increase their average check sizes through product up-selling and capture their consumer email addresses for future marketing.
Industry Highlights Which Further Indicate Potential for Robust Growth
The North American market for iMenu24/7 consists of some 1.1 million restaurant locations generating approximately $617 Billion annually in sales serving more than 78 Billion meal occasions annually.
The National Restaurant Associations quotes that 58% of all restaurant patrons order food for off-premises consumption (take-out). That relates to some 45.2 Billion orders or $357 billion are take-out in the United States. The company charges its clients a nominal setup fee and an ongoing per order transaction fee that is similar to those charged by credit card processors.

On December 22, 2010 , MIT Holding Inc. ("MIT" or the "Company") executed a Letter of Intent (attached hereto as Exhibit 10.18) to acquire one hundred Percent (100%) of the two companies, National Direct Home Pharmacy, Inc and Palmetto Long Term Pharmacy, LLC in South Carolina . Per the letter of intent, the Company will acquire a fully operating home delivery/mail order pharmacy with licenses and government awards, private nursing home contracts and a large individual customer base in exchange for ten dollars ($10.00) in cash and one million (1,000,000) shares of the Company's common stock (the "Shares"). The Shares will be held in an escrow account until such time as certain liabilities have been paid in full.

INFRAX SYSTEMS, Inc. (OTCBB: IFXY), a global provider of unified Smart Grid-related products and services for the Energy and Utility industries, announced today that it has entered into an agreement to acquire Broadband Holdings, Inc., and affiliate companies including Broadband Specialists, Inc., a privately-held, full-service engineering, and design firm. BSI has recently been awarded contracts by The State of Texas, AT&T, and Time Warner Cable, as well as significant wind farm and rural fiber to the home (FTTH) initiatives.
Under the terms of the agreement, Infrax systems will acquire Broadband Holdings and all affiliates, including BSI's 32,500 square foot headquarters and operations facility located on 9.23 acres, for approximately $8M in a combination of cash and Preferred stock, subject to a Lock Up and Leak Out agreement, at closing. The final purchase price will be based on a third-party valuation of Broadband Holding's business and holdings. Infrax will continue to support Broadband Holdings customer base and utilize their expertise in future smart grid deployment projects.
The BSI technical team's multi-disciplined expertise will augment Infrax's technical capabilities. Management of the combined Companies will include executives and Board members from both organizations. Broadband Specialists' 2009 revenues exceeded $8M, with forecasted 2010 broadband and alternative energy design and construction revenues expected to substantially exceed 2009 revenues, on a standalone basis and has an over $30M backlog of committed infrastructure contracts for 2011 and beyond. Infrax anticipates significant revenue growth as a result of adding BSI's design and installation capabilities to our Secure Intelligent Energy Platform.

* Revenues -- BSI's acquisition will add an estimated, $30M in revenue to Infrax systems' topline revenue over the next two years, which does not includes the Smart Grid and the Wireless Broadband revenue contributions.
* Shareholder Equity -- BSI's acquisition will add, an estimated, $6M in shareholder equity to our balance sheet at closing, subject to the final review of our accounting firm.

Belize Concession and Joint Venture with Princess Petroleum Ltd. Stock Payable Relating to our GeologicalWork in Belize we signed an agreement with a contractor to provide satellite data on Belize prospects, proprietary 3-S seismic and certain other geological data to determine the location of our first well in Belize. As part of the compensation package, we agreed to pay 15 million shares if our authorized capital would permit. We valued the promise to pay these 15 million shares at the closing price on the measurement date and charged Lease Operating Expenses with $204,000. Nothing wrong with keeping fuel in the plane sell a few shares for production.
They have Directors and Major shareholders with CASH!! A major shareholder agreed to pay any amounts of shares that Treaty is unable to due to lack of authorized capital.
2. They are not lazy:
Kansas - We expect that the Kansas oil and gas leases, if acquired and financing is obtained, will initially produce between 135 and 150 barrels per day which will immediately add positive cash flows from operations to our negative cash flows currently existing due to our corporate costs. We expect that our aggressive drilling program will provide additional cash flows in the future.
Tennessee – They completed the Robin Moody well #1 and Joseph Schwallie #1 wells. After initial flow rates that exceeded expectations, the Robin Moody #1 well declined to 1 barrel per day. We are currently evaluating whether to acidize the well to improve production. The Joseph Schwallie #1 well was acidized and is currently producing gas. We expect that the existence of the gas production is an indication that oil will be produced in the near future.
Belize - We intend to finance the drilling of one to three wells by selling additional interests in our Joint Venture with Princess Petroleum Limited and through the sale of debt. We are currently undertaking geological and geophysical studies in Belize to determine the location of our first well.
Kansas - We have identified approximately 600 locations in eastern Kansas on the oil and gas leases that we have under contract. If we close the acquisition and obtain the bank financing, we will plan on drilling approximately 400 of these wells in five years.
Several existing leases can be enhanced through water-flooding which will increase pressure and incremental production from existing wells.
Also discussed in Note 5 to this Form 10-Q is our acquisition activity during the nine months ended Sept 2010. We acquired a 100 percent working interest in several leases in Tennessee, then subsequently sold various working interests to raise the capital to re-open the wells. We also entered into a 50/50 Joint Venture with Princess Petroleum Limited, a company organized under the laws of Belize, to develop approximately 200,000 on-shore acres and 1.8 million offshore acres. We subsequently sold a 10% (5% of the total) working interest in our Belize concession for $250,000 in cash.

They acquired 100% undivided working interest (82.5% royalty interest) in eight leases in Pickett County, Tennessee in exchange for 1.5 million shares which were contributed by a major shareholder. These leases are: Herbert Groce #1, 77 acres; Herbert Groce #2, 80 acres; Leeta West, 20 acres; Joseph Schwallie, 47 acres; Byron Hill, 18.5 acres, Robin Moody, 18.5 acres, Terry Williams, 18.5 acres and Kimberly Hicks, 18.5 acres.
We valued the 1.5 million shares at the closing price on April 13, 2010 and valued the Tennessee properties at $19,500, or $0.013 per share. We then divided the purchase price, plus commissions and other costs, equally among the three properties expected to be developed during 2010, and arrived at a cost basis of $10,158 per well. Finally, we recorded a liability to the major shareholder in the amount of $19,500, the value of the shares given in exchange for the leases.
They entered into an agreement to sell 35% of our working interest in the Joseph Schwallie #1 well to an investor for $20,000 cash.
They entered into an agreement to sell another 20% of the Joseph Schwallie #1 well for $55,000 in cash. Under the terms of this agreement, we are obligated to increase the distributions of cash flows to this investor from 20% to 34% until such time as the investor has received $55,000, after which the distribution obligation will revert to the 20% working interest.
As a result of the two above sales, we recorded a reduction in our historical cost basis of the Joseph Schwallie well from $10,158 to $4,571, recorded a liability in the amount of $55,000 and a gain on the two sales in the amount of $14,413.
They entered into an agreement to sell 50% of our working interest in the Robin Moody #1 well for $20,000 in cash. Under the terms of this agreement, we are obligated to increase the distributions of cash flows to this investor from 50% to 56% until such time as the investor has received $20,000, after which the distribution obligation will revert to the 50% working interest.
They sold a 20% interest in the Robin Moody lease for $55,000 in cash. Under the terms of this agreement, we are obligated to increase the distributions of cash flows to this investor from 20% to 29% until such time as the investor has received $55,000, after which the distribution obligation will revert to the 20% working interest.
As a result of the two above sales of our interests in the Robin Moody well #1, we recorded a reduction in our historical cost basis of the Robin Moody lease from $10,158 to $3,047, recorded liabilities in the amount of $75,000 and a loss on the two sales in the amount of $7,111.
They entered into an agreement to sell 50% of our working interest in the Herbert Groce #1 well for $45,000 in cash. We recorded the sale by reducing the carrying value of our interest in the Herbert Groce #1 well by an amount equal to the pro-rata portion of our historical cost in the property, and recorded a gain of $39,921.
Belize Concession and Joint Venture with Princess Petroleum Ltd.
On April 20, 2010, we entered into a 50/50 Joint Venture agreement with Princess Petroleum Limited, a company organized under the laws of Belize to explore for oil and gas on approximately 2 million acres in Belize. The country of Belize is located in Central America, in the south of the Yucatan Island to the southeast of Mexico. It is surrounded by Mexico in the north, by Guatemala in the west and south and by the Caribbean Sea in the east. Its old name was British Honduras.
A major shareholder of the Company paid $100,000 cash as required under the agreement. We have recorded our basis in the $100,000 property and the corresponding debt to our shareholder.
They sold a 10% interest (5% total) working interest in our Belize concession for $250,000 in cash. We reduced our carrying value proportionally and recorded a gain on the sale of $244,750.
In a nut shell there are many players here plus directors with major dollars on the line. They are plenty of investments out there however these players are on the TECO team.
4.The decision markers who have millions in the hopper. These Directors have years of business experience in a multitude of professions. BIG NOTE ~ all of them have successful operations ongoing and do not have time or money to waste in a company if they did not have a plan.

There's an old Wall Street adage meant to inspire investors that goes "it's not a stock market, but a market of stocks." Consider that dead.
Computer trading, dark pools and exchange-traded funds are dominating market action on a daily basis, statistics show, killing the buy and hold philosophy still attempted by many professional and retail investors alike. Everything moves up or down together at a speed faster than which a normal person can react, traders said.
High frequency trading accounts for 70 percent of market volume on a daily basis, according to several traders' estimates. The average holding period for U.S. stocks is now just 2.8 months, according to the Crosscurrents newsletter. In the 1980s, it was two years.
"The theory that buy-and-hold was the superior way to ensure gains over the long term, has been ditched completely in favor of technology," said Alan Newman, author of the monthly newsletter. "HFT promises gains are best provided by holding periods measuring as few as microseconds, possibly a few minutes, or at worst, a few hours."
The problem is only made worst by the proliferation of exchange-traded funds, traders said. The vehicles, which make trading a group of stocks as easy as buying and selling an individual security, passed the $1 trillion in assets mark at the end of last year, according to BlackRock. This is probably why all ten sectors of the S&P 500 finished in the black for two consecutive years, something that's only happened one other time since 1960, according to Bespoke Investment Group.
"The capital raising stock market of the past hundred years has morphed in just the last 10 years into a casino," said Sal Arnuk of Themis Trading and a market infrastructure expert who advised the SEC after last year's so-called Flash Crash. "Who is doing the fundamental work analyzing stocks? In the end, we've greatly increased systemic risk."
Another factor jumped into the fray in December: dark pools. Off-exchange trading accounted for more than a third of the trading volume in December, says Raymond James. While these trades are eventually reported to the public markets, they further damage price discovery, an essential element for a fair securities market, investors said.
"This was a record high market share for off-exchange trading and we believe the SEC will ultimately be forced to react to support the price discovery process by limiting off-exchange trading for all traces except for large block trades," wrote Raymond James analyst Patrick O'Shaughnessy in a note to clients yesterday.

"This destroys capital markets," said Jon Najarian, co-founder of TradeMonster and a 'Fast Money' trader. "Hidden trading venues, where some participants get to peek at the orders as they are entered so long as they agree to 'interact' with a minimum percentage, is not an exchange, it's a license to steal."
While many see these forces aligning to cause a sort of self-correcting powerful drop in the market down the road, others feel like it's creating an opportunity for the stock pickers to mount a comeback.
At the end of last year, something strange happened. After tracking the S&P 500 for most of 2010, the Russell 2000 Index, made up of many small companies with very different characteristics and merits, broke away in the final three months to double the gains of large cap benchmark for the year.
"Small cap outperformance in the last quarter is a very good sign this trend is ending," said Joshua Brown, money manager and author of The Reformed Broker blog. "Winners and losers are starting to separate themselves after a year of the whole risk-on (buy anything), risk off (sell everything) of the last year."
Of course, you could have just bought the iShares Russell 200 Index ETF (NYSEArca:IWM - News) in September.

I could have let it go, the pick would have went 1000% and I would have been blamed for frontloading. One of the precepts of this board is no frontloading. I believe that we had a monster pick and someone ruined it. Next time will be different. Sorry it went this way.
