NWBO withdrew it's S-1 (File Number File No. 333-178740) filed with the Commission on December 23, 2011 and accepted the following from Dennis Mehiel (Four M Purchasers) Purchase Agreement November 14, 2011, amended on December 8, 2011 and January 6, 2012
From Nov 2011 8K:
On November 14, 2011 the Registrant entered into a loan agreement with an existing non-affiliate investor for a loan in the principal amount of $2,000,000. The interest rate is 6% per annum and the maturity is 6 months after closing (May 16, 2012). The loan is not convertible. In connection with this loan, the Registrant issued the lender warrants to purchase 1,052,632 shares of the Registrant’s common stock, par value $0.001 per share (the “Common Stock”), at an exercise price of $.57 per share and an exercise period of five years. The Registrant will use the proceeds for general corporate purposes, including particularly for the ongoing clinical trial of DCVax® for Glioblastome multiforme (GBM) brain cancer.
Also in connection with this loan, Toucan Capital Fund II, L.P. and Toucan Partners, LLC agreed to pledge an aggregate of 6,415,613 shares of the Registrant’s Common Stock that they own as security for the Registrant’s repayment of the loan. To effectuate the pledge, on November 14, 2011, the non-affiliated investor, Toucan Capital Fund II, Toucan Partners and the Registrant entered into a Security Agreement and Escrow Agreement. Toucan Capital Fund II, Toucan Partners and the Registrant intend to enter into a compensation agreement in due course, for compensation to Toucan Capital Fund II and Toucan Partners for their pledge of the shares.
On November 16, 2011, the Registrant entered into a convertible loan agreement with an existing non-affiliate investor for a loan in the principal amount of $444,444.44 The loan accrues interest at the rate of 4% and is due 2 years after closing. After a 10% original issue discount, the net proceeds to the Registrant are $400,000. The loan is convertible into shares of Common Stock of the Registrant at a 10% discount from the market price at the time of conversion.
On November 14, 2011, the Registrant entered into a purchase agreement with an existing non-affiliate investor for the purchase of the first $3 million of newly-issued shares of Common Stock under the Registrant’s pending equity facility. This purchase agreement is pursuant to, and will implement a portion of, the purchase agreement previously entered into by the Registrant and Toucan Partners for an equity facility under which the Registrant may issue up to $25,000,000 of registered, tradeable shares of Common Stock over a 30-month period.
The shares to be issued in accordance with the equity facility will be registered pursuant to one or more registration statements, and the 30-month period will begin on the effective date of the first registration statement. Any use of this equity facility will be solely in the Registrant’s discretion. Upon notification by the Registrant, the investor will be obligated to purchase a specified number of shares of Common Stock based upon a backward-looking, fixed price formula of 95% of the average of the 3 lowest closing prices of the Registrant’s Common Stock during the 5 trading days prior to the Registrant’s notification date. The amount of Common Stock in each such purchase transaction will initially be $150,000 per transaction, and, based upon the stock price and trading volume of the Registrant’s Common Stock, the amount may rise to a maximum of $1,000,000 per put. I'll post the details in the next rather lengthy post to highlight what I find significant about Dennis Mehiel a SERIAL, DEEP POCKETED ENTREPRENEUR!
Lots of very good discussions here on the PhaseFive report. Wanted to share my musings too:
It’s a 60-page report, but only the first 22 pages are worth focusing on. The sections on internet bloggers supposedly being paid by NWBO to promote the stock and recruit people for trials, manufacturing facility in the UK, and the science (which even a science-dummy like me can see is utterly contrived) are at best the worst kind of speculation and at worst, utter nonsense.
I’ll comment a bit on those sections that may be cause for legitimate concern. The payment of $5 million to Navid Malik does raise serious issues of integrity and corporate governance. As somebody speculated, it’s quite possible that Linda and NW were hooked-up by Malik. After all, he is a star bio-tech analyst in Europe and NW being a prominent healthcare investor are very likely to be familiar with each other. In that sense, yes, it’s possible that Malik might have arranged financing for Toucan/Cognate in 2012 for which he might have been paid. Which investment banking house on Wall Street does not write favorable research reports on companies that use them for financing? Moreover, if this was a shady deal between Linda and Malik, why would it be on the public domain for Phase Five to discover? It could be an ethical issue between his then-employer and Malik, and Malik being a NWBO director should raise concerns for us. I think this is why he has been suspended (with pay) by his current employer until details can be sorted out.
The points regarding the Conversion Price Agreement and payments to Cognate for manufacturing services are fair questions to ask. I have pointed out before that external audits (which NWBO is subject to as a public company) must and do look into related-party transactions to ensure that they are at arms-length. Nevertheless, I’m glad that we now have Elliott Leary who will for sure also dig into these transactions. I agree that this is a good development for us and is in NWBO’s best interests given Linda’s conflicting interest in Cognate. Elliott will for sure tighten corporate governance. By the way, I’ll point out again that the accumulated losses of NWBO are less than half of what Dendreon accumulated at the same stage of development (Pyrr and I have dueled over this).
As for the questions on patents, I’m just wondering, would NW have looked into the science and clinical trial developments as part of his due diligence? I’m sure he did. Would he have known about Linda’s relationship to Cognate/Toucan as part of his due diligence? I’m sure he did. Given Linda’s relationship to Cognate, and NWBO being a clinical stage company, as part of his due diligence, would he have made sure that the patents were in the right hands? What do you guys think?
One final thought. NW did not choose an individual. He chose a firm. Why didn’t he just go to an audit firm or a law firm to dig into these allegations? Why do you need former FBI agents for this? I believe NW and Linda have already spoken at length about these allegations. I believe his motives are two-fold: he wants to get to the bottom of the related-party transactions and the payment to Malik. Then he also wants to get to the bottom of who are the individuals behind these allegations and their motivations. This second part will require former FBI-agents and the favors they can call in to their current FBI pals in order to use the vast surveillance and tracking resources of the FBI (okay, this last part is wishful thinking, but I hope it’s true).
The important point here is that NWBO did nothing illegal, as charged by Phase V, when they used their patents as collateral. They reported it in their 8K and quarterly reports and followed through at the patent office. They didn't hide anything. Remember that if Linda knows anything, she knows patent law....She helped European countries write their patent laws. That's in her bio. She's not going to do it wrong.
Good question, exwannabe. I haven't found the details of the agreement, only that the $500,000 loan was a part of a multi-million financial agreement that involved warrants. I'm sure there is a signed agreement somewhere that stipulates exactly how and when NWBO gets its patents back. I will continue to try to find this out.
We know they have received patents back from Toucan because I saw them as "released" back to NWBO on the US patent site. So we know it happens.
This deal with Four M is my first run at the Phase V attack. And it's very, very wrong. I figured that out in about 30 minutes. No wonder no one put a name to this blog. It's sloppy journalism...., actually it's not journalism at all, just info twisted to look like reality to those that don't look for themselves.
There was a transfer to Mederax back in 2002 that involves a prostate patent that looks to have been updated several times. This appears to have been an actual transfer, but it looks like very old patent info.

Speech can be so harmful. The accusations and speculation may be costing people their lives and goes a step beyond merely not getting your way on a trade.
NWBO's management's choice to not speak might be viewed differently if seen through the lens of the laws governing speech. What is happening here reminds me of "A Pillow Full of Feathers."

Great job! That is a perfect example of how they took something that is essentially true (patents were assigned to Meihl) but they conveniently leave out the rest of the story, leaving the reader with the impression they no longer own the patents.
BTW, sounds like a pretty common practice:

I see no secured outstanding loan (other than 50K to an officer which would not be this). So I assume this has been paid back.
So why do they not have title back?
The Registrant granted the Lender a security interest in the Registrant's intellectual property.

Thanks, smokey. I'm pretty sure I'm right, but it would be nice to have a lawyer look at it. I wIill sleep much better tonight knowing that the patents weren't sold or traded away, but we're probably collateral.
Beartrap, nice find (I think). I do believe that Linda has been creative in financing, but I don't think she is stupid (far from it). I suspect like most other things in the Phase V report, it is selective representation of the facts (sort of like what Adam is good at). As the FULL story unfolds, I believe we will get logical explanations to many of the allegations. In the meantime, the hedge funds behind them have succeeded once again in duping retail holders out of their stock, and distracting management from bringing DCVAX to market.
The patents that Force V allege were sold to various other companies do not appear to have been sold at all, but are part of security agreements, like a mortgage. I've been looking into some of the allegations made by this blogger, and started with the one I found most disconcerting...his claim that NWBO no longer owns its patents. At first glance it appears that they did transfer 19 patents to Four M Purchasers, but the event is referred to as a Security Agreement. It appears to me that NWBO put up some of its patents as collateral in 2012, when they were strapped for cash. If you go to "assignment.uspto.gov" and look up Northwest Biotherapeutics you get a list of these events. There are several cases where Toucan had NWBO patents that read "release by secured party" so patents put up as collateral were returned to NWBO.
When you look up the definitions of security agreement and secured party it appears likely that Four M and Toucan were acting as bankers. Consider the deed to a mortgage or a car. The bank's name appears on all papers until you have paid off the debt.
If anyone out there is a lawyer, I'd appreciate your input. But based on what I see, I'm convinced now that NWBO will have its patents back in due time. I don't have any info on the financial agreement and couldn't find them on the USPTO site. But I'm pretty sure Force V misinterpreted these pages.
Any thoughts, anyone?

Fact, Woodford has invested $180 million, which is now worth a lot less at the moment. He is not happy about the current state of affairs and he will get to the bottom of it, wherever it leads. Hopefully that path will point outside of the company. If not, he will effect some changes. Either way, it will remove the haze hanging over this company. Hopefully the technology will take care of the rest.
As one who's been here much, much longer than you, I take exception to your generalization about longs being VERY tired of getting the run around.
Some of us appreciate the strategies and difficulties in navigating this period while all sorts of players are out there wanting to scuttle the entire venture.
Would I prefer that events unfolded differently and on my schedule? Yes. But I know that that is being totally unrealistic. Part of playing this game is understanding the ground rules. First off, the company executives determine what is made public and when, and that has nothing to do with making every shareholder happy each and every moment.
One other thing that I've said before. Reading a message board is not the same as doing DD. Without exercising some discrimination, reading a message board can be highly disruptive to one's investment strategy.
I have read more about NWBO, DCVax, dendritic cells, SEC regs, GBM, pathways, etc., etc., than I ever read for any subject in college. If my assessment is wrong about the company, so be it. The only way I can account for that possibility is to not get in over my head.

I posted on my visit to Sawston a couple of days ago. Contractors on site and security mentioned all the work is for one company which bought it last year. It's smack in the middle of a biotech hub around Cambridge. I found myself asking....if DC Vax technology was a scam why on earth would Linda spend around $20-30m gearing up for production. Not the likely action of someone fronting a scam?

I can't believe this report is published without authors, with a disclaimer on the very first page that essentially says readers should assume the authors are making money manipulating the stock price by a organization (PhaseV) that never wrote about any other company before. We have no sources, no supporting documents or other info. Now NWBO will have to spend goo gobs of funds to dispel what essentially is a hit job.
This is amazing. But, even still, if NWBO has the "secret sauce" ( I love that phrase, by the way), it won't mean a hill of beans. Even the worst case scenario-- that Linda was guilty of less than honorable act (which I don't believe because of her background, harvard law, with high honors)-- the issues will be identified, corrected and checks and balances will be put in place. It will still be good for NWBO and us shareholders. In the end this will be a win-win. But it'll be a b getting to that end-point with all the manipulators. Pyrr will be pouncing any minute now.

NW backs NWBO and backs the science 100%
The board of NWBO will approve the appointment of Mr Leary which was pre planned and agreed prior to NW's letter. NW's letter is just going through the formalities.
Malik was set up and will be proved innocent by Mr Leary ( Malik being UK based probably brought NW to the table originally ) and that sunk the shorts and getting to him is an attempt to shake NW but it will fail completely.
Mr Learys reputation and independence will kill off the rubbish being spewed by AF / Phasefive once and for all
Manufacturing operations in the UK are being built ( and I've seen it with my own eyes ) so that speaks volumes as you cannot get approved and gain world wide acceptance without the means of delivery and they are 100% doing that
Any silence by the management is because they are working night and day to see this to approval and part of this process leaves them gagged from publicity. Those genuine shareholders in it till approval will be very well rewarded in part caused by the shorts who have kept this baby down for way too long.
One of the short HF's will loose their nerve and sell their position for a loss triggering a mighty jump in the SP...as they all follow suit and that day will be when DC Vax L gets approved or just before as these wise guys have means to work these things out.

Absolutely, I totally agree. This is a blessing in disguise. If there was conflict of interest and even if there was wrong doing in that Linda looked after herself before shareholders, it will all have to be cleaned up. I don't believe it would become public information either, I jut think she would be pressured to open the door for another more experienced CEO. No matter what happens, with Woodford taking an active roll, things are looking up!

Just some full disclosure that due to this recent development with Woodford trying to push an anti-fraud specialist former FBI agent into the inner circle to examine all secret things NWBO (which I'm pretty sure most of which are unsightly), I've decided this week to sell out of my small NWBO position. I see too much potential negative pressure coming to make a subsequent pop after the hold lifts as worth it anymore. I might rethink that and try again if I see support lower but as of right now my shares are gone when trading opens.
The other issue that does play on my mind is the potential for a random halt for futility coming out of nowhere. I don't think the hold has anything at all to do with an interim analysis being done (especially not for efficacy with PFS primary ep) but it does introduce a perfect moment for the DMC to unblind data and have a futility analysis performed. The DMC has flexibility in this regard. The result of that very well could be a halt for F. So, I'm out. Not worth the risk.

Why the need to try so hard to disguise their identity? Most successful short sellers are not afraid to attach their names to their work. Not this group. These cowards prefer to operate in the shadows, hide behind multiple ID's on message boards, etc. The "geniuses" behind this work are unwilling to be transparent with their credentials. And their report seems to have worked to some extent. Or at least created an opportunity for NW. All you have to do is mix in a little truth (simple stuff that anyone reviewing SEC filings was already aware of) and use that as credibility to present a hypothesis regarding the science and why it is doomed to fail. Evidently, these folks have the abilty to lift the curtain on a blind trial.
Well bravo! You won this round. But what happens if the investigation doesn't turn up any illigal or actionable items? Your report and the subsequent investigation will have significantly derisked this investment. You will have illuminated every closet and nook. Those areas of uncertainty and secrecy that likely have kept many institutions on the sidelines all of these years. You are removing all of that. If anything is found it will be cleaned up. This entire exercise is going to have a profound effect. Phase V is erasing the strongest bear argument that has ever existed with this company. After this investigation everyone will know that what remains is valid and has been thoroughly vetted. So thank you and Cheers!!
How can anyone here give our own Austinmediga a hard time, he has been he only one to be right on with his disappointment in how the company has been handling and managing their affairs. Sure we have some naysayers here who also have always taken the opposite opinion on issues but that is good for a balanced discussion. But Austin for years has been shouting from he rooftops for LP to clean up her act and hire a CFO and release info rather than say nothing and let the apps decline. Now NW is doing exactly what Austin has been suggesting for one simple reason, because he can. I love turning a positive into a negative but I still don't see how LP has already agreed to do everything NW has requested sans a PR. SO can someone please show me that LP & Co is on board? I hope they are but I don't see this other than a demand by a shareholder akin to Herbalife etc etc.
I'm really curios about Linnda's reaction about the Board expansion. The last years have been a "One Woman Show" and it will be very interesting if she is ready to share the power.
Only if Woodford and Powers work together, NWBO has a chance to be successful. If there is a conflict, I don't think Powers will give up NWBO, but without Woodford I don't see a chance for NWBO.
So let's hope for the best.

NW Bio is developing cancer vaccines designed to treat a broad range of solid tumor cancers more effectively than current treatments, and without the side effects of chemotherapy drugs. NW Bio’s proprietary manufacturing technology enables them to produce its personalized vaccine in an efficient, cost-effective manner. Their lead product, DCVax-L, is currently in a 331-patient Phase III trial for patients with newly diagnosed Glioblastoma multiforme (GBM), the most aggressive and lethal brain cancer.
