Rio Tinto would never consider buying Niocorp. They like high grade. Last year they bought Platina’s high grade at surface scandium deposit that is scalable and has a long mine life for $14mm. They are also current producers of scandium and aluminium/scandium alloys. I don’t think they would take it if it was given to them. The is just a machine to extract high salaries for the ex Molycorp gang for as long as they can. Utter scam.
Does this mean we have a fund invested in NioCorp 🤣
They could have improved on the name of the Fund a bit, YA???

I am hoping someone takes over as captain of the Niocorp ship soon and gets rid of all the pirates on the ship. Would like to see Rio Tinto take the helm and get this ship before it begins to list. I can’t believe how poorly Mark has managed the company and lost $300 million in market cap
this is just registration of shares.
it does not mean anybody's intention to sell ( except for yorkville)
just look at all previous registrations
I knew something was amiss when she jumped off the BOD. Did not want to be on a sinking ship, Took one look at Kehler and decided she would never be in the same room with that guy. It was the smart move.
Putz, I really do not know how it got to this point. Investors were told the mine was good to go on just niobium alone. Then scandium was added to the mix and that was not enough. Now rare earths is the last piece of the puzzle and government help is sorely needed. How could the leading experts in mining be that far off in their actions. Those are just basic questions that need to be answered. Could not wait to merge with the SPAC and flaunt it to the investment community. Only funds now interested are the ones who are here for a quick buck. No institutions on board even at cheap prices.
Moral of the story is do not trust anyone especially on the business end. I have three stocks now and two of the CEO's are beyond awful. I think I would rather have a robot in the top slot.
At least she could get away.
Every time Mark opened his mouth it was a lie just to get investors to stay invested
What brilliant mind in rare earth elements doesn’t add them to the feasibility study?
And uses the excuse that they weren’t worth anything at the time lol
They were in solution automatically when we produce niobium scandium and titanium
“IF THE SPAC DEAL DON’T FIT YOU MUST CONVICT”
I am glad “real” investors are starting to chime in about this trash management team. What this management team did during COVID is not right. How could Mark and team have the balls to give themselves MASSIVE pay raises while destroying our company share price and market cap? This team only has their best intentions and interest at heart…I know the bootlickers will shout sell our shares, Talk with management blah, blah, blah
When most if not all companies around the world took massive pay cuts during the Covid years( generating revenue companies I might add) This team chose to give themselves massive pay raises?? I want some of you groupie to answer this question...Tell us the reasons you felt they should get raises working part time at a company??

DOA IS RIGHT ON!!! Wish I had dumped this crap stock when they screwed us with the first RS. I'm pretty sure a 2nd RS will be coming within the next year. Then we'll be right where IBC is....
This is who Mark Smith is....a manipulator and liar.....
Maybe they can ring the bell again and clap away.
Ms. Fenga could not get away fast enough from this company and her departure was a tell tale sign to sell.
Because there is no reason for this stock to move up. There is no reason for anyone to create upward pressure here by buying. The money coming in is toxic. There is no news besides dilution and an 8M obligation with REALLY bad terms. EXIM and Stellantis are whispers in the dark. Maybe it will move up in 5 or 10 trading days if someone pulls a rabbit out of their hat or their ass.
It said so in the prospectus.
That was a private placement why do you think it’s from the Shelf registration shares?
I was under the impression shelf registration shares can be sold to any Tom, Dick or Harry on the market and would not need a prospectus to free them up to be sold.
I rest my case eom

Knock knock.
You shouldn’t blame Yorkshire. You should blame the company that hired them.
Rader- while that is encouraging that they are seeking a secondary non dilutive form of financing for the FS etc.... One can't help but wonder...... why, pray tell, are they just now seeking financing for the FS? wouldnt they have tried to procure financing a year ago w/ EXIM or other parties? can never figure out what the heck these guys are doing...... and the timing on when they are doing it......

Mark was the cleanup hitter and was supposed to deliver some sort of financing . All they needed was an initial amount to get the ball rolling and we got nothing. Yorkville is garbage as well as Lind. Better off going to mothballs than the route they took.

I consider this significant. It answers several questions. (My answers based on personal interpretation of Jim's response)
1. How is NioCorp paying for the Feasibility Study? - By seeking funds through EXIM's Engineering Multiplier Program (EMP)
2. Why is the FS taking so long? - Because funding may be coming through an EXIM program, which moves at the speed of...government.
Thank you ge11 for reaching out to Jim Sims. This adds a bit of clarity to some concerns that have been raised on this message board re: the FS.
Sent Jim the question.....his response
We are working with them now on that.

Jim,
Was NioCorp able to take advantage of the EMP program thru EXIM?

If I were to make a conservative statement about when something in the future will happen... this is just how I would do it: I might say The end of June is conservative. (I don't want anyone to think it could be earlier. I don't want to get anyone's hopes up or mislead them.)
OR, The end of June is conservative. (I'm giving myself a long time to get it done but it could be sooner...)
LMAO whatever actually happens in the future is what I meant when I said that if anyone asks me later....
Why? Cuz if I was as a PR guy with a lawyer boss I might know how to carefully use words. Nothing wrong with that, happens all the time every day.
Jim's response to my question back on 1-22-2024
Mark’s view that the Stellantis deal could be approved in the first half of 2024 is certainly the target that both NioCorp and Stellantis are working toward. The transaction has many moving parts, as is often the case with offtake agreements and strategic investments of this type, and it will complete when all is done.
Regarding EXIM, our target is to complete an EXIM debt financing package in 2024.

Jim,
When Mark was talking in the presentation about EXIM and Stellantis happening before 1st half of 2024, he stated that this could be conservative. What did he mean by conservative.....it could happen sooner than this or later?
Thanks for some clarification!
Maybe NioCorp should apply for the EXIM Engineering Multiplier Program (EMP)
https://exim.gov/solutions/loan-guarantee/emp
I was thinking a more modest 10-25 million loan to complete the EXIM consultant costs and the FS.

Shareholder, He also served for over seven years as the shareholder representative of Companhia Brasileira Metalúrgica e Mineração, a private company that currently produces approximately 85% of the world supply of niobium.
He should really know what to do, but his timing in the past was always a desaster..... But things can change....
Are you suggesting Mark is going to do something that is in the best interest of long-term shareholders?
That in and of itself would be sweet.
But doubtful
**************
Yeah,
Mark should listen......
Dow will break 40k election coming and we are still waiting....
It would be awesome, if NB gets a deal with Stellantis that looks somewhat like that:
A significant offtake agreement, with 100-200 million being paid upfront under a Prepayment Arrangement, and an Equity Investment for another 100-200 million, but only after the new FS and EXIM loan have been announced, i e at a much higher pps. That would soooo sweeeeet!
It’s either incompetence or intentional. Either way, management will need to answer for it.
Kingdon was the sacrificial lamb. I wonder if they were doing Dean a favor. They had to have known how Yorkville operates and where the price was headed. I am guessing this is the worst investment they have ever made short term unless they had a position in Enron at one time.
You saw the best terms they could get for a loan five weeks ago. Stellantis news is WAY overdue, I think shareholders need to hope that is next. I do think it's possible that part of their investment won't be equity.
Do you think they could get a loan for 10-25 million? There would be no dilution.
I have no idea why Niocorp have not used ATM financings. So much less dilutive. Paying Yorkville and Lind fees for hitting bids is rediculous when they could be doing themselves.
Rates make the day today
I expect green
How much reading have you done about shelf offerings? Looks like this one will expire in November.
https://www.investopedia.com/terms/s/shelfoffering.asp
Here is quote from Mark about the shelf offering dated November 2021
while the shelf registration, he says, will open the door on the equity side, where he says the group is receiving 'tremendous interest' from institutions already.
It's conjecture on my part but I guesstimate that the company needs to raise 10 to 25 million dollars before they get a final decision from exim. At least a portion of that will almost certainly be an equity raise. There just isn't a good way to do that at these levels. At least when Kingdon took their small part of the shelf down there were no warrants attached and they didn't immediately look to unload their shares.
The shelf will go out to the market as well not just Big institutional investors.
Volume at a high SP is needed for the shelf to be a success. JMO
I’m sure there is a financial institution that would be handling that, when that reality occurs.
If niocorp is able to pay $8mil to Yorkville with shares (and I don't think they want this), then the company will have received a little less than $7mil in exchange for over 3.5 million shares with the warrants included.
Mark has been trying to use the shelf offering for close to 3 years now with only one tiny nibble to show for it. That is why the above happened.
I am thinking about starting a 'Go Fund Me' Page for Niocorp...... I just found a bunch of change in the couch cushions that i can donate..... perhaps if everyone shakes their couch cushions real hard (and don't forget to check under your car seats too) then sends a few bucks to NioVille Accounts Recievable Department- then maybe, just maybe we can help pay these bloated management salaries and get the FS funded..... comon' people.... do your part... our NB team is working around the clock and busting their asses daily (don't laugh.... hehehe)........ ok, agreed, there ain't much to show for it YET, and we have reset the clock many times over the last 5 years with many false alarms on imminent financing......... but they (NB fearless leaders) deserve our undying loyalty..... hey, the GX Drexel Burnham BOD sharks are checking in every other month like clockwork- to see how things are going in Centennial, and while they no doubt feel badly about how the GX SPAC debacle turned out, they are still not willing to help out on any company loans to help the fledgling NB company coffers (the NB SP is less than a McDonlad's cheeseburger* with their tight financial situation)....... all they (GX SPAC'ler crew who got 20% of our company for nothing) would have to do is ETF/wire $20M from their yacht in Monaco or the den of one of their vacation homes (during a CNBC commercial).....
Comon' SPAC'ler sharks!!! help your company out...... it'LL pay off...... maybe not as well as the failed SPAC or the Global Crossing liquidation sale in the early 2000's, but you will receive a few multiples of your investment....... Gordon Gekko is watching... and Buddy is on the beach watching the sun rise while short selling Blue Star Airlines....... Do the right thing to show your allegiance!!
NCT
Maybe not, But what I do know, since the Shelf belongs to me as a shareholder, is that I would rather use it all up @ $40.00 rather than 20% of it @ $2.38 to pay the monthly bills.
Do we even have a Shelf any more? Or did it Disappear with the TSX?
That is a perfect example that you have zero understanding of what a shelf financing is.
Because they already used the Shelf once already @ a higher price.
Don't want to look desperate! 💪👌
Take the hit @ a lower price and empty the shelf, when the SP is higher/ more favorable?

NioCorp Developments Ltd. is a U.S.-based mineral development company focused on developing several superalloy metals from the proposed Elk Creek, Nebraska Critical Minerals Mine. NioCorp plans to produce three commercial mineral products — Niobium, Scandium, and Titanium — from a single ore body in the Midwestern United States. NioCorp's Elk Creek Project is highly unique. It is North America's only niobium / scandium / titanium project. It is the highest grade niobium project in North America. It is one of the largest prospective producers of scandium in the world. Once in production, it will initiate the first production in the U.S. in decades of Niobium and Scandium. All three of the Project's proposed superalloy metals have been designed as "Critical Minerals" by the U.S. Government.
NioCorp is a publicly company that is listed on both the Toronto Stock Exchange under the ticker symbol "NB" and on the U.S.-based OTCQX exchange under the symbol "NIOBF." Shares are also traded on the Frankfurt Exchange, under the ticker symbol "BR3."

Overview of the Elk Creek Project: http://www.niocorp.com/elk-creek-project/
U.S. Geological Society description of Elk Creek Carbonatite
"The Elk Creek carbonatite, located south of Lincoln, has the potential to be one of the largest global resources of niobium and rare-earth elements (REE). These REE's have many important applications in industry, including petroleum-cracking catalysis, steel alloying, and glass polishing, and as sources of permanent magnets and phosphorus for television and lighting.
The Elk Creek carbonatite is buried beneath about 500 feet of overlying rock and is known only from drill cores, which, until recently, have remained proprietary. Scientists from the USGS and the Conservation and Survey Division (CSD) of the Institute of Agriculture and Natural Resources at the University of Nebraska--Lincoln have studied drill cores."

About NioCorp
NioCorp is developing a superalloy materials project in Southeast Nebraska that will produce niobium, scandium, and titanium. Niobium is used to produce superalloys as well as High Strength, Low Alloy ("HSLA") steel, which is a lighter, stronger steel used in automotive, structural, and pipeline applications. Scandium can be combined with Aluminum to make super-high-performance alloys with increased strength and improved corrosion resistance. Scandium also is a critical component of advanced solid oxide fuel cells. Titanium is used in various superalloys and has extensive uses in aerospace, defense, transportation, medical, and other applications. It also is a key component of pigments used in paper, paint and plastics.
