Tenchi stated, “Get the deal that JB could not get signed?” On one hand the admission is that there’s been 14 years with no deals. That’s an incredible statement for the CEO to make when he’s hanging on by a legal thread. It’s an admission of 14 years of failure. As a company’s failure always falls on the head of the man controlling the money, which was always Greg Halpern, he should take a page out of his Samurai manual and end his time with MAXD.
JB has been gone from the company for over three years and Halpern & the Halpernettes are still blaming him. He didn’t get paid for the last 15 months he was there yet continued to work, and Halpern’s blaming him? Halpern paid himself, of course, and continued to charge personal bills on the company card, is he blaming JB for that too? He funneled the money into the Google suit and could not complete deals due to not paying the engineers. It’s easy to point fingers and blame everyone else, which is Halpern’s modus operandi, but that crooked finger will eventually point right back to Greg.
The transfer agent has been gone for 4-1/2 years and Halpern & the Halpernettes are still blaming him as well, not to mention calling him “bad transfer agent.” When is Halpern going to take responsibility for his own failures?
Once again, let’s crank up the digital disco time machine and start playing the old favorites! Unethical promoting of the company through any means possible. Remember these oldies but goodies? “Big deals on the horizon!” “50 deals in 50 days!” “Earth shattering news just around the corner,” “MAXD Land Mark a $57Million Valuation Deal,” “Just wait until next quarter!” Now we have “ Maxd finally making a deal!” and “Maxd to explode after Expert Market!” Check the market manual under the chapter on ethics. Then check with the SEC on the process, not to mention the time frame, to get off the Expert Market and back onto the OTC.
“Waiting on Rurouni.” The man with no title. The man only known as a board character. The man who has not been approved by any board member, former partner, or shareholder to represent MAXD. Yet Halpern in waiting on him. Still. Who put Rurouni in charge? Who is on “Team Rurouni?”

The 10-Q filing was due yesterday. The NT 10-Q filing is due today. I don't know why his team would mislead us with a May 19th date. The May 19th date means nothing. I do welcome an explanation.
The little runt man needs internet and electricity in order to file successfully. With all of his newly acquired CEI skills maybe he can monetize these new talents and bring some income into MAXD to fund these needs.
According to the filing in December, it was no later than May 19. I will bet we do not see one.

All I know is whatever faults Greg “GH” halpern may have or had, Greg should be able to make up for those deeds just by letting him display his new CEI skills that I hear are second to none. These CEI skills will allow Greg to negotiate deals that heretofore were absolutely unobtainable in the past. He should be the center of attention in the board room. With his unparalleled skills, he is second to none.
If I heard correctly Greg is still very busy devoting every minute to his CEI training and wanting to be recognized as the absolute best student and legendary in his skills. I think he will be able to show off those skills in closed board room meetings leaving everyone very satisfied with his performance and strong grasp of the CEI subject. I know I personally felt drained watching these skills at work. I know his CEI skills will only make MAXD more attractive to investors and the like wanting to drop a load on MAXD investments

Regardless of how foolish Nash is, she found people even dumber than herself to buy into the scam she was peddling.
Nash didn't "screw up" any deal, all went according to plan: greedy gamblers believed her lies and handed over a bunch of money she knew they'd never get back.
It IS actually super easy to discover that Constant Nash was lying in her claims.
It's called "rudimentary due diligence":
"You have code that compresses video smaller than any competitor? Prove it. Show me this code working on your laptop."
"You have a patent that reads on the x264 codec? Prove it. Point at the portion of the published x264 specification which implements your patent, and explain how it's impossible for that specification to be implemented without your patent."
"You own a company worth $50 billion? Prove it. Show me an appraisal from a respected independent audit firm, or show me proof of substantial investment from a respected independent investor at that valuation. Then explain why a $50,000,000,000 company needs my paltry $500,000 investment"
"You invented the smart phone? Prove it. Hand me one of the phones you created with documentation showing it was constructed before any other smartphone was in R&D"
"You received an award as the best female CEO on the planet? Prove it. Direct me to the organization that gave you this award, show me their publication memorializing this award, and show me the criteria which demonstrates nominees do not pay to be given this award."
These are all outlandish claims to the ears of anyone over the age of 10.
Extraordinary claims demand extraordinary proof, and yet people handed money over to Nash after doing less research into her claims than they do research into which cereal to buy.
Such people are fools. Hopefully they learned to temper their greed slightly next time they're shown get-rich-quick schemes.
As to being called a “fool,” it's not easy for investors in unfamiliar territory to recognize bunko artists, which is why hiring outside investigators to conduct financial background checks is so Important. Records access through the internet has also changed over the last 14 years. Characters such as Connie Nash and Greg Halpern can bamboozle investors and baffle them with technological BS which will convince them of the relevancy of the product, not to mention their advanced knowledge of the market, but it’s up to the investor to make the final call. I know because it happened to me.
I don’t consider myself to be a “fool,’ but I was naïve to believe what I was told. At the time, the information about Greg Halpern and Z-Trim was not available to us. When it became available, he naturally denied any wrongdoing, deflected blame to others, and talked about the incredible returns he achieved for the shareholders. He said the same things to Harvey Vechery. It was already too late for us as we were all in. If I knew then what I know now, dime one wouldn’t have been invested in this company. Fool or not, that’s on me.
As to Connie Nash, she was already contracted to MAXD and being promoted everywhere. We all believed what we were being told about her from MAXD. The resume seemed real. The product was well known in the marketplace and being used by Google. We bought into the concept of the video being combined with the audio and the expanding market that would be open for MAXD. I was never on board with the lawsuit against Google but that’s another story. Should more due diligence have been done by me? Yes. Again, fool or not, my bad.
MD1941 and his group was contacted by Nash for financial assistance. On paper, it was a good deal for both, as well as for MAXD. MD wanted to help Nash and MAXD as well as make a profit for his partner. Should MD have recognized the psychological issues and potential pitfalls of doing business with her? Why would he? He is a transfer agent, not a forensic psychologist. Furthermore, MAXD vouched for her. It was a simple deal. Is MD a fool for making this deal? I don’t think so. I’m more of a fool than he was. Things can be much clearer in the rear view mirror. Hindsight being 20/20 and all that. I just think the "fool" tag in inappropriate in this instance. It's just a business deal gone bad.
Please feel free to ignore the facts. Nash screwed up a simple deal that she begged for. It started as a profitable deal until Nash sabotaged it. Nash is now a ninety year old, hiding out from a $2 million dollar judgment and a bench warrant for her arrest.
The fool is Nash for cheating people.

Was Halpern duped out of $530k by Connie Nash? That’s how much MAXD paid her on the contract. The fact that Halpern didn’t pay her the additional $200k per month is what caused her to approach MD1941 for the $125k she needed. That nonpayment also caused the deal to go south and Nash to commence her scorched earth policy against MAXD. What did MAXD get in return? A losing legal case against Google and years of misery for the shareholders. MD may be out $125k but they have a $2m judgment against Nash and a bench warrant. What does Halpern have on her? Nothing. So, who got duped more? “Bad Transfer Agent” or Greg Halpern? If you’re going to bring up past history, you may want to do some research first.
For the record, I am just pointing out all the nonsense Tenchi posted on the other board and contrasting the “misinformation” comments made on this board with facts.

It was stated by a board poster; “Soooo much anger from YouTube video maker....lol.” I understand this is specifically directed at the “YouTube video maker,” but it also shows a compete misinterpretation of the thoughts of the majority of the shareholder base. I understand why the Halpernettes are angry with “YouTube video maker” as he is getting beneath their skin on certain issues. However, there are many shareholders out here who are very angry with the direction of the company over the years and hardly believe it is a “LOL” laughing matter. Investing money in the market is a serious business. Losing that money is even more serious. When the CEO of a publicly traded company is as cavalier with his investment money as Haplern has been, shareholders have a right to be upset. Taunting shareholders online is not a good look.
Who is Rurouni? Who are the members of Team Rurouni?” What is the role of Rurouni and his so-called team? What is his official position with MAXD? Who approved this position? How is/are he/they compensated? Why is this board member promoting unofficial company news from someone not even officially connected to MAXD as if it were company gospel? Inquiring shareholder minds need to know.

Halpern imagines his uncanny ability to avoid the law is something shareholders should admire. That finding new and creative ways to delay legal proceedings would have shareholders cheering him on as if he’s a financial gladiator fighting against the evil regime. The idea that the truth bending to shape his latest market pump would be something the shareholders could get behind and run with. What a distorted perception of reality. The funny thing is that one of the posters on this board agrees with him on each of these points. Imagine that. This thought process is delusional and part of a fantasy world designed and built by Greg Halpern. Our task is to find reality amidst this “adult cartoon world” of his and find a way to revive the company.
The “misinformation” commentary coming from the Halpernettes is comical when one scrolls down this page. “MAXD forecasts substantial 2022 revenue and profit expecting to exceed $100 million dollars.” This was posted on 6/8/22. Isn’t this one definition of misinformation? How about the “Forecasted Revenue from InGroundAssets?” How about the “signed deals.” Or the “$100 million dollar run rate in Q4 2022?” “Biometric securities” which has never been fully engineered? The people for the “Ultimate Kindness” business? How about this gem, “Here's a reminder - In last year's early effort, our increase over 10 weeks with $235 million dollars of trading volume resulted in a top end gain of 19,600%. I will go on record here with our nine (9) figures forecast that I think we could make last year's 19,600% share price increase look modest by comparison to where I think we can end up.” And the grand finale; “Meet the MAXD Team! With the full bio of John Blaisure as CEO. Isn’t that a bit of misinformation designed to make investors believe the company has more than one employee, administrator, board member, and executive? That blows right past misinformation and into deception territory.
I believe the Expert Market move should get him criminal charges. I believe he did it to slow down a forensic accounting audit. I believe the audit will prove criminal actions. I would charge him with tampering with evidence.
Once again Google already proved that he misused company funds.
Well only a few more weeks before the next filling comes out and we see all the great things GH has been doing. I am not holding my breath, for any material truthful news. Here is what we will see, excuses, blame game and an extension of non reporting.

The Halpernettes continue to use the word “misinformation” to describe anything they disagree with or contradicts their agenda. If the comments made about the April 28th hearing are truly to be classified as misinformation, then how does one explain this publicly posted information by the court: “The Court determines that Plaintiff is entitled to the relief sought. The Court signs the proposed judgment.” Those words not only carry weight, but they also have a specific meaning. They are also the Court’s words, posted publicly for anyone to read.
As has been stated, the defendant (Halpern) has the right to file a motion to reconsider and if the rules are followed, the Court will then consider that motion. As of this morning, there is no posted information on the public site indicating any additional filings. Nothing about Halpern hiring an attorney and being assigned to the case. Nothing about any motions to reconsider being filed.
As to the comments made by the board poster, who is now being mocked on this site, he is expressing his opinions, as his accuser is, and both have a right to do so. As to whether this is “a losing battle,” time will tell. My opinion on this case is already known. The bottom line is the Haplernettes believe it is a no brainer for the judge to accept Halpern’s version of the truth, therefore negating all the facts presented and already agreed upon by the judge. I’m not so sure that will happen.

Interesting, when one claims/claimed they never communicate with Greg. It’s ok, I’ll take Greg’s instructions specifically to ignore and apply no legitimacy to any posters pretending to speak for him or the company, including speaking about anything related to court proceedings and the use of the “B” bold function key.
Greg wants to make certain that everyone knows those are postings of a very very sick, twisted individual person, a stalker, a wannabe, the postings/rankings really need to be ignored by all MAXD shareholders and other interested persons. As to the executive decision to stay out of court, it is delusional to believe you can win without even showing up for the debate. You have to at least enter the game if you want a shot at winning. On the other hand, going to court creates issues in that questions have to be answered on the record. Submitting a plea for reconsideration allows Halpern to scream obscenities from the fortified ramparts while flexing his verbal biceps.

Of course. That’s what a motion to reconsider is all about. As stated, I am very familiar with these motions. However, just because someone “asks for” a review doesn’t mean it will be granted. The poster is assuming he will render his claims on a tablet and the judge will utter the words, “so it is written. So it shall be done,” but that is not usually the case.
And then there's this;
A judge can change their own ruling after being asked to reconsider how they ruled on a motion, objection, or a sentence.
I have read the filings. All of them. I’ve also read through every PR from the inception of MAXD, as well as each word on every website, as you know since I have dissected those words online in the past.

Yes, there are two sides to every story. But “story time” was on January 11th and April 28th. Halpern was not there. When someone misses a scheduled class, everyone knows the student will earn, and typically deserve, a failing grade. Excuses can be offered up, but the bottom line is when the story is over, the reader usually closes the book and moves on.
