Its official - MRKL is no more - then again, its been a zombie stock for years.

Played with this one back in 2004. Once Cornell got involved it was game over. Too bad so many people got suckered into this scam and Tarini and his cronies got away with it. I still have 77 TCNH dividend shares. LOL! How long until they are worthless. Oh wait, they pretty much are.

The sale of EOIR to LLC was structured as a stock sale in which LLC acquired all of the outstanding stock of EOIR in exchange for

Not sure where you found the O/S numbers? The O/S equals the authorized of 500MM. The Series F preferred have the effect of bring the O/S to 1B shares.

You'll find more information about MRKL if your read the SEC filings for TCNH. Here's a good start.

You also need to investigate the Series E preferred shares. The only asset of value MRKL owns is TCNH stock. MRKL is nothing but a shell. Here's a breakdown of the TCNH shares held by MRKL.

the numbers which you are quoting are from a 2002 filing at which time Delmar Kintner was CEO. As far as ip Partners goes, I haven't gotten that far and haven't dug into that. As I said, I still have DD to do and plan to dig into it.

The 1 for 60 R/S was in 2003 and I don't see where one has occured since then. There are currently 350,449,710 outstanding Shares and that was as of 5/7/2007. I also see there hasn't been a name change since 2001.

While there are some things to look at and dig into and questions to be answered, overall MRKL does not appear to be anywhere near as bad as most pinkies are. Most I look at never even make it to the asking questions stage they are simply ruled out and I move on. Thanks for the heads up and I will continue my digging.

thing that I have found that impressed me was the CEO. Do some research on Robert Tarini. He resigned his position as CEO for Technest Holdings (TCNH)in March 2006, has been with MRKL since. TCNH was trading up over 10.00 per share around that same time frame. I haven't been able to find anything negative about him and from what I researched on TCNH so far, I haven't found any signs of bad activity. No symbol change since 2001, not a huge number of splits, small number of outstanding shares. It appears he left TCNH in good shape so one can only assume he will treat MRKL likewise. Still doing some digging but I'm liking this stock, just needs some momentum and attention IMO.

You have to buy shares the day before the ex-dividend date... since May 7th is a Monday, that means you have to purchase them on Friday, May 4th to get the shares. It just so happens that this is the payment date as well, so if you buy them at any time on May 4th, you will receive the dividend... if you buy MRKL on May 7th, you will not receive the dividend.

I thought I understood the way how those dividends are paid, but I'm confused again. From the press release:

"As previously announced, the record date for the Company's distribution of Technest common stock is April 25, 2007 and the payment date is May 4, 2007. Based on those dates, the NASD has established an ex-dividend date of May 7, 2007. "

"The ex-dividend date is the date on or after which a security is traded without the right to receive a specific dividend or distribution. Any shares of Markland common stock outstanding on the record date that are traded after the record date but before the ex-dividend date will be traded with the right to receive the Technest dividend shares. Shares of Markland common stock traded on or after the ex-dividend date shall be traded without the right to receive any Technest dividend shares. "

How can the payment day (May 4) be before the ex-dividend day (May 7), if you still have the right to receive a dividend before the ex-dividend day? Can somebody clarify these please? Thanks in advance.

Axiom, I got in... I just couldn't believe the dividend and wanted to make sure I understood it correctly. I feel that TCNH is very undervalued and has a lot of potential... and I think we will be seeing some big news from them (i.e. Omnibus Contract, Buyout, etc.) shortly after the dividend.

The reason I mention the buyout is because they already had a press release earlier alluding to the fact of "strategic alternatives". This is a DOD company and I would believe it will be highly sought after. Small DOD companies have been a very big buyout target of private equity firms lately.... and with the numbers TCNH posts and the few shares outstanding, investors have a huge chance of making $$$$. GLTY

Yes you are wrong. the pay out is 1 TCNH for ever 194 MRKL shares you have.

194x.0115 = 2.23 and TCNH is at 1.55 now.

So in long run you would better off just buying TCNH @ 1.55/share

Am I missing something? If you purchase MRKL today, you are able to receive the shares of TCNH since an ex-dividend date has not yet been declared... at least that's the way I am reading it. Per the release:

"Because the NASD has not yet declared an ex-dividend date, any shares of Markland common stock outstanding on the record date (May 1, 2006) that are (or have been) traded after the record date but before the ex-dividend date are (or have been) traded with the right to receive the Technest dividend shares. Shares of Markland common stock traded on or after the ex-dividend date shall be traded without the right to receive any Technest dividend shares."

I would think that this would be a big incentive for investors to buy MRKL at this price. Am I wrong?
