Reportedly has had a "fast aging" process for 5+ years now. If that process worked, I'd think liquor companies would beat a path to his door...

Likely means the "exchange" has nothing to do with the distillery. "RF" seems to be related to radio frequencies, which is a North Cackalacky limited liability company. I think it is more likely this is the "website", a fledgling attempt.

On December 6, 2022, MDwerks, Inc. (the “Company”) issued 90,000,000 shares of the Company’s common stock (the “Common Stock”) upon conversion of 900,000 shares of the Company’s Series A Convertible Preferred Stock (the “Series A Preferred Stock”) held by Tradition Reserve I LLC (“Tradition”). As previously reported, prior to the conversion, Tradition owned a total of 10,000,000 shares of Series A Preferred Stock, representing 100% of the authorized and issued Series A Preferred Stock.

Following the conversion, Tradition distributed the 90,000,000 shares of Common Stock, pro rata, to its members.

Following the conversion, the Company has 108,010,208 shares of Common Stock outstanding and 9,100,000 shares of Series A Preferred Stock outstanding.

Under the Company’s amended and restated certificate of incorporation, any holder of Series A Preferred Stock has the right, at any time and from time to time, to convert all or any of the shares of Series A Preferred Stock held by such holder into shares of Common Stock on a one to 100 basis.

The issuance of the shares of Common Stock pursuant to the foregoing transactions was made without registration in reliance on the exemption from registration under the Securities Act of 1933, as amended, afforded by Section 3(a)(9) thereof. 90,000,000 new shares are now outstanding *and* unrestricted. The float has gone from 6,043,162, up to 96,043,162.

Steven C. Laker and Michael Nordlicht (limited) profiles.

Paid $520,000 for $MDWK. That's plenty motivations to roll whatever company they have into $MDWK. Both have ties to energy companies, which is I think is great given potential diesel / energy shortages this coming winter. Can be fortuitous timing if they get this rolling.

Called the number on the front of the most recent 8K (252-501-0019). It's an answering service. Their script contains the following information.

1. We are a "technology company" with no further explanation.
2. Website *is* www.mdwerksinc.com but that website domain remains unclaimed as of today.

So, the lights are on but no one seems to be home just yet. I left a message, second time doing so, but do not expect a reply.

Basically back to the original starting point when the share price crashed last week. Would have loved to have reloaded at $0.04 but am happy with $0.065ish. Now, we wait...

The 2 Big Questions in my mind are what company is getting rolled into MDWK and who is Steven C. Laker.

When Change of Control occurred in July of this year, there was mention of Sunwave, which Steven C Laker is the CEO of. Call the number and it's just a recording. Don't think much is going on with this company.

8K came out yesterday and linked to a Florida address with a phone number to an answering service. No mention of Sunwave. Only an increase of the authorized share count from 200M to $300M.

So, no definitive answer to my 2 Big Questions. Share price jumped to $0.20 on Change of Control. Figure they'll be another similar spike when the Reverse Merger becomes official.

My personal opinion is there is no "significant" company being rolled into MDWK because if there was, it would've been mentioned by now. My plan is to not overstay my welcome on this one despite the excellent set-up with the share structure.

www.mdwerksinc.com will be the website apparently, and MD Werks will be a "technology company". This info is per the answering service at 252-501-0019, which is listed on the front of the 8K.

The address of 411 Walnut street Green Cove Springs FL isn't real. It's basically a PO Box. One business in that building is St. Brendan's Isle, which is a mail-forwarding service. The primary owner of the real estate and the companies within is Scott Loehr. Can't find any obvious links with Loehr and Steven C. Laker. Can't find anything concrete on Steven C. Laker.

Good question and so hard to answer. Depends on so many things, will they communicate with the market soon? Will they do the merger without any RS or not. I will slowly nibble again down here and lower until we hear something, this can be at .20 again with one single PR but there is also a lot of room to the downside here if they stay quiet and if some peeps get impatient because of that.
