DISCLAIMER: What you're about to read is 100% factual and has not been fabricated in any shape or form. Those of you who have followed me know that I have been optimistic, long & strong on every post.

I have been in the interactive marketing software space for over 8 years. I've been with my current company for 4 years. We went Public in May. For all of 2011, I worked on the Channel/Partner side of the business. Specifically, I worked very closely with digital marketing/advertising agencies in NYC.

Naturally, I have been able to develop & maintain several close professional relationships with my peers. No different than lawyers, truck drivers, or police officers; digital marketing professionals develop affinities to each other(see the new TV series "The Pitch"). I've become privy to the following info thanks to my industry friends who care about my well-being (not the iHubber's who have stalked ATRN executives/employees over the past 6 months).

I am just going to lay it all out w/ no fluff or spin:

1. Atrinsic is Bankrupt.

2. Atrinsic Interactive (ie: "the agency business" ie: SEO, SEM, Affiliate Network) no longer exists. All Atrinsic Interactive clients received a letter stating that the company is pursuing a bankruptcy filing, which also informed the client that they are being released from contract with no further financial obligations. Simply put, Atrinsic Interactive has no more clients.

3. Atrinsic has been in negotiations (to sell ATRN Interactive) with another (unnamed) company for over a year. Each time a deal was near, the ATRN BOD would counter-offer asking for more money. The latest "termination of negotiations" were ATRN's doing, not the potential buyer. Reasons for the termination of negotiations by ATRN were due to receiving a lowball offer by a company NOT in the tech or agency sector. Further, the BOD's desire to finalize a deal dwindled and the choice was made to dissolve the business.

4. Atrinsic Interactive had contracts in place that were bringing in monthly revenues between $100-$500K. They received a "verbal" agreement from a $50M annual client. Things were on the up & up. Kazaa and Spyder were going to be the "gamechangers".

Then all hell broke loose when there was political turmoil between an ATRN C-Suite Exec & a Kazaa C-Suite Exec (I am not releasing names of anyone.) Kazaa ended up blocking the transfer of code and destroying ATRN assets (in a bid to get a $1M payout.) Further, the $50M ATRN Interactive client ended up reneging on the deal. All the sudden, ATRN was in financial trouble and couldn't finish the development of Spyder. Yes, that's right - Spyder was never completed. Atrinsic was deliberately run in to the ground. Manipulation of the stock price was a last act of desperation.

There will be an official announcement of BK for Atrinsic Inc. The announcement is being delayed for some reason. I think we can all speculate as to why the announcement is being delayed.

Again, believe what you want and do what you will with your loot. I can tell you that myself, 3 other shareholders, and Ourlarsy all sold off today. We accounted for nearly 300K shares. It certain would have been a reason for Goldfarb to step down -- if Compass was negotiating with Atrinsic to buy Spyder. I remember speculating at the time that it was a possible indication that Compass was buying the whole company, but maybe it was just Spyder. Also, selling Spyder could well have meant the end of the agency business.

Over these last several months that I have been involved with this stock, there are many of you that I have come to respect. There are few that I would consider a friend and even fewer that I speak to on the phone. There have been many accusations of some here purposely manipulating this stock for their own benefit. I am not referring to the typical penny players attempting to create doubt and fear. I am referring to the accusations amongst those that have been here for months. This is not a pick a side situation.

There have been many instances where, for what ever reason, the reader was asked to pledge loyalty to a group. This is the real world, this isn't some clique. With that said, I am going to give an example that I am certain most here can relate to. The alleged traitor, the infamous pm conversation that occurred during the most recent spike and crash of ATRN. That two hour delay? That was me. I was on the phone with Chad. I am the reason, he came back and responded "False Alarm". Why? the reason should be clear if you consider only the facts. That fact being that there is no way that any of the insiders of this company were going to give "insider information" on a stock board. On the other hand, it is a paper trail.

I spoke to Drp explaining my role in the timing of that conversation and I can not say why he chose not to inform anyone. It is not a matter for me to say or speculate on. I can say that as a result, people were asked to make a choice. Again, this is not a clique. You can choose to treat your money in that fashion but certainly you will eventually lose it all if you take that approach.

What happened today? I received a pm from someone indicating that some information was going to be revealed today. The information would most likely create panic. I believed the source was credible and I equally believe that his source felt compelled to bring it to the board because he had a ethical conscious. Why did I get a pm? I can not speculate on that matter. I am grateful that I was entrusted with the information.

Did I act on the information? Yes and no. I have enough ATRN left to sell and pay for a keg of beer, at this point it would most likely be a pony keg! I sold 99.999% of my shares well before today. I left enough to get the above referenced keg and any news that may hit the financial wires. I did ask the kids if they wanted to sell and they agreed to move on. My mother in law also sold her remaining 300k shares today solely for the purpose of playing the bounce. Take that for what you will. She doesn't post here, she owes no loyalty to any stock board and has been doing this for longer than most can imagine.

I do feel a certain affinity to those that have been here all these months. I did exit my position to play the worst scenario. It was a hedge, and this is the real world. Having said that, I don't think that I will take any more profit from ATRN. Call it karma, call it what ever you want. I chose karma and that is what matters to me. I do not believe that all is not lost. I DO believe that once officially made, there will be panic and with that being said I want to REITERATE this; There is a paper trail.

I wish everyone the insight to play this right. If anything, this experience will have given you an education that any Ivy League school will envy and you can profit from it for the rest of your lives.

Chaperoned a field trip for my son today. I talked to a lady whose husbands biz had a part of the business bought by a larger company. She said, "basically the company bought the assets of a certain part of my husbands biz. There are only 5 partners so they made some money as it was split 5 ways.
