Integral and The Ultimate Battery Co. Enter Into Definitive MOU
EVANSVILLE, Ind., July 14, 2016 /PRNewswire/ -- Integral Technologies, Inc. ("Integral" or the "Company") (ITKG) announced today that Integral and The Ultimate Battery Co. ("Ultimate") have entered into a Memorandum of Understanding (the "MOU") that outlines the sale and license of Integral's ElectriPlast bipolar battery plate technology (the "Technology") to Ultimate.
"Based on our due diligence and market research, the Technology represents a paradigm shift which generates substantial improvements in energy storage at all levels, from simplifying mass production and reducing costs, while being safer and more environmentally friendly," stated Maurizio Cunningham-Brown, CEO of Ultimate.

Specifically, the MOU between Integral and Ultimate governs the basis for a definitive agreement such that Integral will license the Technology to Ultimate and, subject to certain conditions, sell its yet to be formed subsidiary that will hold the Technology, to Ultimate, in return for which Integral will receive $4,000,000 and 20% of the outstanding shares of Ultimate. Integral will also be the exclusive supplier of conductive plastic to Ultimate and receive up to $50 million in licensing fees based on Ultimate's revenues. A representative of Integral will also be appointed to the board of directors of Ultimate.

Both parties are working in good faith towards closing of the transaction described by the MOU which is subject to among other things definitive documentation and execution of agreed terms. A press release a couple of months ago and a Conductive Newsletter entry a couple of days ago highlited a relationship Integral has begun with bipolar battery maker Advance Battery Concepts. I`ve just spent the last 2 hours exploring every google search I could imagine trying to find background information on ABC and/or it`s bipolar battery. No links on the company web page direct you to any sales resources or retailers. I did find one resource that estimated ABC`s annual revenue wouldn`t pay Integral`s expenses for two months. That source`s information was undated and identified the revenue only as an estimate, so not sure how much it can be trusted.....but I suspect ABC may not be the golden goose some are trying to make them out to be.
My point earlier was that because of the supplier/customer relationship that exists between every link of a supply chain, that most often contractual obligations at any point in the supply chain create the same obligations throughout the whole chain. Not uncommon in today`s manufacturing world.

Marsreds your argument is legit and well made....however after all these years of Yada Yada Yada from integral it seems like an extreme long shot that this company ever does ANY business directly with any auto manufacturer....indirectly, who knows...but seems more and more unlikely every day...you can literally hear them sweat at the last two shareholder meetings....wet shirts and slurred speech are not a good sign...
Your argument may be worthy of many small businesses.....and while we may not be talking GE here.....we are talking the auto industry. Global commercialization to an industry that makes production plans years in advance, employs thousands of workers and occupy thousands of square feet of building and property. Assembly lines that can have huge impacts from a critical part shortage. Creating out of sequence installation work and often overtime wages to catch up when the part shortage is cleared. Other industries experience many of the same difficulties to a lesser extent. Inventory and the space it occupies have become a no-no in today`s Just-In-Time manufacturing world, making part availability even more critical. Manufacturing supply contracts are the only way to protect both cost and delivery schedules.
Integral`s growing debt and their $300,000 a month spending habit is going to take something more that some mom and pop widget before they can even hope to get their balance sheet out of the red.

Hey marsreds....we're not talkin General Electric here....problem with your argument is that you must assume the average idiot in business can keep track of supply, schedule and cost...most people in small business can't even spell those three words....in the real world we're looking at maybe $500 Billion dollars per year worth of business transactions with nothing other than a log entry backing up the transaction.....and if we include the underground economy (where receipts and log entries are just a hassle) we're near a trillion dollars....if business ran only by legal contract the world would stop....
A legal business transaction? Are you familiar with supply chain manufacturing? Each supplier/customer relationship in the supply chain requires that supply, schedule, and cost be locked in......by contract. Nothing in today`s manufacturing world is left up to random business transactions.
