I think you're spot on with this one-it's a steal at the current pps. 10Q for 1Q was filed yesterday pm and I believe more big moves like the sponsorship with Bigga$tate are coming. Company's popularity on social media sites is growing as are revs. Not saying that it's going to be at .01 anytime soon-it may be a slow grind. But I do think that the grind is going to be higher.

It’s just math. If the company can’t pay salaries with current revenue, they have to dilute shareholders. No way the insiders and development team take a pay cut to increase market cap. The Artist Republic deal is inked and the deal is not friendly to shareholders. Remember, the CEO isn’t the only person owed for Artist Republic. They had investor(s). These deals are always structured in a way to guarantee repayment. They will stay current no matter how ugly the financials because if this ticker goes dark, the insiders don’t get paid.

If they cap, then how can they fund operations? Look at the deal made between FDBL and the old CEO of Artist Republik. The guy held on to an advisory position on top of a set % of the OS as it climbs. Quite a deal. Also, how will the company sell preferred convertible shares if there are not enough in the AS to fully dilute? I haven’t done the math but if the company can’t cover the burn, they need money to keep this up. You can WANT to cap the AS, but reality may get in the way. Also, they can reverse split and keep the AS as is. Many less commons and plenty of room to sell more preferred and commons. Does the filing detail reverse split option or is that left out?

They have to fund operations and the net doesn’t cover burn. They have to dilute and it will happen here at .0003 or at .03 after a huge reverse split. Remember, the old CEO and investors of Artist Republik get to maintain 20-25%’ish of the OS and sell into the market to recoup what they transferred to FDBL in asset. The developers are also making money here because most of the money goes to insiders for maintaining and marketing this experiment. The Directors won’t NOT get payed also. They are too important and without, the plan unravels. If the market stops buying shares down here, we will see .0001 imo. If the company is forced to release large blocks at .0001, the AS will need to be increased and the OS will explode. Simple economics and finding. The pps is dropping faster than the company can cover the burn. I believe they will have to reverse split in the short term. jMHO

I'm holding a modest loss on my shares currently also (I guess right now pretty much everybody is unless you just bought in in the past few days), but I am also going to hold because I actually don't think that they are going to sell anywhere near all of the Series D Pref shares they are offering, and therefore I don't think that there will be nearly as much dilution to common as many are now anticipating. I believe this for two reasons. One, the minimum $ requirement stated in the offering-$50k, which is substantial in my book. And second, the minimum income/asset requirements. This is too long and complicated for me to fully list here, but as in the minimum purchase requirement the requirement here I believe is so steep that it will disqualify many potential buyers.
Aside from the fact that I don't think that this offering is going to be as bad for common holders as many are expecting, I think FDBL has a good thing going with their (now) very comprehensive artist/fan platform. It has seen steady and impressive growth so far based on metrics that the company is focused on, and I think that over time that this will result in increased revs for them. I see this as a good long term play. All of this is JMO of course.
