FNRG: SEC Charges Unregistered Broker Who Sold Retail Investors Securities in Fraudulent Scheme:
The Securities and Exchange Commission yesterday announced charges against Emmanuel "Manny K" Kouyoumdjian of Coral Springs, Florida, for unlawfully offering and selling the securities of ForceField Energy, Inc. ("ForceField"). The SEC previously charged ForceField's then-Chairman, Richard St. Julien, and nine others for their roles in multiple schemes to defraud retail investors in ForceField Energy, Inc. One of those schemes involved ForceField's use of unregistered brokers to sell its securities in an unregistered offering, in exchange for undisclosed commissions.
According to the SEC's complaint, Kouyoumdjian solicited potential investors in ForceField, touted investments in ForceField, and negotiated and closed sales of ForceField stock. The complaint alleges that Kouyoumdjian successfully raised over $275,000 for ForceField and received over $27,000 in commissions to compensate him for these actions. As further alleged, Kouyoumdjian was previously employed as a registered stockbroker, but was barred from working as a registered stockbroker at the time that he solicited investors for ForceField.
The SEC's complaint charges Kouyoumdjian with violations of the securities registration provisions of Sections 5(a) and 5(c) of the Securities Act of 1933, and the broker-dealer registration provisions of Section 15(a)(1) of the Securities Exchange Act of 1934. In its complaint, the SEC seeks court-ordered injunctions, the return of allegedly ill-gotten gains with interest, and financial penalties against Kouyoumdjian.
The SEC's investigation has been conducted by John O. Enright, Ann Marie Preissler, and Sheldon L. Pollock in the SEC's New York office. The litigation will be led by Mr. Enright. The case is being supervised by Sanjay Wadhwa. The SEC appreciates the assistance of the U.S. Attorney's Office for the Eastern District of New York, the Federal Bureau of Investigation, and the Financial Industry Regulatory Authority (FINRA).

Tres Knippa, a Texas man who pleaded guilty to charges stemming from the Forcefield Energy Inc. manipulation, has asked that the judge spare him jail. He claims that his role in the scheme was minor, amounting to failing to disclose his connections to the company. He also says that he believed Forcefield represented a genuine investment opportunity.
Prosecutors say that Mr. Knippa, 47, was part of a manipulation run by Canadian Richard St. Julien. A group of promoters and brokers, who were receiving secret kickbacks from Mr. St. Julien, boosted Forcefield to a $7.82 high, the government said. (All figures are in U.S. dollars.) Mr. Knippa's role included appearances on Business News Network and on the Fox Business channel to pitch the stock, the government claimed. Investors suffered catastrophic losses after the U.S. Securities and Exchange Commission halted Forcefield in 2015. (The stock was last at 0.02 cent.)

"According to the government, investors were told that ForceField was a global distributor of LED products, enticing them to buy what was, in reality, virtually worthless stock. St. Julien paid kickbacks to the stock promoters in exchange for their coaxing investments in ForceField.
Prosecutors say that over the course of the scheme, the promoters conned more than 100 investors into purchasing more than $6.2 million in ForceField stock, with the promoters netting 10 percent of the funds in kickbacks.
“The government — as long as I collaborate [sic] and tell the truth — the government will issue me a 5K1 letter to the judge asking to sentence me below the guidelines,” said the former lawyer from Quebec.
St. Julienn’s Quebecois accent led to a couple of “My Cousin Vinny” moments. U.S. Judge Brian Cogan stopped St. Julien to ask about a word that St. Julien was using to describe Petrossi setting up stalls at investment conferences to tout ForceField stock.
“Is it 'boots'?” he asked St. Julien.
“Booths,” St. Julien replied.
And when St. Julien described his deal with the government, Judge Cogan explained to the jury that if was a cooperation agreement, not a corporation agreement."

3. The Commission’s complaint alleged that Khan received cash kickbacks in return for recommending and inducing his customers to buy stock in the issuer ForceField Energy, Inc. The complaint further alleged that Respondent attempted to conceal communications with other participants in the fraudulent scheme by using prepaid, disposable (i.e., “drop” or “burner”) phones and encrypted, contentexpiring messaging apps, and otherwise engaged in a variety of conduct which operated as a fraud and deceit on investors.
4. On July 27, 2016, Khan pled guilty to one count of securities fraud in violation of Title 15 United States Code, Sections 78j(b) and 78ff before the United States District Court for the Eastern District of New York, in United States v. Jared Mitchell et al., Crim. Indictment No. 1:16-CR-00234.
5. The count of the criminal indictment to which Khan pled guilty alleged, inter alia, that Khan engaged in a scheme to defraud investors and potential investors by receiving cash kickbacks to recommend and induce customers to purchase ForceField stock without disclosing those kickbacks to his customers. This conduct involved, among other things, (a) employing devices, schemes and artifices to defraud; (b) making untrue statements of material fact and omitting to state material facts necessary in order to make the statement made, in light of the circumstances under which they were made, not misleading; and (c) engaging in acts, practices and courses of business which operated as a fraud and deceit upon investors and potential investors in ForceField, in connection with the purchase and sale of investments in ForceField, directly and indirectly, by use of means and instrumentalities of interstate commerce and the mails.
