FRMA"S version of the agreement includes this statement that I find VERY interesting ""Cash flow will enable us to organically advance our other projects. In addition, it can position us to capitalize on some of the great opportunities that have been presented to us over the last several months."
I take this as a hint that perhaps other projects 100% controlled by Gracepoint division of FRMA mainly Picacho and Don Ramon could possibly be developed by these parties once Mangestral is revenue generating. May be a stretch but we will see.

Firma's GracePoint Mining Corp advances its Magistral Project towards production through strategic partnership
[Marketwired]
October 25, 2016
HENDERSON, NV--(Marketwired - October 25, 2016) - Firma Holdings Corp. (FRMA) is pleased to announce that through its subsidiary Gracepoint Mining Corp, it has entered into a binding agreement with MX Gold Corp. (TSX VENTURE: MXL) (FRANKFURT:ODV) (MXLGF)to acquire a 50% interest in the Magistral Del Oro tailings project, which is located in what is known as the "Golden Triangle" in Santa Maria Del Oro, Durango, Mexico.
The project includes a fully permitted 500 TPD Dynamic Cyanide counter current system plant. Construction of the plant was completed in 2013, for approximately $4.5 million and is in excellent condition. It is unencumbered, fully permitted, and it is estimated that it can be fully operational within 4 to 6 months. Additionally, the Magistral project includes the exclusive rights to process approximately 1.2 million tonnes of mineralized mill tailings, grading an average of 2.06 gold per tonne (79,000 ounces of gold).
The agreement calls for an initial cash payment of U.S. $250,000 to Gracepoint and an investment of $2,225,000, over 90 days, to meet current obligations and make various modifications and additional enhancements to the plant, and for startup capital.
Mr. Francis Biscan Jr., Chairman and CEO of Firma Holdings Corp., stated, "We feel very fortunate to have obtained MX Gold as our partner. In addition to the funding being provided, they bring a team of professionals with significant experience, who intend to be on site and work in concert with our team to ensure an efficient operation. In addition, we will work together to grow the project beyond its initial vision and capacity."
"Cash flow will enable us to organically advance our other projects. In addition, it can position us to capitalize on some of the great opportunities that have been presented to us over the last several months."
Mr. Dan Omeniuk, Chairman and CEO of MX Gold, stated, "It is rare to find both people and projects that are such a perfect fit for our vision at MX Gold. GracePoint Mining's focus on building a portfolio of projects that are near term producers with great upside potential is very attractive to us. Our focus will be to drive cash flow to empower a non-dilutive approach to building MX Gold's value.
A comprehensive report, including a metallurgical assessment of the mineralized tailings, was completed by Kappes Cassiday and Associates, an independent mining engineering firm, which confirmed recovery rates of approximately 82%. During Firma's pre-purchase due diligence, a volume and grade value report was commissioned and provided, which validated expected grade and tonnage. Additionally, to confirm previous metallurgical results, a report was commissioned and completed by two different Mexican based Metallurgical Engineering companies, with both company's reports confirming previous grade, process, and recovery results.
As far as I can tell Yahoo has done another ridiculous "update" to their boards. Now called 'CONVERSATION". Also hard to determine what posts they are keeping!!
No wonder Yahoo has major problems.

Yes, I wish some company would buy out the "management" morons of this clown act... no partnerships, the guys at AUY realized that working with Bozo Biscan would be a never-ending nightmare... so they bailed... I think these rats are just running this scam along as long as they can, taking their big salaries, probably worse than that... eventually bankruptcy and we will not see a thin dime... and the dirtbags will walk away whistling a merry tune...
A large mining operation needs to buyout this company and put them out of their misery. FRMA's future is in mining but don't seem to have the expertise in that area. The mines have value just needing a strong management team to get the job done.
Hey, anyone out there needing solid mining assets??? Please step forward!!!!!!!!!!!!!!

NEWS RELEASE TODAY
"Firma Acquires Fully Permitted Magistral Tailings Project
HENDERSON, NV -- (Marketwired) -- 03/01/16
Firma Holdings Corp. (OTC: FRMA) is pleased to announce that on February 17, 2016, through its wholly owned subsidiary, American Metal Mining, S.A. de C.V., the company purchased and took control of the Magistral Del Oro tailings project, which is located in what is known as the "Golden Triangle" in Santa Maria Del Oro, Durango, Mexico.
The acquisition includes a 500 TPD Dynamic Cyanide counter current system plant. Contruction of the plant was completed in 2013, for approximately $4.5 million. It is unencumbered, fully permitted, is production ready, and is in excellent condition. The Magistral project includes the exclusive rights to process approximately 1.2 million tonnes of mineralized mill tailings, grading an average of 2.06 gold per tonne (79,000 ounces of gold).
Mr. Francis Biscan Jr., President of Firma Holdings Corp., stated, "We feel very fortunate to have secured this opportunity. With a project that has been advanced to the degree of Magistral, being fully permitted, with all the metallurgical work completed by a reputable firm, such as Kappes Cassiday, it is a very rare find for our company. Additionally, because of the way we were able to restructure various elements of the project, we have created a project that can be very attractive to a JV Partner or a direct funder. We believe the mining sector is looking for low cost production over exploration and we would attribute that to the interest from multiple groups that are actively engaged in due diligence and the desire to make an offer to partner with us in the production of Magistral. The ability for a project to be in production within a 120 days of funding, adds to interest and motivation to drive an attractive deal."
"Cash flow will enable us to organically advance our other projects. In addition, it can position us to capitalize on the great opportunities that are beginning to present themselves in a beaten down sector. Magistral is one example of future potential opportunities, and the ability of our President of Mexico operations, Ramiro Trevizo, to find tremendous projects."
Mr. Ramiro Trevizo, President of Mexican Operations, stated, "My vision is to use the cash flow from this project to advance the great possibilities we hold in our Don Roman and Picacho projects. As a result of the challenges and changes in the mining sector, over the last couple of years, I believe this project can position us to capitalize on some of the great opportunities that I am beginning to see in the market place."
The terms of the transaction required Firma to pay a nominal price and assume a structured accounts payable and environmental remediation obligation of approximately $1,440,000. Firma is required to pay a per-tonne royalty to the local ejido government as material is processed. Based on an $1,100 spot gold price, the royalty is currently set at $3 per tonne. Going forward, the royalty adjusts by the percentage of change that the spot gold price increases or decreases. The fee is calculated monthly, using a previous thirty day average of the spot gold price.

Do you ever think about all the poor schleps that you damaged with your endless pumping of this "company" and it's group of malignant clown managers?? You know, guys who foolishly thought you were telling the truth about these toxic bums?
many websites show vivid pictures and videos of the torrential flooding in sicily from last sept. Lower floors of bulidings are totally submerged.
www.thebigwobble.org/2015/09/extreme-storm-and-flooding-batters.html
The recent yahoo posts denying the flooding are disinfo, and no info in those posts can be trusted. Period!
The MMs may try to crash the price today to promote selling, but I am not aware of any info suggesting the deal fell through or is not closing today on schedule. I guess we'll find out soon enough.

Very disturbing-to put it mildly!!
"In the third quarter of 2015 Sicilian Sun Limited and its subsidiary, Sicilian Sun Foods, began production of Gelato for its major US client. In spite of delays on certain raw materials, multiple containers were delivered in August and September.
Prior to this, critical banking facilities needed to manage payable and receivable cycles had been vowed by the company’s Italian bank. In spite of continual meetings and recommitments from the bank, in early September, the absence of the banking facilities began to affect production. Additionally, in early September, there was torrential flooding in Eastern Sicily that resulted in electrical damage at the factory and a “State of Emergency” for the region. As a result, production was halted and, as of January 21, 2016, the plant has not resumed operations.
While seeking other funding sources, the company also began negotiations with a potential partner that could bring needed resources. In Mid-November, a letter of intent was signed for the sale of Sicilian Sun Limited and Sicilian Sun Foods, with a targeted closing date of December 31st, 2015. Further negotiations resulted in a new closing date on, or before, February 5th, 2016. Details of the transaction will be revealed with the signing of the definitive agreement. Less

HOLY COW!! What a boost. Hopefully investors will realize FRMA is involved!
CNBC just interviewed Kroger’s CEO on their successful operations. Besides stressing their organic foods emphasis which in 2 years achieves over 1 Billion dollars of sales this year. He then spoke oftheir development of their newest private brand “HemisFares”. Stated that they are emphasizing that they are starting with products sourced from Italy, which is superior quality to anything else that they tested! Le
we haven't been told the full relationship between frma and hemisfare or frma and kroger, as far as I know. We've only been told that we are shipping gelato to kroger, and ssf makes many or all of the types of products being carried under hemisfares label, but the exact connection between the hemisfares products and frma is unclear, except for gelato as I understand it.
Private label products are often secretive as to source in order to protect proprietary quality.

Kroger to launch new international foods brand Hemisfares

During an investors conference call, Rodney McMullen, CEO of American retailer Kroger, announced that the company is planning to launch a new brand later in September, called Hemisfares.
“Hemisfares brings only the best food finds from around the globe to our food curious customers for an amazing authentic eating experience,” McMullen explained. “It’s a guide tour of the best tastes on the earth.”
Each Hemisfares product will be curated from the source and imported directly to Kroger’s stores across the country.
“The whole idea of Hemisfares is to allow our customers to take a journey of food experience around the globe without having to leave home,” CFO Mike Schlotman reiterated on the call. “Some of this product, it’s the first time that anybody’s gone through the trouble of importing the product with some of the items in into the US that we have.”
McMullen said no other brand is similar to what Kroger plans to create and he expects it to appeal to millennials, foodies and many other subsets of the Cincinnati-based grocer’s customers.
“We find customers are increasingly becoming foodies,” McMullen said. “And it’s really trying to figure out how do you find great products that will satisfy that foodie need experience they want in a way that is actually a very affordable price.”
McMullen said similar food purchased at a restaurant would cost four to five times what it will cost Kroger to provide it and products from the brand that he has tried so far include pasta, olive oil and Balsamic vinaigrette.
Now you can Get your Hemisfares Tagliatelle at Amazon.com

Tagliatelle originally comes from the tiny medieval village of Compofilone in the "Marche" region, overlooking the Adriatic Sea. According to legend, this traditional egg-based pasta recipe originates from the late 1400's and has been passed down by generation of local women. Dough was rolled out on marble stones then kept in cotton cloths to absorb humidity and preserve the authentic character of the noodles. Eggs give this past a subtle but rich taste.

Fresh tasting pasta from Kroger!
I tried the frozen HEMIS'fares frozen pasta and sauce from Kroger. I chose the Basil and Cheese Sails and the Tomato Basil Sauce. The pasta only takes 2 and 1/2 minutes to cook and is very delicate, the closest to fresh homemade pasta I have found. The sauce was the perfect accent to this delicious pasta! It was so easy to make a lovely Italian dinner after a long day at work. Ilove the convenience of having these in my freezer and being able to use just the amount I need. I topped mine with shaved parmesian cheese.

Hemisfares brand to launch next week?

Kroger to Launch Specialty Line
The Kroger Co. will launch a new private label product line called HemisFares, which consists of international foods imported directly to Kroger stores, CEO Rodney McMullen said in a Q2 earnings call.
The line is an attempt to appeal to Millennials and foodies who are looking for unique products.
The line will be available in almost all Kroger stores, but McMullen noted some of the product availability will be limited because production can't be easily increased if there is a high demand for a specific product.
Some of the possible types of products are pasta, olive oil and balsamic vinaigrette.
The brand will be launched at the end of September.
The shape is weird but unique as well. Buyer can easily see the 16oz marked on label.
Label says ITALIA and Regione Sicilia. Ingredients area says: Product made in Italy.
All of the Krogers seem to carry the olive oil, balsamic vinagrette, pasta, and pasta sauces as well as the gelato. Some carry more flavors/types of the products than others. They told me they show 37 hemisfare products in their corporate system, and they call Hemisfare a Kroger Brand with Kroger phone number listed on label.
Checked it out!!! Square plastic container with rounded corners
makes it look small compaired to the normal round container,
which has a false bottom also. Nothing tells you it's made in Italy.
I put a couple of the container untop of other brands.
Hope someone looks at it and buy.
But size is a big problem.
Dave

HENDERSON, NV -- (Marketwired) -- 06/19/14 -- Tara Minerals Corp. (OTCQB: TARM) (BERLIN: 6T3) is pleased to announce that it has closed the acquisition of intellectual property for the preservation and protection of fresh fruit, vegetables and flowers during extended periods of shipping and storage. The mining assets and the newly acquired packaging assets will be held under separate subsidiaries.
The acquisition is comprised of patents, trademarks and other intellectual property in the United States, Europe, Mexico, Canada, South Africa, Japan, and Chile regarding systems and methods for packaging of bulk quantities of fresh produce and flowers incorporating modified atmosphere packaging. The acquisition also includes pending applications throughout the world regarding the active treatment of modified atmosphere packaging.
The commercially demonstrated SmartPac system replaces industry-standard shipping cartons with a sealed see-through container system that preserves produce in virtually the same condition it was in when newly picked, for up to one month during shipment or storage. The packaging system reduces spoilage, extends market reach to far-away customers, and opens up cheaper (ship/rail vs. air) transportation options. The SmartPac system also improves food safety through an efficient mechanism for the distribution of anti-microbial agents, which deter mold, disease and infestation while in transit or in storage.
The solution caters to the quality needs and wants of the end user, opens up new distribution channels, improves the logistics service to customers, and enables lower system-wide costs. The SmartPac solution will be made available for the packing, storage and shipment of bulk quantities of produce to growers, packers and end-users."
