First Cobalt Completes Merger with CobalTech

TORONTO, Dec. 01, 2017 (GLOBE NEWSWIRE) -- First Cobalt Corp. (TSX-V:FCC) (ASX:FCC) (OTCQB:FTSSF) (the “Company”) is pleased to announce completion of the previously announced merger with CobalTech Mining Inc. by way of plan of arrangement. Pursuant to the arrangement, CobalTech shareholders will receive 0.2632 of a common share of First Cobalt for each CobalTech share held and CobalTech will become a wholly-owned subsidiary of First Cobalt. All outstanding share purchase warrants of CobalTech have also been exchanged, on substantially the same terms, taking into account the above exchange ratio.

The arrangement was approved by the Supreme Court of British Columbia in its final order issued on November 24, 2017 and remains subject to final approval of the TSX Venture Exchange. Trading of shares of CobalTech will be halted until the shares are delisted from the TSX Venture Exchange at close of December 4th.

2 1/2 to 5 mill to refurbish. That is a long way from where I thought they were with this project. Another thing is I thought they hired a guy to push sales for their other mine. After that first sale a while back====nothing?????

It all makes sense now. The "news" that came out was disheartening, in that, based on all their talk about the mine, I assumed that they were further along in getting it ready it to produce.

The Cardinal was right. Pumping is going on. Red Chip didn't seem so bad; now it's NIA too.

Frustrated.

Hoping for an an off-take agreement, but it seems just as far away as ever.

Am I missing any really good news here? Every new Spiro video seems like a replay of the previous one.

It's a Canadian company so its news doesn't always get picked up by U.S. wire services.

It's your typical Moose Pasture Malarkey. They're going to have to do a Private Placement and probably a rollback to raise the money they're going to need to get this property into production, but as usual people who don't understand the mining business think it's "wonderful!" and throw their money away on it.
