Cannabis Cowboy completes the sale of certain assets to Fire and Flower
GTEC has received a $4 million loan payment, which will strengthen its balance sheet
GTEC enters in an agreement to divest its 25% equity stake in Cannabis Cowboy
GTEC Holdings Ltd. (TSX-V:GTEC) (OTCQB:GGTTF) (FRA:1BUP) (“GTEC” or the “Company”), is pleased to announce that pursuant to the sale of certain assets, as previously announced on September 4, 2019 (the “Transaction”), between Cannabis Cowboy Inc (“CCI”) and Fire & Flower Inc., a wholly owned subsidiary of Fire & Flower Holdings Corp. (“FFHC”) (TSX:FAF), that the Transaction has been completed.
Loan Repayment
Upon the closing of the Transaction, CCI has settled GTEC’s outstanding $4.06 million debt, in a cash repayment (the “Repayment”). The Repayment will strengthen GTEC’s balance sheet as the Company continues its near-term initiatives of completing the development of its two facilities currently under construction, with the expectation to increase its annual production output from its current 4,000 kg output to approximately 9,000 kg in 2020. The Repayment also reinforces GTEC’s ability to fulfill its debt obligations due in the second half of 2020.

Cannabis Cowboy Divestment
Concurrent to the Transaction, GTEC and Cannabis Cowboy had entered into a Share Purchase Agreement where CCI would repurchase all of GTEC’s interest, equal to 25% of CCI (the “Divestment”). As consideration for the Divestment, CCI will pay GTEC a sum of $1 million, payable as follows: (i) $800,000 in shares of FFHC at 10-day volume weighted average price leading to the signing of the definitive agreements related to the aforementioned Transaction; and (ii) a $200,000 Promissory Note to be re-paid in cash. The Promissory Note will have a two-year term and bear an interest rate of 8% per annum and is secured against Cannabis Cowboy’s BC assets. The shares of FFHC will be subject to a statutory 4 month and a day hold. The Divestment is expected to close on or about October 10, 2019.
Strategic Rationale
As previously announced, GTEC is divesting of non-core/non-operational assets to strengthen its balance sheet, while focusing the organization’s resources on the cultivation and extraction of premium indoor flower and its derivatives, with the mandate to establish long-term brand equity and consumer loyalty by distributing premium quality cannabis products.

To me GTEC was unfairly portrayed in a recent article regarding their cash flow. This article didn't take into consideration GTEC's valuable real estate assets that could be leveraged for working capital, or the current cash flow this quarter from the new Canna Farms supply agreement.
GTEC has had 3 full months this quarter selling product to Canna Farms, and 3 full months selling product to CannMart. Their cash flow should be substantially more than what was reported in Q2. GTEC may need to report a earnings estimate for Q3 to assure investors that cash flow is increasing. This article had a unwarranted but real effect on the share price. imho glta
GTEC has built a good reputation for quality flower with CannMart & Canna Farms that should help open doors to the provincial government outlets, and private retailers.

To me the Canopy Growth facility purchase delay was a smart move. Canopy probably overpaid for the facility at the height of the acquisition boom.
The GTEC F-20 facility will produce double the amount of product (8,000 kg) as the Canopy facility (4,000 kg) for $3M less to build ($10M). It would be nice to have the Canopy facility right next door, but cheaper for GTEC to build one themselves.
Now that GTEC can see profitability with their 3 licensed facilities there's no rush to buy Canopy's. Let them lower the price to current market levels and hold the paper if they really want to make a deal. imho glta

Hey thanks. GTEC is one of my favorites, and one of the most intriguing. It will be interesting to see how much market share the ultra-premium growers will capture, and which brands will be the leaders.
GTEC is off to a good start currently having the #1 strain in popularity on CannMart (Cold Creek Kush), and two strains in the top 10 including (Sour Kush). GTEC is one of only two outside LP's allowed to sell on Canna Farms online medical platform, along with Pure Sunfarms.
GTEC is selling product right alongside the top premium brands on the market, and establishing a reputation for quality. Couldn't ask for much more from a company this young, except profits in 2020 :) imho gl

Looks like the big boxes may have already outgrown demand, and smart companies like Canopy are making moves to scale back future expansion to sustainable levels. Like selling GTEC their facility in Kelowna, BC.
Fortunately premium craft growers like GTEC don't need to offload huge quantities of commercial weed every quarter to someday be profitable. They can start small and grow and hire to fit their supply agreements.
GTEC has projected 18,000 kilograms (18,000,000 grams) annual output by 2020. GTEC's average price per gram was $5.85 on their last report. On my calculator that adds up to $105,300,000 annually, or $26,325,000 quarterly. GTEC's net loss was only $2.3M CDN last quarter, so future revenues should easily dwarf expenses pretty quickly in 2020.
Of course GTEC must continue to build demand for their premium brands, and secure supply agreements to offload their increasing capacity. Now that GTEC can supply directly to retailers, medical patients, wholesale (B2B), and provincial governments, future supply contracts should come much easier.

There could come a time when Health Canada stops issuing LP licenses due to oversupply. Otherwise the floor could drop out from under the Canadian cannabis market like it has in Oregon. GTEC is smart to build small on large parcels to get their licenses approved, and then expand later. Cannabis licenses could become like liquor licenses, the value is more in the license than the property.
Once all GTEC's grow facilities are licensed they should have six standard cultivation licenses total, if you include the Canopy Growth facility just announced. I'm willing to guess there isn't another pure play craft cannabis company out there with six licensed facilities in their near future. Smart play if licenses get scarce. imho glta

Big under the radar GTEC news. It was reported today that Alberta is ending its moratorium on cannabis retail stores. GTEC has a 25% interest in Alberta based retailer Cannabis Cowboy. The AGLC had processed 24 Cannabis Cowboy storefront applications before the moratorium took effect.
The Cannabis Cowboy website reports 20 stores are set to open across the province. GTEC will be the preferred supplier for all Cannabis Cowboy retail stores. Hopefully since their license applications were already processed they will get final approval soon. Good things happening for GTEC. imho glta
