American Defense Systems, Inc., (ADSI) based in Hicksville, New York, is a global leader and innovator in the design, fabrication engineering, manufacturing and installation of Add on Armor (AoA) Crew Protection Kits (CPK). Each CPK consists of both transparent and opaque armor that meets or exceeds the established OIF Threats. ADSI utilizes its state-of-the-art armor and blast-resistant solutions and capabilities on a number of military vehicles and equipment platforms that protect against present and future threats; these threats include IEDs, rocket attacks, landmines and hostile enemy engagements that military and federal agencies encounter in the Global War on Terror (GWOT).
The Company designs and supplies transparent and opaque armor solutions for both military and commercial applications. These products, sold under Vista trademarks, are used in transport and fighting vehicles, construction equipment, sea craft and various fixed structures which require ballistic and blast attenuation. The Company also develops solutions, integrates and installs detention and security hardware, entry control and monitoring systems, intrusion detection systems, and security glass. In addition, the Company provides engineering and consulting services to the detention and security industry. The primary customers of the Company are United States government agencies, general contractors who have contracts with governmental entities, and private industry.

Dale S. Scales Chairman, President & Chief Executive Officer
Dale S. Scales joined our board of directors in December 2012. Prior to joining the Company, Mr. Scales worked as a consultant, specializing in private equity and venture capital investments, risk analysis, corporate finance strategies and operational management restructurings. From 2003 to 2009, Mr. Scales served as Managing Director and founding member of OBX Capital Group LLC (“OBX”), a consulting firm specializing in private equity and venture capital investments. Prior to this role, Mr. Scales served from 2001 to 2002 as VP of Finance and Board Member for Mobile Reach Technologies Inc. From 1988 to 2001, Mr. Scales worked for Stafford Trading Group, Banque National De Paris Securities, S&J Derivatives, and NationsBank-CRT Options L.P., in Germany, Japan and the US in their prospective derivative markets. Mr. Scales previously served as a member of the board of directors of Active Data Services, a data capturing company, from 2005 to 2009. Mr. Scales currently serves on the Board of Polka Dot Kids Foundation, a non-profit organization that supports and promotes literacy and early childhood development and education. He is also an active supporter of the Armed Forces Network and UNC-TV. Mr. Scales graduated with B. A. in Economics from Wheaton College in 1986.
Gary Sidorsky Chief Financial Officer Gary Sidorsky has served as a member of our board of directors and our Treasurer, and our Chief Financial Officer since December 2007 and December 2006, respectively, and from January to December 2006 served as our Controller. He is also the Chief Financial Officer of American Physical Security Group, LLC, our wholly owned subsidiary, since its formation in January 2008. Mr. Sidorsky has 26 years of accounting experience with both accounting firms and manufacturing companies. He served as Accounting Manager for Diam International, a leading global manufacturer of merchandising displays, from September 2003 to January 2006. Mr. Sidorsky received his Bachelor of Art degree from Quinnipiac University and MBA from Dowling College. He has also earned course certificates in Finance for Executives from the University of Chicago School of Business and Logistics from the Defense Systems Acquisition Management (DSAM).
Victor LaSala Senior Vice President Research & Development Victor LaSala has served as our Senior Vice President and our Vice President of Research and Development since March 18, 2008 and June 2005, respectively. Mr. La Sala also served as our Director of Engineering from March 2004 to June 2005. Prior to that, from January 1990 to March 2004, Mr. La Sala served as Managing Partner for James, La Sala & Associates, LLP, an architectural engineering firm, and as Partner for EnerTec Consulting Engineers from February 1984 to December 1989. From May 1974 to February 1984, Mr. La Sala served as Fire Protection Engineer and Safety Specialist at the U.S. General Services Administration, Public Buildings Service. Mr. La Sala also worked at Grumman Aerospace from June 1968 to October 1970 as a Spacecraft Design Engineer for the design of the Lunar Module Spacecraft. Mr. La Sala received his Bachelors of Science degree in Aerospace Engineering from Polytechnic Institute of Brooklyn and a Master of Arts degree in Occ. Safety and Health from New York University.
Curtis M. Taufman Senior Vice President Engineering Curtis M. Taufman has served as our Senior Vice President of Engineering and Architecture and our Vice President of Engineering since March 18, 2008 and July 2005, respectively. From April 2004 to July 2005, Mr. Taufman served as our Chief Operating Officer. From 1996 to 2004, Mr. Taufman was an associate at James La Salsa & Associates, an architectural engineering firm. Mr. Taufman received his Bachelors of Architecture degree from the New York Institute of Technology. Mr. Taufman is a registered architect in New York, New Jersey and Vermont and maintains National Council of Architectural Registration Boards (NCARB) certification Web. Subsidiary:
