...puts FTER shares north of $43 !!! DO NOT sell your FTER shares below $42, but better to keep them and get the new AAC shares. This company is growing!!
My prospectus says on the front page that old shares are converted to new shares automatically....
I received the Notice of Merger/Prospectus from Scottrade on Saturday which reflects the merger date of 11/10/14 instead of the blanks that were on the S-4. Looks like it's moving forward.
The notice states "American Addiction Centers, Inc. stockholders must complete and execute the enclosed Letter of Transmittal and deliver the Letter of Transmittal to American Stock Transfer & Trust Company, LLC..."
But then on the Q&A it states "You will receive written instructions and a letter of transmittal from our transfer agent..."
So you think we can fill out the Letter of Transmittal that's included with the notice/prospectus as appendix D, or do we have to wait until AST sends one?
Folks... you have to know the market....
The merger deal in it's entirety has already been priced into the stock.... the market knows what's coming... it's always forward looking!!! That is why FTER is now $38 bucks! again, AAC is going to be a growth story as the blow out earnings are showing.
If that is the way you feel...
Then sell some! However, you should keep some to get the new company stock... it's a booming business (unfortunately) and AAC will be a growth story IMO. Good luck!
But the merger is only 293,240 new Hokdings shares into the 5,750,000 issued in the IPO. You think that will dilute the Holdings shares by much?
I'm reading the S4, it says -
Q: What do I need to do now?
A: You will receive written instructions and a letter of transmittal from our transfer agent, American Stock Transfer & Trust Company, LLC. You should follow the written instructions and return the signed letter of transmittal in accordance with the instructions to acknowledge receipt of this notice/prospectus and to exchange your shares of AAC common stock for shares of Holdings common stock. If you want to exercise your appraisal rights, see above “Q: Am I entitled to appraisal rights?”
I haven't got any letters or notices from my broker, but if/when I do, I assume I have to get the stock certificates from my broker and transfer them through this transfer company, does anyone have experience in how long this process takes, because I was reading that once the merger takes place the shares of the new Holding company are diluted and the stock price of AAC could go down due to dilution.
The merger closed on 11/10, why don't I see any AAC shares in my account if the FTER shares are suppose to be converted? What happens to the FTER stock if my shares aren't converted? This stock has gone up 3600% in 2 weeks, I don't want to be left holding the bag if your wrong.

It's if you dissent to the merger agreement and want payment in cash for your old stock. It has nothing to do with those that own shares of the old stock FTER (no matter when they bought them...). If you hold your shares through the conversion, you will get the conversion rate 1.571:1 of the new AAC Holdings company. It's a slam dunk.

The market likes AAC Holdings at around $25-$26 per share. They had blow out earnings and have paid off A LOT of debt. This is a great company going forward. Keep your shares and reap more IMO.

lots of good news ahead for this company...they are in a sweet spot for rehabilitation i.e. affordable for middle class... not cheap but not super high end..plus look at their web site on all the insurance companies they work with....with the legalization of marijuana in so many states, business can only get better IMO

I don't think anyones doubting that. Just what the future holds for AAC. May go to 60. May drop to 12. Outlook is good for now for a 25 to 27. Imo Higher or lower is a gamble.

The reason for the low volume...
... is that the people holding the shares want the new shares of AAC after the conversion. Anyone selling now is just being suckered out of shares that will be worth more as AAC stock. I realize people are skiddish and want to lock in profit, but you are selling yourself short doing that... plus you will be paying uncle sam much sooner on your profit than if you hold to get AAC shares and sell them after Jan 1st if you must. Just my two cents. I'm holding all my shares to get 1.571 times more shares of AAC!! What a windfall!!!!!!!!!!!!!!!!!!!!!!!!!
AAC commons (on OTCCB) will become AAC Holdings (on NYSE)...
AAC commons stock trade under the ticker "FTER". AAC Holdings Company stock trades under the ticker symbol "AAC" on the NY Stock Exchange.
You will get 1.571 shares of AAC for every one share of FTER. Why would you sell now when you will have each share of your current FTER shares 1.571 times more valuable;
$25(current AAC price per share) x 1.57 = $39.5 value of FTER shares
Anyone selling below $39 is leaving money on table, plus the chance for AAC to gain in share price. The company is doing well and I see this rising steadily over time to $50 or $60 with continued growth and expansion. Keep you FTER shares!!!! They will be worth more down the line as AAC shares, plus avoid the tax implications on selling!
I was here for the split. I just saw the shares out on my portfolio and got worried. One says 9.5 m out and ameritrade says 150k out. I guess im still worried about the merger. Dont want another burn.
They did a 100-1 reverse split a year or so ago. That's why float so low. And price spiking

A "Merge In" document was just filed today (11/10/14) under American Addiction Centers, Inc. with the NV Secretary of State!! (Entity #: E0159552007-6 / Document #: 20140756316-35)
A "Merge Out" document was also filed today (11/10/14) under AAC Merger Sub, LLC (Entity#: E0548322014-9 / Document#: 20140756316-35). AAC Merger Sub, LLC is now considered "Merge Dissolved".
So guess what ladies and gents! Looks like the merger is effective as of today. So step one in the bold has happened...now just need it to keep going! I wonder if trading will cease tomorrow?

!.57 shares of AAC Holdings stock for every 1 AAC common (trading under FTER). READ THE S-4!! Their are only 2 stock tickers trading for this company; "AAC" which represents AAC Holdings Co., and "FTER", which represents AAC commons. That's it! Any buy here under $35 is a steal IMO!
Is it possible to sell FTER or is it locked. I woould rather take the 23 a share now then risk the merger.
