JACKSONVILLE, FL / ACCESSWIRE / October 14, 2019 / ARC Group, Inc. (OTCQB:RLLY) ("ARC Group"), a restaurant holding company with a focus on diversified, full-service restaurants and brands, today announced it has acquired the WingHouse Bar & Grill® restaurant concept from Soaring Wings, LLC and its affiliates.
Under the terms of the Agreement, ARC Group acquired all the assets of Soaring Wings and its affiliates for a purchase price of $18 million, comprised of $12 million of cash paid at closing and $6 million of deferred compensation payable in the form of shares of ARC Group's common stock. To fund the purchase price, ARC WingHouse, LLC, the subsidiary through which ARC Group completed the acquisition, entered into a loan agreement with City National Bank of Florida pursuant to which it borrowed $12.25 million.
WingHouse Bar & Grill first opened its doors over 25 years ago in Largo, Florida, where the concept to blend the spirit and camaraderie of sports with the casual atmosphere of a full-service restaurant was brought to life by NFL alum, Crawford Ker. Today, WingHouse has grown to 24 locations that span the state of Florida, generating more than $60.6 million in revenue and $3.5 million of cash flow from operating activities during 2018. 2017 Financial Highlights
The Company achieved the following financial results for its 2017 fiscal year:
Revenue increased 248% to $4,445,663 for 2017 from $1,275,448 for 2016.
Loss from operations decreased $728,611 to $84,614 during 2017 compared to $813,225 during 2016.
Adjusted income from operations, a non-GAAP measure, was $388,591 during 2017 compared to $380,790 during 2016.
Net income was $344,740, or $0.05 per share, during 2017 compared to net loss of $813,713, or $0.12 per share, during 2016.
Adjusted net income, a non-GAAP measure, was $388,591 during 2017 compared to $380,790 during 2016.
Adjusted net income per share was $0.06 for 2017 and 2016.
Cash flows from operations was $248,345 during 2017 compared to cash used by operations of $10,087 during 2016, an improvement of $258,432.
A reconciliation of adjusted income from operations, adjusted net income, and adjusted earnings per share on a GAAP and non-GAAP basis is included in the table below entitled "Reconciliation of GAAP to non-GAAP Financial Measures".

LAFAYETTE, La., Oct. 24, 2016 /PRNewswire/ -- ARC Group, Inc. , the owner, operator and franchisor of the award-winning Dick's Wings & Grill® concept, today announced that it has entered into a non-binding letter of intent to acquire two of its Dick's Wings® restaurants from DWG Acquisitions, a franchisee of the company.
Should the acquisition be completed, ARC Group would acquire the Dick's Wings located at 6055 Youngerman Circle in Argyle Village in Jacksonville, Fla., and the Dick's Wings located at 100 Marketside Avenue in the Nocatee development in Ponte Vedra, Fla. – two of the highest-grossing and most profitable restaurants in the franchise. The purchase price is expected to consist of a payment of $250,000 per restaurant at closing, along with a future payment to be made based on a multiple of each restaurant's future EBITDA. The Company is expected to pay for the restaurants through a combination of debt forgiveness, cash and stock. The acquisition is expected to close before the end of the year.
The Dick's Wings located in Jacksonville, Fla. was ARC Group's first free-standing restaurant and is its largest restaurant, with approximately 6,700 square feet of space. It seats more than 200 guests and employs 40 team members from the local area.
The Dick's Wings restaurant located in Ponta Vedra, Fla., which first opened in April 2013, quickly became one of the Company's highest-grossing restaurants. The new Dick's Wings & Grill in Atlantic Beach is located in the Mayport area at 2434 Mayport Road, proximate to Naval Station Mayport and Hanna Park. The restaurant is a free-standing facility with approximately 3,200 square feet of space, featuring an outdoor patio area and interior bar. The new location seats approximately 125 guests and employs 30 team members from the local area.
The relocated Mandarin restaurant is located at 10550 Old St. Augustine Road, near Interstate 295. The restaurant is an end cap in a shopping center, which contains a Wal-Mart, and is surrounded by both residential and commercial developments. It is approximately 4,000 square feet in size and features an interior bar and game room area. The new location seats approximately 165 guests and employs 40 team members from the local area.
Both restaurants feature Dick's Wings® extensive menu, including its signature Dick's Wings chicken wings, chicken tenders and hog wings, and its Dick's Blingz® boneless chicken wings, which offer 365 mouth-watering flavors. The kitchen serves dine-in customers while also offering carry-out and catering services. One important thing not mentioned and overlooked is the income stream from distributions that Wing Nutz will bring to ARCK. Check out the Wing Nutz website and on Facebook. They quietly just opened two locations in Texas, with more to come. ARCK has a 50 percent interest in Wing Nutz. This will provide significant future income to ARCK. Dick's Wings is no slouch either. This company is building its base. The owners/Managers know their business. Rarely does one find a so called "penny stock" with the management capabilities of this one. I also expect that there will be more great acquisitions to come. The stock price is still a bargain in my humble opinion. Good luck to all!!!
I agree. Shareholders only need to look at other companies that are in the same industry and see the growth in both their revenues and stock prices. They have more units coming on line, and I think we'll see some significant upsides.
There isn't much stock in the float, and the whole market cap is less than $10MM, so there is a ton of upside I think. I'm looking to buy more, but I'm excited to be in. I think anyone looking to take quick profits may miss an elephant size move in the future, if things go the way I see it.

Can someone fill me in. I have read back over a years worth of messages. Why is the stock price so low? I live in Jacksonville. Dicks is to my family better than buffalo wild wings. The awards for best wings are no joke. It's good. Now they are not fancy like buffalo wild wings. It's more for locals. Just looking for some thoughts. Good and bad.

news comes out and the stock takes a poop
ARCK management seems to be having difficulty maintaining a reasonable share price. IMO, this stock is very undervalued. ARCK should be releasing PR's about future plans for growth.

So ive been gone for a while and come to check in and bid is.60 and volume is a goose egg ZERO - I guess the plan now is to dilute under Nevada rules
