support the price before it dipped below 1.00.
it looks a little suspicious that they had 40k in volume in one day, that's more then the entire, past 3 months!

Our board of directors believes that the authorization to issue preferred stock will provide us with additional flexibility to consider and respond to future business needs and opportunities as they arise time to time, including capital raises, financings and acquisitions. We are continually evaluating our financial position and analyzing the benefits of issuing additional equity securities, debt securities, convertible securities or a combination thereof in connection with, among other things: (i) repaying indebtedness, (ii) furthering our capital management strategy, (iii) financing acquisitions, and (iv) strengthening our balance sheet. Under the amendment, our board of directors, without any further approval by shareholders, will be authorized to establish, from time to time, classes or series of preferred with such dividend rates and preferences, conversion provisions, voting rights, redemption provisions, liquidation rights and preferences, preemption rights, maturity dates and other rights and preferences as our board of directors may deem advisable and in the best interests of the Company and our shareholders.



The availability of shares of preferred stock would give us the flexibility to respond to future capital raising, financing and acquisition needs and opportunities without the delay and expense associated with holding a special meeting of shareholders to obtain further shareholder approval. No additional action or authorization by our shareholders will be necessary prior to the issuance of such additional shares, unless required by applicable law or the rules of any stock exchange or national securities association trading system on which our common stock is then listed or quoted. The ability to respond to our needs and opportunities on an expedited basis may be advantageous to us, depending on market conditions at the time. A particular issuance, if any, will depend on many factors, including market conditions and our financing and capital management plans at the time.

.90 - I smell 90 cents - I've been gone 2 weeks and I see ZERO volume on the day I get back - bid at a buck? No body in the world bought or sold?? Insiders release news that they bought at $1.65 (with notes) where are the inside buyers at a buck??

If insiders are so willing to buy in the open market (using notes) at $1.65 why would they let the price fall to $1.16 ?? Amateur move. They should be willing to buy more should the bid-ask fall to say $1.59 . Why announce an open market buy and then not support the bid? it makes no sense. the market could have a bad day and enough pressure could drive this back to pennyland without bid support. I am long and a fan but it looks really bad

End of year audits are more intense than the quarterly. It doesn't surprise me they are using all the time they have. In addition, the change over in the middle of the year doesn't make it any easier. Next year will come easier.

You make complete sense. Just as one sale at 100 shares brought it down, watch out when the market realizes the potential here. Management does not care about today's stock price, but the future of their investment.

Patience, the Q is not due until March 31. Same as last year. Only a few hundred shares traded today to bring this down. It won't take much to move back up.

Insiders don't need to buy stock - they can vote to print stock and dilute us all - they can pay themselves in stock - they have not done that (thank goodness) but instead are buying stock (apparently with promissory notes - from the filings) to try and keep the price from falling post split - It is not working - post split price is falling - the "Q" is LATE so it is probably bad. I am hanging in due to the fact they have not diluted but without real volume from real buyers this is going down.......

Are you saying that insiders are throwing their money down the drain? Do you think that they are stupid? The low is caused by one or two small purchases and/ or sales. Insiders want to own as much of the company as they can. Then Katie bar the door.This is a mid long to long term hold, not months. Just sell your shares and move on.

Here comes the pump ---- Finally a press release this morning, but it was disappointing. A rehash of news from a few weeks ago. I guess the price has been falling and with no "real" news they put out a re-hash puff piece saying what they did last month. There will never be any volume without "real" news - "real" numbers- filing reports on time - etc . I am losing confidence that this will move this year. Remember "no news is good news" a pump puff piece is bad news ....

They didn't have anyone then that knew how to run a public co. then, and they don't have anyone on the board now from the CEO on down that has any exp. running a public co. That is why they have never gotten a Q out on time. They need to get someone who has exp. in the public arena

Last year the 10K came out April 1st. The 10Q came out in may. I would expect the same for this year.

As a reporting company they owe us a 10Q or a notice that the 10Q will be late - They dropped the last 2 10Qs on Aug 12 and (90 days later) on Nov 13 so they are now 10 days late from trend.

Yes. I do realize it is split adjusted. 10,000 shares that are @ .28 a share is $2,800 when that reverse split takes effect the shares are reduced to 1,428 and the price increases to $1.95 you have $2,784. We are in the same place we have been for years, as an investor. And what is it that you don't understand? If can enlighten me, please do. Your response to me had me questioning if I were on facebook or Investor Hub. We are all in this together. The same team.?.?.? We want ARC to succeed. God bless.

Blue Victory repost from Dec 11

Blue Victory (our largest lender (an insider and private)) didn't want it's loan paid back! They converted debt to stock at $1.95 -- converting the debt establishes a new market pps of $1.95 equal to .279 pre-split---- this was a brilliant move - still no volume as they clean up the CUSIP numbers but I smell big news - Remember the insiders can dilute stock (they didn't) the insiders can pump news releases to pump stock (they didn't) the insiders can simply give themselves stock for free and call it salary or marketing (they didn't) ---Blue Victory put up "real cash" as a loan and then converted it all to stock at $1.95, essentially buying stock when they did not have to -As such, $1.95 should be the post-split floor - the insiders spent real cash to buy for that amount - $1.95 I see this at $4.00 in 2 quarters if they do just a few little things right -- anybody think I am wrong?

They can't take credit for increasing the amount/price of the share by reducing the amount out there. Therefore, increasing the value per share. For credit to be taken, the share price has to be increased enough to increase the shareholders' wealth.
