Under the Agreement, Cloudburst grants to CHOS an exclusive North American license to distribute specific products throughout North America in exchange for CHOS common stock without increasing the number of authorized shares. CHOS will then sub-license these products to several other US companies receiving a license fee for each product sold. Products include Herbal Capsules, Mini Hydroponic Farms, Organic Fertilizer & Pesticides, Herbal Drinks, Distillation & Brewing Equipment, Essence Oils and Health & Education Products. CHOS will be changing its name to Just Real Herbs USA, Inc..

CHOS will sublicense the production, marketing and distribution of the herbal products to Just Real Herbs Manufacturing LLC. The Mini Hydroponic Farms and the Distillation & Brewing Equipment will be licensed to Still Mill Ventures USA. LLC. Cloudburst has perfected a line of herbal products infused with Hemp CBD.
