Radient Is Being Restructured by A Reverse Merger


Part 1 Through Part 5

How a M&A takes place over a 6 Year Period. Why has it taken so long? Because of Patents Pending and new Combined IP's researched and developed now getting ready to be commercialized by two major entities and their subsidiaries. The synergy to make this happen is between many companies in different parts of the world. There are breadcrumbs, my friend. You just have to know how to gather them when they are recognized. They are called connections and signs. Here is a title of a book to help you gain this knowledge. It is Called "The Celestine Prophecy". In Part 1 through Part 4, we have shown many links in which we will refer to as breadcrumbs you understand. Part 5 and Part 6 are irrelevant but need to be mentioned and we will refer them as rebuttals. Part 7 will be our conclusion.

Someone asked do you think Bertech was a smokescreen..My answer is no. I threw that out there to see who would catch the bait. As you know, I referred to Uni-Pharma as a smokescreen until it became apparent that it was going to be a major player in the planned reverse merger. In 2010 when Radient mentioned Uni-Pharma as a distributor and later expanded on that distributorship it was never introduced in a 8-K filing. Remember we also called Global Cancer Diagnostics a smoke screen because the agreement was filed with many 8-K's but never consummated. You also asked me...

"Do you feel that part of the ongoing process regarding the upcoming Provista/Radient reverse merger involves intentionally misleading the public?"

No. They have been very transparent. Those that can't see what is going on behind the scenes will take that position. But not you and I. My spiritual gift from connections and signs and positive thinking have brought us to where we are today. The reverse merger players have dotted their I's and crossed their T's for legal purposes. They have shown the public through PR's and 8-K's what their intentions were. It started with their dream, the collaboration of Radient and Provista Diagnostics. It began with RPC Dr-70 combined with PLS IP and was announced to the public in 2010 with a LOI PR and their intentions to merge these two technologies and companies. It was all spelled out.. Shareholder approval by both companies. Equity Capital introduced and Angel and family institutional investors. William stated in an article that his company and you can include ours, were past the development for hedgefund investments. William wanted Angel investors, he was against having hedgies control 70 per cent of the company. The Radient shell from our analysis is 70 to 90 per cent owned by Angel investors and family institutions. In April 2010, the equity players appeared with 36 investors by one offering and 11 million dollars submitted. In an article william stated in February 2010 he was going to get an equity player involved. Let me first present these articles.

"William Gartner, president and CEO of Provista Life Sciences LLC in Phoenix, said it takes a lot of hard work to get the attention of angel investors. He has been heartened by interest from Catapult Bio, a “virtual biotech accelerator” with $14 million to help commercialize bioscience technologies.

“While they’ll still focus to some degree on university startups and on (Translational Genomics Research Institute) startups, they made it very clear they weren’t limited to that, and invited us to submit a proposal,” Gartner said.

His company is preparing to launch a blood test for Alzheimer’s disease, but he needs money to finish the clinical trial. It’s a tough sell because there isn’t much direct investment in early-stage companies now, he said."

Paula West, director of protocol at the Sister Cities Office for the city of Phoenix, says she is proud to know Gartner, who has served on the board of the Phoenix Sister Cities Commission and chaired the Taipei Committee.

Gartner's philosophy, she says, is to make friends and do business.

William Gartner, CEO of Provista Life Sciences in Phoenix, also sees a great business benefit from international partnerships. He’s been involved with the Phoenix Sister Cities program for more than 15 years and has used those connections to help develop licensing and supply-chain relationships for his biotech company’s early detection tests for various diseases.

Provista is marketing a blood test for early detection of breast cancer. Gartner said the Sister Cities program has helped his company cultivate personal relationships and make introductions that might not have happened otherwise.

“Introductions don’t come easily in Asia, but Sister Cities has opened every door I asked,” he said. “We will be traveling to the Middle East, southeastern Europe, Europe, Asia, and Africa in the next 12 months to negotiate license agreements for the use of our BT test for breast cancer. The first call we will make before heading for the airport is to Sister Cities.”

That is not TRUE.. It is protected in Canada by the PCT. Here is the filing and other counties. The pCT is not protected in the USA. The US patent was going to cover the USA. As you are aware William and Provista Diagnostics have a separate patent pending with the LC Sentinel patent for the USA and later for the International market.

This statement is also not true..UNI-Pharma's agreement has not been terminated. The PCT patent is either been approved or is Pending.

The old patents are off but the agreement refers to those Patents Pending....And patents pending in other countries..Such as Australia, New Zealand, Japan, China and Brazil and the other 68 that William Gartner filed in 2010. Here is the language in the agreement to prove my case you understand..

"This Agreement shall become effective upon the date of signing by both Parties and continue in effect until the earlier to occur of: (i) expiration of the last patent issued to RXPC for the Licensed Products,"

Onko-Sure DR-70 License Agreement

This License Agreement (the “Agreement”), which shall be effective as of June 6th , 2013, is by and between Uni Pharma Co., Ltd., a Taipei, Taiwan limited liability company (“UNI”) and Radient Pharmaceuticals Corporation (including its subsidiary AMDL Diagnostics Inc.) a Delaware incorporated United States company (“RXPC”).


11.

Term and Termination


11.1

This Agreement shall become effective upon the date of signing by both Parties and continue in effect until the earlier to occur of: (i) expiration of the last patent issued to RXPC for the Licensed Products, (ii) when UNI terminates this Agreement by discontinuing the offering of the Licensed Products or the sublicense to do the same. UNI shall be deemed to have discontinued the offering of the Licensed Products when UNI no longer offers, or has reasonable offers for, any of the Licensed Products and no longer receives revenue from any unaffiliated third party, other than UNI, or from sales of any of the Licensed Products during any full calendar year. At such date the license rights will by default return to RXPC, or (iii) by RXPC in the event that UNI does not achieve sales necessary to meet the Minimum Royalty Payments, as set forth in Exhibit B, for any two consecutive fiscal quarters.
